OPLA Continuing Legal Education (CLE)

This is a combined synopsis/solicitation for commercial services prepared in accordance with the format in the Federal Acquisition Regulations (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotations are being requested, and a written solicitation will not be issued.

The U.S. Department of Homeland Security (DHS), U.S. Immigration and Customs Enforcement (ICE), Office of Acquisition Management (OAQ) is issuing solicitation number 70CMSD25Q00000016 as a combined synopsis/solicitation in accordance with FAR Subparts 12 and 13.5 as unrestricted.

This solicitation number 70CMSD25Q00000016 is issued as a Request for Quote (RFQ). The resultant contract will be a Firm-Fixed Price (FFP) contract.

This solicitation document (RFQ) and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2025-05, effective date, 08/07/2025.

This acquisition is under NAICS code 541199, All Other Legal Services.

INSTRUCTIONS TO QUOTERS AND EVALUATION CRITERIA

1. Procurement Approach The Department of Homeland Security (DHS), Immigration and Customs Enforcement (ICE), Office of the Principal Legal Advisor (OPLA) has a requirement to secure services of a single web-based continuing legal education (CLE) provider for use by 1,500+ users. The Government anticipates a Firm Fixed Price purchase order. The expected period of performance is a 12-month base period with four 12-month option periods.

Period of Performance:

Base Period: 09/16/2025 – 09/15-2026 Option Period 1: 09/16/2026 – 09/15/2027 Option Period 2: 09/16/2027 – 09/15/2028 Option Period 3: 09/16/2028 – 09/15/2029 Option Period 4: 09/16/2029 – 09/15/2030

2. Solicitation Questions Due Date Questions must be submitted in writing via email no later than August 18, 2025, 11:00AM, Eastern Time to Contract Specialist, Shayla Kelley, at shayla.n.kelley@ice.dhs.gov. The Government reserves the right not to respond to any questions received concerning this solicitation after the date above.

3. Quotation Due Date To be considered timely, an electronic copy of the quotation must be received by August 22, 2025, 4:00PM, Eastern Time to Contract Specialist, Shayla Kelley, at shayla.n.kelley@ice.dhs.gov. The Government is not liable for any expenses incurred by the vendors in developing and submitting quotations in response to this notice.

4. Instructions for Quotation Preparation The following instructions are for the preparation and submission of quotations. The purpose of this section is to establish requirements for the format and content of quotations so that the quotation contains all essential information and can be evaluated equitably. Vendors are instructed to read the entire solicitation, including all attachments, prior to submitting questions and/or preparing your quotation. Omission of any information from the quotation submission requirements may result in the rejection of the quote.

(1) Vendors are expected to follow the quotation preparation instructions fully and carefully. The Government will rely on the information provided by the vendor to evaluate the quote. It is therefore imperative that vendors carefully follow the instructions set forth below and submit their quotations in the format and with the content specified below, providing all requested information.

(2) Vendors are responsible for the accuracy and completeness of their quotation.

No pricing information shall be included with Volume I. Price shall be submitted for the base year and four option years utilizing Attachment 3 – Price Matrix.

The minimum offer acceptance period is 60 days after the required date for receipt of quotations.

4.1 Cover Letter

In your submission, please provide the following information in your cover letter:

a) Name of Vendor

b) Tax Identification Number (TIN)

c) SAM.gov Unique Entity Identifier (UEI), (To be eligible for award, vendors must be registered and have an active System for Award Management (SAM) account at the time of quote submission).

d) North American Industrial Classification System (NAICS) Code

e) Contact Name

f) Contact Email address

g) Contact telephone and fax number

h) Complete business mailing address

The Government intends to award a single Purchase Order as a result of this RFQ that will include the terms and conditions set forth herein.

4.2 Organization/Page Limits

Vendors shall prepare the quotation as set forth in the Quotation Organization Table (Table 1 below).

4.3 Page Limitation

The page limitation for each volume is listed above. Page limitations shall be treated as maximums and do not include the cover pages.

4.4 Page Size and Format

Page size shall be 8.5 x 11 inches. The font size shall be no less than 12 points, readable by MS Word. Use at least 1-inch margins on the top and bottom and ¾-inch side margins. Pages shall be numbered sequentially by section.

4.5. Pricing Information

All pricing information shall be addressed ONLY in the Price Section (Volume III).

5.0 VOLUME I - TECHNICAL QUOTE SECTION

Assumptions: Vendors shall indicate, in this section only, if any technical related assumptions have been made, conditions have been stipulated or exceptions have been taken with the Statement of Work (SOW) as written. These assumptions, conditions and exceptions shall be written in red and listed on the first page of the Technical Volume. The one page do not count towards the page limit. If technical assumptions are not noted in the Technical Volume, it will be assumed that the quote reflects no technical assumptions for award and agrees to comply with all the terms and conditions set forth herein. It is not the responsibility of the Government to seek out and identify assumptions, conditions, or exceptions buried within the quote. Accordingly, any technical related assumptions listed in any other section shall be null and void.

Volume I - Factor 1: Required Courses

Primary accredited CLE course work. Must provide a minimum total of 55 courses per primary practice areas with at least three courses accredited in each mandatory jurisdiction listed in 2.5 (except 2.5.49). The primary practice areas are:

• Immigration Law & Naturalization Law

• Criminal Law & Procedures

• Ethics and Professional Responsibility

Secondary accredited CLE course work. Must provide at least one course per secondary practice areas accredited in each of the mandatory jurisdictions listed in 2.3 (except 2.5.49).

For this Factor vendors shall provide a list of the courses they can provide for both Primary and Secondary areas with detailed descriptions for each course.

Volume I - Factor 2: Technical Approach

The prospective vendor shall submit a description that addresses each work area and technical approaches to the required work in the SOW, discussion of proposed methods for completing each task, discussion of any anticipated problems and recommended resolutions, and discussion of major logistical considerations, if any, and how they will be addressed.

5.1 VOLUME II - PRICE SECTION

Volume II - Factor 3: Price

Vendors shall indicate if any exceptions/assumptions exist in regard to the price quote. These assumptions, conditions and exceptions shall be written in red and listed on the first page of the price quote. If price assumptions are not noted in the price quote, it will be assumed that the quote reflects no price assumptions for the award and agrees to comply with all the terms and conditions set forth herein. It is not the responsibility of the Government to seek out and identify assumptions, conditions, or exceptions buried within the quote. Each vendor shall submit a price quote separate from the technical quote.

The price quote shall include:

a) Vendors shall submit prices for all courses. Prices must be final and must not contain contingencies or conditions.

b) Vendors shall provide a standalone price quote to include any discounts. The price quote shall include the price of each class, and the overall total.

6.0 EVALUATION CRITERIA

6.1 Volume I - Factors I and II: Required Courses and Technical Approach

Technical Factors I and II will each be evaluated separately. Evaluation of Factors I and II will be based upon the content provided in the Vendor’s technical quote and how the vendor proposed to fulfill the Specific Requirements/Tasks in SOW, Section 2.1 – 2.1.33. Phrases such as “Standard procedures will be employed” and “well known techniques will be used” are not considered adequate descriptions. Although it is recognized that all the technical criteria cannot be detailed in advance, the techniques and procedures the vendor plans to follow in conjunction with the task areas to be performed must be described in as much detail as the vendor considers necessary to fully explain and demonstrate their technical approach and understanding. The Government will evaluate to ensure the vendor’s technical quote meets/exceeds the minimum requirement identified in the SOW.

6.2 Volume II - Factor III – PRICE

The Government will evaluate proposed price for completeness and reasonableness. Total evaluated price will include the base period and all option periods. Price reasonableness will be determined in accordance with FAR part 13.106.

Reasonableness. Normally, competition establishes price reasonableness. In limited situations, additional analysis will be required by the Government to determine reasonableness if, after receipt of a quote, the Contracting Officer (CO) determines that that information on competitive quoted prices or previous contract prices is not available or is insufficient to determine that the price is fair and reasonable.

4.0 BASIS FOR AWARD

The Government will make a single award to the responsible contractor on the basis of Lowest Price Technically Acceptable (LPTA). The Government will evaluate the lowest priced quote, including all options, and if technically acceptable, evaluations will cease, and award will be made. If the quote is not technically acceptable, the next lowest quote will be evaluated, and so forth. Technical acceptability is determined based on the rating definitions in the table below.

The technically acceptable quote will then have its price evaluated for reasonableness. The Government reserves the right not to make an award. Contractors are encouraged to offer the best discount available.

Definitions of Technical Ratings:

Technically Acceptable The quote meets and exceeds all minimum requirements and demonstrates.

an acceptable understanding of the goals and objectives of the SOW and will be successful in performing the contract.

Technically Unacceptable The quote failed to demonstrate an understanding of the objectives of the SOW and fails to meet all minimum requirements.
