The quoter’s quote shall detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform. A Past Performance example which does not detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform will not be evaluated.

If the prime quoter or intended subcontractor/partner submits a past performance example in which it served as a subcontractor, the prime/sub/partner shall detail clearly the work that it performed and the magnitude (dollar value) of that subcontracted work only. A Past Performance example that does not differentiate between the overall contract effort and the subcontractor effort will not be evaluated.

The references will be evaluated in the aggregate in order to fully evaluate a quoter’s past performance record that is relevant to this requirement.

The forms and any such continuation sheet(s) for submitted references will count toward the Volume II page limit described above. Source selection personnel may contact the references for validity and verification. The information contained in the questionnaires will be used to evaluate the offeror’s past performance.

IMPORTANT NOTES:

(1) Each quoter shall submit a quote that clearly and concisely describes and defines the contractor’s response to the requirements contained in the RFQ. Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective quote are not desired. Elaborate art work, visual or other presentation aids are neither necessary nor desired. The quote shall contain all the pertinent information in sufficient detail in the one area of the quote where it contributes most critically to the discussion of the same information.

(2) This section specifies the instructions and format that quoters shall use in responding to this RFQ. The intent is not to restrict the quoters in the manner in which they will perform their work, but rather to ensure a certain degree of uniformity in the format of the responses for evaluation purposes. Quoters shall respond to all requirements of the RFQ document. Quoters are cautioned not to alter the RFQ.

(3) In the event any person who is not a bona fide employee of the quoter participated in the creation, formulation, or writing of any portion of the quote, a certificate to this effect shall be included in the quote which shall be signed by an officer of the quoter. Such certificate shall identify the name of the person who is not a bona fide employee, that person’s employment capacity, the name of the person’s firm, the relationship of that firm to the quoter, and the portion of the quote in which the person participated.

(4) The completion and submission of the required items will constitute a quotation and will indicate the quoter’s unconditional assent to the terms and conditions of this RFQ and any attachments and/or exhibits hereto. Alternate quotations are not authorized. Quoters objecting or taking exception to the terms and conditions of the RFQ may be determined to be ineligible for award.

52.212-2 Addendum – EVALUATION--COMMERCIAL ITEMS

The Government intends to award a firm-fixed-price contract resulting from this RFQ to the responsible quoter whose quote represents the best value to the Government after an evaluation in accordance with the factors in the RFQ. Each quoter’s quote shall be in the form prescribed by, and shall contain a response to, each of the areas identified in the solicitation provision entitled “FAR provision 52.212-1 Addendum, Instructions to Offerors-- Commercial Items.”

The trade-off approach will be utilized in making the award decision. The evaluation of quotes will consider Factor II – Past Performance to be more important than Factor I – Price. The Government reserves the right to trade-off past performance and price in order to arrive at the best value for the Government.

Initially, quoters shall be ranked from lowest to highest according to price, inclusive of all option pricing. If the lowest priced quoter is evaluated to have an overall Past Performance Confidence Assessment rating of ‘Substantial Confidence’, that quoter will be determined to represent the best value to the Government and the evaluation process will stop. Award shall be made to that quoter without further consideration of any other quotes. However, if the lowest priced quoter is not evaluated to have a “Substantial Confidence” Past Performance Confidence Assessment rating, the next-lowest priced quoter will be evaluated. The evaluation process will continue (in order of price from lowest to highest) until a quote is evaluated to have a “Substantial Confidence” Past Performance Confidence Assessment rating. The Government shall then make an integrated best-value award decision for the quote rated with a “Substantial Confidence” Past Performance Confidence Assessment rating. If no quotes are rated with a “Substantial Confidence” Past Performance Confidence Assessment, the Contracting Officer shall make an integrated assessment best-value trade-off award decision from among offerors rated “Neutral Confidence” or better.

Although price is not the most important evaluation factor, it has the potential to become more significant during the evaluation process. The degree of importance of price will increase with the degree of equality of the quotes in relation to the other factors on which selection is to be based. The importance of price will also increase when a quoter’s price is so significantly high as to diminish the value to the Government that might be gained under the other aspects of the quote. If, at any stage of the evaluation, all quoters are determined to have submitted equal, or virtually equal, quotes, price could become the factor in determining which quoter shall receive the award.

All quotes will be reviewed for timeliness. Timely quotes will be reviewed for responsiveness (compliance) to the solicitation. If the quote is not responsive to the solicitation, it will not be evaluated and the quoter will be notified that the quote is non-responsive.

Factor I – Price:

• The Government will evaluate price quotes in accordance with FAR 13.106-3(a), Award and Documentation.

• The Government may evaluate any and all information submitted by the quoter to support the reasonableness of the prices quoted. The method of evaluation used by the Contracting Officer is solely within the discretion of the Contracting Officer.

• Price will be evaluated by multiplying the estimated quantities provided to the Government by the quoted unit price for each line item provided by the quoter and then adding the totals together thereby identifying the quoter’s total estimated price for each line item.

• If, at any stage of the evaluation, all quoters are determined to have submitted equal, or virtually equal, or generally equivalent, non-price quotes, price could become the factor in determining which quoter shall receive the award.

• All options, including option FAR 52.217-8 will be evaluated pursuant to solicitation provision FAR

52.217-5, Evaluation of Options. For award purposes, the Government will evaluate quotes based on total price. Total price consists of the basic requirements and any option(s) identified. Evaluation of the option(s) shall not obligate the Government to exercise the option.

Factor II – Past Performance:

The past performance evaluation results in an assessment of the quoter probability of meeting the solicitation requirements. The past performance evaluation considers each quoter demonstrated recent and relevant record of performance in supplying services that meet the contract’s requirements. The currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance shall be considered. These are combined to establish one performance confidence assessment rating for each offeror. This evaluation is separate and distinct from the Contracting Officer’s responsibility determination.

Past Performance relevancy will be rated as either “relevant” or “not relevant”.

Rating Definition Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

A review of all past performance, general trends, and usefulness of the information will be incorporated into an overall performance confidence assessment rating. The past performance confidence assessment rating is based on the quoter overall record of recency, relevancy and quality of performance and will be rated as stated below.

Performance Confidence Assessment Rating Description

Substantial Confidence Based on the quoters recent/relevant performance record, the Government has a high expectation that the quoter will successfully perform the required effort.

Satisfactory Confidence Based on the quoters recent/relevant performance record, the Government has a reasonable expectation that the quoter will successfully perform the required effort.

Neutral Confidence No recent/relevant performance record is available or the quoters performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The quoter may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the quoters recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the quoters recent/relevant performance record, the Government has no expectation that the quoter will be able to successfully perform the required effort.

In the case of quoters for which there is no information on past contract performance or where past contract performance is not available, the quoter may not be evaluated favorably or unfavorably on the factor of past contract performance. In this case, the quoters past performance is unknown and assigned a confidence rating of “neutral.” Past performance ratings of “Substantial Confidence and “Satisfactory Confidence” hold more value than a “Neutral Confidence” rating and will be considered more favorably in the evaluation of past performance.

WRITTEN NOTICE

A written notice of award or acceptance of a quote emailed or otherwise furnished to the successful quoter within the time for acceptance specified in the quote, shall result in a binding contract without further action by either party. Before the quote’s specified expiration time, the Government may accept a quote (or part of a quote), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

52.217-5 EVALUATION OF OPTIONS (JUL 1990)

Except when it is determined in accordance with FAR 17.206(b) not to be in the Government's best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s).

(End of provision)

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor 5 DAYS prior to contract expiration.

(End of clause)

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 5 DAYS;

provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 10 DAYS before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 57 MONTHS plus a six (6) month extension pursuant to FAR 52.217-8, if required for a maximum total of 63

MONTHS.

(End of clause)

Contractor Unclassified Access to Federally Controlled Facilities, Sensitive Information, Information Technology (IT) Systems or Protected Health Information

Homeland Security Presidential Directive (HSPD)-12, requires government agencies to develop and implement Federal security standards for Federal employees and contractors. The Deputy Secretary of Defense Directive- Type Memorandum (DTM) 08-006 – “DoD Implementation of Homeland Security Presidential Directive – 12 (HSPD-12)” dated November 26, 2008 (or its subsequent DoD instruction) directs implementation of HSPD-12.

This clause is in accordance with HSPD-12 and its implementing directives.

APPLICABILITY

This text applies to contractor employees requiring physical access to any area of a federally controlled base, facility or activity and/or requiring access to a DoN or DoD computer/network/system to perform certain unclassified sensitive duties. This clause also applies to contractor employees who access Privacy Act and Protected Health Information, provide support associated with fiduciary duties, or perform duties that have been identified as National Security Position, as advised by the command security manager. It is the responsibility of the responsible security officer of the command/facility where the work is performed to ensure compliance.

Each contractor employee providing services at a Navy Command under this contract is required to obtain a Department of Defense Common Access Card (DoD CAC). Additionally, depending on the level of computer/network access, the contract employee will require a successful investigation as detailed below.

ACCESS TO FEDERAL FACILITIES

Per HSPD-12 and implementing guidance, all contractor employees working at a federally controlled base, facility or activity under this clause will require a DoD CAC. When access to a base, facility or activity is required contractor employees shall in-process with the Command’s Security Manager upon arrival to the Command and shall out-process prior to their departure at the completion of the individual’s performance under the contract.

ACCESS TO DOD IT SYSTEMS

In accordance with SECNAV M-5510.30, contractor employees who require access to DoN or DoD networks are categorized as IT-I, IT-II, or IT-III. The IT-II level, defined in detail in SECNAV M-5510.30, includes positions which require access to information protected under the Privacy Act, to include Protected Health Information (PHI). All contractor employees under this contract who require access to Privacy Act protected information are therefore categorized no lower than IT-II. IT Levels are determined by the requiring activity’s Command Information Assurance Manager.

Contractor employees requiring privileged or IT-I level access, (when specified by the terms of the contract) require a Single Scope Background Investigation (SSBI) or T5 or T5R equivalent investigation, which is a higher level investigation than the National Agency Check with Law and Credit (NACLC)/T3/T3R described below.

Due to the privileged system access, an investigation suitable for High Risk national security positions is required.

Individuals who have access to system control, monitoring, or administration functions (e.g. system administrator, database administrator) require training and certification to Information Assurance Technical Level 1, and must be trained and certified on the Operating System or Computing Environment they are required to maintain.

Access to sensitive IT systems is contingent upon a favorably adjudicated background investigation. When access to IT systems is required for performance of the contractor employee’s duties, such employees shall in-process with the Navy Command’s Security Manager and Information Assurance Manager upon arrival to the

Navy command and shall out-process prior to their departure at the completion of the individual’s performance under the contract. Completion and approval of a System Authorization Access Request Navy (SAAR-N) form is required for all individuals accessing Navy Information Technology resources. The decision to authorize access to a government IT system/network is inherently governmental. The contractor supervisor is not authorized to sign the SAAR-N; therefore, the government employee with knowledge of the system/network access required or the COR shall sign the SAAR-N as the “supervisor”.

The SAAR-N shall be forwarded to the Command’s Security Manager at least 30 days prior to the individual’s start date. Failure to provide the required documentation at least 30 days prior to the individual’s start date may result in delaying the individual’s start date.

When required to maintain access to required IT systems or networks, the contractor shall ensure that all employees requiring access complete annual Information Assurance (IA) training, and maintain a current requisite background investigation. The Contractor’s Security Representative shall contact the Command Security Manager for guidance when reinvestigations are required.

INTERIM ACCESS

The Command's Security Manager may authorize issuance of a DoD CAC and interim access to a DoN or DoD unclassified computer/network upon a favorable review of the investigative questionnaire and advance favorable fingerprint results. When the results of the investigation are received and a favorable determination is not made, the contractor employee working on the contract under interim access will be denied access to the computer network and this denial will not relieve the contractor of his/her responsibility to perform.

DENIAL OR TERMINATION OF ACCESS

The potential consequences of any requirement under this clause including denial or termination of physical or system access in no way relieves the contractor from the requirement to execute performance under the contract within the timeframes specified in the contract.
