About this file
Summary
This is an AIA Document A132-2009 Standard Form of Agreement Between Owner and Contractor for Construction Manager as Adviser Edition executed between Ocean County College in Toms River, New Jersey and a contractor for the Allied Health Program Renovation project. The project involves the construction of state-of-the-art learning spaces designed to support the College's expansion of its dental hygiene and radiography programs to meet local community educational needs. The contractor is responsible for executing all work as described in the contract documents, including labor, materials, equipment, and services necessary for completion. The contract specifies that work commencement occurs on the later of the agreement date or upon issuance of a notice to proceed by the Owner. Substantial completion must be achieved by a date to be specified in the contract documents, with the contractor subject to deduction of consulting fees if work extends beyond the allowable completion timeframe. The contract includes detailed provisions for milestone achievement, with specific dates to be identified in supplementary documents.
The contract is structured as a Stipulated Sum agreement with payment based on a schedule of values covering twenty-two construction divisions ranging from general conditions and site work through specialty installations, HVAC, electrical, and security systems. Progress payments are calculated monthly based on percentage completion with a two percent retainage, payable within thirty days following certification by the Construction Manager and Architect. Final payment requires submission of as-built drawings, maintenance manuals, affidavits of payment and lien release, a two-year maintenance bond, final certificate of occupancy, and contractor certification of compliance with contract documents. The Owner reserves the right to suspend, delay, or terminate the contract for convenience or for cause, including contractor failure to maintain insurance, make timely subcontractor payments, submit certified payroll, or maintain labor harmony. Dispute resolution proceeds through mediation with a retired New Jersey judge, followed by arbitration or litigation at the Owner's sole election in Ocean County Superior Court, with a one-year statute of limitations on contractor claims.
