About this file
This is a Sample Master Services Agreement (MSA) document between Walworth County, Wisconsin and a selected Engineering (MEP-FP) Consultant for On-Call Services for Small Projects. The agreement covers design and construction administration services for low-risk, low-complexity municipal building projects, including programming, studies, investigations, mechanical, electrical, plumbing, fire protection, and site utility work. The County will request services through verbal or written Work Requests, which the Consultant must respond to within a timeframe specified by the County by providing a written Work Order. The County then issues a Purchase Order to formalize each engagement. The MSA is effective upon execution through April 30, 2027, with options to renew for four additional one-year periods under the same terms and conditions upon mutual agreement. No minimum service purchase is guaranteed by the County, and the agreement operates on an indefinite quantity basis with compensation determined through individual work orders and purchase orders.
The agreement specifies that the Consultant operates as an independent contractor and is responsible for all applicable federal, state, and local taxes. Payment will be made monthly based on services actually completed, with invoices submitted to the County Finance Department and payment expected within 45 days of service receipt. The County prefers payment via procurement card (P-card). The Consultant must maintain liability insurance coverage as specified in the exhibits, with the County listed as additional insured. Fee rates remain firm during the initial agreement term, and any fee rate increases for renewal periods must be requested in writing at least 60 days before the renewal date with detailed justification. The agreement requires the Consultant to maintain all documentation demonstrating time, cost, duration, location, scope, quality, and effectiveness of services rendered, and the County reserves the right to audit records and examine all materials related to contract performance.
