1.0 SCOPE OF SERVICES.

1.1 Scope: The Contractor shall provide standard (regular school and after school programs) and additional or emergency school bus services, exclusive to dependents of the U.S.

Government employees within the U.S. Embassy in Abu Dhabi, United Arab Emirates, in accordance with the Statement of Work in this contract.

1.2 Period of Performance: This contract shall include one base year and four option years.

Although the school year is a period of approximately ten (10) months, each performance period in the contract consists of twelve (12) months. See Attachments 1A and 1B and Attachment 2 for the school year calendar, including holidays. These attachments will be updated as necessary, should optional periods of performance be exercised.

1.3 Notice to Proceed (NTP): After contract award and submission of acceptable insurance certificates, the Contracting Officer shall issue a Notice to Proceed. The Notice to Proceed will establish a date (a minimum of ten (10) days from start date listed in Notice to Proceed unless the

Contractor agrees to an earlier date) on which performance shall start.

1.4 Definitions:

Mid-size bus – Bus with a capacity to transport up to 24 passengers, including driver and bus monitor

Full-size bus – Bus with a capacity to transport up to 32 passengers, including driver and bus monitor

Run – This is a single one-way trip per bus in the morning on school days that originates at the

Contractor’s parking area, goes to U.S. Embassy compound for vehicle inspection, goes to the individual pick up points in the residential compounds, delivering the passengers to the school, and returning to the Contractor’s parking area. This is a single one-way trip per bus in the afternoon that originates at the Contractor’s parking area, goes to U.S. Embassy compound for vehicle inspection, goes to the school to collect passengers, delivers the passengers to their respective drop off points in the residential compounds, and returning to the Contractor’s parking area.

Round-trip – This consists of two runs, the first in the morning to the school, and the second in the afternoon from the school in the same day.

Route – Designated itinerary of a school bus to pick-up one or more students at their residential bus stops or at school and dropping them off at their designated school or residential bus stops.

Supervisor/Bus Coordinator – the person designated by the Contractor to be the primary point of contact with the Government Contracting Officer Representative (COR) to manage the scheduling and coordination. This person will respond to communications with COR and with individual family members as needed for any scheduling issues. The person will coordinate the

Contractor staff – Drivers and Bus Monitors – that are assigned for this Contract.

School days – those days of the week that the school is in session. These are the days the

Contractor will provide bus services. These school days are Sunday through Thursday, and do not include the weekends (Friday and Saturday), UAE official or religious holidays, or school closures such as “in-service” and seasonal - Fall, Winter, Spring - breaks. The number of school days will vary each month, depending on these excluded days. The total each year is approximately 178, but can be as much as 180.

Unauthorized Passengers – The only occupants that are allowed to be in the contracted buses are the Contractor’s Driver, the Contractor’s Bus Monitor, and the assigned U.S. Embassy student children. Unauthorized passengers are not permitted on any contracted bus unless specifically approved in advance, in writing from the Contracting Officer Representative (COR).

Unauthorized passengers are defined as children, parents, spouses, relatives, employees, friends or others who are not U.S. Embassy students. This also includes transferring students from one bus to another without the knowledge of the Bus Coordinator.

2.0 TYPE OF CONTRACT

2.1 Standard Services: The contract type shall be a firm-fixed price contract type for standard services, billed per number of school bus round-trips, as further defined in paragraph 1.4 above.

Estimated dates of service are set forth in Attachment 1. Standard services are the primary morning and afternoon bus runs, and will include the after-school bus service as detailed in I.

Statement of Work, F. Routing below.

2.2 Additional/Emergency Services: This portion of the contract shall be an indefinite-delivery indefinite-quantity type contract, billed at firm-fixed price rates, for additional/emergency services. These are services for additional bus runs, to or from one of the schools identified in this contract; these are the non-standard bus services, e.g., the late afternoon services for after-school activities.

3.0 PRICING

3.1 Value-added Tax: Value-added Tax (VAT) is not included in the CLIN rates. Instead, it will be priced as a separate Line Item in the contract and on Invoices. Local law dictates the portion of the contract price that is subject to VAT; this percentage is multiplied only against that portion. It is reflected for each performance period. The portions of the solicitation subject to

VAT are:

Dhabi. The children are living within a maximum radius of 20 KM from the US Embassy, located in Abu Dhabi. The Contractor shall provide supervision, labor, materials, fuel and equipment for the United States Embassy Abu Dhabi.

2. General Requirements: The Contractor shall provide the transportation services on school days, Sunday through Thursday, except holidays and other days specifically designated by the school. The attachments to this, listed below, provide information relating to school schedules, bus routes and orders for contractor personnel.

Attachment 1: School Calendar

Attachment 1A: School Calendar by Month

Attachment 1B: Listing of School Holidays

Attachment 2: Combined List of Holidays

Attachment 3: Summary of Number of School Days

Attachment 4: School Bus Routes

Attachment 5: General Orders

3. Funding/Ordering: The Contracting Officer has the sole authority to issue orders for additional/emergency services to be performed under this contract. With few exceptions, the

Contracting Officer will order these services by issuance of a written task order. If time does not permit, the Contracting Officer may issue an oral order, to be confirmed by a written order within 48 hours.

The contract minimum for these additional/emergency services shall be two (2) round trips of standard services, and hence, is met, after the Contractor has provided this number of round trips of standard services. The contract maximum shall be thirty (30) round trips.

The Contracting Officer’s Representative (COR) issues instructions to the Contractor pertaining to specific dates, times, etc. for transportation services, as needed. Instructions may be issued orally, or in writing.

4. Estimated Level of Services: There are between 90 - 120 students transported on a daily basis to the school during every school day in a school year. Though the Government cannot determine the exact number of passengers in advance and the number of passengers may vary each school year, the services shall be provided at the rates specified in the pricing section of this contract. The ACS School Year is normally a maximum of 180 school days.

5. Adult Monitor. The contractor shall provide an adult monitor for each bus to be responsible for maintaining discipline of the children and to respond to any incidents. The U.S. Embassy, at its discretion, may also send one designated adult monitor sporadically on each vehicle to ensure that the children maintain discipline.

6. Scheduled School Bus Services. The contractor shall submit two alternate street route options to the COR for approval. Service shall be provided in accordance with the school days, pick-up and drop-off locations, and holiday schedules as specified in Attachments 1-4. Vehicles shall not depart the designated stop earlier than scheduled departure time or no later than 5 minutes after the scheduled departure time. No services shall be required on school holidays, regularly scheduled school vacations, or when schools are closed due to inclement weather or for any other reason.

(a) School make-up class days shall be considered as normal school days. These days will have been added by the school to make up for any unplanned days off as announced by the UAE government; for example, adding an additional make-up day in exchange for UAE National Day.

The U.S. Embassy shall give the Contractor three days advance notification to change pick-up or delivery points or to provide bus service on school make-up days.

(b) The Contractor shall comply with appropriate instructions by the Contracting Office regarding school bus operation, as specified in this Scope of Work and the various Attachments.

(c) The Contractor shall operate buses during inclement weather conditions unless the school is not open on such days. When school closes early due to inclement weather, the Contractor shall ensure students are picked up within one hour after the decision has been announced that the school will close.

(d) The Contracting Officer’s Representative (COR) has the sole authority to cancel any bus run after the decision has been announced that the school will close. If the Contractor believes a bus should not run, the COR must be contacted for final decision.

(e) Bus drivers shall not transport unauthorized passengers, unless approved by the COR in advance and in writing.

(f) U.S. Embassy Compound Traffic Rules: The Contractor shall stress to the drivers to obey all traffic rules, and instructions of the U.S. Embassy officials when driving on U.S. Embassy property, including not exceeding the posted speed limits.

(g) After-School Activities: During four separate pre-scheduled six-week periods, there are after-school activities that require extended transportation services for the students. The U.S.

Embassy will provide the schedule of after-school activities to the Contractor in advance, indicating on which days these activities will occur, and the number of participating students.

An example of the after-school activities schedule is provided in sub-paragraph F. Routing under this Chapter I. Statement of Work. The buses to support these after-school activities will be charged as an Additional/Emergency Service; please refer to 3.0 Pricing above.

B. Equipment to be provided by the Contractor.

1. Vehicles: The Contractor shall provide a sufficient quantity of the correct capacity of buses

(newer models) and must possess sufficient equipment to provide uninterrupted service under this contract and to furnish replacement buses. All buses shall be air conditioned. These buses shall meet all requirements of those buses normally used. The Contractor may substitute a smaller bus for a larger bus, depending on number of students. However, if the Contractor chooses to do so, it may only charge at the rate of the smaller bus. Conversely, if the Contractor elects not to use a smaller bus which would, in fact, be capable of transporting the number of students, and instead, elects to use a larger bus, the Contractor may only charge at the rate of the smaller bus.

Vehicles must meet the standards required by local and host country laws and regulations, and meet the safety inspection requirements. All vehicles must pass periodic inspections by U.S.

Embassy mechanics and/or must also carry any inspection certificate required by the local government. If any vehicle is determined to be unsafe or unsatisfactory, its use is prohibited until such unsafe or unsatisfactory conditions have been corrected. In such event, the Contractor must provide a replacement vehicle to maintain the schedule.

(a) Buses, which, for any reason, do not meet minimum requirements specified, shall be replaced immediately so that service will not be delayed or interrupted.

(b) Maintenance Schedule: the Contractor shall maintain all vehicle equipment (vehicle, safety and security) in good working order. The vehicle shall arrive clean, fully topped off with fluids

(i.e. oil, brake fluids, window washer fluids, etc.), and all lights (head, parking, and back-up) shall be functional.

(i) Daily Schedule

Fuel tanks filled

All fluids checked

All lights checked

All tire pressure

(ii) Weekly Schedule

Inspect tires

Check tire pressure

(c) Periodic servicing: Every 6,000 kilometers or four months, whichever comes first: the

Contractor shall conduct complete servicing, including, but not limited to changing fluids, checking the brakes and lights, inspecting the exhaust system for leaks, examining all safety and security equipment to ensure operability.

(d) Safety/Security Requirements. Each vehicle shall have the following in good working order:

Individual permanent seats and lap belts for each passenger

Window Tinting, within UAE maximum permitted limits

Emergency exit

First aid kit (approved by Embassy/COR)

Fire extinguisher(s) (serviced every six months)

Mobile Telephone (for bus monitor)

Inflated spare tire and tools for changing the tire

All emergency road and safety equipment required by UAE law.

(e) Inspection: The Contractor agrees to submit vehicles, as requested, for periodic, unannounced spot checks by U.S. Embassy mechanics.

2. Communication Equipment: The Contractor shall furnish communication equipment, radios or cell phones to all vehicles, in order to be in contact with the monitors at all times, and keep the

COR informed in case of any incidents during the rides.

3. Windows: Windows must remained close at all times. Windows should function propertly, in case of emergency that requires emergency exit. Windows should be tinted, within the maximum allowable levels under UAE law. If needed, the Contracting Officer can provide a supporting letter for UAE Governmental authorities to approve tinting for windows.

4. Parking: The contractor shall take full responsibility to assign dedicated parking garages / locations for all vehicles under this contract. All the parking garages / locations must be within the vicinity of Abu Dhabi and must be safe areas under the direct supervision of contractor at all times.

Parking garages / locations must be approved by the COR before commencement of the contract.

Any changes to the approved locations must also be pre-approved by the COR. The U.S. Embassy may inspect the parking garages / locations periodically. Contractor shall provide full access to the

Embassy officials for this inspection. In the event that any non-conformity is found during this inspection, then the contractor shall be responsible to fix the errors /non-conformities immediately.

In case of major concerns, the contractor shall propose alternative parking garages / locations until the COR certifies the same for continued operation.

5. Security inspection: Prior to each morning and afternoon trip, all buses must arrive at the US

Embassy Abu Dhabi for a security inspection. This takes approximately four to five minutes each.

Contractor and COR can organize this so the buses requiring the most time for transit – from

Embassy to residence to school – will be inspected first, allowing them to leave first.

6. Security hardware: Each contractor bus must be equipped the following functioning and updated hardware items:

(a) GPS (geographic positioning system) Tracking device must be installed or in use in each of the

Contractor’s buses under this contract. It must have a web-based application, and must include live and historical tracking, geo-fencing, and path tracing. The product’s output or data must offer key travel details such as status, speed, stop locations and times, periodic activity reports summaries, journey reports, and geo-boundary. The Government must have access to this data at any given moment, allowing urgent data and location during any emergency.

(b) A visual recording device, e.g., DriveCam, to record passengers and exterior vehicle traffic must be installed in each bus. This access footage will be downloaded and maintained by the

Contractor, and reviewed periodically by the COR to ensure proper passenger behavior and quality of driver performance.

7. Communications - Phone: Each Contractor driver and bus monitor will possess a reliable cell phone with internet service. During the bus journey, the driver should not be sending or receiving any phone or internet messages or calls. Any communications must be performed by the Contractor bus monitor. This will be primarily related to changes in passengers, traffic conditions, or special instructions. See also C. Bus Drivers, 11. Distraction below.

8. Communications – Alternative Radio: In addition to the Contractor-provided cell phones for use by each monitor, the Contractor shall furnish emergency radios for use by the monitors in the event of cellular signal disruption. The Contractor will need to furnish the Embassy with a Government-approved base station capable of contacting each bus.

9. Unauthorized passengers – Buses will only carry the Driver(s), the Bus monitor(s), and the assigned student passengers. Other passengers are not permitted at any time. Any exceptions must be approved in advance by the COR or the Contracting Officer.
