Pursuant to FAR 12.205(a)(1), the provision at FAR 52.212-1, Instruction to Offerors - Commercial Products and Commercial Services (Jan 2026) is augmented as follows:

• Period for Acceptance of Quotations: The period for acceptance of quotations, as stated in FAR 52.212-1 (Nov 2025) (RFO DEVIATION January 30, 2026), is extended from 60 calendar days to 90 calendar days.

• Preparation and Submission of Quotations: Each quotation shall consist of the following separate volumes:

VOLUME I – PRICE QUOTATION

Offerors shall submit a complete Price Quotation as Volume I. The Price Quotation shall be submitted as a separate volume from the Technical Quotation and shall not include any technical, management, or staffing information.

Failure to submit the required pricing or required certifications may result in the quotation being determined incomplete and ineligible for award.

Requirements:

1. Price Schedule Present the Offeror’s proposed billing structure with prices for performance under the BPA. The billing structure shall be consistent with the approach described in Section 4.3 of Volume II – Technical Quotation, Proposed Contract Line Item Number (CLIN) Structure and Firm-fixed Pricing/Billing Logic. This volume may contain price figures only; no technical, management, or staffing narrative shall be included beyond what is strictly necessary to explain the pricing and billing structure. All technical approach and Plan of Action information shall be provided exclusively in Volume II – Technical Quotation.

The total price shall include all labor, equipment, materials, overhead, profit, insurance, and all other expenses necessary to deliver the required services. No additional sums will be payable on account of any escalations in the cost of materials, equipment, or labor, or because of the Contractor’s failure to properly estimate or accurately predict the cost or difficulty of achieving the results required by this agreement. Nor will the price be adjusted on account of fluctuations in currency exchange rates.

2. Representations & Certifications Offerors shall complete all applicable representations and certifications contained in Attachment 2 - Representations & Certifications. Any missing or incomplete representations or certifications may render the quotation incomplete.

3. NCAGE Code or System for Award Management (SAM) Registration Offerors who are already registered in the System for Award Management (SAM) must include proof of active SAM registration with their quotation.

Offerors not currently registered in SAM must follow the instructions provided under provision FAR 52.204-90 Offeror Identification and must provide their Commercial and Government Entity (CAGE) Code.

4. Tax Documentation for Foreign Offerors (IRS Form W-14) Non-U.S. offerors that claim an exemption from, or a reduced rate of, U.S.

withholding tax under an applicable income tax treaty shall submit a completed IRS Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, provided as Attachment 3 - IRS Form W-14.

Pursuant to FAR 52.229-11, Tax on Certain Foreign Procurements—Notice and Representation, the United States Government is required to collect tax-related information prior to contract award. Offerors shall ensure that IRS Form W-14 is accurate and complete prior to submission. Instructions for completing the form are provided in Attachment 4 - Instructions to Complete IRS Form W-14.

Failure to submit IRS Form W-14 when applicable will result in tax withholding at the full statutory rate.

VOLUME II – TECHNICAL QUOTATION

The Technical Quotation shall demonstrate the offeror’s capability to meet the requirements of the solicitation and the performance standards described in the SOW. No pricing information shall appear in this volume.

Requirements:

1. Organizational Capability

- Event or campaign type (e.g., concert, festival, exhibition, public activation, sporting event, fashion show, integrated public campaign);

- Location (city, country);

- Approximate attendance or audience reach;

- Scope of services (e.g., production, media, digital, venue coordination);

- In‑country personnel or registered business presence;

- Established partner network and relationships with Korean production companies, venues, media/digital vendors, exhibition fabricators, and outdoor media providers;

- Experience with local permitting, public safety coordination, venue management, crowd management, and local‑language execution for major public events in the Republic of Korea.

2. Key Personnel and Staffing

2.1 Key Personnel: Identify the Key Personnel proposed for this BPA, as defined in the attached Key Personnel Description. For each Key Personnel, provide:

• Name and proposed role;

• Resume demonstrating relevant experience, qualifications, and language proficiency (Korean and English as required by SOW);

• Experience managing multiple simultaneous events or campaigns.

2.2 Staffing Plan: Describe the overall staffing plan, including:

• The number and types of personnel proposed to support program management, live event production, exhibitions, digital campaigns, media placements, and reporting;

• How surge staffing and backup personnel will be deployed to support overlapping events and compressed timelines between June–December 2026;

• Supervision methods and how coverage will be maintained during peak event periods, including weekends or evenings when required by BPA calls;

• Organizational chart depicting roles and reporting relationships of Key Personnel;

• Any dedicated safety, risk management, or compliance personnel assigned to support safety‑sensitive activities (e.g., fireworks, pyrotechnics, large crowd events).

3. Technical Approach and Management Plan

The Offeror shall provide a narrative of its approach to performing the services described in the SOW. The Technical Approach and Management Plan shall be sufficiently specific to demonstrate a clear understanding of the SOW requirements and the unique challenges of executing high‑visibility public events in the Republic of Korea.

A. Program Management and Integrated Planning Describe your approach to:

• Developing and maintaining an integrated master schedule for multiple concurrent BPA calls;

• Managing risk across simultaneous events and campaigns;

• Coordinating approvals, permits, and safety requirements;

• Coordinating with the COR and other U.S. Government points of contact.

B. Event Production and Execution Describe how you will plan and execute live events, exhibitions, and public activations, including:

• Venue identification and activation in Seoul and elsewhere in the Republic of Korea;

• Coordination with local production vendors (staging, lighting, audiovisual, fabrication, fireworks/pyrotechnics, etc.);

• Crowd management, attendee flow, signage, on-site operations, and public safety considerations;

• Contingency planning for disruptions (e.g., weather, security incidents, performer cancellation).

C. Digital, Social Media, and Content Amplification Describe how you will:

• Integrate live events and physical activations with digital/social media campaigns and media placements;

• Develop campaign concepts, content calendars, and creative assets consistent with U.S. Government messaging and branding;

• Measure and report on audience reach and engagement across paid, earned, shared, and owned channels.

• Describe platform-specific strategies for Korean digital ecosystems.

D. Quality Control and Concurrent Event Execution Describe your internal quality control processes and how you will ensure:

• Timely and accurate deliverables;

• Effective management of multiple subcontractors across simultaneous activities;

• Compliance with host‑country legal, permitting, and safety requirements.

4. Plan of Action

The Offeror shall submit a comprehensive Plan of Action that illustrates how it would execute an integrated portfolio of events and outreach activities under this BPA and how such events would be priced and billed on a firm-fixed-price (FFP) basis at the BPA call level. This Plan of Action is illustrative and does not obligate the Government to fund or order any specific activity.

At a minimum, the Plan of Action shall include:

4.1 SOW-Tailored Portfolio of Events

• A proposed, illustrative portfolio of events and outreach activities tailored to the SOW (e.g., mix of concerts, exhibitions, public activations, digital/social media campaigns, outdoor media placements, and fireworks/special events) that the Offeror could execute between June 2026 and December 2026;

• A high-level description for each illustrative event or campaign ensuring alignment with U.S. Government strategic messaging objectives and demonstration of cultural appropriateness for Korean audiences, including:

- Objectives and target audiences;

- Notional scale (e.g., attendance, expected reach);

- Key elements (e.g., venue type, production requirements, digital amplification, outdoor media); and

- Major planning and execution milestones.

4.2 Timeline and Phasing

• A high-level illustrative timeline (e.g., Gantt chart or similar) showing how the proposed portfolio of events would be sequenced and phased across the June-December 2026 period;

• Identify critical path activities and key dependencies that could impact execution timelines.

• Identification of periods where multiple events or campaigns would overlap, and a description of how the Offeror would manage simultaneous planning, rehearsals/installations, live execution, and post-event closeout.

4.3 Proposed Contract Line Item Number (CLIN) Structure and FFP Pricing/Billing Logic

• A narrative description of the Offeror’s proposed CLIN structure and pricing/billing logic for use in Volume I – Price Quotation. This section shall contain no price figures of any kind. The Government will not provide a CLIN template; the Offeror is responsible for proposing a logical, defensible CLIN structure that aligns with the SOW, supports an FFP BPA call environment, and allows the Government to order discrete services separately or in partial combinations, rather than only as lump-sum, full-event packages. The CLIN structure shall accommodate ordering that is contingent on mission needs and the availability of funds, and shall recognize that specific events or campaigns described in the SOW may or may not occur and will only take place if ordered under funded BPA calls.

The Offeror’s proposed structure and logic shall make clear that this requirement will not be performed on a time‑and‑materials (T&M) or labor‑hour basis; pricing must be organized and presented as FFP amounts tied to defined deliverables and/or milestones.

• An explanation, using the illustrative portfolio of events, of how each type of event or campaign would be priced on a firm-fixed-price basis at the BPA call level (e.g., how program management, event production, digital/social media support, outdoor media, and third-party programming would be grouped into FFP CLINs or sub-CLINs for a given call);

• A description of how the Offeror’s FFP pricing model will:

- Tie each FFP CLIN to clearly defined deliverables and/or milestones for each BPA call;

- Manage internal cost assumptions (e.g., local vendor, artist, or venue costs) within the agreed FFP amounts, without reliance on post-award price adjustment; and

- Ensure that invoices are clearly traceable to specific FFP CLINs and deliverables under the applicable funded BPA call.

The Government will evaluate the clarity and robustness of the Offeror’s proposed FFP CLIN structure and billing logic under the Technical Capability factor.

No activity, event, or outreach effort will be initiated, planned in detail, or executed unless and until a written, funded BPA call is issued by the Contracting Officer. All invoicing and billing will be tied solely to work and deliverables authorized under specific, funded BPA calls, and that the Offeror will not rely on informal direction or unfunded tasking. The Government will evaluate the clarity and robustness of the Offeror’s proposed FFP CLIN structure and billing logic under the Technical Capability factor.

5. Past Performance The Offeror shall demonstrate successful performance of a minimum of four (4) comparable projects performed within the past five (5) years that are similar in scope, scale, complexity, and public visibility to this requirement. Examples may include:

• Large public concerts or festivals;

• Major exhibitions or public installations;

• Integrated public campaigns combining live events with digital/social media amplification;

• Sporting events, fashion shows, or other high-attendance public events.

For each reference, provide:

• Project title and description of services

• Customer name and type (government, commercial, non-profit)

• Contract/project value (approximate)

• Period of performance

• Location

• Point of contact name, title, email, and phone number

• Relevance to this requirement (brief description)

If you are a newly formed entity or joint venture, you may provide past performance information for predecessor companies or joint venture partners.

Clearly identify the relationship.

Note: The Government may contact references not provided by the offeror and may use other sources of past performance information, including CPARS and other government databases.

6. Certification and Data on Contractor's Recruitment of Third Country Nationals (TCNs)

In addition to the representations and certifications submitted in Attachment 2, offerors shall submit supplemental documentation related to the recruitment and housing of Third Country Nationals (TCNs), as applicable.

1. If the Offeror has certified in the Representations & Certifications that it will recruit TCNs for performance under the resulting contract and has certified that it will provide accommodation for the listed TCNs, provide a (1) Recruitment Plan,

(2) a Housing Plan and (3) the statements required by DOSAM 652.222-800.

2. If the offeror has certified in Representations & Certifications that it will recruit TCNs for performance under the resulting contract and has certified that it will not provide accommodation for the listed TCNs, provide a (1) Recruitment Plan and

(2) the statements required by DOSAM 652.222-800.

In all cases, the submitted documentation shall demonstrate compliance with solicitation requirements and applicable regulations governing the recruitment and employment of TCNs.

Failure to furnish and deliver all requested information in accordance with these instructions or who reject the terms and conditions of the solicitation, may result in exclusion from further consideration pursuant to FAR 52.212-1(a). The penalty for making false statements is prescribed in 18 USC 1001.

FAR 52.212-2 Evaluation-Commercial Products and Commercial Services (Nov 2021) (RFO DEVIATION January 30, 2026)

(a) Evaluation factors. The Government will award a Blanket Purchase Agreement (BPA) resulting from this solicitation to the responsible Offeror whose quotation conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate quotations:

1. Compliance Review

2. Technical Capability

3. Past Performance

4. Price

(b) Options. The Government will evaluate quotations for award purposes by adding the total price for all options to the total price for the basic requirement.

The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. The evaluation of options does not obligate the Government to exercise the option(s).

(c) Notice of award. A written notice of award or acceptance of a quotation furnished to the successful Offeror within the time for acceptance specified in the quotation, shall result in a binding BPA without further action by either party.

Before the offer’s specified expiration time, the Government may accept a quotation (or part of a quotation), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

Addendum to FAR 52.212-2 Evaluation – Commercial Products and Commercial Services (Nov 2021) (RFO DEVIATION January 30, 2026) To be acceptable and eligible for evaluation, quotations shall be prepared in accordance with 52.212-1, Instructions to Offerors-Commercial Products and Commercial Services with its addendum and shall meet all the requirements set forth in other sections of this solicitation.

BASIS FOR AWARD

The Government will conduct an initial compliance review of all quotations received to assess completeness and adherence to the terms of the solicitation.

Quotations that are incomplete or fail to comply with the requirements may be rejected in accordance with FAR 52.212-1(a)(4).

The Government intends to utilize streamlined evaluation techniques under FAR 12.201-1 Simplified Procedures for Commercial Services to promote efficiency.

The Government will conduct a pre-screening of all quotations under Factor 1:

Compliance Review and will identify those quotations that demonstrate initial indicators of best value and compliance with the solicitation requirements. Only these quotations will proceed to the comparative evaluation phase.

The source selection will be conducted using the comparative evaluation method, as authorized under FAR 12.203. Comparative evaluation entails a direct comparison of two or more quotations on an item-by-item basis to determine which offers the best value to the Government. Evaluation criteria will include technical capability, past performance, and price, as specified in this solicitation.

This is not a Lowest Price Technically Acceptable (LPTA) source selection.

However, the Government may award to the lowest-priced quotation if it is determined to offer the best overall value based on the evaluation criteria.

Evaluation Process and Factors Factor 1: Compliance Review

1. Submission of a complete quotation that includes all required information identified in the solicitation, including technical approach, and pricing;

2. Completed Attachment 2 – Representations & Certifications;

3. Past performance and experience information, including prior contracts of a similar nature or commercial equivalents.

4. To demonstrate eligibility at the time of quotation submission, offerors who are already registered in the System for Award Management (SAM) must include proof of active SAM registration with their quotation.

Offerors not currently registered in SAM must follow the instructions provided under provision FAR 52.204-90 Offeror Identification, contained in the Representations & Certifications, and must provide their Commercial and Government Entity (CAGE) Code.

After the compliance review, offers that do not meet the solicitation’s basic submission requirements or fail mandatory representations/certifications will be excluded from further consideration. Remaining offers will proceed to comparative evaluation based on technical capability, past performance, and price.

Factor 2: Technical Capability

• Technical capability will be evaluated to determine the degree to which the offeror’s proposed solution meets the solicitation requirements and provides value to the Government.

• Emphasis will be on the quality, feasibility, and strength of the proposed solution, and whether the quotation offers any comparative technical advantages over other offers.

• Evaluation will be comparative among all responsive offers and may support selection of a technically superior solution, even if priced higher.

Factor 3: Past Performance

• Past performance will be considered to assess the offeror’s demonstrated ability to successfully perform relevant commercial or government contracts.

• Evaluation will focus on quality of services performed, timeliness of performance, customer satisfaction, and record of compliance with contractual requirements.

• If past performance information is not available or limited, the offeror’s past performance will be rated as “Unknown.” A rating of “Unknown” will not automatically disqualify an offer but may be treated as neutral in comparative assessments.

• Comparative assessment may be used as a discriminator to support selection of a technically or commercially superior offer, where justified.

Factor 4: Price

• Price will be evaluated primarily for reasonableness relative to the scope of commercial services being acquired. In accordance with FAR 12.204(a), the price reasonableness on competitive offers will be evaluated. Reasonableness will be assessed using the Independent Government Cost Estimate (IGCE) and market comparisons.

Responsibility Determination:

The Government will determine contractor responsibility by analyzing whether the apparent successful offeror complies with the requirements of FAR 9.1, including:

a. adequate financial resources or the ability to obtain them;

b. ability to comply with the required performance period, taking into consideration all existing commercial and governmental business commitments;

c. satisfactory record of integrity and business ethics;

d. necessary organization, experience, and skills or the ability to obtain them;

e. necessary equipment and facilities or the ability to obtain them; and

f. otherwise qualified and eligible to receive an award under applicable laws and regulations.

Award Without Discussions Pursuant to FAR 52.212-1(d), the Government reserves the right to award a BPA without discussions based on initial offers. Upon completion of the Government’s initial evaluation of quotations, exchanges with offerors may occur, for the purpose of clarifications and communications in accordance with FAR Part 12. This is a commercial acquisition for which debriefing is not required, and none will be provided. Requests for information will be addressed in accordance with FAR 13.106-3(d).

(End of addendum)
