About this file

This document is an Amendment of Solicitation/Modification of Contract (Standard Form 30) for solicitation 19GE5026Q0065, issued by the U.S. Embassy in Frankfurt on May 20, 2026, with an effective closing date of June 16, 2026 at 10:00 Europe/Amsterdam time. The amendment incorporates 53 Questions and Answers (Q&As) and adds FAR clause 52.225-5 Trade Agreements to the solicitation attachments.

The underlying solicitation is for a Blanket Purchase Agreement (BPA) to support the U.S. Embassy Seoul's "Freedom 250" public diplomacy initiative, which commemorates 250 years of U.S. independence and the U.S.-Korea relationship. The BPA will fund planning and execution of large-scale public events and integrated campaigns in Seoul and other locations in South Korea from June through December 2026. Services required include event production, program management, digital/social media support, outdoor media placements, fireworks/pyrotechnics coordination, exhibitions, artist and performer sourcing, security coordination, medical support, and post-event reporting. The contractor will propose a firm-fixed-price (FFP) CLIN structure organized by service modules or event types that allows discrete ordering of services in partial combinations, with no guaranteed minimum and a ceiling of USD 5,000,000 per individual call. No advance payments are authorized; invoicing will occur monthly or upon completion of defined milestones. The solicitation requests a high-level technical approach, management plan, notional event portfolio, staffing plan, past performance references (minimum four comparable projects within five years), and pricing/billing logic. The contractor will be responsible for venue selection, vendor coordination, permits, security and medical resources, temporary structures, weather contingency planning, media outreach, and obtaining all necessary permissions and copyright clearances for digital assets. Value Added Tax is not applicable due to the U.S. Embassy's tax exemption certificate. Offerors may propose quotations in USD or KRW, and the Republic of Korea is a designated country under U.S. trade agreements, making services performed by Korea-based prime contractors acceptable provided all other requirements are met.

Clause Amendment 0001 Questions & Answers was added or modified.

Amendment 0001 - Questions & Answers

Q001: Estimated BPA Value / Government Estimate. The solicitation states that the BPA has no guaranteed minimum and that no single purchase will exceed USD 5,000,000. Is the Government able to provide an estimated total BPA value, annual ceiling, expected budget range, or planning estimate for offerors’ reference?

A001: The Government is not able to provide an overall estimated total BPA value or annual ceiling for this requirement. This BPA is being established to provide an ordering vehicle that the U.S. Embassy Seoul may use, as needed, and only when funds are available.

There is no guaranteed minimum ordering amount under the BPA, and actual order volume will depend on final mission requirements, funding availability, and policy decisions regarding specific Freedom 250 activities. As stated in the solicitation, no individual BPA call will exceed USD 5,000,000; however, that ceiling applies to any single call and should not be interpreted as a prediction of typical call size or total BPA value.

Offerors are expected to propose prices that are fair and reasonable for the services described in the Statement of Work, based on their standard commercial practices, market conditions, and internal cost structures, without reliance on a stated Government estimate. As outlined in the SOW, the Government will not provide a CLIN template; the Offeror is responsible for proposing a logical, defensible CLIN structure that aligns with the SOW, supports a firm-fixed-price (FFP) BPA call environment, and allows the Government to order discrete services separately or in partial combinations, rather than only as lump-sum, full-event packages. The CLIN structure must accommodate ordering that is contingent on mission needs and the availability of funds, and must recognize that specific events or campaigns described in the SOW may or may not occur and will only take place if ordered under funded BPA calls. The Offeror’s proposed structure and logic shall make clear that this requirement will not be performed on a time-and-materials (T&M) or labor-hour basis; pricing must be organized and presented as FFP amounts tied to defined deliverables and/or milestones.

Q002: Proposed CLIN Structure and FFP Billing Logic. The solicitation states that the Government will not provide a CLIN template and that the offeror should propose a logical firm-fixed-price CLIN structure. Would a module-based FFP price schedule be acceptable, covering program management, event production, exhibitions/installations, digital/social media support, outdoor media, fireworks/pyrotechnics support, reporting, and closeout?

Document Number: 19GE5026Q0065 PROCESSED Page 3 of 11

A002: A module-based FFP price schedule that includes separate, clearly defined CLINs or sub-CLINs would be acceptable, so long as:

• Each module is priced on an FFP basis tied to specific deliverables and/or milestones;

• The modules can be ordered individually or in combination at the BPA call level (i.e., the Government can order only those modules needed for a particular call); and

• The billing logic and traceability from each CLIN/sub-CLIN to the applicable deliverables under a funded BPA call are clearly explained in the quotation.

The Government will evaluate the clarity and robustness of each Offeror’s proposed FFP CLIN structure and billing logic under the Technical Capability factor.

Q003: Quotation Currency. Is there a preferred quotation currency, or may offerors submit pricing in USD or KRW, provided the selected currency is clearly stated in the pricing table?

A003: Offerors may submit quotations in the currency of their choice, clearly identifying the proposed currency in the Price Quotation. Any resulting BPA will be awarded and administered in that same currency.

Q004: Trade Agreement / Designated Country Requirement. The solicitation mentions U.S.-made or designated country end products/services. Please confirm whether services performed in the Republic of Korea by Korea-based vendors or subcontractors are acceptable under the trade agreement / designated country requirements.

A004: The Republic of Korea is a designated country under the U.S. trade agreements regime, and services performed in Korea by Korea-based prime contractor are therefore acceptable for this requirement, provided all other solicitation and contractual requirements are met. The qualifying factor is the place of incorporation of the prime contractor.

Q005: Site Visit / Pre-Quotation Conference. Does the Government intend to hold any site visit, pre-quotation conference, industry briefing, or virtual briefing for this requirement?

A005: The Government does not intend to hold a site visit, prequotation conference, industry day, or virtual briefing for this requirement.

Q006: Proposal-Stage Technical Detail. The solicitation requires offerors to provide a technical approach, management plan, portfolio of notional event concepts, staffing, past performance, and pricing/billing logic. Could the Government please clarify the expected level of detail at quotation stage? For example, should offerors provide high-level event concepts and execution methodology, or does the Government expect fully developed event plans, site layouts, production designs, and vendor-specific details at this stage?

A006: The Government expects a high-level but concrete approach at the quotation stage. Offerors should provide enough technical detail to demonstrate a clear understanding of the requirement and to allow the Government to assess Technical Capability.

Detailed, event-specific plans (e.g., site layouts, vendor-specific production designs, detailed run-of-show, final safety and permit packages) will be developed after award in response to individual funded BPA calls, when specific events, venues, and budgets are defined. Accordingly, Plan of Action and FFP pricing/billing logic that clearly explains how events and services would be structured, priced, and billed at the BPA call level must be presented in the Technical Quotation.

Q007: Expected Event Portfolio / Priority Activities. The SOW states that the BPA may include concerts, cultural activations, exhibitions, promotional pop-up events, sporting events, digital/social media campaigns, billboard/outdoor media placements, festivals, gala events, fashion shows, fireworks support, and other activities. Does the Government have an anticipated priority list, estimated number of each type of event, or expected event calendar for June–December 2026?

A007: The offeror should develop and propose a portfolio of events. Some sample projects include working with the Seoul Metropolitan Government and other partners on a number of activities (not an exhaustive list, and Embassy may choose not to do all these events): Freedom 250 stage at the Pentaport Rock Festival in Incheon (July 31-Aug 2), Fashion Show for Seoul Fashion Week (likely September), participation in Seoul Annual Drones and Fireworks shows; U.S. pavilion at First Global Challenge robotic competition (7-10 October 2026); American State Fair Festival (dates TBD); U.S. Pavilion at Seoul Bakery Festival (dates TBD), U.S.

Pavilion at Seoul BBQ Festa (dates TBD, Fall); public art pop-up event (dates TBD); Freedom 250 exhibition baseball game, and End of Year Freedom 250 Gala. We are also open to offeror’s proposal for public activations to commemorate Freedom 250.

Q008: Expected Event Scale and Attendance. Could the Government provide any planning assumptions regarding expected event scale, including estimated audience size, expected peak attendance, number of venues, number of event days, indoor/ outdoor event split, or approximate size of major public-facing activities?

A008: Sample events may include (This is not an exhaustive list, and the Embassy may choose not to do all these events):

• Freedom 250 stage at the Pentaport Rock Festival in Incheon (July 31-Aug 2) is an outdoor, multi-day event that attracts approximately 150,000 attendees.

Document Number: 19GE5026Q0065 PROCESSED Page 4 of 11

• Spring/Summer Show for Seoul Fashion Week is a weeklong event that attracts over 10,000 people annually and takes place in early September.

• Seoul Annual Drones and Fireworks shows are public events throughout the fall and attract upwards of 200,000 people.

We are seeking mainly promotion and design for this in close collaboration with Seoul Metropolitan Government.

• U.S. pavilion at First Global Challenge robotic competition is a multi-day event from October 7-10, 2026 for more than 12,000 youth and thousands more attendees.

• American State Fair Festival is a one-day event to showcase American-style state fair culture to the Korean public, including American food, games, and music. The date for this is flexible, and we estimate attendance to be more than 50,000 people.

• U.S. Pavilion at Seoul Bakery Festival (dates TBD) for this multi-day festival proposed to take place in Gwanghwamun Plaza. This will be the first time it is being held, and we estimate overall attendance for a centrally located public event to attract more than 100,000 people.

• U.S. Pavilion at Seoul BBQ Festa is a two-day event that is organized annually by Seoul Metropolitan Government, usually in late fall with estimated attendees of over 150,000 people.

• End of Year Freedom 250 Gala is an evening event that will highlight Freedom 250 events in the past year as well as look forward to the next 250 years of the United States-Republic of Korea relationship. It is a black-tie event with key notes remarks from dignitaries and appropriate entertainment. It will be an invite-only event for approximately 500 people.

Q009: Locations Outside Seoul. The solicitation states that performance will occur primarily in Seoul and other locations in the Republic of Korea identified in funded BPA calls. Does the Government currently anticipate any specific cities or regions outside Seoul where events may be held?

A009: The Embassy may consider holding events in Incheon, Gwangju, Pyeongtaek, and Busan.

Q010: Venue Selection and Venue Costs. Will venues generally be selected and provided by the Government, or is the contractor expected to identify, recommend, reserve, and manage venue arrangements? Please also confirm whether venue rental, deposits, utilities, cleaning, waste disposal, security, power, venue staffing, overtime access, and other venue-related costs should be included in the contractor’s proposed pricing structure.

A010: This depends on the specific BPA call. For annual Seoul Metropolitan Government hosted events, the date(s) and venue are generally pre-determined, but the contractor will still need to handle the venue set-up, rental, staffing, power, security, access, and other related costs to setting up the U.S. pavilion. For events such as the End of Year Freedom 250 Gala, the offeror may propose the venue options and event dates for Embassy review and approval. When not explicitly requested by the U.S. Embassy, the contractor will be expected to identify suitable venues and seek Embassy approval prior to finalization. All proposed costs shall be included in the offeror's quotation.

Q011: Program and Content Development. To what extent is the contractor expected to support program and content development, such as sourcing performers, artists, speakers, exhibitors, MCs, cultural participants, sports-related participants, fashion participants, family activities, or other public engagement content, versus executing pre-defined content provided by the Government?

A011: The contractor shall be responsible for supporting all program and content development activities unless otherwise specifically stated in the BPA call.

Q012: Embassy-Provided Content and Partners. Has the Embassy already identified U.S. Government agencies, U.S.

companies, universities, alumni groups, cultural organizations, corporate sponsors, exhibitors, artists, or other participants for the Freedom 250 activities, or is the contractor expected to propose a participant / partner / exhibitor mix for Government review and approval?

A012: It depends on the event and BPA call issued. The Embassy is working with the Seoul Metropolitan Government on several annual events. Other potential partners, exhibitors, and corporate sponsors may include the Republic of Korea government agencies, American Chamber of Commerce in Korea, Incheon Metropolitan City, First Global, Korea Bakery Association, and U.S. Meat Export Federation to name a few.

Q013: Division of Responsibilities Between the Government and Contractor. Could the Government please clarify the division of responsibilities between the Government and contractor, particularly regarding VIP coordination, partner/sponsor engagement, exhibitor coordination, Embassy-provided content, official messaging, branding approval, security direction, media outreach, on-site management, and general event operations?

A013: The U.S. Government will set objectives and retain final authority over VIP participation, partner/sponsor acceptance and recognition, Embassy-provided content, official messaging, branding approval, security direction, and any official media/public affairs positions. The contractor will be responsible for planning and executing the operational aspects of events and campaigns, including on-site management and general event operations; vendor, exhibitor, and production coordination; logistical arrangements; and implementation of approved branding and content. Media outreach, VIP coordination, and partner engagement that involve official

Document Number: 19GE5026Q0065 PROCESSED Page 5 of 11

U.S. Government positions or commitments must be coordinated with and approved by the Government, while the contractor focuses on execution and logistical support rather than independent policy representation.

Q014: Promotion / Communications / Paid Media / KOLs. Could the Government clarify the expected level of promotion and public outreach support, including paid media expectations, influencer/KOL involvement, target reach, social media cadence, production value, and reporting requirements? Is paid media placement within the contractor’s scope, and is there an approved or preferred list of media partners, KOLs, promotional channels, or platforms?

A014: Media placements, including OOH advertisements, are included within the scope of this BPA and are anticipated as part of campaign execution. The Embassy maintains accounts on Facebook, X, and Instagram and has established relationships with majority of mainstream media. The Government welcomes offeror’s proposal for engaging certain influencers and key opinion leaders to promote Freedom 250, either tied to a large-scale event or as a separate outreach campaign. Offerors shall include the pricing for any proposed influencers or public figures in their quotation on a firm-fixed-price (FFP) basis.

Q015: Embassy Media Support. Will U.S. Embassy Seoul directly engage its media network, issue press releases, conduct press activities, and invite media separately, or should the contractor include media outreach, press coordination, media placement, and related costs in its proposed pricing structure?

A015: The offeror should assume media outreach, press coordination, media placement, and related costs in its proposed pricing structure and expect close coordination with the U.S. Embassy in Seoul on these activities. The Embassy reserves the right to issue to the press release for certain Freedom 250 events.

Q016: Digital Platforms and Social Media Use. The SOW requires digital/social media campaign support, content calendars, paid digital placement support if included in the BPA call, amplification plans, and campaign reporting. Are there any restricted or prohibited public-facing social media platforms, digital advertising channels, or content-distribution methods that offerors should exclude from their proposed approach?

A016: The Embassy has accounts on Facebook, X, YouTube, and Instagram and has established relationships with majority of mainstream media. Digital/social media campaigns should generally attract followers to our accounts. Proposals for placement outside of those platforms may be considered on a case-by-case basis. For example, if the offeror were to propose placements on Korean-based platforms to reach a larger Korean audience, the Embassy will consider that.

Q017: Branding Guidelines and Approval Process. Will the Government provide Freedom 250 branding guidelines, key visuals, logo files, design templates, messaging guidance, or approved content standards? How many rounds of Government review and approval should offerors anticipate for key deliverables such as event concepts, promotional materials, signage, digital content, and social media assets?

A017: The Government will provide Freedom 250, Embassy, and sponsor logos as well as branding guidelines. Government review and approval must be sought prior to printing or distribution. Offerors should plan for at least one primary round of Government review and one round of revisions for key deliverables (e.g., event concepts, promotional materials, signage, digital content, social media assets), with the understanding that additional iterations may be required for particularly sensitive or high-visibility materials at the Government’s discretion.

Q018: Security Responsibilities. The SOW requires the contractor to coordinate with the Government on security-sensitive aspects of public events and to comply with Government direction on access, safety, emergency planning, and site-specific restrictions. Please confirm whether the contractor is expected to provide security guards, crowd-control barriers, queue management, bag-check support, emergency evacuation support, or similar security-related manpower/equipment when required by a BPA call.

A018: Yes. When specified in a funded BPA call, the contractor will be expected to provide and manage security-related manpower and equipment such as crowd-control barriers, queue management support, bag-check staffing, basic emergency evacuation support personnel, and similar services, and to integrate these resources into event plans in coordination with Government security direction.

Depending on the BPA call and who the main host is for the event, the contractor may be required to provide some or all of the above, and these security-related services and resources shall be included in the Offeror’s Price Quotation on a firm-fixed-price (FFP) basis.

Q019: Medical Support and Public Safety. For large public-facing events, please confirm whether the contractor should plan for first-aid teams, medical tents, licensed medical personnel, ambulance standby, emergency-response coordination, crowd-safety planning, and related public-safety support, as required by the specific BPA call.

A019: Yes. When specified in a funded BPA call, the contractor will be expected to provide and manage public-safety and medical support such as first-aid teams, medical tents, licensed medical personnel, ambulance standby, emergency-response coordination, crowd-safety planning, and similar services, and to integrate these resources into event plans in coordination with Government security and safety direction. Depending on the BPA call and who the main host is for the event, the contractor may be required to provide some or all of the above, and these medical/public-safety services and resources shall be included in the Offeror’s Price Quotation on a firm-fixed-price (FFP) basis.

Document Number: 19GE5026Q0065 PROCESSED Page 6 of 11

Q020: Fireworks / Pyrotechnics. For any BPA call involving fireworks, pyrotechnics, or similar specialised activities, please confirm whether the contractor should include licensed pyrotechnic vendors, permit coordination, safety plans, insurance, emergency-response plans, and related technical documentation in the proposed approach and pricing structure.

A020: Yes. If a fireworks component is included as part of a specific BPA call, the contractor shall be responsible for all related requirements and associated activities referenced above.

Q021: Temporary Structures / Weather Contingency. For outdoor events or activations, should offerors assume responsibility for tents, temporary structures, weather protection, rain contingency, backup equipment, and weather-related event continuity planning? If an event is delayed, cancelled, or materially changed due to weather or force majeure conditions, how should offerors price or address this risk?

A021: For outdoor events or activations, the offeror should assume responsibility for tents, temporary structures, weather protection, rain contingency, backup equipment, and weather-related event continuity planning. Offerors should propose a CLIN structure that clearly distinguishes fixed pre-production milestones from event-day execution costs, so that the Government is billed only for work actually performed, consistent with the firm-fixed-price terms of the BPA call.

Q022: Costs to Include in Contractor’s Pricing. Please confirm whether costs such as permits, utilities, security, cleaning, waste management, medical support, insurance, generators/power, temporary structures, signage, branding, promotion, paid media, KOL/influencer costs, artist/performer fees, production, venue support, and other event execution costs should be fully included in the contractor’s proposed pricing structure unless specifically identified as Government-furnished or Government-reserved.

A022: All costs necessary to plan and execute the contemplated events and campaigns must be covered within the offeror’s firm-fixed-price (FFP) structure.

Q023: Tax / VAT Treatment in Korea. Could the Government please confirm whether proposed pricing should be submitted inclusive or exclusive of applicable Korean VAT or local taxes? If the U.S. Embassy has any tax-exemption process applicable to Korea-based vendors, please confirm how offerors should reflect this in their pricing.

A023: Value Added Tax (VAT) is not applicable to this BPA and shall not be included in the CLIN rates or invoices because the U.S.

Embassy has a tax exemption certificate from the host government. The Embassy will furnish the exemption certificate to the awardee as detailed below.

CONTRACTOR’S RESPONSIBILITIES IN FACILITATING VAT RELIEF

For local purchases of materials or services within Seoul: The Contractor is responsible for paying VAT at the point of purchase from local vendors. It is then the Contractor’s responsibility to seek reimbursement of such input VAT directly from the ROK National Tax Service.

For sales of goods or services to the U.S. Embassy: Invoices shall comply with all instructions stipulated in the BPA and include the following information:

• The Contractor’s name and Korean Tax Identification Number (TIN);

• The Contractor’s business address in the Republic of Korea;

• The billing name and address:

U.S. Department of State, on behalf of U.S. Embassy Seoul 188 Sejong-daero, Jongno-gu Seoul, Korea 03141

• A clear description of the goods or services, date of transaction, quantity, unit price, and service characteristics;

• The total cost of the goods or services; and

• A line item stating the VAT amount, marked as “Exempt.”

All invoices shall reflect the currency specified in the BPA and be submitted in an approved digital format to the U.S. Embassy.

Once the Contractor receives the official Mission Exemption Certificate, it may issue a VAT-exempt invoice to the U.S. Government.

This certificate also enables the Contractor to begin its application for VAT input tax recovery with the ROK National Tax Service.

However, the Government is not involved in or responsible for this process. These requirements apply to all goods, materials, and services provided to the U.S. Government in support of this project.

Offerors are advised to consult a qualified local expert or legal advisor in the Republic of Korea to ensure proper registration and full compliance with applicable tax procedures.

Q024: Payment Milestones / Invoice Structure. The solicitation states that advance payment is not authorised and that invoices will be submitted monthly or as designated in the BPA call. For planning purposes, may offerors propose payment milestones

Document Number: 19GE5026Q0065 PROCESSED Page 7 of 11 for each funded BPA call based on planning, design approval, vendor booking, production, execution, and closeout stages, or will the Government prescribe the payment schedule in each BPA call?

A024: Invoices will be submitted in accordance with the terms of the BPA and the specific BPA call (e.g., monthly or upon completion of defined milestones). Under the firm-fixed-price (FFP) model, payment will be tied to completion of clearly defined deliverables and/or milestones.

For planning purposes, offerors may, in their quotations, propose logical FFP payment milestones and describe how those milestones would align with their proposed CLIN structure. The Government may adapt or decline proposed milestone structures. The final payment and invoicing schedule for any given activity will be set forth in the applicable funded BPA call and will govern for that call.

Q025: Post-Event Reporting. Could the Government provide further guidance on the expected post-event / post-campaign reporting format and level of detail? Will the Government provide a template for final reports, attendance metrics, media/ digital reporting, lessons learned, and survey questions, or should the contractor propose its own format?

A025: The Government does not currently mandate a specific template. Therefore, the offeror should propose a comprehensive reporting format as part of its technical approach.

Q026: Photos, Videos, Copyright, Releases, and Public Use. The SOW states that digital assets, photos, videos, graphics, campaign materials, and other deliverables produced under the BPA shall be the property of the U.S. Government, with the Government retaining the right to use, reproduce, modify, and reuse such materials for official purposes. Please confirm whether the contractor must obtain all necessary permissions, releases, licenses, and copyright clearances from photographers, videographers, performers, attendees, vendors, artists, and other relevant parties.

A026: Yes, the contractor must obtain all necessary permissions, releases, licenses, and copyright clearances from photographers, videographers, performers, attendees, vendors, artists, and other relevant parties so the U.S. government is able to use, reproduce, modify, and reuse the materials for official purposes.

Q027: Additional Value-Added Activities / Enhancements. Please confirm whether offerors may include additional value-added activities or enhancements, provided that all mandatory requirements are fully met and the proposed price remains a firm fixed price. If permitted, should such value-added items be included in the main technical/price proposal or listed separately as optional enhancements?

A027: The Embassy welcomes offerors to include additional value-added activities or enhancements, which shall be listed separately as optional enhancements.

Q028: Formal Responses to Questions. Will the Government formally issue responses to all clarification questions to all offerors through a written Q&A or a solicitation amendment before the quotation submission deadline?

A028: All amendments to the solicitation, including including Questions and Answers (Q&As), will be issued via Standard Form 30 (SF-30) and posted on SAM.gov. Offerors must review all SF-30s, acknowledge each amendment, and include signed SF-30 in Volume 1 – Price Quotation. Quotations that are incomplete or fail to comply with the requirements may be rejected in accordance with FAR 52.212-1(a)(4).

Q029: Applicability of 2% Excise Tax (Section 5000C). According to Attachment 1, Section 3, and FAR 52.229-11, payments may be subject to a 2% excise tax unless an exemption applies. Could you please clarify if a South Korean entity performing services within the Republic of Korea is exempt from this withholding tax under the existing U.S.-Korea Income Tax Treaty or the WTO Government Procurement Agreement?

A029: Services rendered within the Republic of Korea are eligible for exemption under the International Procurement Agreement, including the WTO Government Procurement Agreement (GPA), to which the Republic of Korea is a signatory. To be eligible for this exemption, the offeror must complete Form W-14 and select the applicable exemption category indicated on the form.

Q030: Proposed CLIN Structure and Pricing Logic. The solicitation states that offerors are responsible for proposing a logical CLIN structure and that no CLIN template will be provided. To ensure a fair comparative evaluation, does the Government have a preferred categorization for these CLINs (e.g., by service type like "Digital Support" vs. by specific event scale), or should we strictly follow the illustrative portfolio provided in our Plan of Action?

A030: See Q&As 001, 002 and 047.

Q031: Artist Selection and Fee Management. The SOW mentions that the contractor shall provide non-personal services such as artist fees and vendor management. Is the U.S. Embassy currently considering or in negotiations with specific artists, or is the contractor expected to manage the entire process from talent scouting and selection to final payment and logistics?

A031: The Government expects the contractor to manage the end-to-end artist and vendor lifecycle. While the U.S. Embassy may suggest specific themes or provide a list of preferred partners and high-profile contacts, the contractor is responsible for the full scope of "non-personal services." Offerors may propose multiple FFP tiers or categories of influencers/public figures (e.g., different levels of

Document Number: 19GE5026Q0065 PROCESSED Page 8 of 11 reach, prominence, or engagement scope), each with clearly defined parameters and FFP amounts, so that the Government may select among different options as mission needs and available funding dictate.

Q032: Evaluation of Past Performance. The solicitation requires a minimum of four (4) comparable projects performed within the past five (5) years. Will the Government consider large-scale commercial or local government projects in the Republic of Korea (e.g., major music festivals or cultural activations) to have the same evaluation weight as prior U.S. Federal Government contracts?

A032: The Government will consider all projects, including large-scale commercial or local government projects in the Republic of Korea, on essentially the same basis as prior U.S. Federal Government contracts, that are similar in scope, scale, complexity, and public visibility to this requirement.

In addition to providing past performance references, the Offeror must also present a comprehensive description of its experience acting as the prime contractor for large-scale public-facing events and integrated campaigns in the Republic of Korea (see requirement under Volume 2 – Technical Quotation, Organizational Capability). Past performance concerns the quality and effectiveness of the offeror’s prior execution, whereas experience concerns the breadth, relevance, and extent of the offeror’s demonstrated capabilities in performing similar work.

Q033: Total Estimated BPA Ceiling. While the individual call limitation is set at USD 5,000,000, can the Government provide an estimated total ceiling or an anticipated budget range for the entire 12-month BPA ordering period to assist in our resource and staffing planning?

A033: See Q&A 001.

Q034: Defense Base Act (DBA) Insurance. South Korea is included on the U.S. Department of Labor's Defense Base Act waiver list. DBA insurance is required only for employees performing work on this BPA who are: 1. Citizens or residents of the United States of America, OR 2. Hired in the United States of America. Based on the explanation above, we understand that South Korea is included in the DBA exemption list, and therefore DBA insurance would not be required unless there are employees who are either U.S. citizens or hired in the United States. We would appreciate it if you could kindly confirm whether our understanding is correct.

A034: Correct.

Q035: NCAGE Code or System for Award Management (SAM) Registration. We are already registered in the SAM, but what is the proof of active SAM registration?

A035: Proof of active SAM registration may be a screenshot or PDF printout from SAM.gov showing the Offeror’s active registration status, UEI, and expiration date. Offerors should ensure that the legal business name and UEI on the SAM record match the information provided in their quotation.

Q036: Tax Documentation for Foreign Offerors (IRS Form W-14). Non-U.S. offerors that claim an exemption from, or a reduced rate of, U.S. withholding tax under an applicable income tax treaty shall submit a completed IRS Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, provided as Attachment 3 - IRS Form W-14. According to KORUS (Korea-U.S. Free Trade Agreement) & WTO-GPA, 36.1 Could we check on no.9 (Part 3)?

Would it be appropriate for us to reference international procurement agreements such as the KORUS FTA and the WTO Government Procurement Agreement (WTO-GPA) as the basis for our understanding and interpretation regarding eligibility and related requirements on no.15 (Part 4)?

A036: Citing International Procurement Agreement (WTO GPA) is appropriate. Please also refer to Q&A No. 029.

Q037: The Representations & Certifications (Attachment 3). DOSAR 652.228-70 Defense Base Act - Covered Contractor Employees (Feb 2015). We would also appreciate some additional clarification regarding the term “covered contractor employees.” Specifically, we would like to confirm whether this term refers only to prime contractor employees directly participating in this project, or whether it also includes all employees of subcontractors that may be engaged by prime contractor for the project. We assume that, since prime contractor would be the direct contracting party, the term is intended to refer to prime contractor personnel participating in the project. However, we wanted to confirm this to ensure that we are interpreting the requirement correctly.

A037: Under DOSAR 652.228-70, “covered contractor employees” includes employees of the prime contractor and of all subcontractors performing covered work under this contract. It is not limited to prime contractor staff. If DBA insurance applies, the prime contractor is responsible for ensuring that all such covered employees (prime and subcontractor) are properly insured in accordance with the clause.

Q038: Inclusion of Independence Day Event: The BPA ordering period is projected to commence in June 2026, which would leave an extremely compressed timeline for planning and executing a July 4th commemorative event. We would like to

Document Number: 19GE5026Q0065 PROCESSED Page 9 of 11 confirm whether this event is officially included within the scope of this Statement of Work (SOW). Additionally, could you please advise on the expected lead time between BPA award and the issuance of the first individual Call order?

A038: The Independence Day Reception should not be included within this SOW.

Issuance of calls will depend on final mission requirements, internal approvals, and the availability of funds. The first call could be issued relatively soon afterwards if requirements and funding are in place, or later if additional planning or approvals are needed.

Offerors should assume that:

• No work will begin until a written, funded BPA call is issued by the Contracting Officer; and

• They must be prepared to mobilize and perform in accordance with the timelines specified in each funded BPA call, including potentially compressed lead times during the July–December 2026 peak period.

Q039: Past Performance. Regarding the four (4) past performance references required, we would like to clarify whether there is a minimum contract/project value threshold applied to each individual reference, or whether an aggregate value across all four references is used as the evaluation criterion.

A039: The solicitation does not establish a minimum contract/project value threshold for each individual past performance reference, and the Government will not apply an aggregate dollar-value threshold across all four references as a separate evaluation criterion, as long as the reference meets the criteria of past performance requirements.

Q040: With respect to supporting documentation for past performance, please advise whether separate attachments such as contracts or tax invoices are required. If so, would it be acceptable to submit Korean-language original documents accompanied by English translations?

A040: The solicitation does not require submission of contracts, tax invoices, or other formal contractual documents as supporting attachments for past performance, beyond the information requested in the past performance section (project description, customer, value, period, POC, etc.).

Q041: Minimum Order Value: Could you please clarify whether there is a minimum order value applicable to each individual BPA Call?

A041: There is no minimum order value applicable to individual BPA calls under this requirement.

Q042: Provision of U.S. Government Messaging and Branding Guidelines: We would like to inquire whether the U.S.

Government messaging and branding guidelines can be made available to offerors prior to the proposal submission deadline, so that proposals may be developed in full alignment with the Government's standards.

A042: At this stage of the procurement process, the U.S. Government messaging and branding guidelines will not be released.

Offerors should utilize publicly available agency resources and exercise their best professional judgment to align proposals with general government standards. Detailed guidelines will be provided to the successful offeror upon award.

Q043: Estimated Scale of Individual Call Orders: The SOW references an estimated 10 to 15 Call orders. In order to facilitate appropriate pricing, could the Government provide indicative budget ranges for individual Call orders? Specifically, we would like to understand whether the Government has internally defined budget scale criteria, or whether offerors are expected to propose their own classifications.

A043: The Government is not able to provide indicative budget ranges or internal budget scale criteria for individual BPA calls.

The estimate of 10–15 calls is planning-level only and does not represent a commitment to any specific number, mix, or dollar value of events. Actual call size will depend on mission needs, event type, and the availability of funds at the time of ordering, and some activities described in the SOW may not occur at all. Offerors are therefore expected to propose their own pricing structure and, if useful, their own internal classifications or tiers (e.g., small/medium/large events) within a FFP framework. As stated in the solicitation, the CLIN structure must allow the Government to order discrete services separately or in partial combinations, and to pay FFP amounts tied to defined deliverables and milestones for each funded BPA call, rather than relying on assumed event-level budget bands.

Q044: Page Limit for Technical Quotation: Is there a recommended page limit or a maximum page count for the technical quotation?

A044: None.

Q045: 'Key Personnel Description' Document: The SOW identifies four (4) key personnel positions; however, the 'Key Personnel Description' document referenced at the top of this solicitation does not appear to have been included as an attachment. Could you please confirm whether this document exists as a separate file, and if so, kindly provide it at your earliest convenience?

A045: The Key Personnel description can be found in the SOW (Section 7.6 Key Personnel).

Document Number: 19GE5026Q0065 PROCESSED Page 10 of 11

Q046: VAT Treatment: For events executed within the Republic of Korea, please clarify whether Value Added Tax (VAT) should be incorporated into the proposed price (USD), or whether it will be reimbursed separately.

A046: See Q&A 023.

Q047: Payment Terms: Could you please confirm the exact payment period following invoice submission (e.g., Net 30)?

A047: Pursuant to 52.212-4(g), the Government will handle invoices and payments according to the Prompt Payment Act (31 U.S.C.

3903) and 5 CFR part 1315.

Q048: Preferred CLIN Structure: Does the Government have a preferred task unit structure for the contractor-proposed CLIN arrangement (e.g., organized by event type vs. by function), or is the structure entirely at the offeror's discretion?

A048: The Government does not prescribe a specific CLIN task unit structure (e.g., by event type vs. by function). The structure is at the Offeror’s discretion, subject to the following requirements in the solicitation:

• The CLIN arrangement must support a firm-fixed-price (FFP) BPA call environment (this is not a T&M or labor-hour contract).

• The CLINs must allow the Government to order discrete services separately or in partial combinations, rather than only as lump-sum, full-event packages.

• The CLIN structure must accommodate ordering that is contingent on mission needs and funding availability, recognizing that specific events or campaigns may or may not occur and will only take place if ordered under funded BPA calls.

• Each FFP CLIN must be tied to clearly defined deliverables and/or milestones to support transparent billing and invoice review.

Within those parameters, Offerors may organize CLINs by event type, by function (e.g., program management, event production, digital/media, outdoor, third-party programming), or a hybrid approach, so long as the structure is logical, defensible, and clearly explained in the quotation. Please review the previous Q&As addressing similar topics.

Q049: Artist Sourcing and Fee Negotiation: We would like to confirm whether the contractor is expected to lead the sourcing and performance fee negotiation for event artists, or whether the Government has already confirmed specific artists for the events.

A049: The Government expects the contractor to manage the end-to-end artist and vendor lifecycle. While the U.S. Embassy may suggest specific themes or provide a list of preferred partners and high-profile contacts, the contractor is responsible for the full scope of "non-personal services." Please review the previous Q&As, particularly Q&A No. 031, addressing similar topics.

Q050: Defined Event List vs. Contractor Proposal: The SOW mentions a portfolio of approximately 10 to 15 public events.

Does the Government already have a prioritized list of these specific events with defined themes and objectives, or is the contractor expected to design and propose the entire portfolio of 10–15 events as part of the "Plan of Action" in the technical proposal?

A050: The offeror should develop and propose a portfolio of events.

The Government is also open to offeror’s proposal for public activations to commemorate Freedom 250.

Q051: Specificity of Scale and Target Audience: While the solicitation mentions "large-scale" concerts for 10,000+ people, the specific target audiences (e.g., youth, tech professionals, etc.) and exact scales for the remaining activities (exhibitions, pop-ups, etc.) are not detailed. Should offerors define these parameters based on their own strategic assessment of the "Freedom 250" objectives, or will the Government provide a more detailed "Event Parameter" document post-award?

A051: At the quotation stage, offerors should define reasonable target audiences and indicative scales for illustrative events based on their own strategic assessment of the SOW objectives and public diplomacy goals; you are not expected to design final, event-specific audience and attendance plans now. After award, for each funded BPA call, the Government will provide more detailed parameters (e.g., target audience focus, desired scale, priority themes) to guide the contractor’s event-specific planning. Sample large-scale may include (This is not an exhaustive list, and the Embassy may choose not to do all these events):

• Freedom 250 stage at the Pentaport Rock Festival in Incheon (July 31-Aug 2) is an outdoor, multi-day event that attracts approximately 150,000 attendees.

• U.S. pavilion at First Global Challenge robotic competition is a multi-day event from October 7-10,…
