Type of Contract:

The Government intends to award a single firm fixed-price definite commercial service contract in the currency indicated in the proposal. The total price shall include all labor, overhead, profit, insurance, warranty, transportation, equipment, tools, supplies and materials, and all other expenses necessary to deliver the required service. No additional sums will be payable on account of any escalations in the cost of labor, or because of the Contractor’s failure to properly estimate or accurately predict the cost or difficulty of achieving the results required by this contract. Nor will the contract price be adjusted on account of fluctuations in currency exchange rates. The currency provided in the price quote shall be fixed and cannot be changed by modification to the contract.

Term of Contract:

This ensuing contract shall be effective from the date of the Contracting Officer’s signature and shall remain valid until all services are received and accepted by the Government. The period of performance is for one base year and four one-year optional periods which will be exercised upon issuance of a prior notification to the contractor in accordance with FAR 52.217-8.

Evaluation Procedures:

The evaluation of offers will be based on best value using comparative evaluation authorized under FAR 13.106-2(b)(3). A comparative evaluation is defined as the act of comparing two or more offers in response to the RFP. The line-by-line comparison is performed by comparing each offer directly to one another to determine which provides the best value to the Government.

This is NOT a low price technically acceptable or trade-off process.

The Government intends to establish a firm-fixed price service contract that includes a one-year base plus four 12-months options, resulting from this solicitation to the responsible Contractor whose proposal conforms to the solicitation and represents the best value to the Government, price and other factors considered utilizing FAR 13 Comparative Evaluation.

This selection process will utilize FAR 13 procedures.

After preliminary consideration of all offers, the Department will no longer consider offers that do not meet basic standards to be eligible for award. The offers that remain will be subject to a comparative evaluation.

The preliminary evaluation process shall include the following:

COMPLIANCE REVIEW. The Government will perform an initial review of proposals/quotations received to determine completeness and compliance with the terms of the solicitation. The Government may reject as unacceptable proposals/quotations that do not conform to the solicitation.

EVALUATION CRITERIA:

Proposals will be evaluated on the basis of a direct comparison to other offers to discern if there is any kind of performance quality superiority that would support an award to a higher priced offer by comparing past performance, ability to provide preventive maintenance services for chillers, and total price for base year and four option years.

Payment terms:

The Contractor shall submit an invoice after each preventive maintenance service has been performed. Invoices must be accompanied by a signed copy of the Maintenance Checklist for the work performed including parts replacement and break down calls, if any. No invoice for preventive maintenance services will be considered for payment unless accompanied by the relevant documentation.

Payment shall be made in accordance with the U.S.G. Prompt Payment Act, i.e. within 30 days after completion of service or receipt of invoice, whichever is the latter.

Invoices shall include the items listed in Addendum to FAR 52.212-1 and all items listed in FAR 52.212-4g.1 and shall be addressed to the address, which will be specified in field 18a on page 1 of the award document.

Invoices shall be sent to: LondonFMCInvoices@state.gov

Value Added Tax:

If applicable, the contractor shall be responsible for paying to the appropriate authority the applicable rate of Value Added Tax (VAT). Offerors shall identify the VAT as a separate line item. The VAT shall also be a separate cost item on all invoices.

The contractor will be reimbursed for VAT only up to the amount listed in the contract and upon presentation of proof that VAT has been paid to the host country government against a valid VAT registration number.

Any refund of VAT to the contractor shall be paid to the Government to the extend the Government reimbursed the contractor for VAT payment.

Excise Tax:

James Zadroga 9/11 Victims Health and Compensation Act of 2010 Notice: Unless a waiver or exception applies, payments subsequent to this procurement are subject to an excise tax of 2% pursuant to 26 U.S.C. 5000C. 5. For contracts or subcontracts with performance overseas valued at $550,000 or more, other than those commercially available off-the-shelf items, offerors will certify with the submission of their proposal and annually thereafter that the Contractor and Subcontractors have a compliance plan in place appropriate to the size and nature of the program to prevent human trafficking and to comply with the provisions of this clause.

The certification will confirm that, to the best of its knowledge and belief of the signatory, neither the prime nor its agents nor Subcontractor have engaged in any trafficking related activities, including the procurement of a commercial sex act during the period of the contract, the use of forced labor in the performance of the contract, acts that support or facilitate trafficking in persons such as destroying or confiscating employees’ documents or failing to provide return transportation, soliciting employees by use of fraud or charging recruitment fees or providing sub-standard housing described in section 106(g) of the Trafficking Victims Protection Act (TVPA) or the prohibitions of this clause. The certification will also confirm that if any violations have been found, the Contractor has taken the appropriate remedial and referral actions.

Contractors and Subcontractors can find a model FAR compliance plan, a sample code of conduct, a supplier/Subcontractor self-assessment questionnaire, and criteria to select and monitor labor recruiters among other tools on the Responsible Sourcing Tool website. The Responsible Sourcing Tool is designed to assist Federal Contractors, procurement officials, and other stakeholders in identifying human trafficking or trafficking-related activities in their supply chains and developing effective management systems to prevent and address these issues.

Beyond the due diligence tools, the site enables federal Contractors, acquisition officials, and other entities to visualize human trafficking risks by location, industry sector, and commodity.
