INSTRUCTIONS TO OFFERORS

1. GENERAL INSTRUCTIONS

The Offeror shall provide a proposal that conforms to the requirements outlined in this solicitation. The Offeror’s failure to follow the requirements in the instruction may result in the proposal not being evaluated for award. The Offeror shall submit one (1) electronic copy of the response using the sequence and format described herein. The process may involve an offeror submitting proposals in up to three separate volumes. The government intends to conduct the evaluation and selection process in two (2) steps:

a. Step 1 – Advisory. During Step 1, the Government will evaluate each offeror’s Volume I proposal. Following its evaluation, the Government will provide each Offeror with an Advisory Notification. The Advisory Notification will inform the Offeror of:

i. The basis of the Government advisory notice, and;

ii. Either that the Offeror is encouraged to participate in Step 2 or, based on the information submitted, that it is unlikely to be a viable competitor with the basis for that opinion.

The intent of this distinction is to minimize the proposal development costs for those vendors with little or no chance of receiving an award. However, notwithstanding the advice provided by the Government in response to the Step 1 submissions, all respondents may participate in Step 2.

Note: The Advisory Notification is the only notice the Government will provide from Step 1; debriefings will not occur at the end of Step 1.

b. Step 2. During Step 2, the Government will evaluate each offeror’s Volumes II and III The selection decision will be a trade-off involving the factors set forth herein according to FAR 15.101-1, Tradeoff Process.

Participation in Step 1 is a mandatory part of this acquisition. Failure to participate in Step 1 by submitting Volume I prior to its due date will preclude further consideration of the Offeror’s proposal. The Government will not accept nor evaluate Step 2 submissions from any Offeror who has not completed Step 1.

Results of Step 1 will be carried over to Step 2 for the overall evaluation of proposals.

Volume I: Mandatory Requirements Questionnaire/ Cover Sheet and any attachments Volume II: Written Technical Proposal and System Demonstration Presentation Volume III: Price Proposal

Volume III – Factor 5: Price Proposal

PAGE 11 OF 14 16PBGC22R00060001

The Offeror shall submit a complete Volume III price proposal using the format provided in the Section B: “Pricing Schedule” for the Period of Performance outlined. The Offeror’s completed Volume III price proposal shall included a completed Section J, Attachment D: “Pricing Schedule Fill-in Sheet.” The Offeror shall propose prices for the base year, option years, and the optional six-month extension for CLIN 0001: “Investment Risk Management System” CLIN 0002: “Pass-through Data Costs,” and CLIN 0003: “Security Compliance,” as listed in Section B. The Offeror shall select and propose against one (1) of the three (3) CLIN 0001 pricing structures (i.e., Option A: “Base Price plus per User Price”, Option B: “Asset Based Price”, and Option C: “Base Price plus per Mandate/per Asset Price”) and shall select one (1) of the two (2) reporting frequencies (i.e., monthly and daily).

Offerors shall submit a price proposal based on the following assumptions. Note the PBGC will evaluate price proposals based on total PBGC staff and total assets in the investment program at the time of the evaluation, as the number of PBGC staff that will use the IRMS and/or asset levels could be different from the amounts noted below. The below assumptions make no guarantee of future revenue to the Offeror, as asset levels and PBGC staffing levels change over time. The Offeror’s proposal shall clearly state that the below assumptions were incorporated into its price proposal.

All prices necessary for IRMS functionality shall be included in the Offeror’s price proposal. For example, if the Offeror charges a separate fee for a Scenario Analysis module, those fees must be included as part of the price proposal. Another example is data dependencies, such as security master data and benchmark data. If the Contractor charges separately for obtaining security master data; or if the Contractor does not obtain any benchmark data (e.g., does not receive sector-level look through), such fees must be included in the cost proposal.

20 PBGC staff will be users of the IRMS.

System implementation shall be completed within six-months.

Total market value of assets of $150 billion $7 billion in securities lending cash collateral Greater than 100 OTC non-centrally cleared (e.g., bilaterally cleared) swaps (including

CDS, IRS, CDX, FX Swaps, and Total Return Swaps).

Estimated liabilities total $170 billion and are split between two pools: Single Employer

Liabilities ($110 billion) and Multi-Employer Liabilities ($60 billion).

Current Public Equity, Fixed Income and Private Market Index Benchmarks: The

Program utilizes benchmark data provided by Russell, Dow Jones/S&P, FTSE, MSCI, MSCI GICS, Bloomberg/Barclays Capital, JP Morgan, NYSE, NASDAQ, and Wilshire.

The PBGC currently has separate license agreements with MSCI and FTSE.

Sector-level look through is currently used for Bloomberg/Barclays Capital and JP Morgan indices.

For CLINs 0001, 1001, 2001, 3001, 4001, 5001 and 6001, 7001, 8001, 9001 and the optional six-month extension, the Offeror shall provide pricing for Option A, Option B, or Option C. While the Offeror may provide pricing for multiple price schedules (e.g., Option A and Option B), it shall select and clearly designate only one (1) price schedule for the purposes of the

PAGE 12 OF 14 16PBGC22R00060001

Government’s price evaluation. Therefore, the other price schedules will not be evaluated at the time of award. For example, an Offeror may provide a price proposal that includes both Options A and B, however, the Offeror must designate only one (1) of the price schedules for evaluation purposes. The Government will not evaluate the other option during evaluations (ex. the Offeror includes both Option A and B and selects Option A for price evaluation purposes, meaning the Government will only evaluate Option A and not Option B when evaluating price during proposal evaluation).

For CLINs 0002, 1002, 2002, 3002, 4002, 5002 and 6002, 7002, 8002, 9002 and the optional six-month extension, the Offeror shall provide pricing to the extent possible. PBGC recognizes that Offerors may have difficulty estimating fees for Market and Constituent Level Data. Please use best efforts. The PBGC may contact these third-party service providers directly to affirm costs prior to providing the award to ensure accuracy.

For CLIN 0003, the Offeror shall provide pricing commensurate with implementing the IRMS and demonstrating compliance with all necessary Federal and PBGC information security requirements within six months of contract award.

For CLINs 1003, 2003, 3003, 4003, 5003 and 6003, 7003, 8003, 9003 and the optional six-month extension, the Offeror shall provide pricing associated with Continuous Monitoring, as described in Task 2.2 of the SOW.

Offerors’ cost proposals shall be evaluated relative to other cost proposals received in this procurement.

AN OFFEROR’S FAILURE TO PROVIDE PRICING FOR THE FAR 52.217-8 EXTENSION OF

SERVICES CLAUSE WILL RESULT IN THE OFFEROR’S PROPOSAL OR QUOTE BEING

FOUND EITHER NON-COMPLIANT OR TECHNICALLY UNACCEPTABLE AND

INELIGIBLE FOR AWARD.

The Offeror shall submit price proposals only in Volume III – Business / Cost/Price Proposal.

FAILURE TO SUBMIT THE PRICE PROPOSAL IN A VOLUME OTHER THAN VOLUME

III CAN RESULT IN DISQUALIFICATION FROM THE EVALUATION PROCESS.

Volume III shall also include the following content:

• Authorized Individuals. The Offeror shall provide the name, title, telephone number, and email address for the individual designated as the central point of contact for its proposal. The Offeror shall provide signed copies of the Standard Form (SF) 33 and the SF30(s) of any amendments that may be issued to this RFP. The individual signing the forms shall have the authority to commit the Offeror to all the provisions of the proposal, fully recognizing that the Government has the right, by terms of the RFP, to make an award without further discussions.

PAGE 13 OF 14 16PBGC22R00060001

• Exceptions: The Offeror shall include a statement that no exceptions have been taken to the contract. If any exceptions have been taken, the Offeror must clearly be listed on the cover page in the price proposal.

• Section K Representations, Certifications, and Other Statements of Offerors: Offerors shall include a statement to indicate whether or not their response to FAR 52.212-3 Offeror Representations and Certifications Commercial Items has been completed electronically at (System for Award Management (SAM) website http://sam.gov.

• No pricing information shall be included with the Technical or Past Performance Volumes of the proposal. All price information must be submitted in a separate Volume III “Price”.

• Offeror Validity Statement: Offerors shall make a clear statement that their proposal is valid for no less than 180 calendar days from the closing date of the RFP.

• The Government is not liable for any costs incurred by any offeror in submitting proposals in response to this solicitation.
