About this file

This document is a Sole Source Justification Memorandum from the U.S. Department of Justice Federal Bureau of Prisons Federal Prison Industries (UNICOR) for a contract renewal with Cleo Communications US, LLC. The memorandum justifies a sole source procurement for Clarify EDI automation software license, maintenance, and support, valued at $41,580.00 for the period of September 24, 2025 to September 23, 2026. Cleo holds an exclusive licensing for the Clarify software, which streamlines order exchanges between GSA and FPI by automatically handling data sending, receiving, translating, and integration tasks.

The document notes that UNICOR's Management Information Systems Branch (MISB) eCommerce team has determined Cleo is the only vendor capable of meeting their requirements. The sole source justification is based on the urgency of the renewal, Cleo's exclusive licensing, and the prohibitive costs of switching to another EDI automation solution, which would require extensive retraining and additional setup funds. The memorandum invites other responsible sources to submit product information and capabilities statements to Aaron Mitchell, with the understanding that the government retains sole discretion on whether to compete the proposed contract.

MEMORANDUM FOR CONTRACT FILE:

FROM: Oscar Eusebio, Chief, eCommerce Federal Prison Industries, Inc.

TO: Aaron Mitchell, Supervisory Contracting Officer Federal Prison Industries, Inc.

SUBJECT: EDI Solution Update

Pursuant to the authority of FAR 13.106-1(b) (1) (i), the Contracting Officer may solicit from one source if the Contracting Officer determines that the circumstances of the contract action deem only one source is reasonably available due to circumstances such as urgency, exclusive licensing agreements, brand-name, or industrial mobilization. Due to urgency, Federal Prison Industries UNICOR intends to sole source to:

Cleo Communications US, LLC 4949 Harrison Avenue Suite 200 Rockford, IL 61108

Total Estimated Value: $41,580.00 Estimated Period of Performance: September 24, 2025 to September 23, 2026

Federal Prison Industries, Inc (UNICOR), MISB requires renewal of Clarify EDI automation software license, maintenance, and support.

Cleo holds an exclusive licensing of Clarify software and does not allow third party vendors to resell or the support of the Clarify software.

Clarify EDI automation software streamlines the exchange of orders between GSA and FPI by using software to automatically handle tasks like sending, receiving, translating, and integrating data. This eliminates manual data entry, reduces errors, and improves overall efficiency.

FPI moving to another EDI automation solution would not be cost effective and extremely costly since training would need to be conducted for any System Administrator (SA) charged with implementing, troubleshooting or maintaining the EDI environment.

Also, additional funds would be required for another vendor to assist with setup of this system.

MISB eCommerce team has met with several vendors in the past and the majority of them unable meet all our requirements except for Cleo.

This is not a solicitation for competitive proposal. No solicitation document is available. All responsible sources that have determined that they can provide the same services may submit product information and a capabilities statement addressing their specific abilities regarding this requirement. The email can be sent to Aaron Mitchell at Aaron.Mitchell2@usdoj.gov. A determination by the Government not to compete this proposed contract based upon responses to this notice is solely within the discretion of the government.
