Amendment 1

SECTION I – GENERAL INFORMATION

1. Requirement Overview. The Interior Business Center (IBC) Acquisition Services

Directorate (AQD) is a shared service provider within the Department of the Interior (DOI) providing assisted acquisition services on behalf of The National Endowment of the Arts.

AQD is issuing this Solicitation for professional support services in establishing a National Arts Statistics and Evidence-based Reporting Center (NASERC) and a Technical Working Group (TWG). The Government intends on making a single award Contract in accordance with FAR 12.1, FAR 13.106, and FAR 13. 5.

2. Description of the Acquisition. The National Endowment for the Arts (NEA) requires

Contractor Support to establish and provide professional services for a National Arts Statistics and Evidence-based Reporting Center (NASERC) and a Technical Working Group (TWG). The NASERC is responsible for various research tasks and organizing data and will analyze and report on national arts-related datasets according to a published schedule. The contractor will be responsible for the recruitment, establishment, development, and maintenance of a technical working group in which they will collaborate to with to develop key statistical indicators and establishing a framework that will produce a literature review and data asset map, of key statistical indicators related to the arts. The Contractor will be responsible for data collection via conducting interviews and discussions with researchers, artists, arts administrators, and arts funders. The purpose of these discussions is to gain insight and perspective from individuals knowledgeable in the arts, and then use data obtained to assist in the development of key statistical indicators and to produce a public facing final narrative report describing the proposed art indicators, data sources and methodologies.

The NEA is looking to achieve the following:

• Develop and maintain a National Arts Statistics and Evidence-based Reporting Center (NASERC)

• Establish a Technical Working Group (TWG)

• Develop and maintain a Statistical Arts Indicators Program

In this capacity, the Contractor will be required to create literature reviews and data asset maps in addition to the topical reports. The NEA also requires support for technical assistance, responding to publicly received inquiries regarding the statistical indicators.

Research into the value and impact of the arts is a core function of the National Endowment for the Arts. Through accurate, relevant, and timely analyses and reports, the Arts Endowment’s Office of Research & Analysis (ORA) elucidates the factors, conditions, and characteristics of the U.S. arts ecosystem and the impact of the arts on other domains of American life. This requirement provides services that are essential to achieving NEA’s mission.

3. Applicable NAICS Code and PSC Code:

b. PSC R499 Professional Services-Management Advisory Services

4. Notice of Set-Aside. This requirement will not be set aside for small businesses. Quotes received from Small Businesses and Other than Small Business will be considered.

5. Subcontracting. Subcontracting arrangements are allowed. Socioeconomic restrictions do not apply to subcontractors; subcontractors may be either large or small businesses.

6. Anticipated Contract Type. The Government anticipates awarding a Time and Materials Contract.

7. Anticipated Contract Value. The total estimated value of this contract is between $1,000,000.00 and $1,700,000.00

8. Period of Performance. The period of performance will be a base period of twelve (12) months and four (4) One Year Option Periods. The anticipated period of performance for of each performance year is as follows:

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

DIAR 1452.201-70 Authorities and Delegations (SEP 2011)

(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.

(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.

(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(4) Terminate, for any reason, the Contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government.

(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers to have been issued without proper authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.

AQD Local Clause 1, Electronic Invoicing and Payment Requirements – Invoice Processing Platform (IPP) (April 2013)

AQD Custom Clause – Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP) Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).

"Payment request" means any request for contract financing payment or invoice payment by the Vendor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212- 4 Contract Terms and Conditions - Commercial Items included in commercial item contracts.

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

Invoice Contents:

Invoices will be paid upon approval and acceptance by the Government COR. Invoices must include, as a minimum, the following information:

1. CLIN/Item number of deliverable

2. Description of deliverable

3. Price of deliverable

4. Quantity of deliverable

5. Date deliverable was provided to the Government for inspection

6. Serial number/part number if applicable

• The vendor is responsible for ensuring invoices submitted are accurate and complete, and all labor, travel and other direct costs are in accordance with federal guidelines, the FTR and other Government mandates and directives.

• Additional supporting documentation MAY BE REQUESTED at the discretion of the

COR.

Payment:

A. Payments under this order will be due 30 calendar days after the date of actual receipt of proper invoice in the office designated to receive the original invoice or final acceptance of the goods or services, whichever is later.

B. The date of the check issued in payment or the date of payment by wire transfer through the Treasury Financial Communications System shall be considered to be the day payment is made.

Final Invoice:

Within sixty calendar days of product acceptance and/or completion of services:

1. The vendor shall submit a final invoice, designated as such by a clear statement of “FINAL INVOICE” on the face of the invoice document.

2. The vendor shall provide a certificate of completion which certifies all goods and service have been provided as required by this task order.

3. The vendor shall provide a release of claims against the government for any further payment under this task order.

The sixty calendar day submission time frame shall not be extended without written authorization from the contracting officer. In the event items a, b, or c above are not submitted within the authorized timeframe, the contracting officer will make final cost determinations in order to make final payment and close out the contract unilaterally.

The Vendor must use the IPP website to register access and use IPP for submitting requests for payment. The Vendor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) prior to the contract award date, but no more than 3 - 5 business days of the contract award date. Vendor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973-3131.

If the Vendor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Vendor must submit a waiver request in writing to the Contracting Officer with its quote or quotation.
