STATEMENT OF WORK
Title: General Construction Indefinite Delivery/Indefinite Quantity (IDIQ)
I. BACKGROUND:
The National Institute of Standards and Technology (NIST) Gaithersburg, Maryland campus is a Research and Development (R&D) facility with 52 buildings located on a 578-acre campus.
Most R&D buildings are technically sophisticated laboratory facilities with specialized environmental and utility systems required for research and experimental activities.
Laboratory facilities typically utilize specialized controls such as uninterrupted power, compressed gas systems, clean-room technologies, and tight-tolerance air temperature control systems for the conduct of research and experimental studies.
Utilities are distributed to the individual buildings by underground pipe and electrical distribution systems from central plant services owned and operated by NIST.
Existing buildings range in age with the oldest buildings over 60 years old. The construction on campus is generally steel superstructure with block and brick wall construction. Several facilities have specialized layouts with below grade concrete sub-basements and/or combination window/panelized storefront façade. Facility interior and exterior rehabilitation and renovations are continuous as buildings and systems age, or scientific projects require new layouts to accommodate on-going research.
II. PURPOSE:
Multiple Indefinite Delivery/Indefinite Quantity (IDIQ) General Construction Contracts will be awarded to a maximum of five (5) offerors. However, the Government reserves the right to make an award to more or less offerors. The IDIQ contract will have a total aggregate value up to $9,800,000.00 for the four (4) year ordering period.
The IDIQ contract will be used to execute multiple individual task orders ranging in value from $3,000 up to $3,500,000 of facilities renovation, remodel, modernization, or improvement projects. Task orders will be offered to be competitively bid by the General Construction IDIQ contract holders as per FAR 16.505.
Minimum Contract Value: $3,000.00
Maximum Contract value: $9,800,000.00

IDIQ CONTRACT INFORMATION
Description of contract:
This is an Indefinite-Delivery, Indefinite- Quantity (IDIQ) contract under which the contractor shall provide any or all the support services described in the Statement of Work (SOW) of the contract and as detailed in individual task orders issued by the contracting officer during the term of this contract.
Multiple Award Preference:
The contracting officer intends to award IDIQ contracts to no more than five Offerors to the extent that this approach is in the best interests of the Government based on the proposals received. However, the Government reserves the right to make an award to more or less offerors. All proposals will be evaluated based on the evaluation factors detailed in Section M of the RFP. A determination on whether the issuance of multiple awards is in the best interests of the Government will be made by the Government during the evaluation process.
ON-RAMPING, OFF RAMPING, AND DORMANCY PROCEDURES
The total number of awarded General Construction (GC) IDIQ holders may fluctuate. It is in the Government’s best interest that there remain an adequate number of Contractors eligible to compete for task orders to meet the Government’s GC service requirements. Contractors are hereby notified that utilization of any on-ramping procedure below does not obligate the Government to perform any other on-ramping procedure. Furthermore, it does not preclude the Government from performing any other on-ramping procedure which may be performed at any time.
ON-RAMPING: NIST intends to periodically review the total number of contractors participating in the Ordering Process and assess the quality of performance by each IDIQ holder, the number, value and complexity of work awarded to each holder, and the amount of effective competition achieved by the current MATOC awardee pool. Additional reasons include, but are not limited to, significant changes in the marketplace, competition levels, industry consolidation, or general economic conditions.
1. Open Season or Existing Qualified Contractor List: NIST will determine whether it would be in the Government’s best interest to initiate an open season to add additional Contractors to the GC IDIQ Pool at any time, subject to the following conditions.
a. A notice to the list of Contractors who responded to this solicitation and were determined qualified, but were not selected for award.
b. If a qualified list of Contractors is not available, an open-season notice will be published in Sam.Gov. in accordance with FAR Part 5, Publicizing Contract Action under current Federal procurement law.
c. The solicitation identifies the anticipated number of new contracts NIST intends to award.
d. Any Offeror that meets the eligibility requirements set forth in the open season solicitation may submit a proposal in response to the solicitation.
e. The terms and conditions of any resulting awards are materially identical to the existing version of the GC IDIQ holders.
f. The period of performance term for any new awards is concurrent with the existing term for all other Contractors.
PAGE 26 OF 129 1333ND26QNB190168
On-ramp contractors will be selected utilizing the same Section M- Evaluation Criteria of the original Base IDIQ and replacing the initial SEED Project in Factor 3- Technical Approach with any upcoming Task Order of relevant size and scope. Upon successful evaluation, an offeror(s) may be awarded an IDIQ contract and the subsequent Task Order after negotiations. Fair Opportunity will be given to the current GC IDIQ pool for the same upcoming Task Order used within the on-ramping notice unless an exception per FAR Subpart
16.505 (b)(2) applies.
On-ramp contractors will be subject to a performance validation review. On-ramped contractor(s) must be active in the System of Award Management (SAM) and otherwise in compliance with the original multiple award solicitation. If found complaint, on-ramp contractors may be offered a bilateral IDIQ contract with the original guaranteed minimum and considered for future task order awards.
Immediately upon on-ramping, the Contractor is eligible to receive task order awards with the same rights and obligations as any other Contractor.
OFF RAMPING: NIST reserves the unilateral right to Off-Ramp non-performing Contractors.
Contractors that are Off-Ramped will have no active task orders under the GC IDIQ Contract at the time of Off-Ramping. Contract holders are expected, in good faith, to participate in task order competition and, if successful, to deliver quality projects on time and on cost, to include management and supervision of subcontractors. If for any reason, a contractor cannot participate in competing for a task order, the contractor shall provide written notice of the reason(s) for non-participation prior to the proposal due date.
Off-ramping methods may result from one of the following conditions:
a. Failure to participate or provide written notice for lack of participation
b. A Contractor outgrowing their small business size status under their existing GC IDIQ
Contract.
c. An overall performance CPAR rating of Marginal or Unsatisfactory may result in the contractor being off-ramped/removed from the MATOC.
d. Permitting the Contractor’s GC IDIQ Contract term to expire instead of exercising the
Option.
e. After a Contractor is placed in Dormant Status and the Contractor has completed all previously awarded task orders.
f. Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4.
g. Termination as defined in FAR Part 49.
h. Contractors who fail to meet the standards of performance, deliverables, or compliances.
DORMANT STATUS: NIST is responsible for ensuring performance and compliance with the terms of the GC IDIQ and safeguarding the interests of the Government and the American taxpayer in its contractual relationships. Additionally, NIST must ensure that Contractors receive impartial, fair, and equitable treatment. Accordingly, if the CO determines that any requirement is not being met a GC IDIQ Contractor may be placed into Dormant Status. If Dormant Status is activated, the Contractor shall not be eligible to participate or compete in any subsequent task order solicitations while the Contractor is in Dormant Status; however, Contractors placed in Dormant Status shall continue performance on previously awarded and active task orders, including the exercise of options and modifications for the order(s).
Dormant Status is not a Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4 or a Termination as defined in FAR Part 49. Dormant Status is a condition that applies to the GC IDIQ contract only.
PAGE 27 OF 129 1333ND26QNB190168
Grounds for being placed in Dormant Status specifically include, but are not limited to, trends or patterns of behavior associated with the failure to meet the deliverables and compliances specified under Section F. Dormant status will only be imposed after careful consideration of the situation and collaboration with the Contractor to resolve the issues.
To place a Contractor in Dormant Status, the CO must first send a letter, in writing, to the Contractor regarding the poor performance or non-compliance issue. The Contractor shall have reasonable time, at the discretion of the CO, to provide the CO with a remediation plan to correct the deficiencies/issues. If the CO is satisfied with the Contractor’s response, the Contractor will not be placed in Dormant Status. If the CO is not satisfied with the response, or the remediation plan is not effective, the CO may issue a final decision, in writing, placing the Contractor in a Dormant Status. The CO final decision may be appealed under Alternative Disputes Resolution (ADR), as defined in FAR Subpart 33.214 and CAM 1319.70.
Using ADR does not waive the Contractor’s right to appeal to the Agency Board of Contract Appeals or United States Court of Federal Claims.
Task Orders:
Task orders under this contract shall be firm fixed-price task orders. Task orders are individual contract actions to perform work within the structure of this contract. Task orders will vary in size and complexity. A specific scope of work will be issued for each task order. This document will specify the general and specific requirements of the task. A pre-proposal site visit will be arranged to review the scope of work. Task order technical evaluation criteria and method will be listed in each task order and may be lowest price/technically acceptable, trade-off, or price. Task orders will have a period of performance identified in the scope of work and/or request for task order proposal (RFTOP).
The following procedures apply for this issuance of task orders should there be multiple IDIQ contracts awarded because of the solicitation.
1. The contracting officer will provide each awardee a fair opportunity to be considered for each order exceeding $2,500.00 issued under the IDIQ contract. A request for proposals will be distributed to all contract holders and will contain, to the maximum extent practicable, the items detailed in I -V below. The competition requirements in FAR Part 6 and the policies in FAR Subpart 15.3 do not apply to the ordering process.
I. A notice of the task order that includes a clear statement of NIST’s requirements.
II. A reasonable response period.
III. Disclosure of the significant factors and sub-factors, including cost or price, that the agency expects to consider in evaluating proposals, and their relative importance.
IV. Where award is made on a best value basis, a written statement documenting the basis for award and the relative importance of quality and price or cost factors; and
V. An opportunity for a post-award debriefing in accordance with FAR Subpart 16.505(b)(4).
PAGE 28 OF 129 1333ND26QNB190168
2. Exceptions to the fair opportunity process: The contracting officer will give every contract holder a fair opportunity to be considered for a task order exceeding $2,500 unless one of the statutory exceptions detailed in FAR Subpart 16.505 (b)(2) applies.
3. Evaluation factors for award of task orders: The evaluation factors for award that may be used when competing individual task orders will be provided in the request for proposals for each individual task order. All contract holders will be made aware of the evaluation factors for award of an individual task order.
Pricing:
The offeror shall include a price volume with their proposal. The offeror shall provide an itemized price proposal to perform the initial Task Order No. 0001 – Building 202 Façade Repairs. Price will be evaluated on proposals that pass the non-price factors within the solicitation. The price proposal for the task order will be evaluated to determine price fairness and reasonableness.
