I. INDEFINITE DELIVERY, INDEFINITE QUANTITY CONTRACT

1. General

TheContractorshallprovidetheservicesdescribedinthisIndefiniteDelivery,IndefiniteQuantity
(IDIQ)contractandtheSOWasdefinedinindividualTaskOrders.Termsandconditionsofthe
IDIQwillflowdowntoallissuedordersunlessotherwiseidentifiedintheissuedOrder.
TheestimatedceilingoftheIDIQis$150million,inclusiveofallordersissuedduringthe5‐year
orderingperiod.

2. Order Types

TaskOrdersissuedunderthisIDIQwillbeFixed‐Pricetype(i.e.FixedUnitPrice),Timeand
Materials/Labor‐Hourtypeorders,orahybridinvolvingtwoormoreofthesecontracttypes.
ContracttypewillbedefinedineachOrder.

3. Ordering Period / Period of Performance

TheorderingperiodofthisIDIQis5‐yearsfromdateofaward.Ordersmaybeissuedatanytime
duringtheorderingperiod.

4. Place of Performance

TheGovernmentanticipatesthemajorityofproductdeliveriesandrenderedservicesinsupportof
thisContracttobeprovidedattheContractor’ssite,solongasthissiteiswithinthecontinental
UnitedStates.PleasenotetheContractor’ssitewillrequireanATOletterissuedbyaFederal
Governmentagency,andtheDepartmentwillsponsorthesiteATO.
PerformancemayrequireattendanceoftheContractoratDOCHeadquartersorotherDOCand
Bureaulocations,asneeded.PlaceofperformancewillbewillbefurtherdefinedinOrdersas

applicable.

5. Prime Contractor Responsibilities

TheContractorshallbeheldresponsiblefortheperformanceofallservicesrequiredunderthis
contractandunderissuedTaskOrders.

6. Emergency Situations

EmergencysituationsandcontingencyoperationsattheDOCmayrequiretheContractortooperate
attimesnotconsiderednormaloperatinghours,asdirectedbytheContractingOfficer.This
normallyinvolvesutilityoutages,weatherdrivencontingencies,oranyworkinvolvingsupportfor
significanttechnicalrelatedservicescriticaltotheDOCmissionandthemissionofthesupported

Bureaus.

7. National Security

Servicesmayberequiredtosupportanactivationorexerciseofcontingencyplansoutsidethe
normaldutyhours.Emergencies(i.e.,accidentandrescueoperations,civildisturbances,terrorist
attacks,andnaturaldisasters)maynecessitatetheContractortoprovideincreasedorreduced
supportasdeterminedbytheCO.

8. Pricing

8.1 Labor Rate Pricing

Thelaborratesawardedbylaborcategoryshallbefullyburdenedandfixedforannualperiods.
Escalationisallowableannually.RatesineffectattimeofOrderplacementwillremainineffectfor
12‐consecutivemonthsregardlessofchangesintheannualeffectivelaborrate.Escalatedrateswill
beappliedforthefollowing12‐monthconsecutiveperiodandsoon.

8.2 Travel/Other Direct Costs (ODCs)

TravelandOtherDirectCosts(ODC)areallowedunderthisContractandshallbespecifically
addressedinissuedTaskOrdersifnecessaryforperformanceoftheOrder.Travelwillbe
reimbursedinaccordancewithTheFTR/JTRandanylimitationsidentifiedintheTaskOrder.The
designatedGovernmentOfficialmustapprovealltravelinadvanceofincurringcostsfor

reimbursement.

ODCswillbeidentifiedinindividualTaskOrders,asrequired,andasdeterminedtobeallowable,
allocable,andreasonable.ODCsshallbereimbursedtotheContractoratcostplusanyallowable
materialhandlingfee.

8.3 Other Indirect Costs

Indirect costs and overheads are not allowable as direct charges under this IDIQ.

8.4 Incremental Funding on Time and Materials and Labor Hour Orders

FundingmaybeincrementallyfundedforTimeandMaterial/LaborHourOrders.TheContractor
shallnotifytheContractingOfficer(CO)andtheContractingOfficerRepresentative(COR)inwriting
atwhencostsincurredreach,orwillreach75%ofallocatedfundingontheOrder.Contractor’s
incurrenceofcostinexcessofamountfundedshallbeattheContractor’sownrisk.

8.5 Overtime Payment

OvertimepremiumsarenotauthorizedonTaskOrdersissuedunderthisContract.TheContractor
shallhavesufficientstaffingtomeetextendedhoursinordertoavoidovertimepremiumsallocable
totheGovernment.

8.6 Performance Incentives and Penalties

TheGovernmentmayintroduceincentivesand/orpenaltiesdirectlyrelatedtomeetingestablished
ServiceLevelAgreements(SLAs)forspecificservices.Incentivesand/orpenaltieswillbeidentified
inindividualOrders.AnyincentiveswillfollowtheguidelinesprovidedinFAR16.4Incentive
Contracts.AllnecessarydocumentationwillbeprovidedattheOrderlevel.

8.7 Payment‐Firm Fixed Price

PaymentofthepricesdelineatedinthiscontractwillbemadeafterDOC’sinspectionand
acceptanceofthedeliverablesandreceiptofaproperinvoice.TheContractorshallinvoicefor
servicesrenderedmonthly.

8.8 Payment Time and Material/Labor Hour

TimeandMaterialpaymentswillbemadeonamonthlybasisafteracceptanceofworkandreceipt
ofaproperinvoice.TheContractorshallprovidesufficientdetail,includingfullyburdenedlabor
ratesandhoursworked,andreceiptsformaterialtosupporttheinvoice.
TheContractorshallnotaccruecostsinexcessoftheamountfundedunderthisTimeandMaterial
contract.AnyworkperformedinexcessoftheamountfundedisattheContractor’sownrisk.

9. Task Order Issuance

(a) AllworkshallbeinitiatedonlybyissuanceofafullyexecutedTaskOrderissuedbya
designatedEnterpriseServices–AcquisitionContractingOfficer.Theworktobeperformed
undertheseordersmustbewithinthescopeoftheoverallContract.TheGovernmentis
onlyliableforlaborhoursandcostsexpendedunderthetermsandconditionsofthis
contracttotheextentthatafullyexecutedTaskOrderhasbeenissuedandcoversthe
requiredworkandcosts.Chargesforanyworknotauthorizedshallbedisallowed.
(b) ForeachOrderundertheIDIQ,theContractingOfficeshalleithersendaRequestfor
ProposaltotheContractor(s)orissueadirectorderforrequiredmaterialsandservices.
Anyrequestwillcontainadetaileddescriptionofthetaskstobeachieved,aschedulefor
completionoftheTaskOrder,anddeliverablestobeprovidedbytheContractor.
(c) Ifrequired,theContractorshallsubmitaproposaldefiningtheapproachtobetakento
completethetaskorder,workschedule,andproposedcost/price.

(d) After any necessary negotiations, the Contractor shall submit a final proposal.

(e) TaskOrderswillbeconsideredfullyexecuteduponsignatureoftheContractingOfficer.The
ContractorshallbeginworkontheTaskOrderinaccordancewiththeeffectivedateofthe

order.

(f) TheContractorshallnotifytheContractingOfficerofanyinstructionsorguidancegiventhat
mayimpactthecost,scheduleordeliverablesoftheOrder.Aformalmodificationtothe
OrdermustbeissuedbytheContractingOfficerbeforeanychangescanbemade.

10. Submittal of Invoices

Submitinvoicesandrequiredsupportingdocuments,electronicallyviae‐mailtothefollowinge‐
mailaddress:AsdesignatedinOrders

Email a copy of the invoice to the Contracting Officer and the Contracting Officer’s Representative.

Invoices shall be prepared as follows:

(a) Aseparateinvoiceshallbesubmittedforeachbillingperiodunderthiscontract.
(b) Invoicesshallbesubmittedwithin10daysafterdeliveryorperformanceofwork,but
notmorefrequentlythanmonthly
(c) IncludetheinvoiceandsupportingdocumentsasanattachedPDFdocument.
(d) Includeinthee‐mailsubjectlinethefollowing:
