The Contractor shall furnish the necessary personnel, material, equipment, services and facilities (except as otherwise specified), to perform the PWS referenced in Section J.

E1. INSPECTION AND ACCEPTANCE

(a) The Contracting Officer or the Contracting Officer's duly authorized representative will inspect and accept the supplies and/or services to be provided under this contract.

(b) Inspection and acceptance will be performed at: the USDA -RD. All deliverables shall be submitted in accordance with the PWS.

The period of performance of this contract is from 05/01/2026-04/30/2031.

SECTION G – CONTRACT ADMINISTRATION DATA

G1. CONTRACT ADMINISTRATION

a) Contracting Officer

The Contracting Officer (CO) holds the contractual authority for the resulting contract. The CO alone, without delegation, is authorized to take actions on behalf of the Government to amend, modify or deviate from the contract terms and conditions and requirements. The CO may delegate certain other responsibilities to the Contracting Officer’s Representative (COR). The U.S. Department of Agriculture, Rural Development, Procurement Management Office warranted contracting officers are the only individuals who can legally commit or obligate the Government or authorize any changes that affect the contract price, delivery schedule, period of performance or other terms and conditions.

b) Contracting Officer’s Representative

The COR will act as the Contracting Officer’s Representative for technical matters, providing technical direction and discussion as necessary with respect to the PWS, and monitoring the progress and quality of the contractor’s performance. The COR is not an Administrative Contracting Officer and does not have the authority to take any action, either directly or indirectly, that would change the price, quantity, quality, place of performance, delivery schedule, or any other terms and conditions of the contract. The COR does not have the authority to direct the accomplishment of any effort which goes beyond the scope of the contract PWS.

When, in the opinion of the Contractor, the COR or any other representative of the Government (other than a Contracting Officer), requests efforts outside the existing scope of the contract, the Contractor must promptly notify the Contracting Officer in writing. The Contractor must take no action under such direction until the Contracting Officer has issued a modification to the contract or otherwise resolved the issue.

c) Contractor’s Representative Responsibilities

The Contractor's representative (i.e. Contract Administrator), as designated by the Contractor, will be responsible for all contract administration issues for this IDIQ contract and all subsequent task orders.

The Contractor’s Representative will act as the central point of contact with the Government for all contractual matters. The Contractor’s representative must have full authority to act on behalf of the contractor in all contractual matters. The representative must be able to fluently read, write, and speak the English language.

The Contractor must not accept any instructions issued by any person employed by the Government or otherwise, other than the CO for time, scope, and monetary instructions or the COR acting within the limits of his or her authority. The Contractor must not in any way represent that he is a part of the U. S.

Government or that he has the authority to contract or procure supplies for the account of the United States of America.

Invoices under this contract shall be submitted in accordance with the PWS.

452.204.70 MODIFICATION FOR CONTRACT CLOSEOUT (DEVIATION NOV 2025)

“Upon contract closeout for contracts utilizing anything other than cost reimbursement:

(a) If unliquidated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

(b) Upon contract closeout for contracts utilizing SAP: if unliquidated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a “Contractor Release of Claims” be completed by the contractor, although not required for contracts and orders using SAP.) If the bilateral modification and/or Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

(c) Upon contract closeout for contracts utilizing anything other than cost reimbursement, if unliquidated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. LI. INFORMATION TO OFFERORS:

1. INTRODUCTION

This is a combined synopsis/solicitation for commercial services prepared in accordance with the format in Revolutionary Federal Acquisition Regulations Overhaul (RFO) 12.2, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a separate written solicitation will not be issued.

2. TYPE OF CONTRACT

The Government intends to award a Firm-Fixed Price (FFP) contract for Rural Water Circuit Rider Technical Assistance Program as defined in the PWS, Attachment 1.

3. SOCIO-ECONOMIC SET-ASIDE

This solicitation is issued as a Full and Open Competition

L3. INSTRUCTIONS TO OFFERORS:

PROPOSAL PREPARATION AND SUBMISSION INFORMATION

This section provides guidance, as well as specific instructions on the required format and content of proposals submitted in response to this solicitation.

52.212-1 Addenda Instructions Incorporated by Full Text All information that follows are hereby incorporated as addenda to RFO 52.212-1, in accordance with

RFO 12.205.

1. GENERAL INSTRUCTIONS

The Offeror is expected to review the entire RFP and include sufficient information to enable the evaluators to determine the Offerors understanding of the requirements in each of the evaluated areas.

The Offeror's proposal must include all information requested and must be submitted in accordance with these instructions. Compliance with these instructions is mandatory and failure to furnish a complete proposal, at the time of proposal submission, will result in the proposal being ineligible for award to the Government and will eliminate the Offeror’s proposal from further consideration for award. A proposal may be eliminated from further consideration before the initial rating, if the proposal is deficient as to be totally unacceptable on its face. For example, a proposal may be deemed ineligible for award if it does not represent a reasonable effort to address the essential requirements of the RFP, or if it clearly demonstrates that the Offeror does not understand the requirements of the solicitation.

The Offeror’s ability to follow instructions contained herein is a demonstration of the Offeror’s ability to follow instructions in general, which is paramount to acceptable performance. The Offeror’s attention to detail is important to the Government as a significant amount of work under the attached PWS will require the Offeror to follow detailed instructions, including quality control. Prior to the Government’s evaluation of proposals, the Government will perform a compliance review to determine whether the Offeror’s proposal is compliant with the solicitation instructions, terms, and conditions. Proposals that do not comply with the solicitation requirements, including errors attributed to not following instructions contained in the solicitation, will not be further evaluated, and will be ineligible for award.

Evaluation of a proposal will be conducted solely based on the information contained within the proposal and respective Volume, and the Government will not assume that an Offeror possesses any capabilities not specified. The Offeror shall assume the Government has no existing knowledge of the Offeror or the Offeror’s capabilities. Offerors are advised that their proposals are presumed to represent their best efforts and most complete responses to this solicitation. Proposals that simply reiterate the contents of this solicitation, or contain only superficial responses, may be considered unacceptable. Evidence of experience, capability, and qualifications that clearly demonstrate and support the Offeror’s claims are essential. The absence of such evidence will adversely influence the evaluation of the proposal.

2. ASSUPMPTIONS AND EXCEPTIONS TO SOLICITATION REQUIREMENTS – IF

APPLICABLE

Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors.

Offerors must clearly identify any assumption or exception to the solicitation terms and conditions and provide complete accompanying rationale and explain its impact, if any, on the performance, schedule, pricing, and specific requirements of the solicitation.

Assumptions and exceptions shall be submitted during the Q&A period and before the RFP closes for clarification purposes, as making assumptions or exceptions to the solicitation’s terms and conditions may otherwise render the entire proposal unacceptable and ineligible for award.

If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer (CO) in writing with supporting rationale as well as the remedies the Offeror is asking the CO to consider.

3. QUESTIONS AND ANSWERS (Q&A)

The Q&A period is the time between the issuance of the RFP and the below stated date of the closing of the Q&A period. During the Q&A period, Offerors are encouraged to read this RFP entirely and submit to the CO’s attention, any places of ambiguity that need to be clarified. All questions, concerns, assumptions or exceptions and/or requests for clarification shall be submitted by email to gary.brown3@usda.gov by no later than the closing of the Q&A period and include “Offeror Questions_12RADA260001 Circuit Rider Technical Assistance Program” in the subject line of the email.

The Government reserves the right not to answer questions, especially those submitted after the closing date of the Q&A period. The Government’s response/answer to written inquiries/questions will be posted to SAM.gov and available to all interested parties.

The closing of the Q&A period is 12:00 p.m. (EST), February 12, 2026.

Offerors must consolidate all questions using the Q&A form (Exhibit A) and attach the document to the email submission referred to above.

1. SUBMISSION OF PROPOSAL

(a) Proposals shall be submitted electronically at or before 3:00 p.m. (EST), March 04, 2026. Hardcopy proposals will not be accepted. Any proposal, or partial proposal, received after the due date will be late and not considered for award. Each volume must be submitted separately so each part can be evaluated independently. The proposal must be submitted in its entirety to gary.brown3@usda.gov. The email subject line must be titled using the following format: Company Name – RFQ number – Circuit Rider Technical Assistance Program – Date and time submitted.

You may submit more than one email. If you are submitting more than one email, add the email number to the subject line in the format: Email 1 of 2. File attachments can be no larger than 25MB. Proposals submitted through other methods will not be considered.

(b) Proposals not received by the Government by the submission deadline will be late (not timely) and will not be evaluated or considered for award. It is recommended that the Offeror request a return receipt or confirmation to verify that its proposal submission was received.

(c) Proposal preparation costs are the sole responsibility of the Offeror. The Government will not reimburse the Offeror for its proposal preparation. The Government reserves the right to cancel this solicitation, either before or after the closing date. In that event, the Government has no obligation to reimburse an Offeror for any costs.

(d) Cross Referencing. Each volume, factor, and subfactor must be written on a stand-alone basis so that its contents may be evaluated with no use of cross-referencing to other volumes, factors, or subfactors of the proposal. Information required for proposal evaluation, which is not found in its designated volume, factor, or subfactor will be determined to have been omitted from the Offeror’s proposal even if the information is provided elsewhere in the proposal. The use of hyperlinks in the proposal is prohibited.

2. PROPOSAL FORMAT

To maximize efficiency and minimize the time for quotation evaluation, it is required that Offerors submit their proposal in accordance with the format and content specified in the solicitation. Unless otherwise noted in the RFP, the page size must be no greater than 8 1/2 x 11 inches. Page margins must be a minimum of one inch at the top, bottom, and each side. Text size must be 12-point or larger, using Times New Roman font. Proposals shall not use any smaller line spacing than single spacing. Tables and illustrations shall not use a reduced text size and shall use only Times New Roman font. Page numbers, headers, and footers may be within the page margins only and must use the same 12-point, Times New Roman, font requirement.

Where the Government requires proposals to be submitted in MS Word format, the Government will open the proposal using the version of MS Word available (currently Microsoft® Word for Microsoft 365 MSO (Version 2407). The version may change or be updated at any time.

All volumes shall be submitted in accordance with the naming convention and format detailed herein.

Each Volume shall contain a cover page and table of contents. The cover page shall include the date of the proposal submission, company name, address, point of contact information (name, phone, and email), SAM Unique Entity ID, NAICS Code, and Socio-Economic Status/Business Type.

Offerors must respond to all requirements of the solicitation and are not permitted to alter the solicitation.

Offerors that do not comply with the detailed instructions for the format and content of the proposal will be considered unacceptable or deficient and will be considered ineligible for award.

INSTRUCTIONS FOR VOLUME I, CONTRACT DOCUMENTATION

Offeror’s proposals shall contain the following Table of Contents:

1. Standard Form 1449 - Solicitation/Contract Form, including all Amendments (as applicable) signed by the Offeror.

2. Any other fill-in clauses/provisions required to be submitted in response to the RFP requirements not listed elsewhere.

Standard Form 1449 - Solicitation/Contract Form

A Standard Form (SF) 1449, "Solicitation/Contract/Order for Commercial Items" completed and signed by the Offeror, Blocks 30a-c, constitutes the Offeror's acceptance of the terms and conditions of the solicitation. The Offeror is instructed to complete Blocks 17a. and 30a-c. Signature by the Offeror on the solicitation constitutes an offer, which the Government may accept. All amendments (SF30) must be signed and submitted with Offeror’s proposal. Failure to submit a signed SF 1449 and all amendments will render the proposal incomplete and ineligible for award.

Any changes to a proposal made by an Offeror after its initial submission but prior to proposal due date must be submitted following the same instructions in this section for the appropriate part of the proposal.

The Offeror shall not provide change pages, but rather resubmit the proposal in its entirety. The Offeror will clearly state that the proposal submission replaces the previous submission.

Contractor Team Arrangement- If Applicable

If the Offeror is a joint venture or Contractor Teaming Arrangement (CTA) provide the name, address, and UEI of the Managing Joint Venture member and each member of the Joint Venture.

Proposal Validity Statement

The Offeror shall make a statement that the proposal is valid for at least 365 days from the solicitation closing date. Any period fewer than 365 calendar days may be considered non-compliant and the proposal ineligible for award. The following statement is considered acceptable, “This Proposal is valid from 365 days of the solicitation closing date.”

Additional Information - If Applicable

Offerors may utilize this section of the Contract Documentation volume to provide any additional rationale, justification, explanation, clarification, etc. as required by the RFP which does not have any other place reserved to address the issue. Offerors shall not place additional information in any other section of their proposal.

INSTRUCTIONS FOR VOLUME II, TECHNICAL / MANAGEMENT

Volume II, Technical must include all information required for evaluation, excluding any reference to price. The technical volume must clearly demonstrate the Offeror’s capability to perform the work requirements as out in the PWS. Price information must not be included in Volume II, Technical. Any pages containing price information will be wholly discarded and not evaluated.

FACTOR 1: TECHNICAL/MANAGEMENT

Subfactor 1: Technical Capability / Experience

The Offeror must submit an executive summary with a brief synopsis of the Offeror’s general background, organization and location of facilities where the management of the services will be performed, capabilities, experience and other pertinent information. This must also include the name and telephone number for the person the Government should contact to schedule any clarifications or discussions, if necessary.

The Offeror’s capability must demonstrate a clear understanding of all the tasks in the PWS. The Offeror must demonstrate how the technical capabilities are likely to yield the required results, specifically, how they would provide the expertise, organization and management structure to support and execute a nationwide rural water technical assistance program. The response must demonstrate that the Offeror understands the tasks to be performed, as well as the technical approach, methodology and flexibility that will be utilized in accomplishing outcomes.

This section shall also address any teaming arrangements or subcontractor proposals needed to complete this work by including a brief description of any agreements or arrangements, the participating parties, and an explanation of how those arrangements and agreements will be leveraged to accomplish the tasks outlined in the PWS

The Offeror must provide a narrative describing its relevant experience and the number of years providing services similar to the Circuit Rider and Technical Assistance program required by the PWS, including those provided by teaming partners or subcontractors that may enhance the Offeror’s ability to meet or exceed the work requirements. The offeror must demonstrate a minimum of at least three years of experience that demonstrates experience with providing technical assistance to rural water systems applicable to the Safe Drinking Water Act; and developing written reports and analyzing data, similar to those required by the requirements in the PWS, that is similar in scope and complexity to include coverage of all states and territories. To be considered relevant, this experience has occurred in the last three years.

Subfactor 2: Key Personnel / Organizational Structure / Staffing

The Offeror must describe the extent to which proposed key personnel have a demonstrated track record of success, including relevant experience directly applicable to the roles they will fill on the project team.

The Offeror must clearly identify how each proposed key person meets or exceeds the required experience and skills requirements of their position as outlined in the PWS.

Key Personnel Resumes. The Offeror shall provide resumes of key personnel. The resumes of key personnel are excluded from the page count. Individual resumes should not exceed two pages. Any excess pages provided will not be considered. The amount of experience will be part of the overall determination of the confidence rating. The resumes shall contain the following information regarding their individual education, background, recent (within the past three years) experience, and specific professional or technical accomplishments. Offerors that do not provide resumes for each Key Personnel with submission of the proposal will be considered nonresponsive and may be ineligible for award.

1. A detailed list of positions and the level of involvement that is related to the operation of a rural water circuit rider technical program.

2. A list of three references who can provide appropriate feedback about the quality of performance and technical capabilities. Include a contact name, company, address, and current telephone number.

3. Position, summary of duties, and years with the Offeror.

The Offeror must also provide a Letter of Commitment signed by each key person. The Letter of Commitment shall state that the information contained in the resume, submitted as part of the proposal, is true and correct; and the individual will unconditionally accept employment in the key position identified in the proposal beginning on the effective date of the contract. Signatures other than the individual identified are not acceptable, including the Offeror signing for the employee. Offerors that do not provide a signed Letter of Commitment for each Key Personnel with submission of the proposal will be considered nonresponsive and may be ineligible for award.

Organization Structure: The Offeror shall include a brief overview of the organizational structure that will be responsible for the performance of the contract, to include all key personnel and circuit riders.

The organizational structure and approach must reflect an efficient delineation of responsibilities, clear lines of authority, and effective spans of control, a communication process that effectively flows program information throughout the organization and with the Government.

An overview of the organization structure must be in the form of a corporate resume and provide the general background, experience, and qualifications of the organization in providing the services outlined herein and in the PWS.

Staffing: The Offeror shall include their proposed approach to recruitment, retention, staffing and compensation. The Offeror must demonstrate ability to onboard and ramp-up staffing in the nationwide Circuit Rider and Technical Assistance program nationwide and outlying US territory service areas.

Consideration will be given to the adequacy, realism, efficiency, and completeness of the information provided by the Offeror for the following areas:

1. Sources of personnel, recruitment of employees (short and long term), training, mentoring, and career development, recognition of skills or competencies that may be in short supply or are critical; and description of the plan for recruiting and retaining employees with the critical skills in the categories as stated in PWS.

2. Description of procedures for obtaining these resources, category of resources as well as the procedures for staff decreases and retention of key skills and capabilities.

3. Methods for ensuring staffing flexibility and the strategy for dealing with workforce fluctuations, including both increases (those beyond the day-to-day operations that may be needed to support a surge in staffing requirements – i.e., natural disasters) and decreases (due to changes such as, but not limited to, service cancellations, or technical de-scopes) throughout the life of the contract;

and the procedure to obtain resources, beyond those necessary for day-to-day operations support program, which could be drawn upon for rapid staff build-up, as well as retention of key skills and capabilities.

Subfactor 3: Management, Quality Assurance, and Subcontracting Plan

Management Plan: The Offeror will provide a management plan which describes a comprehensive methodology for executing and managing the contract. Provide information on the support that will be provided for circuit riders in their jurisdiction and full-time headquarters support. The offeror must describe their approach for continuity, to ensure no breaks in service.

The offeror must identify and discuss their approach to coordinating, directing, and effectively managing all their employees to include subcontractors.

Quality Control Plan (QCP): The Offeror must submit a QCP that directly addresses the Circuit Rider & Technical Assistance Program IAW the PWS, and includes at a minimum, the management philosophy, structure, and approach in obtaining quality standards. The Contractors QCP shall provide top Contractor management with an effective and efficient means of identifying and correcting problems throughout the entire scope of the PWS, with a focus on “Monthly Quality Control Reporting” requirements. The QCP shall include all aspects of PWS Table 4 “Performance Requirements Summary” as well as the items below:

(1) A description of the Contractors quality control system. The system must cover all contract services, specify work to be inspected on either a schedule or unscheduled basis, and describe how inspections are to be conducted.

(2) The name(s) and qualifications of the individual(s) responsible for performing the quality control inspections, and the extent of their authority.

(3) A description of the methods to be used for identifying and preventing defects in the quality of service performed.

(4) Provisions for recording the results of inspections and for recording corrective action taken.

(5) Provisions to update and revise the QCP during the performance of the contract.

Subcontracting Plan (if applicable):
