SECTION C – DESCRIPTION/SPECIFICATIONS

C.1 SCOPE OF CONTRACT

The SRD Shadow Mountain Village Water System Management Operator IDIQ contracts/hires a professional Operator in Responsible Charge (ORC) dedicated to manage the water system at Shadow Mountain Village on the Sulphur Ranger District (SRD) under the Arapaho and Roosevelt National Forests. The work covered by this Statement of Work shall include a variety of water system management activities for the Shadow Mountain Village (SMV) public water system

(CO0125719).

C.2 DESCRIPTION OF WORK

The Shadow Mountain Village water system (CO0125719) is a Non-Transient, Non-Community system serving up to 115 people. The water system consists of a well that feeds a 15,000 gallon fiberglass tank and a hypochlorinator for disinfection.

The amount of water treated is approximately 8,000 GPD. Access to the site can be done via passenger vehicle. See the System Population Certification for population types and seasons under Section J attachments.

All work performed under this Statement of Work shall be in compliance with all appropriate local, state, and federal rules, regulations, codes, and laws.

C.2.1. Contractor Responsibilities.

C.2.1.1. Contractor shall furnish all personnel required to perform the services required under this Statement of Work, except for those tasks specifically identified to be done by Forest Service personnel.

C.2.1.2. Contractor shall be responsible for the conduct of all Contractor employees and shall inform the Forest Service administrative contact of any complaints received.

C.2.1.3. Contractor shall ensure Contractor personnel are adequately trained or certified to meet the requirements of this Statement of Work.

C.2.2 ORC Certifications. The contracted ORC shall be certified by the Colorado Department of Public Health and Environment (CDPHE) at the following minimum certification levels:

Treatment Operator – Class D Distribution System Operator – Class 1

C.2.3 ORC Responsibilities. The ORC has supervisory responsibility for the operation of the facility. ORC shall furnish all supervision, labor, materials, tools, supplies, and equipment required for performance of work described in this service contract, which is applicable to all subsequent task orders. These responsibilities include but may not be limited to:

C.2.3.1. ORC shall provide services for the SMV public water system facility to insure the water meets the minimum CDPHE standards.

C.2.3.2. ORC shall provide oversight and supervision of Forest Service employees involved in operating the water system.

C.2.3.3. ORC shall protect the public health and the environment in the conduct of their duties. The ORC is accountable for the operation and maintenance of the water or facility and is responsible for understanding the requirements of the applicable permits, laws and regulations.

C.2.3.4. ORC shall be responsible for the coordination and testing of all distribution and non-distribution system sample testing schedules as stated in the attached 2018 monitoring schedule (and as updated in future years).

C.2.3.5. ORC shall notify the Forest Service in a timely manner when and what repairs, maintenance, and supplies are needed to bring system back into operation and/or compliance. ** ORC is not responsible for repairs of water system equipment.

C.2.3.6. ORC shall oversee/supervise the data collection activities of Forest Service Personnel taking weekly chlorine residuals. Forest Service personnel shall provide reporting results to the ORC following each collection activity.

C.2.3.7. ORC shall also provide a copy of all response and compliance reports to the Forest Service administrative contact.

C.2.3.8. ORC shall be responsible for response and compliance reporting to the CDPHE, as well as public notice requirements regarding any current or future violations.

C.2.3.9. ORC shall notify the Forest Service Administrative contact and/or COR of any other state requirements not included in this contract.

C.2.3.10. ORC may be required to respond to additional on-call/emergency services in the performance of this work.

C.2.3.11. ORC shall be required to reconcile any existing outstanding violations, ensuring the Forest Service is within compliance, during the base period of award of this contract. Any existing violations are provided in Section J, Attachments.

452.211-72 Statement of Work/Specifications. (FEB 1988) The Contractor shall furnish the necessary personnel, material, equipment, services and facilities (except as otherwise specified), to perform the Statement of Work/Specifications referenced in Section J.

452.211-73 Attachments to Statements of Work/Specifications. (FEB 1988) The attachments to the Statement of Work/Specifications listed in Section J are hereby made part of this solicitation and any resultant contract.

C.2.1. Optional Items Optional items are those that are not required may be awarded at the time of award of the base contract subject to funds availability and other terms and conditions of this contract. Optional items may also be awarded within 60 days of the NTP if exercised. The Contractor must guarantee pricing throughout the duration of the contract period of performance.

C.3 LOCATION OF PROJECT

The project location is in Shadow Mountain Village, an administrative site at address 34 County Road 66, Grand Lake CO 80447. Grand County.

C.4 CONTRACT TIME

The anticipated period of performance includes a base period and four (4) option years. The base period is anticipated for award (on or about 13 November 2018) through 30 November 2019. Award of the optional periods is not guaranteed and is always subject to funding availability. The option years will be effective 1 December through 30 November.

C.5 CONTRACT TYPE AND DETAILS

This is anticipated to be a single award multi-year contract will be an Indefinite Quantity, Indefinite Delivery (IDIQ). Task Orders will be Firm-Fixed Priced (FFP).

C.6 GOVERNMENT FURNISHED PROPERTY/MATERIAL

Any applicable Government Furnished Property/Material supplied, if applicable, will be so named in the specifications and or plans contained as part of this solicitation or any subsequent task orders.

C.7 PERSONNEL QUALIFICATIONS

The contractor shall provide personnel with the necessary training, resume, qualifications, and clearances to accomplish all requirements of this contract. "Summaries of Qualifications" shall be submitted for validation of key personnel skill sets validating assigned ORC Resume detailing specific ORC experience. Minimum last 5 years. In the event of contractor turnover of employees, "Summaries of Qualifications" shall be submitted through the Contracting Officer Representative (COR) for verification of key personnel skill sets. The Contractor shall also submit copies of Colorado ORC Certifications.

C.8 SAFETY

Contractors are subject to all applicable State and Federal OSHA rules and regulations. At time of award, the contractor shall submit to the COR the Material Safety Data Sheets (MSDS) with the intended use of each of the solutions the contractor proposes to use in the performance of work. MSDS sheets shall be supplied to the COR prior to using the items in the buildings. The contractor shall not use any materials in which the COR determines to be unsuitable for the work, or harmful to the surfaces it is intended to be applied to. This does not relieve the contractor of any damages resulting from the application of such materials. All containers used shall be clearly marked with manufacturer, type of chemical and intended usage. Mixing of chemicals is not allowed.

All equipment used in the process of cleaning the facilities shall be kept in safe working condition. All equipment used shall be inspected prior to each use. The contractor shall remove damaged equipment from service until repairs are made or equipment replaced.

C.9 SUSTAINABLE PRODUCTS

The Contractor shall comply with Section 9002 of the Farm Security and Rural Investment Act of 2002 (FSRIA), Executive Order (EO) 13423, “Strengthening Federal Environmental, Energy, and Transportation Management,” and the Federal Acquisition Regulation to provide biobased products.

The Contractor shall utilize products and material made from biobased materials (e.g. biobased greases, biobased hydraulic fluids, biobased absorbents) to the maximum extent possible without jeopardizing the intended end use or detracting from the overall quality delivered to the end user. All supplies and materials shall be of a type and quality that conform to applicable Federal specifications and standards. All supplies and materials to be used in the performance of work described herein are subject to the approval of the Contracting Officer.

C.9.1 In the performance of this contract, the Contractor shall make maximum use of biobased oils and lubricants that are designated by the United States Department of Agriculture unless the product cannot be acquired:

- Competitively within a time frame providing for compliance with the contract performance schedule;

- Meeting contract performance requirements; or

- At a reasonable price.

C.9.2 The Federal Acquisition Regulation (FAR) requires Contractors to report the purchase of biobased products under service and construction contracts during the previous Government fiscal year (October 1 thru September 30) and to submit this report no later than:

1. October 31 of each year during contract performance; and

2. At the end of contract performance.

C.9.3 Sustainable products identified for this solicitation:

The following is an example list of products that may be used in this contract for operations and maintenance for which biobased products are available. The list is not all inclusive. It is desirable that vendors be able to supply the greatest number of biobased products listed meeting the health and environmental specifications.

C.9.3.1 Diesel Fuel Additives

(1) Any substance, other than one composed solely of carbon and/or hydrogen, that is intentionally added to diesel fuel (including any added to a motor vehicle's fuel system) and that is not intentionally removed prior to sale or use.

(2) Neat biodiesel, also referred to as B100, when used as an additive. Diesel fuel additive does not mean neat biodiesel when used as a fuel or blended biodiesel fuel (e.g., B20). 90% - Minimum Biobased Content.

C.9.3.2 Hydraulic Fluids - Mobile Equipment

Hydraulic fluids formulated for general use in nonstationary equipment, such as tractors, end loaders, or backhoes. 44% - Minimum Biobased Content.

C.9.3.3 Penetrating Lubricants

Products formulated to provide light lubrication and corrosion resistance in close tolerant internal and external applications including frozen nuts and bolts, power tools, gears, valves, chains, and cables. 68% - Minimum Biobased Content.

C.9.3.4 Greases - Truck

Lubricants composed of oils thickened to a semisolid or solid consistency using soaps, polymers or other solids, or other thickeners. Lubricants that are designed for use on the fifth wheel of tractor trailer trucks onto which the semi-trailer rests and pivots. 71% - Minimum Biobased Content.

C.9.3.5 Gear Lubricants

Products, such as greases or oils, that are designed to reduce friction when applied to a toothed machine part (such as a wheel or cylinder) that meshes with another toothed part to transmit motion or to change speed or direction. 58% - Minimum Biobased Content.

C.9.3.6 Fuel Conditioners

Products formulated to improve the performance and efficiency of engines by providing benefits such as removing accumulated deposits, increasing lubricity, removing moisture, increasing the cetane number, and/or preventing microbial growths within the fuel system. 64% - Minimum Biobased Content.

C.9.3.7 Erosion Control

Woven or non-woven fiber materials manufactured for use on construction, demolition, or other sites to prevent wind or water erosion of loose earth surfaces, which may be combined with seed and/or fertilizer to promote growth. 77% - Minimum Biobased Content.

C.10 DEFINITIONS

Administrative Contracting Officer (ACO) - The ACO has authority for the administration of the contract and will handle all matters beyond the authority of the COR. Generally, this includes the day-to-day administration of the contract, except for matters pertaining to changes in contract price and time.

Contracting Officer (CO) Has full authority for the administration of the contract and will personally handle all matters beyond the authority of the ACO and COR. Contracting Officers are agents of the Government and are the only officials authorized to enter into any contract or agreement that binds the Government. If you are asked to perform additional work, or make changes not specified in the contract, DO NOT perform the work but immediately notify the Contracting Officer.

A Contracting Officer holds a legal warrant, which is a designation of authority to bind the Government.

Contracting Officer’s Representative (COR) The Contracting Officer’s Representative (COR) is the person most responsible for technical advice. The COR is also responsible for maintaining property records, outlining work, material approvals, inspecting work in progress, estimating completed work for partial or progress payments, and conducting pre-final and final inspections. In addition the COR oversees administrative matters (e.g., submittals, etc.). Also ensures elements of contract requirements are met in accordance with terms and conditions. The COR is NOT authorized to direct changes or bind the Government to any contractual agreement. NOTE: Designation form FS-6300-6 outlines functions the COR cannot perform.

Government Technical Monitor (GTM) Assists the CO and COR as a technical advisor/inspector to monitor contractor performance. A GTM has no contractual authority. This person exists only to advise the COR in his/her area of expertise.

SECTION E – INSPECTION AND ACCEPTANCE

E.1. GENERAL

All work shall be conducted under the general direction of the Contracting Officer and is subject to Government inspection and testing at all places and at all reasonable times before acceptance to ensure strict compliance with the terms of the contract.

452.246-70 Inspection and Acceptance (FEB 1988)

(a) The Contracting Officer or the Contracting Officer's duly authorized representative will inspect and accept the supplies and/or services to be provided under this contract.

(b) Inspection and acceptance will be performed at the project location specified under C.3.

E.2 QUALITY CONTROL

It is the objective of the Government to obtain complete and satisfactory performance in accordance with the terms within this contract. The contractor shall develop and maintain an effective quality control program to ensure services are tracked in accordance with the terms contained herein. The contractor’s procedures should identify, prevent and ensure non-recurrence of violations and defective services. The contractor’s quality control program is the means by which they assure themselves that their work complies with the requirement of the contract. A quality control plan shall be delivered within thirty (30) calendar days of the effective start date of work.

E.3 FAILURE TO PERFORM

If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. If the work remains deficient, the COR may have the work accomplished by other means and deduct the cost thereof from the monthly payment. When the defects in services cannot be corrected by re-performance, the Government may—

(1) Require the Contractor to take necessary action to ensure that future performance conforms to contract requirements;

and/or

(2) Reduce the contract price to reflect the reduced value of the services performed.

If the Contractor fails to promptly perform the services in conformity with the contract requirements or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may—

(1) By contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service; or

(2) Terminate the contract for cause.

SECTION F – DELIVERIES OR PERFORMANCE

F.1 PERIOD OF PERFORMANCE

The anticipated period of performance includes a base period and four (4) option years. The base period is anticipated for award (on or about 13 November 2018) through 30 November 2019. Award of the optional periods is not guaranteed and is always subject to funding availability. The option years will be effective 1 December through 30 November.

Optional years are not guaranteed. The Government will make intent to exercise notifications within thirty (30) calendars days of the effective start date of each subsequent option year.

52.242-14 Suspension of Work. (APR 1984)

452.211-74 Period of Performance (FEB 1988) The period of performance of this contract is from Award through 30 November 2019. All task orders shall be awarded within the performance period specified within the individual task order.

F.3 HOURS OF OPERATION

The Contractor is responsible for providing services between the hours of 6:00 am and 6:00 pm, Mountain Standard Time, Monday through Friday, except Federal Holidays or when the Government is closed due to local or national emergencies, administrative closing or similar Government directed facility closings.

SECTION G – CONTRACT ADMINISTRATION DATA

G.1 INVOICES & PAYMENTS

G.1.1. Invoices All invoices are to be submitted via the electronic Invoice Processing Platform (IPP) System.

The "Submit Invoice-to" address for USDA orders is the Department of Treasury's Invoice Processing Platform (IPP). The contractor must follow the instructions on how to register and submit invoices via IPP as prescribed in previous communications from USDA and Treasury.

Offeror must have an established account prior to commencement of work.

Invoice Processing Platform (IPP) does not allow for the contractor to change the description of the line items being invoiced against and therefore an itemized invoice must be uploaded as an attachment(s).

G.1.1.1 Itemized invoice shall include at a minimum:

Date of services or completion.

G.1.2 Certified Payrolls Certified payrolls for Construction: certified payrolls must also be uploaded as an attachment.

Contractor and all subcontractors, through the contractor, shall furnish all certified payrolls covering payments to laborers and mechanics for on-site work.

G.1.3 Final Payment Following completion and acceptance of the work (including return of Government-furnished property and site cleanup), Final payment will made within 30 calendar days after presentation of a properly executed invoice and if required by the contract, a release of all claims against the Government, other than claims arising under this contracted, in stated amounts, which the Contractor specifically accepts from the operation of the release.

G.2 FOREST SERVICE REPRESENTATIVES:

Klenise Wallace shall serve as the Administrative Contracting Officer (ACO), administering this contract and is the contact on all things concerning this contract. The Contracting Officer has full warrant authority over all contract issues. Task Orders will be assigned a Contracting Officer upon award.

The COR delegated authority, responsibilities and contact information will be defined on a delegation letter issued after contract award.

G.3 CONTRACT ADMINISTRATION DATA

Contract Award. A written award or acceptance of offer mailed or otherwise furnished to the Contractor shall result in a binding contract without further action by either party.

Notice to Proceed. The Contractor shall commence work upon receipt of a properly executed Notice to Proceed.

Changes. The Contracting Officer is the only person authorized to approve changes in any of the requirements under this contract and notwithstanding any provisions contained elsewhere in this contract the said authority remains solely with the Contracting Officer. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in costs incurred as a result thereof.

Unauthorized Instructions from Government or Other Personnel. The Contractor shall not accept instructions issued by any person employed by the U.S. Government or otherwise other than the Contracting Officer, or the authorized representative of the Contracting Officer acting within the limits of his/her authority.

Designation of Contracting Officer’s Representative (COR). Designation will be made upon contract issuance of task order(s) and a copy of the designation letters will be furnished to the Contractor. Limits of authority are described in each designation letter.

Designation of Authorized Representative of the Contractor. The Contractor shall assign a member or employee who will act as Project Manager during the course of this contract or during the course of this project. The official shall be responsible for affording liaison between the contract forces and the contracting offices. This designation shall be in writing and a copy furnished to the Contracting Officer.

G.4 EVALUATING CONTRACTOR PERFORMANCE

The Department of Agriculture, US Forest Service, Rocky Mountain Region, will begin using the Contractor Performance Assessment Reporting System (CPARS) modules as the secure, confidential, information management tool to facilitate the performance evaluation process. CPARS enables a comprehensive evaluation by capturing comments from both USFS and the contractor.

Each award requiring an evaluation must be registered in CPARS. The contractor will receive several automated emails.

Within thirty days of award, the contractor will receive an e-mail that contains user account information, as well as the applicable contract number(s) and evaluation module assigned. The contractor will have one user account set up that will allow access to all three modules.

Contractors are encouraged to visit https://www.cpars.gov/ to sign up for the free on-line Contractor Overview training when these sessions are offered.

Once the evaluation is readied and released, the contractor will receive a second email alerting them the evaluation is ready for their review and comment. The contractor will have thirty (30) days to respond to the evaluation. USFS shall provide for review at a level above the contracting officer (i.e., contracting director) to consider any disagreement between USDA FS and the contractor regarding USDA FS’s evaluation of the contractor. Based on the review, the individual at a level above the contracting officer will issue the ultimate conclusion on the performance evaluation.

NOTE: Unless the contractor provides a different POC to the contracting officer after award, the contracting officer will use the Past Performance Point of Contact (POC) listed on the contractors Central Contractor Registration (CCR) profile as the default Past Performance POC. This is the person that will receive the above CPARS email alerts. Copies of the evaluations, contractor responses, and review comments, if any, will be retained as part of the contract file, and may be used by Federal Agencies to support future award decisions. In accordance with FAR Clause 52.204-7 the contractor is responsible for the accuracy and completeness of the data within the System for Award Management (SAM) database.

SECTION H – SPECIAL CONTRACT REQUIREMENTS

452.237-74 Key Personnel. (FEB 1988)

(a) The Contractor shall assign to this contract the following key personnel: Contractor Representative, Operator in Responsible Charge (ORC).

(b) During the first ninety (90) days of the contract award date, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 3 business days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90-day period, the Contractor shall submit the information required by paragraph

(c) to the Contracting Officer at least 10 business days prior to making any permanent substitutions.

(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer.

Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on substitutions.

The contract will be modified to reflect any approved changes of key personnel.

H.1 SECURITY

This site is not secured. The Government will provide the Contractor with keys to facilities as needed in the performance of this Statement of Work. These facilities are in use by administrative personnel and open to the public. Contractor shall protect work and materials accordingly.

H.2 QUALIFICATIONS OF EMPLOYEES

The Contractor also agrees not to employ any person undergoing sentence of imprisonment except as provided by Public Law 89-176, September 10, 1965 (18 U.S.C. 4082) (c) (2) and Executive Order 11755, December 29, 1973.

H.2.1 The Contractor shall employ at all times a sufficient number of capable and qualified employees to enable the services required by this contract to be provided.

H.2.2 All matters pertaining to the employment, supervision, compensation, promotion, and discharge of such employees are the responsibility of the Contractor, which is in all respects, the employer of such employees.

H.2.3 The CO/COR may require dismissal from work any employee who is identified as a potential threat to the health, safety, security, general wellbeing or operational mission of the facility and its population.

H.2.4 The selection, assignment, reassignment, transfer, supervision, management and control of Contract employees in performance of this work statement will be the responsibility and prerogative of the Contractor. However, the Contractor shall comply with the general intent and specific policies set forth in the performance work statement, concerning conduct of employees as referenced therein. .

H.2.5 The Contractor shall not employ any person who is an employee of the United States Government if the employment of that person would create a conflict of interest.

H.3 RECORDING PRESENCES

All contract employees, performing working under this contract, must sign in and sign out in accordance with local work location procedures. Task orders should specify check in and check out procedures for duty location.

H.4 PROFESSIONAL CONDUCT AND PERFORMANCE

The contractor's staff is expected to adhere to professional conduct standards that include appearance, professional courtesy, and punctuality. Should any of the contractor’s staff be determined to be unacceptable in terms of professional conduct during duty hours, the Government COR shall inform the contractor’s project manager of such conduct and/or performance and allow the contractor to either remedy the situation to the Government’s satisfaction or remove and replace the

Arapaho Roosevelt NF’s and Pawnee NG Page 19 of 49 unacceptable on-site personnel at no additional costs to the Government. The contractor shall not employ persons for work under this contract without assuring the personnel do not pose potential risk to health, safety, security, general well-being or operational mission of the facility and its employees. In the event that any of the contractor’s staff is identified to be a potential threat to the operational mission of the facility and its employees, the Government COR shall inform the contractor’s project manager of such unacceptable personnel and that the contractor is requested to immediately remove and replace the unacceptable on-site personnel at no additional costs to the Government.

H.5 CONTRACTOR IDENTIFICATION

All contractor/subcontractor personnel will identify themselves as contractor employees during all forms of communications such as: business meetings, telephone conversations, electronic mail, attendance sheets, coordination documentations, reports, and the signature blocks utilized in all correspondence. The contractor/subcontractor personnel shall wear a picture identification badge and identify their workspace area with their name and company affiliation.

H.6 CONTRACTOR PERSONNEL SECURITY

The Contractor shall comply with all USFS and tenant agency security requirements in the building(s) where work is being performed.

All contract employees who require access to the Department of Agriculture Forest Service (USFS) site(s) and/or access to USFS local area network (LAN) systems shall be the subject of a background investigation and must receive a favorable adjudication from the USDA Personnel and Document Security (PDSD). Employees of the Contractor who will be performing work under this contract will be required to have a background investigation conducted. Personal Identity Verification information will be added into the NEIS, Person Model or current database. A favorable adjudicated background investigation must be on file of the Office of Personnel Management for the Contractor and his/her employees.

The Contracting Officer retains the right to exclude any Contractor’s employee from performance of duties under this contract if his/her records check reveals sufficient information to consider that employee a security risk. The exclusion of an employee for security reasons shall not relieve the Contractor from performance of the services required under this contract.

The Contractor shall, be responsible for properly protecting all information used, gathered, or developed as a result of work under this task. The Contractor shall also protect all classified/unclassified Government data, equipment, etc., by treating information as sensitive business, confidential information, controlling and limiting access to the information, and ensuring the data and equipment are secured within their facility.

The Contractor or their employees will not publish or disclose in any manner, without the FS Contracting Officer's written consent, the details of any programs,, documentation, data, or safeguards either designed or developed by the Contractor, or their employees under this Contract or otherwise provided by the Government. Contractor may be required to sign non-disclosure or other appropriate security agreements. A written agreement between the FS and any contractors will be entered into before FS data and information otherwise exempt from public disclosure may be disclosed to the contractors and other external organizations. The contractor and their employees will agree to establish and follow security precautions considered by the FS to be necessary to ensure proper handling of data and information. As may be identified elsewhere in this contract, the Contractor agrees that: The draft and final deliverables and all associated working papers and other materials deemed relevant by the COR/CO that have been generated by the Contractor in the performance of this contract are the property of the U.S. Government and must be submitted to the COR at the conclusion of the tasks.

All documents produced for this project are the property of the U.S. Government and cannot be reproduced or retained by the Contractor.

To the extent required to carry out a program of inspection to safeguard against threats and hazards to the security, integrity, and confidentiality of Government data, the Contractor will afford the Government access to the Contractor's or other external organization's facilities, installations, technical capabilities, operations, documentation, records, and databases.

The Contractor will cooperate with Federal agencies and their officially credentialed representatives during official inspections or investigations concerning the protection of FS information. Cooperation may include providing relevant documentation showing proof of compliance with federal and agency requirements, and rendering other assistance as deemed necessary.

The Contractor Agrees To –

(a) Comply with the Privacy Act of 1974 (the Act) and the agency rules and regulations issued under the Act in the design, development, or operation of any system of records on individuals to accomplish an agency function when the contract specifically identifies

(i) The systems of records; and

(ii) The design, development, or operation work that the contractor is to perform;

(b) Include the Act notification contained in this contract in every solicitation and resulting subcontract and in every subcontract awarded without a solicitation, when the work statement in the proposed subcontract requires the redesign, development,, or operation of a system of records on individuals that is subject to the Act; and (c) Include this Privacy Act Clause, including this paragraph, in all subcontracts awarded under this contract which requires the design, development, or operation of such a system of records.

In the event of violations of the Act, a civil action may be brought against the agency involved when the violation concerns the design, development, or operation of a system of records on individuals to accomplish an agency function, and criminal penalties may be imposed upon the officers or employees of the agency when the violation concerns the operation of a system of records on individuals to accomplish an agency function. For purposes of the Act, when the contract is for the operation of a system of records on individuals to accomplish an agency function, the Contractor is considered to be an employee of the agency. Definitions of the Privacy Act:

(a) "Operation of a system of records," as used in this clause, means performance of any of the activities associated with maintaining the system of records, including the collection, use, and dissemination of records.

(b) "Record," as used in this clause, means any item, collection, or grouping of information about an individual that is maintained by an agency, including, but not limited to, education, financial transactions, medical history, and criminal or employment history and that contains the person's name, or the identifying number, symbol, or other identifying particular assigned to the individual, such as a fingerprint or voiceprint or a photograph.

(c) "System of records on individuals," as used in this clause, means a group of any records under the control of any agency from which information is retrieved by the name of the individual or by some identifying number, symbol, or other identifying particular assigned to the individual.

The contractors and other external organizations will ensure that the following banner is displayed on all FS systems that contain Privacy Act information operated by the contractors and other external organizations prior to allowing anyone access to the system:

"This system contains information protected under the provisions of the privacy act of 1974 (public law 93-579). Any privacy information displayed on the screen or printed must be protected from unauthorized disclosure. Employees who violate privacy safeguards may be subject to disciplinary actions, a fine of up to $5,000, or both.”

H.7 NON-DISCLOSURE

The contractor shall execute a Non-Disclosure Agreement on behalf of the company and shall ensure that all staff assigned to, including all subcontractors and consultants, or other personnel performing on this contract execute an NDA protecting the procurement sensitive information of the Government and the proprietary information of other contractors. Assignment of staff that have not executed this statement or failure to adhere to this statement shall constitute default on the part of the contractor. The contractor shall maintain copies of the executed NDAs of individual employees at the Government site and shall make the records easily available to the CO and COR upon request.

H.8 ELECTRONIC MEDIA

All contractor staff providing services under this contract shall be knowledgeable and proficient at using computer equipment in general. All contract staff providing services under this contract shall be knowledgeable and proficient in the use of Microsoft Office basic tools and software: Word, Excel, and Outlook being some examples.

H.9 DATA RIGHTS

The Government shall retain ownership of all data entered, processed, and/or generated by the contractor's personnel in the performance of the tasks set forth in this contract.

H.10 INHERENTLY GOVERNMENT FUNCTIONS

Contractors will not perform services that provide inherently Governmental functions. In performing the tasks in this PWS, the contractor shall immediately stop work and notify the Government Contracting Officer in writing regarding situations where they believe, or have reason to believe, they have been tasked to perform an inherently Governmental function as defined by FAR subpart 7.5.

H.11 TRAINING

The Government shall not furnish training for contractors in support positions under this contract. The contractor is responsible for personnel training and qualifications to ensure all personnel supporting this contract remain proficient. The contractor shall provide status of periodic personnel training and proficiency semiannually in conjunction with a Program Management Review.

H.12 REMOVAL FROM CONTRACT WORK

(a) As provided in the clause entitled "Personnel Qualifications" (C.7), the contracting officer or a designated representative may require the Contractor to remove any employee(s) from USFS controlled buildings or other real property should it be determined that the individual(s) is either unsuitable for security reasons or otherwise unfit to work on USFS controlled property.
