About this file

This is a Questions and Answers document for federal pest control services solicitation 1282A726Q0035 for the San Dimas location, dated August 21, 2026.

The document addresses small business teaming and subcontracting structures for satisfying California Structural Pest Control Board licensing requirements. An eligible small-business prime may team with or subcontract to a California-licensed pest control company without forming a formal Joint Venture, provided the licensed partner performs all work requiring California Structural Pest Control Board credentials and the small-business prime retains overall contract responsibility. If structured as an SBA Joint Venture, the small-business prime must serve as Managing Venturer, employ the Project Manager as an employee, and perform at least 40% of the joint venture work with profits distributed commensurate to ownership. Key compliance requirements include ensuring the licensed partner holds current California Structural Pest Control Board company registration and qualifying operator license, the prime remains fully responsible for contract execution including quality control, invoicing, and compliance with Federal Acquisition Regulation requirements, and the arrangement complies with federal SBA rules for subcontracting without disqualification through affiliation or undue control issues. Submissions must clearly identify the teaming relationship and demonstrate how the licensed partner will perform portions of work requiring applicable credentials.

Additional Questions and Answers for San Dimas – Pest control services – 1282A726Q0035 -08/21/2026

Question #1: could you please confirm whether there is any acceptable teaming or joint venture structure in which an otherwise eligible small-business prime may team with a California-licensed pest control company to satisfy this requirement?

Or, must the entity submitting the quotation and receiving the award itself be registered with the California

Structural Pest Control Board and employ the required licensed operator at the time of quotation?

Answer: Yes, an eligible small-business prime can team or form a joint venture with a California-licensed pest control company. Under federal rules, small business Joint Ventures and Contractor Team Arrangements are fully acceptable, provided the small business maintains required control and compliance with state structural pest control licensing laws.

In addition: An eligible small-business prime can team or form a joint venture under federal regulations to satisfy this requirement. The Small Business Administration (SBA) allows several compliant structures, provided the arrangement meets the specific performance of work requirements and avoids affiliation pitfalls.

1. SBA Joint Venture (JV)

• Structure: A formal partnership between the small-business prime and the licensed partner.

• Requirements: Must be in writing and designated as an SBA-compliant Joint Venture.

• Control: The small business must act as the Managing Venturer.

• Employee: The Project Manager must be an employee of the small-business prime.

• Workshare: The small-business prime must perform at least 40% of the work done by the JV.

Profits: Profits must be distributed commensurate with the ownership split.

Question #2: Would an eligible small-business prime that does not itself hold the California structural pest control license be permitted to remain the prime contractor and submit the quotation under a Contractor Team

Arrangement/subcontracting structure with a properly licensed California pest control company performing the licensed pest control services?

In other words, would this structure be acceptable without forming a formal Joint Venture, provided the licensed team member performs the pest control work requiring the applicable California licenses and the prime remains responsible for overall contract performance and compliance?

Answer: an eligible small-business prime that does not itself hold the California structural pest control license may submit a quotation under a Contractor Team Arrangement or subcontracting structure, provided that:

• The California-licensed pest control company on your team performs all work requiring the applicable state structural pest control licenses, and

• The small-business prime retains responsibility for overall contract performance, management, and compliance with all federal and state requirements.

A formal Joint Venture is not required for this structure to be acceptable, so long as the arrangement meets federal SBA and FAR requirements and the licensed team member performs the licensed pest control services.

Please ensure your submission clearly identifies the teaming relationship and demonstrates how the licensed partner will perform the portions of work requiring the California Structural Pest Control Board credentials.

Key considerations to ensure compliance:

1. The licensed partner must hold California Structural Pest Control Board credentials (company registration and qualifying operator license) and must actually perform the work requiring that license.

2. The prime remains fully responsible for the contract’s overall execution, including quality control, invoicing, compliance, and Federal Acquisition Regulation (FAR) requirements.

3. Your arrangement must comply with federal SBA rules for subcontracting, ensuring no disqualification by affiliation or undue control issues.
