B.1.3 Type of Contract: The Government intends to award a single award Indefinite Delivery Indefinite Quantity (IDIQ) contract, which will allow for firm-fixed-priced (FFP) task orders utilizing FAR Subpart

13.5 Simplified Procedures for Certain Products and Commercial Services. This requirement will be full and open.

B.1.4 Indefinite Delivery Indefinite Quantity (IDIQ) Contract Administration: The IDIQ Contracting

Officer is the only person authorized to approve changes to the IDIQ. This authority remains solely with the IDIQ Contracting Officer. In the event the contractor effects any changes at the direction of any person other than the IDIQ Contracting Officer, the changes will be considered to have been made WITHOUT authority and NO adjustment will be made in the IDIQ price to cover any INCREASE incurred as a result thereof.

For each individual task order placed under the IDIQ, the Contracting Officer who places the task order (the Task Order Contracting Officer) is the only person authorized to approve changes to that task order. This authority remains solely with the Task Order Contracting Officer. In the event the mailto:Jacob.toft@usda.gov

B.1.5 Ordering Period: The ordering period for this IDIQ shall be five years from the effective date.

B.1.6 Place of Performance: The place of performance for this procurement is at the contractor’s location.

B.1.7 Commercial Services/Supply: The services specified in this contract and all task orders under this contract have been determined to be commercial.

B.1.8 Ordering: This is a single award IDIQ established in accordance with FAR Subpart 13.5.

IDIQ Holder: TBD

Task orders shall be placed as FFP in accordance with the IDIQ CLINs each task order is awarded under. Task orders under this IDIQ shall be made via written task orders. Such task orders may be issued at any time during the ordering period in accordance with FAR 52.216-18. and shall be prepared by a USDA Contracting Officer of sufficient warrant authority in accordance with the terms and conditions of this IDIQ. Each task order shall include a specific order number and shall specify the IDIQ number. All task orders shall specify a price for the performance of the tasks identified in the work statement for each task order.

The ordering activity shall issue a requirement for a task order to the IDIQ holder and shall clearly identify the following:

• Specific services/tasks

• Place of performance

• Period of performance

• Any other information deemed necessary.

Each task order over the Simplified Acquisition Threshold shall designate a Contracting Officer’s Representative.

The program office shall ensure that the requirement does not create an employer-employee relationship between the Government and the contractor’s personnel. Agencies shall not acquire personal services under this IDIQ. The program office shall evaluate their task(s)/project(s) to ensure a personal services task order is not contemplated in accordance with FAR Subpart 37.104.

The program office, Contracting Officer, and Contracting Officer’s Representative shall ensure contractors are not performing inherently governmental functions under this IDIQ. The program office shall evaluate their strategies and priorities for their task(s)/project(s) to ensure task(s)/project(s) to be performed by the contractor do not approach inherently governmental functions due to the nature of the function, the manner in which the contractor performs the task orders, or the manner in which the Government administers contractor performance in accordance with FAR 7.503(d).

Task orders valued over $2,500.00 shall be properly administered in the Integrated Acquisition System (IAS) PRISM. The estimated ordering value minimum and maximum dollar amount for each period is outlined below:

Estimated Ordering Value Low and High Ordering period one (months 1-12): $250,000.00 - $1,250,000.00 Ordering period two (months 13-24): $250,000.00 - $1,350,000.00 Ordering period three (months 25-36): $250,000.00 - $1,450,000.00 Ordering period four (months 37-48): $250,000.00 - $1,650,000.00 Ordering period five (months 49-60): $250,000.00 - $1,800,000.00

B.1.9 Funding: This IDIQ does not obligate any funding. All funding will be obligated via written Task

Orders issued by individuals authorized to place task orders, as identified in Section B.1.8 Ordering.

B.1.10 Designation of Contracting Officer’s Representative:

The Contracting Officer hereby designates as the Contracting Officer’s Representative (COR): An IDIQ COR will be established at time of award and a COR will be established per task when required or applicable.

The COR shall be responsible for administering the performance of work under this contract. In no event, however, will any understanding, agreement, modification, change order, or other matter deviating from the terms of this contract be effective or binding upon the Government unless formalized by proper contractual documents executed by the Contracting Officer prior to completion of the contract.

The Contracting Officer shall be informed as soon as possible of any actions or inactions by the Contractor or the Government which will change the required delivery or completion times stated in the contract, and the contract shall be modified accordingly.

On all matters that pertain to the contract terms, the contractor shall communicate with the Contracting Officer. Whenever, in the opinion of the Contractor, the COR requests effort outside the scope of the contract, the contractor shall so advise the COR. If the COR persists and there still exists a disagreement as to proper contractual coverage, the Contracting Officer shall be notified immediately, preferably in writing if time permits. Proceeding with work without proper contractual coverage may result in nonpayment or necessitate submittal of a contract claim.

The COR shall be responsible for initiating the Contractor Performance Assessment Report (CPAR) for awards over the simplified acquisition threshold of $250K to document contractor’s performance during the period of performance 14 days after completion of services or delivery of goods.

B.2 Non-Excepted Activity: Work under this task order has been determined NOT TO BE an Excepted Activity in the absence of an appropriation or CR. Activities under this task order do not support the preservation and protection of life and property and do not support law enforcement, health, and safety functions. In the event of shutdown, you will be notified by the cognizant contracting officer (CO) of the Government status and directed to suspend performance/stop work under this task order. For details on the procedures, see Federal Acquisition Regulation (FAR) Clause 52.242-14, Suspension of Work or FAR Clause 52.242-15, Stop Work Order, as included in this task order.

B.3 LEGAL HOLIDAYS:

(a) The Federal Government observes the following days as holidays.

(b) In addition to the days designated above as holidays, the Government may observe additional days in accordance with 5 USC 6103.

B.4 Continuation of Block 18B – INVOICES

B.4.1 Invoice Submission To invoice, a vendor must first enroll in the Invoice Processing Platform (IPP) by visiting https://www.ipp.gov/vendors. Once enrolled, all invoices must be submitted electronically through IPP. The IPP is a government-wide secure web-based payment information service offered free of charge to government agencies and their suppliers by the U.S. Department of Treasury’s Financial Management Service (FMS).

One-time enrollment in IPP means that you will receive a series of e-mails from Treasury services.

The first email will have the IPP Logon ID and link to the IPP application. A second e-mail, containing the password will be sent within 24 hours. Once you receive these emails, please login to the IPP application and complete the registration process.

Benefits of registering with IPP include the ability for your company to create invoices directly from a contract award and submit them electronically, as well as:

• E-mail notification when invoice(s) are paid

• Online payment history

• Remittance download

E-mail notifications of payments are sent when a payment is distributed to your bank account and will include all pertinent payment information. The IPP Customer Support Desk is available to assist users Monday through Friday (excluding bank holidays) from 8:00AM - 6:00PM ET, including answering any questions related to accessing IPP or completing the registration process. Their toll-free number is (866) 973-3131 or they can be reached at: IPPCustomerSupport@fms.treas.gov.

Please make sure that your company has registered at https://www.ipp.gov/vendors/enrollment-vendors to establish your account.

Additionally, the FMS requires the contractor to include its Dunn & Bradstreet Number (DUNS) on each invoice.

In accordance with OMB Memorandum, M-11-32, Agencies shall make payments to small businesses as soon as practicable, with the goal of making payments within 15 days of receipt of a proper invoice. If a small business contractor is not paid within this (15 day) accelerated period, the contractor will not be given a late-payment interest penalty. Interest penalties, as prescribed by the Prompt Payment Act, remain unchanged by means of this memorandum. All small businesses shall label all invoices as "Small Business."

Additionally, in accordance with OMB Memorandum, M-12-16, all prime contractors are encouraged to disburse funds received from the Federal Government to their small business subcontractors in a prompt manner. To assist prime contractors in expediting contractor payments to small business subcontractors, Agencies shall, to the full extent permitted by law, temporarily establish an earlier, accelerated date for making agency payments to all prime contractors. Consistent with OMB Memorandum M-11-32 above, Agencies shall have a goal of paying all prime contractors within 15 days of receiving proper documentation. In an effort to support small business growth, drive economic activity and job creation, the Contractor is encouraged to accelerate payments to their small business subcontractors.

In accordance with the requirements of the Debt Collection Improvement Act of 1996, all payments under this order will be made by electronic funds transfer (EFT). The Contractor shall provide financial institution information to the Finance Office designated above in accordance with FAR 52.232-33 Payment by Electronic Funds Transfer - System for Award Management.

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.

Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.216-18 Ordering (AUG 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from the base’s period of performance start date through ordering period five’s last performance date.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

52.216-19 Order Limitation (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2,500.00 the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor-

(1) Any order for a single item in excess of $1,000,000.00

(2) Any order for a combination of items in excess of $1,250,000.00; or

(3) A series of orders from the same ordering office within 2 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph

(b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 3 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the

Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued.
