I. Questions and Answers:

1. In the solicitation 123144R0004, it asks for a letter from the Surety company to meet the minimum amounts requirements of $4M single and $10M aggregate to be considered to qualify for the Phase 2 opportunity. If we would like to form Teaming Agreement with another firm, can it be Joint Teaming Agreement?

a. Yes, the Teaming Agreement can be a Joint Teaming Agreement.

2. Pages 5&6 – Please confirm that the RFP is submitted to BOTH Mr. Elliott Dale and Mr. Todd Lennox.

a. Yes, proposals shall be submitted to both Mr. Elliot Dale and Mr. Todd Lennox.

3. Page 7 - When does the USDA contemplate issuing Advisory Notices or Advisory Non- Recommendation Notices?

a. The USDA anticipates issuing Advisory Notices or Advisory Non-Recommendation notices shortly after Phase I submission – within 1 to 2 weeks of Phase I submission.

4. Page 14 - Invoicing – will the USDA allow for biweekly invoicing and payments?

a. No, the Contractor will only be able to invoice on a monthly basis for any Task Order, or upon project completion. USDA will approve partial payments equivalent to the percentage of deliverables received.

5. Page 16, Section 3 - Will USDA allow for dual or triple hatting of certain personnel. For example, will

USDA allow dual hatting for the super as the ECO or SSHO? Or the PM as the Project Coordinator?

a. Multiple hatting will be allowed on a Task Order basis and if the contractor intends to multiple hat, the contractor must indicate that on their proposal, or before accepting the work, for the individual Task Order.

6. Page 16, Section 4 -- Is there no parking at any of the USDA properties to include GWCC and the

National Agricultural Library (NAL)?

a. There is normally parking at GWCC and the NAL. There is normally no parking in DC buildings.

7. Page 16, Section 4 – Occupancy of Premises – is this to be interpreted that the respective building will be occupied but not the area where the construction activity will occur. Please confirm.

a. Spaces for construction are normally unoccupied during construction with appropriate “Danger Construction” signs in place, but spaces outside the construction zone are occupied and functional.

8. What are the badging/security requirements for personnel working on site?

a. Fingerprinting and background investigations are required for badging, these requirements are provided by USDA for contractors.

9. Page 38, TAB B -- This is an SDVOSB set aside. If the SDVOSB is also an 8(a) does USDA want the approval letter from the SBA?

a. No, the USDA does not require an approval letter from the SBA. See II. Revisions to the RFP, item

1 for further information.

10. Page 40, TAB D -- Financial information – indicates that the financial information provided will be utilized to determine offeror responsibility prior to award. However, the summary of Phase 1 submittal and evaluation factor list TAB D as N/A. Please confirm which indicator prevails. If the information is utilized to determine offeror responsibility, please advise as to what financial metrics will be utilized and will it be weighed against competitors or be a Go/No Go.

a. Financial information is not an evaluation factor. As stated in the RFP, financial information is utilized only for determination of contractor responsibility at the time of award. Prior to award, the contracting officer will review the financial information of the apparently successful offeror(s) to determine responsibility (IAW FAR 9.103(b)).

11. Reference: RFP Page 12, Contract Line Items: “Offerors who are advised to participate in Phase Two will be requested to enter unit prices for the base plus all option periods contract line items in the

PROPOSED CONTRACT LINE ITEMS FOR WASHINGTON DC AND MARYLAND LOCATIONS

(ATTACHMENT E). The unit pricing provided in ATTACHMENT E shall be considered a not-to-exceed unit price for all Delivery Task Orders.”

Question: In order for us to make an informed decision on whether we can participate in this solicitation, we would like to know the line items and pricing parameters we will be obligated to comply with. Please provide Attachment E and its relevant guidelines.

a. Attachment E will not be provided until Phase Two of the solicitation. Prospective contractors should expect typical office construction and renovation trades and activities as discussed on Page 11, C. Required Services. See II. Revisions to the RFP, item 2 for further information.

The pricing categories to be requested in phase II are as follows:

12. Reference: RFP page 36, V.A. Submission Instructions, paragraph 2: “Qualifications will be evaluated in Phase I to determine no more than the six (6) most highly qualified Offerors.

Question: From the 6 qualified Offerors in Phase I, how many MATOC contracts are anticipated to be awarded after evaluation of Phase II proposals?

a. The USDA anticipates awarding 2-3 MATOCs for construction under this solicitation.

13. Reference: RFP Page 16, Environmental Control Officer Question: Please confirm whether the Environmental Control Officer serves the same role as a Site and Safety Health Officer (SSHO).

a. These roles are performed separately.

14. Reference: RFP Page 16, Project Coordinator

Question: Please confirm whether the Project Coordinator serves the same role as a Project Manager.

a. These roles are performed separately.

15. Reference: RFP – no reference.

Question: How many task orders are anticipated to be issued each year?

a. Approximately 50 Task Orders for these services are anticipated under the contracts each year, totaling $5 to $6 Million dollars annually distributed between all awardees.

16. Reference: RFP p. 7 Overview: “Offerors who do not submit a Surety letter meeting the minimum amounts of $4M single and $10M aggregate will be considered a non-responsive submission.”

Question: Does USDA anticipate issuing task order(s) with value over $3.2M and multi-year period of performance?

a. See II. Revisions to the RFP, item 3 for changes to the aggregate annual dollar amount. The

USDA does not anticipate awarding Task Orders over $4.0M, with multi-year period of performances.

17. Reference: RFP p. 11 Required Services: “The A/E services mentioned above shall also include, but are not limited to …..”

Question: Is it acceptable for Offerors/Contractors to provide A/E services for MATOC task orders by subcontracting appropriately licensed architectural/engineering firms?

a. Yes, it is acceptable to subcontract appropriately licensed architectural/engineering firms.

18. Reference: RFP p. 37, Specific instructions for Teaming Arrangements/Joint Ventures.

Question: For SDVOSB Joint Venture Offerors, please confirm that submission of the joint venture agreement AND the joint venture operating agreement (in lieu of a Teaming Agreement) will satisfy section a. RECOGNITION OF CONTRACTOR TEAMS and section b. TEAM AGREEMENT? The JV operating agreement provides all data requested in sections a. and b. - identification of team members, a full delineation of roles and responsibilities of each team member, the duration of the agreement, the percentages of the participants, and the percent of the controlling party.

a. A Joint Venture Agreement and Joint Venture Operating Agreement will satisfy the requirements of Tab A.

19. Reference: RFP p. 39-40, 6. TAB F – FACTOR 2: PAST EXPERIENCE (ATTACHMENT B), Minimum

Criteria, a. Number of Projects: “Offerors must submit three (3), but no more than five (5) projects meeting the criteria. For Offerors submitting as a Teaming Arrangement, each firm/contractor in the Teaming Arrangement shall submit five (5) projects each, at least one (1) of which was performed jointly by the proposed team members. Submitted projects performed jointly by the proposed team members will be credited as one project for each team member.”

Question: For an SDVOSB Joint Venture Offeror, please confirm that they must submit a total of three (3) but no more than five (5) projects guidelines, that projects may have been performed by either JV partner, at least one (1) project performed by each JV partner, and at least 1 project must have been performed by all JV partners.

a. In a Joint Venture or Teaming Arrangement, EACH FIRM must submit three (3), but no more than five (5), past similar projects, with at least one (1) of the projects performed jointly by the proposed team members. In a Joint Venture or Teaming arrangement, Offerors therefore would submit 3 - 9 total past similar projects. Also see II. Revisions to the RFP, item 4 for further information.

20. Reference: RFP, Page 39, TAB F-Factor 2: Past Experience (Attachment B)

Question: Please clarify whether there is a page limitation for the Attachment B forms.

a. Attachment B – Past Experience Form is included in the overall 20-page limitation, as indicated at B. 3. on page 36 of the RFP.

21. Reference: RFP, Page 40, Supplemental Narrative

Question: If offerors choose to include the supplemental narrative, please clarify whether this will count towards the page limitation.

a. The optional, 2-page supplemental narrative is included in the page count limitation.

22. Is the $16 million contract max the aggregate for all contracts, or is it per awardee? (page 12 of RFP, Section A Minimum and Maximum Contract Amounts)

a. The $16 million contract max is per awardee, including all option years.

23. Please confirm, is the Table of Contents included in the Page Count? (page 36 of RFP, Section B.

Phase I – Format for Submission)?

a. The Table of Contents is not included in the page count.

24. Please confirm that teaming and/or joint venture agreements are not part of the page count (page

37 of RFP, Specific instructions for teaming arrangements/joint ventures under Tab A)?

a. All documents required under Tab A do not count toward the page count. Teaming and/or joint venture agreements are not included in the page count.

25. Please confirm that the 8(a) Small Business Approval Letter is not part of the page count (Page 38 of the RFP, Section 2 Tab B – Representations and Certifications)

a. The 8(a) Small Business Approval Letter is not required in the Phase I submission. See II.

Revisions to the RFP, item 1 for further information.

26. Please confirm, if an Offeror is a Joint Venture, are we required to show 3-5 projects for each Joint Venture member, or 3-5 projects total? (Page 40 of RFP, Minimum Criteria Section a. Number of Projects)

a. Joint Venture submissions are required to show 3-5 past projects EACH, with at least one project performed jointly. See the response to question 19 for more information.

27. Please confirm if Title Page, Table of Contents, Standard Form 1449, Reps and Certs, and Proposal

Data Sheet are included in the page count (Page 36 of RFP, Phase I – Format for Submission)

a. Title Page, Table of Contents Standard Form 1449 and Proposal Data Sheet are not included in the page count. There is no required submission of Reps and Certs.

28. The instructions for the Past Experience Forms states that "offerors must submit three (3), but no more than five (5) projects..." (page 40, paragraph a). However, later in that same paragraph, it states, "each firm/contractor in the Teaming Arrangement shall submit five (5) projects..."

Therefore, should the offeror submit 3 to 5 projects, or precisely 5?

a. See responses to questions 19 & 26.

29. Most offerors have a sizable pool of potential subcontractors from which they would draw during the life of the MATOC, on a task order/project-specific basis. It would be extremely unwieldy--for both the offeror and the Government--to have each potential subcontractor in the pool submit Past Experience forms for evaluation in Phase 1. However, the language on page 40 suggests that offerors should do precisely that. Would the Government confirm that it does NOT require Past Experience information from potential subcontractors for the Phase 1 submission?

a. Completion of the Past Experience form is not required for every potential subcontractor. It is only required for the Offeror or each members of the joint venture teaming arrangement. See II.

Revisions to the RFP, item 4 for further information.

30. If the Government does require Past Experience information from every potential subcontractor, the volume of material will significantly exceed the 20-page limit for that Tab. We respectfully recommend that the Government modify the wording to indicate a page limit PER PAST EXPERIENCE EXAMPLE, but with no overall page limit?

a. See response to questions 20 & 29.

31. On Page 40 of 43, it states Offerors must submit three, but no more than five projects meeting the criteria; however if the Offeror is submitting under Teaming Arrangement, EACH firm shall submit 5 projects and one must be performed jointly. It appears that an Offeror who is submitting without a team must 3 projects yet a team must submit 10 projects (5 per team member). We would like request that Offerors submitting as a team mirror the same requirements as an individual offeror and submit a minimum of three projects each with a maximum of 5 each with one project performed jointly?

32. The number of projects is not addressed for Joint Ventures. If a joint venture is registered in SAM, can the past performance be from either joint venture member? Is the required number of projects to be three with no more than 5 projects or does each JV member need to meet this requirement or does the JV itself need to have performed the projects?

33. What is the file size limitation of emails for submission of Phase I? If the file size is larger than the email limitation, can it be broken up into multiple files and still be considered responsive?

a. Email proposal submissions must be limited to 20 MB in size. Proposals may be submitted in multiple emails. Only emails that are received prior to the date and time of submission will be considered. Offerors that choose to submit in multiple emails are responsible for clearly labeling the submission as such.

34. I would like to confirm that for Phase I of this procurement project descriptions are required, but project evaluations won’t be necessary until Phase II?

a. Correct. Past Project Experience descriptions are part of Phase 1 while Past Performance

Questionnaires are part of Phase 2.

35. Tab E – Factor 1: Proof of Bonding Capacity requires that Offerors show bonding for “a minimum of

$4 Million single and $10 Million aggregate.” However, Page 12 of 43 notes that the Government will not place more than an aggregate amount of $3,200,000 in orders annually, which is less than the single amount of bonding required in the required surety letter. In order to encourage the most competition among SDVOSB small businesses, would the Government please consider lowering the minimum bonding to $2 million single and $5 million aggregate?

a. The USDA has considered the request. The bonding requirements of $4 Million Single and $10

Million Aggregate will remain. See II. Revisions to the RFP, item 3 for revisions to the annual aggregate ordering cap. Also refer to question 15 for more information.

II. Revisions to the RFP

The RFP is hereby revised in the following sections:

1. Remove the following sentence from Page 38 of the RFP:

a. 8(a) Small Businesses must submit the Small Business Administration Approval Letter verifying that your business has been approved as such.

2. Add sentence to end of first paragraph under C. Required Services on page 11:

a. Historically, Task Orders have been predominantly for tenant build-out and trades associated with this type of work.

3. Revise the first paragraph of A. on page 12.

a. During the period specified in FAR clause 52.216- 19 Order Limitations, the Government shall place orders totaling a minimum of $5,000.00, but not to exceed the aggregate amount of $4,000,000.00 annually.

4. Revise second sentence of paragraph A of EVALUATION OF TAB F on page 40:

a. The Government will place greater importance on projects performed as a prime contractor, or performed jointly in Joint Ventures or Teaming Arrangements, than as a subcontractor, based upon overall role and relevancy considerations.
