Harris County reserves the right to reject incomplete, inaccurate, or non-compliant submittals. Vendor shall promptly revise and resubmit any rejected documentation at no additional cost to the County.

Final acceptance of the project is contingent upon the complete and approved submission of all required documentation. Failure to comply may result in delayed acceptance, withholding of payment, or other contractual remedies available to Harris County.

Vendor shall maintain active, timely, and professional communication with Harris County Precinct 2 throughout the duration of the project.

Vendor shall designate a qualified and experienced Project Manager as the primary point of contact. The Project Manager shall have full authority to act on behalf of the vendor and shall be responsible for overall project coordination, scheduling, and performance.

This includes coordination of:

• Site access and staging areas

• Material deliveries and storage

• Noise-producing activities

• Temporary shutdowns of rooftop equipment or utilities

A minimum of forty-eight (48) hours advance written notice shall be provided for any activity that may impact building operations, including equipment shutdowns, access restrictions, or utility interruptions. All such activities shall require prior approval from Harris County.

All work at the Leonel J. Castillo Community Center shall be performed in a manner that ensures safety, maintains continuous facility operations to the greatest extent possible, and minimizes disruption to staff, visitors, and ongoing programs. Vendor shall coordinate and manage all subcontractors and shall be fully responsible for their performance, scheduling, and compliance with all contract requirements.

Failure to maintain adequate coordination, communication, or project management may result in corrective action, suspension of work, or other remedies available to Harris County.

WARRANTY

All products and services provided by the vendor under this solicitation shall be warranted to be free from defects in material, workmanship, and design. The vendor shall provide a minimum five (5) year vendor workmanship warranty beginning on the date of Harris County Precinct 2’s acceptance of the roofing work or the date of invoice payment, whichever is later. In addition, the vendor shall obtain and deliver a twenty

(20) year No Dollar Limit (NDL) manufacturer roofing system warranty covering the full TPO roofing assembly, including membrane, insulation, cover board, flashings, terminations, penetrations, and all associated components installed under this contract.

The vendor warrants that all roofing services will be performed with commercially reasonable skill and care consistent with generally accepted industry standards and applicable manufacturer requirements, and that all installed materials will conform in every respect to the specifications and standards in this solicitation and the resulting purchase order. Products and services must be suitable for their intended purpose and must perform in accordance with manufacturer performance requirements for the full warranty term.

The vendor shall assume all liabilities associated with consequential or incidental damages resulting from defective roofing materials or installation, as provided for under the applicable vendor and manufacturer warranties. The vendor shall transfer to Harris County Precinct 2 any and all warranties, indemnities, and protections received from manufacturers or suppliers of materials or components used in the roofing system, including any transferable warranties relating to defects, performance, or infringement. The vendor shall take all reasonable steps to assist Harris County in enforcing warranty rights or pursuing remedies under any manufacturer warranties.

The vendor shall provide written verification of all warranty coverages and shall submit documentation identifying all roofing system components included within the warranty. Warranty documentation shall include product identification and a system description as required by the roofing manufacturer, material lot numbers or production details when applicable, the full warranty duration and coverage terms, manufacturer contact information and warranty claim procedures, and any conditions or obligations necessary to maintain the validity of the warranty.

Warranty-related repairs shall be completed within ten (10) business days of notification for non-emergency conditions and within twenty-four (24) hours for emergency leaks or conditions posing immediate risk of damage. If the vendor fails to make warranty repairs within the specified timeframes, Harris County Precinct 2 may perform the work through a third party, and the vendor shall be responsible for all associated costs.

This action does not relieve the vendor of any remaining warranty obligations. All warranty repairs shall include coverage for parts, materials, and labor for no less than ninety (90) days from the date of repair. The vendor shall assist Harris County Precinct 2 with the processing, coordination, and completion of all warranty claims for the duration of the warranty period.

LABOR DEFINITIONS

Vendor shall provide all necessary qualified labor, supervision, tools, equipment, and incidentals required to perform all roofing work under this contract, including installation, repair, maintenance, and corrective actions necessary to maintain or restore the roofing system to a fully functional and watertight condition. All work shall be performed by properly trained, qualified, and, where required, licensed personnel in accordance with applicable federal, State of Texas, and local regulations, as well as manufacturer requirements and industry standards.

Prior to performing any repair work or installing replacement materials, the vendor shall submit a description of the proposed work to the Harris County Precinct 2 representative and obtain prior written approval.

Unauthorized work may be rejected and shall be performed at the vendor’s sole expense.

Labor rates for straight time hours shall include all costs associated with performing the work, including supervision, mobilization, tools, equipment, overhead, and profit. No additional charges shall be allowed unless expressly authorized in writing by Harris County.

Failure to comply with these requirements may result in rejection of work, non-payment, or other contractual remedies available to Harris County.

LIQUIDATED DAMAGES

It is agreed that time is of the essence for every portion of this bid and the resulting contract, including all tasks where a specific timeframe is established for performance. Should additional time be granted for any portion of the work, the revised completion date shall likewise be of the essence. The vendor shall not be assessed liquidated damages or excess costs when Harris County Precinct 2 determines that delays are not the fault of the vendor and that the vendor’s justification for extension is acceptable. Likewise, the vendor shall not be charged liquidated damages or excess costs when delays are caused by unforeseeable events beyond the vendor’s control and without negligence, including but not limited to acts of God, acts of public enemies, actions of Harris County Precinct 2, actions of other vendors, fires, floods, epidemics, quarantine restrictions, strikes, freight embargoes, or severe weather. The vendor shall, within ten (10) days from the beginning of any such delay—unless Harris County Precinct 2 grants additional time—notify the County in writing of the cause of delay. Harris County Precinct 2 will review the facts and the extent of the delay and notify the vendor within a reasonable time of its determination.

Liquidated damages shall be assessed at $100 per day for each calendar day the vendor fails to meet the established contract requirements. This amount is agreed to be a reasonable estimate of damages that Harris County Precinct 2 would suffer as a result of such delay. These provisions apply equivalently to work performed by sub vendors as to work performed directly by the vendor.

In addition to liquidated damages for delay, it is mutually understood and agreed that the vendor shall be responsible for reimbursing Harris County Precinct 2 for any direct costs incurred as a result of the County being required to supervise, correct, or otherwise intervene to remedy work that does not comply with the contract documents.
