The document is a Request for Proposal (RFP) #812-25/26 issued by the Elk Grove Unified School District (EGUSD) in Sacramento, California, seeking to procure refrigerated trucks for its Food & Nutrition Services department. The RFP solicits bids for five total refrigerated trucks: two 24-foot trucks and three 26-foot trucks, all to be brand new 2026 International MV607 SBA or equal models. The proposal was released on October 17, 2025, with bids due on November 7, 2025, at 4:00 PM PST. The initial contract term is for one year, from November 19, 2025, through November 18, 2026, with potential for renewal.

The trucks must meet specific California Air Resources Board emissions deadlines for 2025, feature Thermo King T-890 or equivalent refrigeration units with diesel and electric standby capabilities, and include detailed specifications for components such as engines, transmissions, suspensions, and electrical systems. The district will evaluate proposals based on a 100-point matrix that considers technical capability (40 points), pricing and cost effectiveness (20 points), project approach and delivery timeline (20 points), vendor experience and qualifications (15 points), and compliance and completeness (5 points).

9. EVALUATION MATRIX

All proposals received by the specified deadline will be reviewed by the Evaluation Committee for content, proposed price and service cost, and capabilities of the Proposer. After initial screening, the Evaluation Committee may shortlist, for further evaluation, those Proposers deemed most qualified based on a review of the proposals. Interviews and demonstrations may be conducted with one or more Proposers as part of the final selection process. Proposers are advised that the District, at its option, may award an agreement strictly based on the initial proposals.

The District is interested in awarding to the Provider whose offer, in total, presents the greatest value, in our view, to the District from the standpoint of suitability to purpose, quality, service, previous experience, price, ability to deliver, or for any other reason deemed by the District to be in the best interest of the District. Thus, the result will not be determined by price alone. Provider shall submit information sufficient for the District to easily evaluate proposals with respect to the selection criteria. The absence of required information may cause the Proposal to be deemed non-responsive and may be cause for rejection. Non-selection of any proposal will mean that another acceptable proposal was deemed to be more advantageous to the District, or that no proposal was accepted. Respondents whose proposals are not accepted will be notified by the District.

10. BASIS OF AWARD

The District reserves the right to reject any or all proposals, or to waive any irregularities or informalities in any proposals or the bidding, and to make its selection of items awarded based upon its best judgment as to which items substantially comply with the specifications, or which are most economical and/or best suited for the purpose for which they are intended.

The District reserves the right to make multiple awards or no award at all, and further reserves the right to reject any and all proposals and to waive any irregularity or discrepancy associated with this proposal. Please submit prices on each item. In the event of equal proposals, the award shall be made to the Proposer located within the State of California, the County of Sacramento, and with whom the Purchasing Department of the District has had satisfactory business relationships, in the order named. All proposals shall remain open and valid and subject to acceptance for ninety (90) calendar days after the RFP opening date.

11. SUBMITTAL

All Proposers submitting an RFP shall be responsible for familiarizing themselves with the conditions and requirements of the RFP before submitting their proposal. All proposals must be submitted on the forms enclosed and submitted online.

Instructions for Proposers Page 7 of 18

A responsive proposal is one that meets all terms, conditions, and specifications of the RFP. The proposal must comply with the content requirements of the RFP documents. The Proposer must perform and do what is required by the RFP documents, whether it be pricing in a certain way, attending a mandatory pre-proposal conference, providing bonds, etc. Other examples where a proposal might be declared and found to be non-responsive include:

A. The proposal is substantially incomplete.

B. The proposal is not signed.

C. The proposal is delivered late.

D. No acknowledgement of critical addenda.

E. Significant discrepancies appear in the response.

RFPs will be considered valid for ninety (90) calendar days after the proposal closing date.

12. SPECIFICATIONS

Proposers shall thoroughly examine and be familiar with the specifications. The failure or omission of any Proposer to receive or examine any form, instrument, addendum, or other document or become acquainted with all existing conditions shall in no way relieve any Proposer from any obligations with respect to the Proposer’s offer or the award agreement. The submission of an RFP shall be taken as prima facie evidence of compliance with this section.

13. PRICES

Bid each item separately. Prices must be stated in units specified or trade standard. The right is reserved to waive any informality in proposals, to reject any or all proposals, and to accept or reject any item or combination of items. In case of a discrepancy between the unit price and the extension, the unit price will be considered correct. Quote prices net, including trade discounts, F.O.B. DESTINATION, FRT. PREPAID. Set up fees and artwork charges are to be included in the unit price quoted, not charged separately. Cash discounts, when offered, will be computed from the final date of accepted delivery or receipt of invoice, whichever is later. Sales tax will be applicable but not included in the bid unit price.

14. BRANDS

Brand names are included for descriptive purposes to indicate the quality, design, and utility desired by the District, but the specifications are not intended to restrict competition. Brands of equal make or type to those specified will be considered unless otherwise so indicated in the proposal. Each Proposer shall indicate the brand name and model number of the brand(s) being bid (even if indicated in the specification). Terms such as “As spec” or Proposer’s item numbers instead of the manufacturer’s name and model number may be considered non-responsive.

15. INSPECTION AND ACCEPTANCE

All items provided under the contract shall meet or exceed the proposal specifications and shall comply with all Federal and California State laws governing their production, handling, processing, and labeling.

Inspection and acceptance of all items shall be at DESTINATION. Items found to be defective or not in accordance with the proposal specifications shall be replaced by the successful proposer at no cost to the District. Failure to replace said items shall be considered sufficient cause for default action under the DEFAULT provision of this proposal.

Instructions for Proposers Page 8 of 18

16. PUBLIC RECORD

All RFPs become the property of the District. All RFPs, including the accepted proposal and any subsequent award contract, become public records per the requirements of the California Government Code, Sections 6250-6270, and the “California Public Records Act”. Proposers submitting Proprietary information shall mark the information as such. The pricing and service elements of the successful proposal are not considered proprietary information.

The District will treat all information submitted in a proposal as available for public inspection once the District has an award contract finalized with the selected Proposer. If you believe that you have a legally justifiable basis under the California Public Records Act (Government Code Section 6250 et seq) for protecting the confidentiality of any information contained within your proposal, you must identify any such information, together with the legal basis of your claim, in your proposal. The Proposer agrees to defend and indemnify the District for any liability, costs, and expenses incurred in asserting such confidentiality as part of your proposal. The final determination as to whether the District will assert your claim of confidentiality on your behalf shall be at the sole discretion of the District.

17. ERRORS AND CORRECTIONS

Proposers submitting a proposal are responsible for carefully checking all conditions and specifications. The District will not be responsible for any errors or omissions on the part of the Proposer in submitting a proposal. No erasures are permitted. Mistakes may be crossed out and corrections made adjacent and must be initialed in ink by the person signing the proposal. Verify your proposal before submission, as it cannot be withdrawn or corrected after being opened.

18. ADDENDUM

Discrepancies in and omissions from the proposal documents or questions as to their meaning shall, at once, be brought to the attention of the District, in writing through the EGUSD Online Bonfire Procurement Portal, prior to the end date and time for questions. Any interpretations, changes, additions, or deletions will be made only by addendum duly issued, and a copy of such addenda (s) will be posted at https://egusd.bonfirehub.com. The District will not be responsible for any other interpretations or changes.

Any addendum(s) issued must be signed and returned with other proposal response documents at the time and date set for the proposal opening. It is the Proposer’s responsibility to indicate acknowledgment, sign, and return the addenda with their response.

19. WITHDRAWAL OF PROPOSAL

Any Proposer submitting a proposal may withdraw their proposal electronically online before the proposal opening. A Proposer may not withdraw their proposal after the closing date and time.

20. COST OF RFP PREPARATION

The cost of preparation of the response to this Invitation for RFP is solely the responsibility of the Proposer submitting a proposal. The District accepts or implies no liability for the cost of preparation.

21. PREVIOUS PERFORMANCE

Proposers submitting a proposal are advised that the District reserves the right to reject a proposal from a Proposer that cannot demonstrate the ability to provide the services required. Past service and delivery performance with a similar-sized organization and scope of work is a factor in the determination of an award against this proposal. Proposers submitting a proposal, past performance practices, and service to the District will be examined. Proposers submitting a proposal who have demonstrated unsatisfactory performance will be subject to disqualification as a responsible Proposer submitting a proposal, thereby disqualifying the Proposer submitting a proposal from an awarded contract.

The proposals and any other supporting materials submitted to the District in response to this RFP will not be returned and will become the property of the District unless portions of the material are designated as proprietary at the time of submittal and are specifically requested to be returned. Vague designations and/or blanket statements regarding entire pages or documents are insufficient and will not bind the District to protect the designated matter from disclosure. Pursuant to Michaelis, Montanari, & Johnson v. Superior Court (2006) 38 Cal.4th 1065, proposals shall be held confidential by the District and shall not be subject to disclosure under the California Public Records Act until after either: (1) the District and the successful Proposers have completed negotiations and entered into a contract, or (2) the District has rejected all proposals.
