The RFP seeks an independent Certified Public Accounting (CPA) firm to conduct comprehensive financial audits, including auditing combined and individual fund financial statements, pension-related schedules, and performing compliance testing. The solicitation requires on-site work in Bismarck, North Dakota for the first fiscal year, with potential remote work in subsequent years. The proposal responses are due on April 23, 2025, with contract start anticipated in May 2025 and completion of fieldwork by September/October 2025.
The contract will be a firm fixed-price arrangement, with previous audit contract maximum fees ranging from $111,720 to $126,600 for RIO and $111,934 to $123,600 for PERS in recent fiscal years. The evaluation will use a 100-point scale, with 80 points allocated to the technical proposal (methodology, management plan, and experience/qualifications) and 20 points to the cost proposal. Bidders must meet specific minimum qualifications, including having statutory authority to conduct audits in North Dakota, a recent peer review rating of "pass", independence in accordance with professional standards, and significant governmental audit experience. The RFP emphasizes the need for comprehensive audit services that will be incorporated into the State of North Dakota's Annual Comprehensive Financial Report (ACFR).

SECTION TWO – BACKGROUND
2.1 BACKGROUND INFORMATION – RIO
The North Dakota Retirement and Investment Office (RIO) was established in 1989 to coordinate the activities of the State Investment Board (SIB) and the Teachers’ Fund for Retirement (TFFR) as stated in Section 54-52.5-01 of the North Dakota Century Code.
State Investment Board The SIB is established in Chapter 21-10 of the North Dakota Century Code.
The SIB has statutory responsibility for the administration of the investment programs of several funds including the Public Employees Retirement System, The Teachers’ Fund for Retirement, the Workforce Safety and Insurance Fund, and the Legacy Fund. The SIB also maintains contractual obligations with certain political subdivisions. The 13-member Board includes the Governor, State Treasurer, Executive Director of Workforce Safety & Insurance, Land Commissioner, a State Representative and State Senator from the Legacy & Budget Stabilization Fund Advisory Board (LBSFAB), Director of the Office of Management & Budget, two representatives of PERS, two representatives of TFFR, and two appointed Institutional Investment Professionals.
All funds invested under the direction of the SIB follow the ‘Prudent Investor Rule’, with a specific exception for the Legacy Fund spelled out in Chapter 21-10-07.1 of the North Dakota Century Code related to in-state preference. Investments are managed exclusively in the interest of meeting the funds’ individual objectives. Professional investment managers, consultants and custodians are retained to assist in the implementation of the investment program. RIO assists the SIB in carrying out its responsibilities for investment program administration.
The investment program is highly sophisticated with ten asset classes and approximately 42 external investment manager relationships. The investments are pooled into three distinct groups, pension, insurance, and Legacy Fund, until November 2024 when the Legacy and insurance pools were combined. There are currently 31 client funds. From July 1, 2024, to March 31, 2025, all investments were externally managed. Tentatively April 1, 2025, the internally investment program will be internally trading.
Teachers’ Fund for Retirement TFFR was established in 1913 to provide retirement income to public educators. TFFR Is a qualified defined benefit public pension plan covered under section 401(a) of the Internal Revenue Code. The North Dakota Century Code Chapter 15-39.1 contains the actual language governing the Fund and is supplemented by Title 82 of North Dakota Administrative Code.
The mission of the TFFR division is to administer a comprehensive retirement program that provides North Dakota public educators with a foundation for retirement and security. The TFFR has approximately 25,000 active, inactive, and retired members and over 200 employers.
Responsibility for administration of the TFFR benefits program is assigned to a seven-member Board of Trustees (Board). The Board consists of the State Treasurer, the Superintendent of Public Instruction, and five members appointed by the Governor. The appointed members serve five-year terms which end on June 30 of alternate years. The appointed Board members must include two active teachers, one active school administrator, and two retired members.
TFFR’s funds are invested under the direction of the SIB following the ‘Prudent Investor Rule.’ The investments must be invested exclusively for the benefit of the TFFR members. Two of the TFFR Board members serve as voting members on the thirteen-member SIB.
In February 2025 a new pension administration system was launched. TFFR’s legacy solution was first deployed in 2005 as a client-server application. RIO pursued a pension administration system modernization project to better support and maintain key activities, such as payroll reporting, contributions accounting, benefits calculations, tax processing, reporting, and integration capabilities. Neospin™, Sagitec’s pension administration platform, provides TFFR with a full implementation of a modern, scalable solution that automates processes, improves data accuracy, and enhances the member and employer experience.
RIO’s most recent audit contract was with UHY LLP. The most recent financial statement and pension related (Schedule of Employer Allocations and Schedule of Pension Amounts) audit can be found on the SAO’s official website.
2.2 BACKGROUND INFORMATION – PERS
The system is the administrator of four defined benefit pension plans and an optional defined contribution retirement plan. The system also manages and administers the retiree health insurance credit program, the uniform group insurance program, the deferred compensation program, and the pretax benefit program.
Defined Benefit Pension Plans The Public Employees Retirement System (PERS) is a cost-sharing multiple employer retirement plan.
PERS was established July 1, 1966, as a defined contribution plan was changed to a defined benefit plan by the 1977 North Dakota Legislature. Starting in 2025, the Main PERS plan will be closed to new employees, who will instead be enrolled into a Defined Contribution plan. PERS covers substantially all employees of the State of North Dakota, its agencies, and various participating political subdivisions. It also covers Supreme and District Court Judges, the National Guard Security Officers, and Firefighters, and as of August 1, 2004, peace officers and correctional officers employed by political subdivisions.
The Highway Patrolmen’s Retirement System (HPRS) is a single-employer defined benefit plan established July 1, 1949, that covers substantially all sworn officers of the North Dakota Highway Patrol. The System became the administrator of this plan effective July 1, 1983. The Retirement Plan for Employees at Job Service North Dakota (Job Service Plan) is a single-employer defined benefit plan established July 1, 1961 and is limited to employees participating in the plan as of September 30, 1980.
The System became the administrator of the Job Service plan effective August 1, 2003.
PERS has approximately 27,000 contributing members and 14,500 retirees and beneficiaries currently receiving benefits. HPRS has approximately 165 contributing members and 119 retirees and beneficiaries. The Job Service Plan has 1 contributing member and 109 retirees. Defined Contribution Retirement Plan An optional Defined Contribution Retirement Plan was established effective January 1, 2000. The Defined Contribution Plan is available to state employees who are in positions not classified by the Human Resource Management Services division of the State of North Dakota. Employees of the judicial branch, Board of Higher Education, or State Institutions under the jurisdiction of the Board of Higher Education are not eligible to participate in this plan. The 2013 Legislative Assembly passed legislation to expand eligibility for this Plan to include all new statement employees hired on or after October 1, 2013, through July 31, 2017. Eligibility has now reverted to state employees not classified by the Human Resource Management Services division of the State of North Dakota. Starting in January 2025, the Defined Contribution plan will become the primary retirement plan for newly enrolled public employees. The plan currently has approximately 90 participants and 30 retirees.
Retiree Health Insurance Credit Program This program was created by the North Dakota Legislature in 1989. It is designed to provide members with a benefit that can be used to offset the cost of their health insurance premiums during retirement years. The program is not available to new employees starting January 1, 2020 or after.
There are approximately 16,000 contributing members and 14,000 retired participants currently receiving benefits.
The retiree health insurance credit program is accounted for as an other employee benefit trust fund.
Uniform Group Health Insurance Program Group Health Insurance. The system began administering the group health insurance plan in 1971.
There are approximately 25,000 active and retired contracts under this plan. Total covered lives, including spouses and dependents, are approximately 59,000. There are approximately 100 state agencies and 120 political subdivisions participating in the group health program.
Group Life Insurance. The system began administering the group life insurance plan in 1971. There are approximately 20,000 active and 3,000 retired employees covered under the basic life insurance plan.
Active employees have the option of purchasing additional life insurance under the employee supplemental, dependent supplemental, and spouse supplemental provisions of the plan.
The uniform group insurance program is accounted for as an enterprise fund.
Deferred Compensation Program This is a voluntary, supplemental retirement plan provided in accordance with Section 457 of the Internal Revenue Code. It allows eligible employees to defer and invest income on a pretax basis to be withdrawn later, usually at retirement. The System has administered the Plan since 1987. Nine companies have agreed to provide investment services for the State’s deferred compensation program.
The deferred compensation program is accounted for as an other employee benefit trust fund.
Pretax Benefits Program (FlexComp) This program was established by the North Dakota Legislature in 1989 in accordance with Section 125 of the Internal Revenue Code. It allows employees to elect to reduce their salaries to pay for qualified insurance premiums, medical expenses, and dependent care expenses on a pretax basis. There are approximately 2,800 participants in the medical and dependent care spending accounts.
The pretax benefits program is accounted for as an other employee benefit trust fund.
