SECTION B - SERVICES AND PRICES

(Continuation from Standard Form 1449, block 19 through 24)

B.1 MULTIPLE-AWARD INDEFINITE-DELIVERY, INDEFINTITE-QUANITITY

CONTRACT

This is a multiple-award indefinite-delivery, indefinite-quantity (“IDIQ”) contract (known herein as the indefinite-quantity contract (“IQC”) with fixed daily rates, to provide non-personal services to complete the requirements identified in Section D. Task orders shall be placed under this IDIQ contract using the following contract type: firm-fixed-price (“FFP”) with cost-reimbursable line items for other direct costs (“ODCs”), which includes travel. No profit or fee shall be added to ODCs.

IDIQ MINIMUM: The contract minimum number of task order awards is established at one (1) task order award per awardee.

IDIQ MAXIMUM: The contract maximum dollar amount is established at $100,000,000.00. This contract maximum is for all orders under the multiple-award IDIQ, including all option periods. The maximum aggregate dollar value of all task orders issued under this IDIQ contract cannot exceed the contract ceiling.

Each Contractor is required to provide, if requested by USTDA, up to a maximum of $5,000,000.00 of services during each year of the IQC period. The maximum amount per task order is not to exceed $3,000,000.00. Estimates for reimbursable items should be made carefully with this limitation in mind.

B.2 PERIOD OF PERFORMANCE

The base ordering period for this IDIQ is twelve (12) months from date of award with four (4) twelve (12) month option periods that may be exercised at the Government’s discretion. The base and task order ordering periods are as follows:

B.3 TASK ORDER PRICES

Contractor’s offer for a particular task order shall consist of a quotation, using rates from Section B.5 of this contract for a firm-fixed-price for direct labor, based upon the daily rate for the personnel to be used under that particular task order, times the number of days each individual needs to perform the particular services. The pricing request for the task order will specify which other direct costs, such as marketing and advertising expenses, will be included within the fixed

IQC–Reverse Trade Missions, Conferences, Workshops, Training, and Other Events price portion, and which other direct costs, such as international airfare, shall be estimated by the Contractor when preparing its offer and will be reimbursed based upon actual costs. Contractor’s estimate of the other direct costs, such as meals associated with the Reverse Trade Missions, Conferences, Workshops, Training, or Other Events, airfares for foreign delegates, and interpretation, if required, shall be included in the reimbursable portion of the Task Order Rate Chart. The fixed-price portion and the reimbursable portion shall constitute the total contract value, which shall not exceed the established ceiling price specified in this IQC.

2. TECHNICAL DIRECTIONS:

(a) As used herein, “Technical Directions” are directions to the Contractor, which fill in details, suggest possible lines of inquiry, or otherwise complete the general scope of work. “Technical Directions” must be within the terms of this contract and shall not change or modify them in anyway. “Changes,” as referred to in FAR 52.212-4(c), may only be accomplished by the Contracting Officer (“CO”).

(b) Performance of the work under this IQC shall be subject to the Technical Directions of the Contracting Officer’s Representative (“COR”).

(c) Performance of work under each task order will be under the Technical Direction of a USTDA COR and potentially an Alternate Contractor Officer’s Representative (“ACOR”). USTDA reserves the right to change the COR and/or ACOR during the course of the task order and will notify the Contractor of any new designation. Such guidance must be within the terms of this contract and the task order and shall not change or modify them in any way except as provided for in Section D.1.13 of this contract.

3. CONTRACTOR REMITTANCE ADDRESS: All payments by the Government to the

Contractor will be made as follows:

a. The Contractor shall submit invoices electronically in accordance with the timeline stipulated in each task order using the Invoice Processing Platform (“IPP”).

b. The Contractor is responsible for providing the CO with Electronic Funds Transfer (“EFT”) banking information at the time of award. Failure to provide EFT information at time of award may delay payment.

4. INVOICES: Invoices shall be submitted in arrears in accordance with task order stipulations.

B.5 TASK ORDER PRICING STRUCTURE

Contractors shall not exceed the fixed and fully burdened Hourly Rates (“HR,” which shall be inclusive of overhead, general and administrative (“G&A”), fringe benefits, and profit) awarded on this Base IDIQ contract.

BASIC SAFEGUARDING OF COVERED CONTRACTOR INFORMATION SYSTEMS

(NOV 2021)

(a) Definitions. As used in this clause-- "Covered contractor information system" means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

"Federal contract information" means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public websites) or simple transactional information, such as necessary to process payments.

"Information" means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, https://www.acquisition.gov/ or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

"Information system" means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C.

3502).

"Safeguarding" means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures.

(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial products or commercial services, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

52.216-18 – Ordering (AUG 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from the effective date of the contract through the end of the period of performance.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

52.216-19 - Order Limitations (Oct 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract at one task order per awardee, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor—

(1) Any order for a single item (task order) in excess of $3,000,000

(2) Any order for a combination of items in excess of $5,000,000 per annum

(3) A series of orders from the same ordering office within five days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216- 21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within five days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-21 Requirements (Oct 1995)

(a) This is a requirements contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government’s requirements do not result in orders in the quantities described as "estimated" or "maximum" in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. Subject to any limitations in the Order Limitations clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the Schedule and called for by orders issued in accordance with the Ordering clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(c) Except as this contract otherwise provides, the Government shall order from the Contractor all the supplies or services specified in the Schedule that are required to be purchased by the Government activity or activities specified in the Schedule.

(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.

(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.

(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period;

provided, that the Contractor shall not be required to make any deliveries under this contract after October 3, 2035.

52.216-22 - Indefinite Quantity (Oct 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period;

provided, that the Contractor shall not be required to make any deliveries under this contract after the period of performance.

52.217-8 - Option to Extend Services (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 15 calendar days.

(a) The Government may extend the term of this contract by written notice to the Contractor within 15 calendar days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 calendar days before the contract expires. (b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

USTDA funds the upfront technical work that accelerates the development of infrastructure projects, helping them attract the financing they need for implementation and procurement of U.S. goods and services. USTDA also hosts activities that promote infrastructure partnerships with the United States.

Partnership-building activities play an important role in USTDA’s mission. Through reverse trade missions (RTMs), USTDA brings foreign project sponsors, officials, and other decision-http://www.acquisition.gov/ makers to the United States to observe the design, manufacturing, and operation of U.S. products and services. USTDA’s conferences and forums – usually sector or region-specific events – showcase U.S. goods, services, and technology to foreign buyers. As a result of their participation, USTDA’s delegates often make investment, procurement, and other major decisions related to infrastructure projects of strategic importance to the United States and our overseas partners.

To effectively implement these activities across a wide range of sectors, regions, locations and program requirements, USTDA requires access to a diverse pool of qualified contractors with demonstrated event management, logistics, outreach and related capabilities. Maintaining a pool of contractors provides the Agency with the capacity, flexibility, specialized expertise and geographic reach necessary to execute multiple, often concurrent, activities efficiently and consistently in support of USTDA’s mission.

D.1.2 SUMMARY OF REQUIREMENTS

USTDA requires a pool of qualified Contractors to plan, organize, and implement partnership-building activities that support the Agency’s mission, including reverse trade missions (RTMs), conferences, forums, workshops, trainings, and other events. Activities may take place anywhere in the United States or overseas and may be conducted in person, virtually, or in a hybrid format.

USTDA may require multiple activities to be planned and implemented concurrently across different regions, sectors, and locations, including multiple events taking place simultaneously.

Contractors must demonstrate the capacity and resources necessary to successfully manage and execute overlapping activities without compromising quality, responsiveness, or performance.

Under this IQC, Contractors may be required to provide the full range of services necessary to successfully execute these activities. This includes, but is not limited to, event planning and project management; venue and vendor coordination; domestic and international travel and logistics; support for high-level foreign delegations and U.S. Government participants;

participant recruitment, outreach, and registration; development of agendas, itineraries, and event materials; interpretation and translation; audiovisual and virtual event support; transportation, lodging, and other on-site logistics; and post-event monitoring, evaluation, data analysis, reporting, and closeout activities.

Contractors must be capable of organizing activities within short or evolving timeframes, managing complex logistics in a professional and efficient manner, and adapting to changing programmatic, operational, and foreign policy requirements. Contractors may also be responsible for marketing activities and conducting targeted outreach to appropriate USTDA-eligible U.S.

firms, foreign project sponsors, government officials, industry representatives, and other stakeholders, as applicable to the activity.

Supporting deliverables may include participant and project resource guides, briefing materials, presentations, handouts, signage, websites and registration platforms, audiovisual materials, reports, and other documentation necessary to support the successful implementation and evaluation of each activity.

This section provides a summary of the types of requirements anticipated under the IQC.

Specific scopes of work, deliverables, schedules, locations, staffing requirements, and other activity-specific requirements will be established in individual Task Orders.

USTDA reserves the right to procure activities or services covered by the scope of this contract through other contracting vehicles or procurement methods outside of this IQC.

D.1.3 GENERAL DESCRIPTION OF TASK ORDER ACTIVITIES

The Contractor shall plan, coordinate, organize, manage, implement, and document the events and related activities described below. Depending on the requirements of an individual Task Order, these responsibilities may include but are not limited to activities undertaken before, during, and after an event, including planning and scheduling, participant and stakeholder coordination, outreach and registration, travel and logistical arrangements, development of event materials, on-site or virtual event management, and post-event reporting and closeout.

The specific scope, location, schedule, deliverables, staffing, and level of support required will vary by Task Order based on the type, size, complexity, and objectives of the activity.

Contractors shall be prepared to coordinate closely with USTDA, other U.S. Government agencies, foreign government representatives, private-sector participants, vendors, venues, and other stakeholders, as applicable.
