About this file
This is a Standard Terms and Conditions document governing a contract between the State of Utah and a contractor for facility scheduling software services to be provided to the Washington County School District. The contract is expected to commence on July 1, 2026, with an initial term of one year followed by four automatic annual renewal options, extending through July 1, 2031. The selected vendor will provide a comprehensive software solution designed to manage facility scheduling for the school district, and the vendor should demonstrate prior experience delivering similar scheduling solutions to educational institutions. No specific response dates, bid deadlines, site visits, or bidders' conferences are referenced in this document.
The Standard Terms and Conditions establish the legal framework governing the contractual relationship, including provisions requiring compliance with all applicable federal and state laws, maintenance of records for a minimum of four years post-contract termination, and the contractor's status as an independent contractor responsible for all employment taxes. The State of Utah provides sales and use tax exemption number 11736850-010-STC for tangible personal property or services. The contractor warrants all products for one year unless otherwise specified, with remedies including repair, replacement, or full refund at no cost to the State. Payment is typically processed within 30 days of delivery or invoice receipt, with the contract subject to nonappropriation of funds and termination provisions allowing either party to terminate without cause upon 60 days' written notice or with cause upon 10 working days' notice to cure violations. The document establishes a clear precedence order for conflicting terms, with State of Utah Standard Terms and Conditions taking priority over all other contract documents.
