INSTRUCTIONS TO OFFERORS

1.1 Pre-Proposal Conference: A Pre-proposal Conference will be held “In-Person” in the

Conference Room of the Procurement Services Department, 1270 W. Summit, Suite #1006, San Antonio, Texas 78201 on Wednesday, June 3, 2026 at 11:00 am(CST). Make sure to use the Intercom Button to be let into the building. Site visit will be discussed. Upon the conclusion of the pre-proposal conference, bidders will have an opportunity to visit the campus accompanied by District staff. Make sure to have your ID to sign in at the front desk. Although attendance is not mandatory, all prospective Bidders are strongly encouraged to attend and have reviewed specs and plans prior to the pre-proposal conference.

1.2 Receipt of Sealed Proposal: Sealed proposal will be received by the Owner until Tuesday, June 16, 2026 at 3:00 pm(CST) through the Bonfire Portal https://saisd.bonfirehub.com/portal unless that time is extended by Addendum hereto issued to those prospective Offerors. We will host the Proposal Opening “In-Person” in the Conference Room of the Procurement Services Department, 1270 W. Summit, Suite #1006, San Antonio, Texas 78201. Make sure to use the Intercom Button to be let into the building.

All proposals received will thereupon be opened and read aloud, except as provided herein.

Responses not submitted as specified may be grounds for rejection or disqualification.

1.3 Accuracy of Proposals: Each proposal received will be presumed to be accurate and free from error, unless clear and convincing evidence to the contrary is presented.

1.4 Offeror's Representations: The Offeror, by submitting a proposal, represents that:

A. The Offeror has carefully read and understands the Proposal Documents, and the proposal is made in accordance therewith.

B. The Offeror has carefully read and understands the Proposal Documents and/or Contract Documents, to the extent that such documentation relates to the work for which the proposal is submitted.

C. The Offeror has examined the site, become familiar with local conditions under which the work is to be performed, and has correlated the Offeror's personal observations with the requirements of the proposed Contract Documents.

D. The proposal is based upon the materials, equipment, and systems required by the Proposal Documents without exception.

E. Offeror’s proposal is made on the basis of Offeror’s examination, and not on the basis of any representations of Owner, the Architect, or any agent of Owner or Architect.

F. The Offeror has familiarized himself with all of the attached forms, general conditions, supplementary conditions, specifications, drawings, bulletins, addenda and other documents pertinent to the work.

1.5 Form of Proposal:

A. Each proposal must be submitted on the form of proposal prescribed by Owner, a copy of which is included among the Contract Documents. All money amounts shall be shown in both words and in figures; in case of discrepancy, the amount shown in words will govern.

B. Sealed proposals must be submitted on Document 00300.

C. The Offeror must also submit the following:

1. Proposal Security: (“Bid Bond”)

2. Document 00302: Supplemental Bid Form - Subcontractors (one for each project)

3. Document 00306: Contractor’s Qualification Statement

4. Document 00307: Representation and Certification Form

5. Document 00308: Small Women Minority Business Enterprise (SWMBE)

Participation Plan

6. Document 00309: Contractor/Subcontractor Criminal Background Instructions

7. Document 00310: Out of State Certification Form

8. Document 00311: House Bill 89 Verification of Vendor Form (TX Gov’t Code §

2270.001)

9. Document 00312: EDGAR Compliance Form

10. Document 00313: Conflict of Interest Questionnaire (CIQ)

11. Document 00314: SB 252 Verification Form

12. Required Information set forth in Document 00100

1.6 Proposal Security: Each proposal must be accompanied by a Proposal Security (“Bid

Bond”) on a form substantially similar to AIA Document A310 (1970 Edition) or on a form otherwise acceptable to the Owner, in the amount of five percent of the largest possible total proposal or proposals, including consideration of alternates, which sum shall be paid to Owner as liquidated damages in the event that the Offeror, if awarded the Contract, should fail within ten (10) calendar days after the date of the Notice of Award to execute and return the Contract, together with the Performance and Payment Bonds with acceptable surety. In lieu of a Bid Bond, as Proposal Security, Owner may accept a deposit of the amount of five percent of the largest possible proposal or proposals, including consideration for alternates, by cashier's check issued by a bank satisfactory to Owner. The Owner shall have the right to retain the security of all offerors to whom an award is being considered until either (i) the Contract has been executed and delivered by all parties and any required payment and performance bonds, evidence of insurance, and other submittals have been furnished, or (ii) all proposals have been rejected by the Owner. The District reserves the right to automatically revoke Board Award if the successful Offeror does not provide an original Certificate of Insurance with Performance and Payment Bonds in an amount of one hundred percent of the largest possible total proposal or proposal within ten (10) working days from Board Award Date.

1.7 Acceptable Surety: "Acceptable surety" is defined as an insurance company duly authorized to do business in the State of Texas and license by the State of Texas to issue surety bonds, and having an unblemished record, in the opinion of Owner, for faithful performance during the preceding five years of all undertaking to Owner. Notwithstanding any other law to the contrary, Owner may establish financial criteria for the surety companies that provide payment and performance bonds. TEX. LOC. GOV'T CODE § 271.025(e).

1.8 Subcontractors: For each project, a listing of all proposed subcontractors must be submitted on Document 00302. Include additional items or trades not listed on the form.

Insert only one name for each item. Offeror must insert Offeror’s own name for items proposed to be performed by own forces. Indicate whether subcontractor is a Small (S) Women (W) or Minority (M) Owned Business Enterprise (BE).

1.9 Offeror’s Qualification Statement: Offerors must execute the statement requested on

Document 00306.

1.10 Small Women Minority Business Enterprises (SWMBE): The Owner desires the promotion and involvement of SWMBE in construction. Therefore, pursuant to Owner’s Board Policy CH(Legal), CH(Local) and CV(Local), Offerors are required to demonstrate good faith compliance with these policies. In order to determine the effectiveness of efforts to encourage SWMBE participation, Offerors shall complete and submit Document 00308, Small Women Minority Business Enterprises (SWMBE) Participation Plan.

Owner defines a qualified SWMBE as a firm certified to do business as an M/WBE or SWMBE by any Federal or State Agency or Municipal Government, such as, but not limited to, the City of San Antonio, Via Transit, U. S. Department of Transportation, Small Business Administration-8A Certification Program, or State of Texas Procurement and Support Services.

1.11 Substitution of Materials: Where a particular item of material or equipment is specified by brand name, it is not necessarily intended by Owner to discriminate against all other products, but, rather, to prescribe a definite standard whereby to indicate the quality and capacity of the material or equipment required. Any prospective Offeror who desires to propose a substitute product should feel free to do so, requesting the issuance of an addendum approving the substitute. However, any such request must be submitted in writing to Architect ten (10) calendar days before the time for closing receipt of proposals, and non-response to such a request will not constitute a granting of the request. Sufficient information should accompany the request to enable Architect to promptly render a decision. The burden of proof of equivalency or “equal to” of the substitute product or material is upon the Offeror. Notwithstanding the foregoing, Owner reserves the option to select the product or material which is more compatible with existing systems and/or which meets or exceeds acceptable performance standards as prescribed in the specifications as determined by the Owner.

1.12 Qualification of Proposals: Any attempt to qualify a proposal, by legend upon the documents or otherwise, may lead to the rejection of that proposal as nonconforming.

1.13 Reservation of Rights: Owner reserves the right to award the Contract to any Offeror, at any time, within ninety (90) days after the opening of the proposals, to reject any or all proposals, to waive objection to any informality in the submission of the proposals and/or to terminate the procurement solicitation process in its entirety. Texas Gov’t Code Chapter 2267, Section 2267.154, 2267.155, Owner and Architect reserve the right to discuss proposals with Offerors after proposals have been opened to allow for clarification and changes, and reserve the right to discuss with the best value Offeror options for cost reduction. Award of the Contract will be based upon the availability of funds. If the District is unable to reach agreement with the best value Offeror, the Owner shall terminate in writing, further discussions and proceed to the next Offeror in the order of the selection ranking until a Contract is reached, or all proposals are rejected. Owner shall take adequate precautions to ensure that information from competing proposals is not disclosed to other Offerors.

1.14 Withdrawal and Amendment: Any Offeror may withdraw or amend his proposal at any time prior to the time for closing receipt of proposals. Any such amendment must be in writing and signed by the Offeror.

1.15 Submittals:

A. Prior to the award of the Contract, Owner and/or Architect will notify the Offeror, in writing, if either Owner or Architect, after due investigation, has reasonable objection to a person or entity proposed by the Offeror. If Owner or Architect has reasonable objection to a proposed person or entity, the Offeror may, at the Offeror's option, (i) withdraw the proposal, or (ii) submit an acceptable substitute person or entity with an adjustment in the base proposal or alternate proposal to cover the difference in cost occasioned by such substitution. Owner may accept the adjusted price of the proposal or may disqualify the Offeror. In the event of either withdrawal or disqualification, proposal surety will not be forfeited.

B. The Offeror will be required to establish to the satisfaction of Owner and Architect the reliability and responsibility of the persons or entities proposed to furnish and perform the work described in the proposal documents.

C. Offeror is responsible for complying with all applicable ethics and conflict of interest laws, regulations, and statutes, including TEX. LOC. GOV'T CODE §§ 171.001 and TEX.

LOC. GOV'T CODE §§ 176.006(a) et seq., and applicable Owner Board Policies and administrative regulations.

D. Offeror shall, as soon as practicable after notification of selection for the award of a Contract, furnish to Owner, through the Architect in writing:

1. A designation of the work to be performed with the Offeror's own forces; and

2. Names of the manufacturers, products, and the suppliers of principal items or systems of materials and equipment proposed for the work.

3. Persons and entities proposed by the Offeror and to whom Owner and Architect have made no reasonable objection must be used on the work for which they were proposed and shall not be changed except with the written consent of Owner and Architect.

1.16 Interpretation or Correction of Proposal Documents:

A. The Offeror shall carefully study and compare the Proposal Documents with each other, and with other work on which proposals are concurrently being accepted, or presently under construction to the extent that it relates to the work for which the proposal is submitted, shall examine the site and local conditions, and shall at once report to Architect errors, inconsistencies, or ambiguities discovered, and shall request the issuance of a clarifying addendum.

B. Offerors and Sub-Offerors requiring clarification or interpretation of the Proposal Documents shall make a written request which shall reach Architect at least seven (7) calendar days prior to the date for receipt of proposals.

C. Interpretations, corrections, and changes of the Proposal Documents will be made by addendum. Interpretations, corrections, and changes to the Proposal Documents made in any other manner will not be binding, and Offerors shall not rely upon them.

1.17 Submission of Proposals:

A. All proposals must be typed or entered in ink. Proposals written in pencil will not be accepted.

B. The Offeror shall assume full responsibility for timely upload in the District’s e-procurement portal.

C. Oral, telephonic, or telegraphic proposals are invalid and will not receive consideration.

D. No contract will be created between Owner and a prospective Offeror simply by virtue of the prospective Offeror's submission of the lowest responsible proposal, or the lowest priced proposal. Owner expressly retains its authority to reject any and all proposals.

1.18 Pricing:

A. Prices may not be altered or amended after opening of proposals has occurred, except to correct self-evident errors and as allowed by the appropriate purchasing method.

Notwithstanding the foregoing, pursuant to Texas Gov’t Code Chapter 2267, Section 2267.154, 2267.155, Owner and Architect reserve the right to discuss proposals with Offerors after proposals have been opened to allow for clarification and changes, reserve the right to discuss with the selected Offeror options for cost reduction, and reserve the right to award the Contract based on such negotiations.

B. No increase in price will be considered after opening of proposals has occurred, except a price decrease is permitted if the successful Offeror is the ‘best value’ Offeror according to all evaluative standards set out herein.

C. Prices that include escalation clauses shall not be considered.

D. Prices are firm for acceptance by Owner for sixty (60) days from the date opening of proposals has occurred.

E. All prices for supplies and materials shall be quoted F.O.B. Destination.

F. Where unit prices are requested, as additions or deductions to the base proposal, the proposer shall state the unit price on the bid sheet in the spaces provided thereon.

G. Any bid which is not based upon the drawings and specification or which contains any letter or written memorandum qualifying same, or which is not properly made and signed by the proposer, or by a authorized agent of the proposer, may be rejected.

H. The Owner, as a tax-exempt organization, is not required to pay state sales tax. The materials to be used in the Work will be exempt from the limited sales, excise and use tax imposed by Chapter 151 of the Texas Tax Code.

1.19 Bonds and Insurance: The successful Offeror shall deliver to Owner, within the time specified in the Proposal Documents, evidence of insurance and original payment and performance bonds, all in accordance with the requirements set forth in the Contract Documents. An original Certificate of Insurance and Performance and Payment Bonds confirming coverage must be submitted to the School District within ten (10) working days after the date of Notice of Award. The District reserves the right to automatically revoke Board Award if the vendor does not provide an original Certificate of Insurance and the Performance and Payment Bonds within this required time frame.

1.20 Proposal Selection Criteria: Pursuant to TEXAS GOV’T CODE CHAPTER 2269, as amended, Owner shall evaluate and consider all proposals based on a combination of price and other factors that Owner determines provides the best value to Owner, and may consider any of the following in determining to whom to award a Contract:

A. The price; 30 points

B. The Offeror’s experience and reputation; 25 points C. The quality of the Offeror’s goods or services; 20 points D. The impact on the ability of the governmental entity to comply with rules relating to

Within 45 days after the date of opening the proposals, the Owner shall evaluate and rank each proposal submitted in relation to the selection criteria. The Owner will evaluate the proposals submitted based upon the selection criteria described below.

(A) Proposal Price and Other Terms. The Owner will consider the base, alternate, unit and segregated prices as part of its evaluation. Owner may consider any other contract terms inserted by the Offeror, including the length of construction time and the number and scope of conditions, limitations, exceptions and exclusions in the proposal (30).

(B) Experience and Reputation. The Owner will consider the Offeror’s number of years as a general contractor with a specific experience in educational facilities construction projects of the same or similar type and size of this project, including work performed in connection with a school facility which was occupied and in use during construction.

1.21 Additional Considerations. Nonresident Offerors:

A. Nonresident Offerors' proposals shall be evaluated in compliance with TEX. GOV’T

CODE § 2252.002.

B. In the event that a proposer is or subsequently becomes delinquent in the payment of his or its school advalorem taxes, such fact shall constitute grounds for rejection of the proposal, or if awarded the proposer, for cancellation of the contract. However, the Owner reserves the right to deduct any delinquent taxes from payments the Owner may owe to the delinquent proposer as a result of such contract.(Reference Section 1.39, page 00100-10).

2267.053, the San Antonio Independent School District Board of Trustees delegated its authority regarding an action authorized or required by this subchapter to the Senior Executive Director, Construction and Development Services as the designated Owner’s representative. Authorized or required actions include – but not limited to – determining the purchasing method, establishing evaluation criteria and relative weights, ranking, selection, and evaluation of proposals and qualifications that provide the best value to the Owner.

1.36 Prohibited Contact- Bidder/Offeror/Proposer will direct all questions and/or concerns about the solicitation, evaluation process, and/or resulting contract to the SAISD Director of Procurement Services. Bidder/Offeror/Proposer and those of its agents, employees or subcontractors will have no direct contact with SAISD Board of Trustees, individually nor any SAISD Administrator, Leadership Executive Director, Superintendent level designee or Superintendent, etc., without coordinating such contact with the SAISD Director of Procurement Services prior to attempting any such contact. 1.37 Prohibited Communication – “During Blackout Period” - The blackout period is a specified period of time during a competitive sealed procurement process in which any Proposer, bidder, or its agent or representative, is prohibited from communicating with any SAISD Board members, district employees and any contractor involved in any step in the procurement process about the affected procurement. “Involvement” in the procurement process includes but may not be limited to project management, design, development, implementation, procurement management, development of specifications, and evaluation of proposals for a particular procurement. All solicitations for competitive sealed procurements will identify a designated contact person. All communications to and from potential Proposers, bidders, vendors and/or their representatives during the blackout period must be in accordance with this solicitation’s defined method of communication with the designated contact person. The blackout period will begin upon posting of the solicitation and end when the contract is awarded. In those instances in which a prospective Proposer is also an incumbent contractor, the District and the incumbent contractor may contact each other with respect to the existing contract only. Under no circumstances may the District and the incumbent contractor and/or its representative(s) discuss the blacked-out procurement.

1.38 Indebtedness- Because fiscal responsibility is a criterion, if the Bidder/Offeror/Proposer is indebted to the District, including but limited to, being delinquent on the payment of property taxes, the District will withhold awarding a contract to the Bidder/Offeror/Proposer and refuse to enter a contract with the Bidder/Offeror/Proposer. Further, if the Bidder/Offeror/Proposer becomes indebted to the District after a contract is entered, then the District will withhold renewing the contract. (TEX. EDUC. CODE §44.044).
