SECTION IV — SPECIAL CONDITIONS

A. Contract Requirements:

The Community will require the selected Conflict Attorney(s) to execute an Agreement with the Community. At the sole discretion of the Community, if negotiations are not likely to lead to an executed contract, the Community reserves the right to terminate negotiations with the selected Conflict Attorney.

B. Term of Contract:

The contract period shall commence October 1, 2026, and terminate September 30, 2027.

The Community may authorize renewal of the agreement for two (2) additional one-year periods.

C. Termination:

The Community reserves the right to terminate the services of a Conflict Attorney which is perceived by the Community to be ineffective, unresponsive, incompetent, or who withdraws proposed key personnel without substitution of comparably qualified personnel, as determined by the Community at its sole discretion.

D. Choice of Law:

Conflict Attorney agrees to comply with all applicable laws and ordinances of the Gila River Indian Community and United States including, but not limited to, obtaining or maintaining a business license pursuant to GRIC Code, Title 13, Chapter 2, and compliance with the Indian preference provisions of Title 12, Chapter 4. The Conflict Attorney must be eligible and admitted to practice in the Gila River Community Courts pursuant to GRIC Code Section 4.107. Only the contract will govern the relationship between the contractor and the Community; no other supplemental legal agreements will be considered by the Community or requested by the Conflict Attorney during the term of agreement.

E. Payment Terms:

The monthly rate is for approximately ninety (90) cases per year (annually), approximately nine (9) new cases per month; with a variance that may increase to one hundred and five

(105) cases per year. A case means representation of one person on one charging document; after a case is dismissed without prejudice and refiled, the refiling is considered a separate case from the case that was dismissed. Any deviation in the number of cases assigned that is within ninety (90) cases to one hundred and five (105) cases per year shall not result in alteration of the payment owed, and if the number of cases assigned falls below the approximated or variance amount the Community will remain liable for the full monthly amount of Three Thousand Three Hundred Eighty Dollars and Zero Cents ($3,380.00). In no event shall the Conflict Attorney be required to accept cases above the variance of one hundred and five (105) cases per year. The Conflict Attorney agrees he/she will not carry a workload of cases from private practice that by reason of its excessive size, interferes with accepting new cases within the maximum variance, interferes with the rendering of quality representation, endangers the client’s interest in the speedy disposition of charges, or leads to breach of professional obligations.

The Conflict Attorney shall submit monthly invoices for payment of actual services rendered for ongoing services at a billing rate of Three Thousand Three Hundred Eighty Dollars and Zero Cents ($3,380.00) per month. The Community agrees to process invoices for payment within thirty (30) calendar days following receipt of the invoice, provided that the Community has no disputes with the submitted invoices. The Community shall review and approve all invoices submitted by the Conflict Attorney prior to payment. The Conflict Attorney is required to submit invoices to the Community’s Finance Department at the following address: Gila River Indian Community, Attn: Finance Department/Accounts Payable, Post Office Box 2160, Sacaton, Arizona 85147 with a courtesy copy to the Department by email.

F. Insurance Requirements:

The Conflict Attorney shall provide documentation of professional accreditation, all licenses, and other certifications as may be required by law or standards of relevant professional communities in relation to services provided pursuant hereto. The Conflict Attorney is required to maintain and shall provide documentation of professional liability insurance. Further, the Conflict Attorney expressly warrants that the Conflict Attorney shall meet all applicable licensing, certification and professional liability insurance requirements throughout the term of the Agreement. The Conflict Attorney stipulates the Conflict Attorney is a fully licensed member in good standing with the State Bar of Arizona and, to the best of the Conflict Attorney’s knowledge, no disciplinary proceedings have been instituted against the Conflict Attorney that are unresolved and the Conflict Attorney has not been disbarred or suspended from the practice of law in any jurisdiction in the United States or its territories.

G. Choice of Law:

It is the intention of the parties that performance of the terms of the Agreement shall be in accordance with and pursuant to the laws of the Gila River Indian Community and that any action, special proceeding or other proceeding that may arise from, in connection with or by reason of this Agreement shall be resolved pursuant to the laws of the Gila River Indian Community and exclusively in its courts.

H. Ownership of Work Product:

The Conflict Attorney agrees that any documents or other work product generated on behalf of the Community in connection with any Agreement are property of the Community.

I. Confidentiality:

The Conflict Attorney agrees that neither they nor their agents or representatives shall communicate, whether in writing or verbally, any information concerning work performed in connection with the Agreement except in strict compliance with the terms and conditions of an express authorization by the Community Governor, the Lieutenant Governor, or the General Counsel of the Community.

J. Hold Harmless and Indemnity Clause:

The Conflict Attorney agrees to indemnify the Community from any and all liability, loss or damage arising out of or in any way connected with the Conflict Attorney’s performance of the contract, or the performance of any subcontract by a subcontractor of the Conflict Attorney.

K. Licenses:

Conflict Attorney shall maintain in current status all federal, state and local licenses and permits required for the operation of a business conducted by the Conflict Attorney.

The contract will be awarded with the understanding and agreement that it is for the sole convenience of the Community. The Community reserves the right to obtain like services from another source when necessary.
