No Bidder may withdraw a bid within sixty (60) calendar days after the actual date of the bid opening. The specified period of 60 calendar days may be extended by mutual agreement between the Owner and the successful Bidder, if there are reasons why the Contract cannot be awarded within the specified period. A conditional or qualified bid will not be accepted.
Bidders are responsible to satisfy themselves regarding the accuracy of the estimated quantities in the Bid Schedule by examining the site, and reviewing the Project Manual, including all Addenda. After bids have been submitted, the Bidder shall not assert that there was any misunderstanding concerning the quantities of work, or the nature of the work to be done. Ten days prior to the bid opening, each Bidder is required to check with the Owner for posted

Each bid must be accompanied by a Bid Bond payable to the Owner for ten (10) percent of the total amount of the bid, which shall be signed by a guaranty or surety company listed in the latest issue of the U.S. Treasury Circular
570. As soon as the bid prices have been compared, the Owner will return the bonds of all except the three lowest responsible Bidders. When the Agreement is executed, the bonds of the two remaining unsuccessful Bidders will be returned. A certified check may be used in lieu of a Bid Bond.

The Owner, within ten (10) calendar days of receipt of acceptable Performance Bond, Payment Bond, Certificates of Insurance, and Agreement signed by the party to whom the Agreement was awarded, shall sign the Agreement and return to such party an executed duplicate of the Agreement. Should the Owner not execute the Agreement within such period, the successful Bidder may, by written notice, withdraw his signed Agreement. Such notice of withdrawal shall be effective upon receipt of the notice by the Owner.

Owner. Should there be reasons why the Notice to Proceed cannot be issued within such period, the time may be extended by mutual agreement between the Owner and the successful Bidder. If the Notice to Proceed has not been issued within the thirty (30) calendar-day period, or within the period mutually agreed upon, the successful Bidder may terminate the Agreement without further liability on the part of either party.
Attention is called to the fact that all materials for the Project must be obtained from PennDOT approved suppliers.
The Owner may make such investigations as he deems necessary to determine the ability of any Bidder to perform the work required by the Project, and Bidders shall furnish to the Owner all such information and data for this purpose as the Owner may request. The Owner reserves the right to reject any bid if the evidence submitted by, or investigation of, such Bidder fails to satisfy the Owner that such Bidder is properly qualified to carry out the obligations of the Agreement and to complete the work represented therein. Bidders may be required to provide proof of prior appropriate experience upon request.
After the bids are opened, the total bid amount in the Bid Tabulation and the name of the apparent low Bidder will be publicly announced. Bids will then be compared, on the basis of adding the products of the approximate quantities shown in the Bid Schedule, multiplied by the unit bid prices. Bids will then be promptly verified and if judged by the Owner to be satisfactory, the results of the determination of the lowest responsible Bidder will be made available to the public.
All applicable laws, ordinances, and the rules and regulations of all authorities having jurisdiction over the construction of the Project shall apply to the Contract throughout.

The failure or omission of any Bidder to do any of the foregoing shall in no way relieve any Bidder from any obligations with respect to his bid. Submission of a bid shall be construed to mean that the Bidder has fulfilled this responsibility.
All Bidders agree to abide by the requirements under Executive Order Number 11246 regarding Equal Employment
Opportunity as currently amended.
Bidders are hereby notified that state Prevailing Wage Rates must be paid in accordance with Pennsylvania (PA) law and applicable grant requirements. If applicable, Prevailing Wage Rates for this project are attached.

Owner and Contractor hereby agree as follows:
Article 1 – Work
1. Contractor shall complete all Work as specified or indicated in the Contract Documents. The Work is generally described as follows:
The project consists of replacing the Old State Rd Bridge in Lamar Township, PA in accordance with the project manual.
Article 2 – Engineer
1. The part of the Project that pertains to the Work has been designed by R K Webster, LLC.
2. The Owner has retained R K Webster, LLC (“Engineer”) to act as Owner’s representative, assume all duties and responsibilities, and have the rights and authority assigned to Engineer in the Contract Documents in connection with the completion of the Work in accordance with the Contract Documents.
Article 3 – Contract Times
1. Time of the Essence
A. All time limits for Milestones, if any, Substantial Completion, and completion and readiness for final payment as stated in the Contract Documents are of the essence of the Contract.
2. Contract Time
A. Contractor will complete the Work and be ready for final payment in accordance with paragraph Time for Completion and Liquidated Damages of the General Provisions within 75 calendar days of the
Notice to Proceed. This number of days shall correspond with and equate to numerical difference in the proposed start and end dates as stated in bid item number 7 on page 8.
3. Liquidated Damages
A. Contractor and Owner recognize that time is of the essence as stated above, and that Owner will suffer financial and other losses if the Work is not completed and Milestones not achieved within the times specified above, plus any extensions thereof allowed in accordance with the Contract. The parties also recognize the delays, expense, and difficulties involved in proving in a legal or arbitration proceeding the actual loss suffered by Owner if the Work is not completed on time. Accordingly, instead of requiring any such proof, Owner and Contractor agree to the following schedule of liquidated damages for delay (but not as a penalty):
1. One (1) to fifteen (15) Days beyond Contract Time Limit:
• Two hundred ($200.00) dollars per calendar day.
2. Sixteen (16) to thirty (30) Days beyond Contract Time Limit:

Substantial Completion according to the Contract Times, and (2) for the actual costs reasonably incurred by Owner for engineering, construction observation, inspection, and administrative services needed after the time specified above for Substantial Completion (as duly adjusted pursuant to the
Contract), until the Work is substantially complete.
B. After Contractor achieves Substantial Completion, if Contractor shall neglect, refuse, or fail to complete the remaining Work within the Contract Times, Contractor shall reimburse Owner for the actual costs reasonably incurred by Owner for engineering, construction observation, inspection, and administrative services needed after the time specified in for Work to be completed and ready for final payment (as duly adjusted pursuant to the Contract), until the Work is completed and ready for final payment.
Article 4 – Contract Price
1. Owner shall pay Contractor for completion of the Work in accordance with the Contract Documents the amounts that follow, subject to adjustment under the Contract:
A. For all Unit Price Work, an amount equal to the sum of the extended prices (established for each separately identified item of Unit Price Work by multiplying the unit price times the actual quantity of that item).
The extended Unit Prices yield a bid of $____________________________ as submitted in the
Contractor’s Bid.
The extended prices for Unit Price Work set forth as of the Effective Date of the Contract are based on estimated quantities. The estimated quantities provided are not guaranteed, and determinations of actual quantities and classifications are to be made by Engineer.
Article 5 – Payment Procedures
1. Submittal and Processing of Payments
A. Contractor shall submit Applications for Payment, which will be processed by Engineer/Municipality as provided in the General Conditions.
2. Progress Payments; Retainage
A. Owner shall make effort to make progress payments on account of the Contract Price on the basis of
Contractor’s Applications for Payment within 60 days during performance of the work, provided that such Applications for Payment have been submitted in a timely manner and otherwise meet the requirements of the Contract. Payment to the Contractor may be contingent upon Owner receiving funds from a grant or similar source. All such payments will be measured by the Schedule of Values established as provided in the General Conditions (for Unit Price Work based on the number of units completed) or, in the event there is no Schedule of Values, as provided elsewhere in the Contract.
i. Prior to Substantial Completion, progress payments will be made in an amount equal to the percentage indicated below but, in each case, less the aggregate of payments previously made and less such amounts as Owner may withhold, including but not limited to liquidated damages, in accordance with the Contract
1. 90 percent of Work completed (with the balance being retainage). If the Work has been less than 50 percent completed as determined by Engineer, and if the character and progress of the Work have been satisfactory to Owner and Engineer, then as long as the character and progress of the Work remain satisfactory to Owner and Engineer, there will be 10 percent retainage; and
2. 90 percent of cost of materials and equipment not incorporated in the Work (with the balance being retainage).
B. Upon Substantial Completion, Owner shall pay an amount sufficient to increase total payments to
Contractor to 100 percent of the Work completed, less such amounts set off by Owner, and less 150 percent of Engineer’s estimate of the value of Work to be completed or corrected as shown on the punch list of items to be completed or corrected prior to final payment.
3. Final Payment
A. Upon final completion and acceptance of the Work, Owner shall pay the remainder of the Contract
Price as recommended by Engineer.
Article 6 – Interest
1. All amounts not paid when due shall bear interest at the rate of 1 percent per annum.
