52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS ADDENDUM

1. GENERAL INSTRUCTIONS:

1.1. General Guidance

1.1.1 This section of the Instructions to Offerors provides general guidance for preparing quotes as well as specific instructions on the format and content of the quote. To assure timely and equitable evaluation of quotes, Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to comply with requirements may result in the offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The offer shall consist of two separate volumes: Volume I – Contract Documentation, and Volume II – Technical.

1.1.2 The CO has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the CO will review this determination and if, in the CO's opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the CO determines that adequate price competition no longer exists, Offerors may be required to submit additional information to the CO for determination of fair and reasonable pricing.

1.1.3 The quote shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The quote should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their products and experience, and will base its evaluation on the information presented in the Offeror’s quote.

1.1.4 The Government may reject any quote that, as a result of its evaluation, is determined to be unexecutable in terms of price and/or technical solutions, including exceptions taken, such that the quote is deemed to reflect an inherent lack of competence, inability to meet the requirement, and/or failure to comprehend the complexity and risks of the requirement.

1.1.5 The quote acceptance period or validity of the proposal shall be through September 30, 2021. The Offeror shall make a clear statement in the quotation documentation that the quote is valid until this date.

1.1.6 In accordance with FAR Subpart 4.8, Government Contract Files, the Government will retain one copy of all unsuccessful quotes.

1.2. General Information

1.2.3 Discrepancies

Should any portion of this solicitation contain a perceived error, omission or otherwise be unclear, the Offeror shall immediately email the CO, clearly describing the portion of the solicitation in question and the impact the discrepancy has on the Offeror’s ability to prepare their quote.

52.212-2 EVALUATION-COMMERCIAL ITEMS ADDENDUM

1.0 The Government will award one contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation is determined to be the lowest price technically acceptable (LPTA) quote. The Government may award without discussions, reserving the right to hold discussions if deemed necessary by the CO.

The Evaluation Factors are:

(A) Factor 1 – Price

(B) Factor 2 – Technical

1.1 Factor 1 - Price. Quoted prices will be determined by multiplying the quantities identified in the SF 1449 Continuation Sheet and this Combo by the quoted unit price for each Contract Line Item Number (CLIN) to confirm the extended amount and the total amount. The price evaluation will document the reasonableness and completeness of the total evaluated price.

1.1.1 Total Evaluated Price. The total evaluated price equals the unit price of the Rail Cars multiplied by the quantity as stated in the SF 1449 and in this Combo.

1.1.2 Arithmetic Discrepancies. For the purpose of initial evaluation of offers, the following will be utilized in resolving arithmetic discrepancies found in pricing as submitted by the Offeror.

(A) Obviously misplaced decimal points will be corrected;

(B) Discrepancy between unit price and extended price, the unit price will govern;

(C) Apparent errors in extension of unit prices will be corrected;

(D) Apparent errors in extended prices per CLIN will be corrected.

1.1.3 Solicitation Requirements – Terms and Conditions. Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements (see solicitation attachments), in addition to those identified as evaluation factors. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale.

1.2 Factor 2 - Technical. The technical criteria below will be used to evaluate quotes. The Offeror shall demonstrate their capability of meeting the minimum technical requirements of the solicitation as contained in Attachment J-1: Product Specifications. The ratings applied to the Technical Quote will be Acceptable or Unacceptable.

RATING
DEFINITION
Acceptable
Quote clearly meets the minimum requirements of the solicitation.
Unacceptable
Quote does not clearly meet the minimum requirements of the solicitation.

1.3 Award Process: The Government intends to award to the lowest price, technically acceptable Offeror. The evaluation process is as follows: the Government intends to award without discussions; however, the Government reserves the right to hold discussions at any point during the evaluation.

1.4.1 Price. The evaluation process will begin with a ranking of offers based on the total evaluated price from the lowest to highest price of all proposals.

1.4.2 Technical. Only the two lowest priced quotes will be evaluated for Technical Acceptability. An Offeror must have an “Acceptable” rating for Factor 2 to be eligible for award.

(A) The next lowest offer will only be evaluated if the aforementioned offers are “Unacceptable” (and so on). Only one award will be made under this solicitation.

1.4.3 Fair and Reasonable Determination. Determination will be made in accordance with paragraph 1.1 of 52.212-2 Evaluation – Commercial Items, prior to contract award.

2.0 A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
