About this file
This is a Business Confidentiality Claim form issued by the Utah State Archives and the Office of the Government Records Ombudsman for use in conjunction with the Division of Purchasing. The form is designed to accompany contract proposals submitted to state procurement processes and allows claimants to protect trade secrets and commercial financial information from public disclosure under the Government Records Access and Management Act (GRAMA). Claimants must submit both redacted and non-redacted versions of their proposals, with the entire proposal unable to be fully redacted. The form requires claimants to provide detailed information including company name, address, contact information, the specific pages and paragraphs requiring protection, and a concise statement of reasons supporting the confidentiality claim. The claim must be submitted simultaneously with the information being protected, and the Division of Purchasing will not redact proposals on behalf of claimants who fail to submit a redacted copy themselves.
The confidentiality claim process is governed by Utah Code sections 63G-2-305 and 63G-2-309, which establish the legal framework for protecting trade secrets and commercial financial information from competitive injury. Submission of a confidentiality claim does not guarantee that information will be classified as protected if the government receives a records request, as the Division of Purchasing retains final authority over classification determinations. The form includes designated fields for claimants to specify which governmental entity is receiving the submission, identify the reasons for confidentiality protection, and document all relevant details. This template is a standard administrative requirement for state procurement processes in Utah involving proprietary or sensitive business information.

Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
