About this file

This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman in connection with the Sevier School District's K-5 English Language Arts Curriculum Adoption solicitation through the State of Utah Division of Purchasing. The form serves as a template for vendors submitting proposals to claim protection of trade secrets and commercial financial information under Utah Code provisions 63G-2-305 and 63G-2-309. Vendors utilizing this form must submit both redacted and non-redacted versions of their proposals, with a concise statement of reasons supporting any confidentiality claim. The claim must identify specific pages and paragraphs subject to protection and the rationale for withholding that information from public disclosure under the Government Records Access and Management Act (GRAMA).

The form requires claimants to provide complete company information, including name, address, representative contact details, and the governmental entity receiving the submission. Vendors must note that submitting a confidentiality claim does not guarantee protected classification status if the government receives a records request, and the Division of Purchasing will not redact proposals on behalf of vendors who fail to provide a separate redacted copy. This procedure applies to the five-year contract award for K-5 English Language Arts curriculum services anticipated to be awarded to the responsive and responsible vendor with the highest score as justified under procurement code.

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
