About this file
This document is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman for use in conjunction with the Utah Government Records Access and Management Act (GRAMA). The form is designed to allow vendors and contractors submitting proposals to the State of Utah to request protection of trade secrets and commercial financial information from public disclosure. Claimants must provide detailed information including their company name, address, contact representative details, and a concise written statement explaining which specific sections of their proposal warrant confidentiality protection and why disclosure would cause unfair competitive injury. The form requires submission of both redacted and non-redacted versions of proposals, with the provision that the entire proposal cannot be redacted. The confidentiality claim must be submitted simultaneously with the information being protected, and claimants must specify the page numbers and paragraphs subject to the claim along with supporting reasons for each redaction request.
The form emphasizes that submission of a confidentiality claim does not guarantee that information will be classified as protected if the government subsequently receives a public records request under GRAMA. The process operates under Utah Code sections 63G-2-305 and 63G-2-309, which establish the legal framework for protecting trade secrets and commercial financial information from disclosure. The Division of Purchasing will not redact proposals on behalf of claimants who fail to submit properly redacted copies. This template serves as the standardized mechanism for the State of Utah to manage proprietary information submitted during procurement processes while maintaining transparency obligations under state open government requirements.

Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
