About this file
This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman related to a Notice of Intent to Award a Contract without engaging in standard procurement process for a consulting agreement with the National Council for Mental Wellbeing for 2026. The form is designed to allow vendors and contractors to submit claims protecting trade secrets and commercial financial information from public disclosure under the Government Records Access and Management Act (GRAMA), specifically under Utah Code sections 63G-2-305 and 63G-2-309. Claimants must submit both redacted and non-redacted versions of their proposals, provide concise statements of reasons supporting their confidentiality claims, and include company information, contact details, and specific identification of which pages and paragraphs require protection. The form requires claimants to identify the governmental entity receiving the submission, the reason for submission, and detailed explanations for each confidentiality request.
The confidentiality claim does not guarantee protected classification status if the government receives a public records request, and the Division of Purchasing will not redact proposals on behalf of claimants who fail to submit a properly redacted version. This form is part of Utah's procurement process and is particularly relevant for the referenced consulting agreement where a non-competitive award justification may have been submitted based on circumstances such as single source availability, transitional cost considerations, or other factors determined impractical under standard procurement procedures. Vendors responding to this opportunity should note that any proprietary or commercially sensitive information must be formally claimed through this process to receive consideration for protection under state law.

Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
