About this file

This document is a GRAMA Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman for use by contractors and vendors submitting proposals to the State of Utah. The form provides the mechanism for businesses to request protection of trade secrets and commercial financial information from public disclosure under Utah's Government Records Access and Management Act (GRAMA). According to Utah Code 63G-2-305, trade secrets and commercial financial information that could reasonably result in unfair competitive injury are eligible for protection if accompanied by a proper confidentiality claim. The form requires claimants to provide company information, specify which pages and paragraphs of their submission contain confidential material, and include a concise written statement explaining the reasons for each confidentiality claim.

Claimants must submit both redacted and non-redacted versions of their complete proposals, as the State will not perform redactions on behalf of submitting parties. The form establishes that submission of a confidentiality claim does not guarantee protected classification if the government receives a subsequent records request, and claims are evaluated by the Division of Purchasing according to applicable state law and administrative rules. This document serves as a standard template for any vendor or contractor seeking to protect sensitive business information during the state procurement process in Utah.

Office of the Government Records Ombudsman Utah State Archives

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
