In accordance with FAR 52.216-22, Indefinite Quantity, the contract guaranteed minimum amount* to be ordered under this contract is $1,000,000 and the contract Not to Exceed (NTE) amount* which may be ordered under this contract is $250,000,000. The Government is not obligated to order more than the minimum specified, but may order up to the NTE amount. The Contractor is obligated to fulfill orders issued, up to the NTE amount within the limits specified in FAR 52.216-19 Order Limitations.

SUPPLIES AND/OR SERVICES TO BE FURNISHED

This contract is for facilities support services for the *Johnson Space Center (JSC) (For * and ** explanations, see SOW CLIN 1.1.2), as well as performing Indefinite Delivery/Indefinite Quantity (ID/IQ) work for other external customers: NASA Centers and Government agencies throughout the United States using a hybrid of Cost-Plus-Award-Fee (CPAF) and ID/IQ contracting methods. ID/IQ task orders will be Cost-Plus Fixed Fee (CPFF) and ID/IQ delivery orders will be Firm-Fixed Price (FFP) as defined in the Section C, Statement of Work, definitions. This Contract provides maintenance, operations, engineering, and construction of facilities as well as other similar facilities related services. The Contractor shall provide all resources (except as may be expressly stated in this Contract as furnished by the Government) necessary to provide facilities operations and management in accordance with the Statement of Work (SOW) in Section C of this Contract. The services and supplies to be performed under the terms and conditions of this Contract will be acquired as detailed below:

(a) Routine CPAF Services – The SOW describes facilities support services work that is routinely required and for which approximate workload requirements are specified.

(b) Non-Routine Cost-Plus Fixed Fee (CPFF) Services – Section H allows the Government to acquire on a cost-reimbursable, ID/IQ basis additional services within the general scope of facilities support services work that either are not routine in nature or for which a workload estimate does not exist at the time of Contract award.

(c) Non-Routine FFP Services and Supplies – Section H allows the Government to acquire additional services such as customer-funded designs, facilities modification remodeling, rehabilitation, repair by replacement, construction services, design engineering, and fixed-price work, and additional pre-priced items on an ID/IQ basis.

1. CONTRACT MANAGEMENT

1.1. General Information

The scope of this Contract includes supporting Johnson Space Center’s mission as well as performing Indefinite Delivery / Indefinite Quantity (ID/IQ) work for external customers: other NASA Centers and Government agencies throughout the United States. This Contract provides maintenance, operations, engineering, and construction of facilities as well as other similar facilities related services. Upon request, the Contractor shall be capable of providing Logistical, Custodial, Grounds and Environmental support services via ID/IQ funding in case of a lapse of services in other NASA contracts. No portion of the Core Contract’s performance or schedule shall be reduced or delayed due to ID/IQ activities.

Annex Description This Annex (see CLIN 1.1.2.2 definition) identifies the Contract Management Services that cannot be identified with a single Annex or may be related to the performance of services throughout this Contract. Even though this Annex contains certain guidelines, the Contractor has the responsibility to establish a management program to efficiently and effectively use, to the full advantage, the facilities and equipment provided by the Government.

Definitions and Acronyms Definitions and acronyms used throughout this Contract are identified in the Glossary and Acronym List at the end of the Statement of Work. Words that have specific meaning in the context of this Contract Statement of Work (SOW) have been Bolded and " * " and are further defined in the Glossary. Merriam-Webster's Collegiate Dictionary, Eleventh Edition will be used for defining words not specifically addressed.

Items that have been Bolded and " ** " may be located in the Technical Reference Library (TRL) pre-award and will be made available through the Contracting Officer’s Representative (COR) post award.

1.1.2.1. Contract Line Item Number (CLIN) Definition

A CLIN in the SOW refers to a section of the SOW identified with a header with dot separated numbers, and all of its subordinate numbers. For example, this is CLIN

1.1.2.1. It is also part of CLIN 1.1.2 and of CLIN 1.1.

1.1.2.2. Annex Definition

An Annex in the SOW refers to all CLINS starting with the same single digit. Each Annex has its own header, and the pages are numbered with the Annex number. This is Annex 1.

Land and Utilities The Government will furnish all available land and utilities as defined below, to the Contractor for performance of work defined in this Contract.

1.1.3.1. Land

In the event insufficient Government furnished facilities are available, as determined by the COR, the Government will make available to the Contractor land suitable for temporary buildings or trailers. Lay down areas and storage areas will be provided to the Contractor upon request and availability. When open areas are provided, the Contractor shall ensure the areas are actively utilized and are free of any rubbish, *Construction *Debris, tools, scaffolding, equipment, and materials that may be a safety threat for slips, trips, and falls. The Contractor shall make every reasonable effort to ensure its operations do not distract from the overall appearance of the site.

1.1.3.2. Utilities

The Government will provide all utilities for Government furnished facilities assigned to the Contractor for the performance of services identified in this Contract. The Center’s telephone system will be made available to the Contractor for official Government business. The Contractor shall not make non-contract related and personal long distance call resulting in toll charges on Government phones.

*Documents The Contractor shall maintain all *Documents necessary to substantiate that all services have been accomplished as specified and shall support all Government audits with *Document retrieval as scheduled by the Government. Additional *Documents required by the Government are identified in each applicable Annex.

*Documents are to be maintained and provided as required in the SOW, Section J, Data Requirements List (DRL) and Data Requirement Documents (DRDs). If the electronic locations are not specified, the Contractor shall upload and maintain the *Documents on the *Store Front. The Contractor shall plan, implement, and maintain a comprehensive management process for *Documents that facilitates continual Government electronic access. The *Documents formatted in the databases existing on the effective date of this Contract illustrate the frequency, category and activity description to be maintained in electronic records. Electronic documents are preferable to paper documents whenever feasible.

The Government retains all rights to requested technical and process *Documents developed under this Contract. Such technical and process *Documents shall not have the Contractor’s company name and logo, nor proprietary wording, nor personnel names (except when signatures are required, or when approved by the COR). Note: Instead of the Contractor’s company name, use “Facilities Contractor”;

and instead of individual personnel names, use the position titles. Technical and process *Documents developed under this Contract may be disclosed to competing Offerors in future re-competitions.

All plans, reports, and other electronic submittals shall be submitted in Postscript Document Format (.pdf) or a Microsoft Office format (.docx, .xlsx, etc.) unless the COR agrees that an alternative format is preferable.

1.1.4.1. Records

All logs, files, databases, workload data, etc., identified in the SOW shall be maintained throughout the life of the Contract and as otherwise may be required by law or regulatory authority. Records shall be available electronically on the *Store Front for review by the COR and auditors, or other Contractors with oversight

1-2 responsibility, and upon termination of the Contract, shall be turned over to the Government. All records shall contain supporting documentation to provide a complete audit trail. The Contractor shall maintain records, such as logs, databases, reports, data, for all SOW requirements, including actual number of units of work performed for each respective CLIN, for each *Fiscal Year and each *Contract Year.

1.1.4.2. Reports

Selected information and outline instructions for the development of its format are contained on individual DRDs. Due dates are specified for each separate report.

When the due date does not fall on a *Business Day, the report is due by 8 a.m.

local time the next *Business Day. Reports shall be electronically available on the *Store Front unless otherwise specified. The Contractor shall develop reporting formats, to be reviewed and approved by the Government, that are electronically available and retrievable in accordance with (IAW) Annex 7. Proposed changes to required forms will be submitted to the COR for consideration and approval.

1.1.4.3. Submittals

Detailed plans, manufacturer's installation, testing and product data, and other submittals that are required on an infrequent or one-time basis are identified in the SOW, and as required IAW Task Order (TO) or Delivery Order (DO) requirements.

Typically, the required submittals require the Contractor to propose or define a plan or methodology of providing a specified service. Updates are required whenever changes to the stated plan occur. Selected submittals and outline instructions for the development of the format are contained in individual DRD's. Due dates are specified for each separate submittal. When the due date does not fall on a *Business Day, the submittal is due by 8 a.m. local time the next *Business Day. Unless otherwise specified, the Contractor shall develop other submittal formats, with COR concurrence, which is electronically available on the *Store Front and retrievable IAW Annex 7.

Contractor Personnel Attire

a. Contractor personnel shall wear attire that is suited to the situation or the work being performed.

b. Contractor field personnel required to perform work at multiple locations at the *Johnson Space Center (JSC) shall wear easily identifiable uniforms that display the name of the Contractor on the front of the shirts.

c. Contractor personnel shall wear Personal Protective Equipment (PPE) required by workplace hazard analyses performed by the Contractor as required by the Occupational Safety and Health Administration (OSHA), JPR 1700.1, JSC Safety and Health Requirements, and the Contractor’s safety procedures.

Directives The National Aeronautics and Space Administration (NASA), *JSC, Center Operations Directorate (COD), and Facility Management and Operations Division (FMOD) issue and enforce directives, manuals, and instructions which establish policies and guidelines for organizations and persons at *JSC or utilizing site facilities/services.
