I. INTRODUCTION AND RFP CONDITIONS
A. INTRODUCTION
The Austin Independent School District (herein after referred to as “AISD” or the “district”), as financial services provider for GAATN, is seeking proposals from firms qualified and experienced in providing maintenance for fiber optic networks (both aerial and buried plant) in order to provide maintenance and assistance to the Greater Austin Area Telecommunications Network (GAATN).
GAATN is a consortium of seven local governmental entities in the greater Austin area, including AISD, City of Austin, Travis County, Austin Community College, Lower Colorado River Authority, The University of Texas at Austin, and the State of Texas (DIR) (each a “GAATN Participant”), which, by an interlocal cooperation agreement under the authority of Chapter 791 of the Texas Government Code, owns and operates an approximately 400-mile fiber-optic telecommunications network in the greater Austin area for the use and benefit of its governmental Participants. The GAATN plant is built in ring configuration and consists of four super rings and seven sub rings of fiber optic cable ranging from 72 strands to 192 strands that traverses the greater Austin area.
Approximately 35 miles of plant is underground, and 365 miles of plant is aerial, the majority of which are attached to Austin Energy poles. Additionally, GAATN owns approximately 120 utility poles.
GAATN’s Maintenance Contractor will be expected to provide various maintenance and emergency repair services, and related services, to GAATN regarding the GAATN fiber-optic network (GAATN Network); it may also be called upon from time to time to assist with other projects. Maintenance services will include, but not necessarily be limited to: a) performing emergency repairs on the GAATN Network—for both aerial and buried plant—when unexpected events (accidental teardowns by third parties, weather-related interruptions or damage, animal-related damage, vandalism, etc.) damage, impair, or interrupt the reliable performance of the GAATN Network, and to maintain specified field crews on call 24/7/365 for prompt response; b) managing GAATN’s National Joint Utility Notification System (NJUNs) tickets and related work;
c) performing full-time continuous, comprehensive, and systematic inspection of the GAATN Network, cumulatively totaling at least two (2) complete, fully documented Network inspections per year; d) performing other maintenance activities as needed or requested including, but not limited to, routine activities such as tree trimming; e) attending the weekly Austin Utility Location and Coordination Committee (AULCC) meeting as the representative for GAATN; f) attending a monthly GAATN Board and a monthly GAATN Technical Committee meeting; and g) maintaining suitable crews and parts and supplies inventories to provide such services.
The successful Proposer will be expected to have and maintain, at all times during the contract term, specific minimum levels of experience in specific network-related areas, including but not limited to management, administrative, supervisory, field supervisory, and field personnel, and at least one (1) FTE Bentley-qualified employee and a backup person capable of providing Bentley-related services. The successful contractor will be required to have and to maintain for the term of the contract (a) maintenance bond(s) (i.e., equivalent to performance and payment bond coverage for the maintenance contract tasks); (b) specified levels of insurance of various types, naming GAATN as a named insured; and (c) sound financial condition, to be documented to GAATN in the Proposer’s response, and at least annually thereafter at the beginning of an extension term, or more often as may be requested by GAATN.
B. RFP CONDITIONS
1. All Proposers are expected to carefully examine the RFP documents. It is believed that all information necessary to complete a response is included in this RFP. It is the responsibility of the Proposer to obtain clarification of any information contained herein that is not fully understood.
2. Proposers may make written inquiries through the AISD Bonfire Portal concerning this solicitation to obtain clarification of the proposal requirements. Inquiries shall be submitted no later than the time and date specified on the cover page. Questions received by this deadline, and corresponding answers, will be included in an Addendum. All addenda will be posted in the AISD Bonfire Portal.
3. Any verbal statement regarding this RFP or any interpretation of it or any part of it by AISD or GAATN staff made prior to the award of contract shall be of no effect and shall not bind GAATN or AISD as GAATN’s financial services provider; and the Proposer should not rely on any such interpretations or responses.
4. GAATN and AISD are subject to the Texas Public Information Act, Texas Government Code Chapter 552. All documents submitted as part of the Proposer’s proposal response will be deemed confidential during the evaluation process and will not be available for review by anyone other than GAATN, AISD staff, or its designated agents. Following an award of contract or termination of the procurement, proposals may be subject to release as public information. If a Proposer believes that its proposal response, or parts of it, may be exempted from disclosure under Texas law (e.g., trade secrets), the Proposer clearly must specify page-by-page and/or line-by-line the parts of the proposal response which it believes are confidential or otherwise exempt under the Act. GAATN and AISD assume no obligation or responsibility relating to the disclosure or nondisclosure of information submitted by Proposers.
5. GAATN adheres to AISD purchasing policies unless RFP documents state other requirements. AISD Board Policies can be accessed at Austin ISD Board Policy Manual - Policy Online. Purchasing policies are included in Section C of the AISD Board Policy Manual. Submission of a proposal is the Proposer’s commitment to hold open the offer described for a period of at least sixty (60) days from the date proposals are due. No proposals may be withdrawn for a period of sixty (60) days subsequent to the deadline for receipt of proposals without the prior written consent of the GAATN Board of Directors or its designee.
6. The Proposer shall bear all costs and expenses of preparing and submitting its proposal.
GAATN/AISD will not be responsible for any expenses incurred by a Proposer in preparing and submitting a proposal.
7. The Proposer, by and through the submission of a proposal, agrees to be held responsible for: a) having examined the RFP and all referenced citations of judicial decisions, statutory authority, and local policy; b) having become familiar with the nature and scope of the services required by GAATN; and c) identifying any local conditions that may affect labor availability, and administrative rules and other factors that may impact the Proposer’s ability to provide timely service to GAATN as required under this RFP.
8. A proposal shall incorporate all significant points enumerated in this RFP. Both the RFP and the successful proposal shall become a part of the contract. Where a proposal is silent with regard to an element required by the RFP, GAATN will assume the services and conditions set forth in RFP Sections VI and VII to be accepted by the Proposer and to be https://pol.tasb.org/PolicyOnline?key=1146 https://pol.tasb.org/PolicyOnline?key=1146 incorporated as part of the proposal. As permitted by applicable law, GAATN may seek clarification of or negotiate certain provisions with a Proposer.
9. GAATN reserves the right to require additional information from Proposers and to conduct necessary investigations to determine Proposer past performance, performance capacity, and reliability, and to determine the accuracy of proposal information. To the extent permitted by law, GAATN may discuss the proposal with Proposer; and may negotiate terms with the Proposer.
10. GAATN reserves the right to reject any and/or all proposals, to make such awards for individual products or services, or to award more than one Proposer, as may be advantageous to GAATN, and to waive any or all formalities in the RFP process.
11. The GAATN Board of Directors will determine which proposal or proposals to accept, in whole or part. No award is legally binding until and unless such a formal contract award has been made and a written agreement has been executed by the GAATN Board of Directors.
12. Each Bidder, by submitting its proposal, agrees that the proposal is subject to the AISD Policies and Provisions and agrees to comply with those conditions. Acceptance of a proposal will occur only when a contract is executed. Any contract will be between GAATN and the Contractor and no commitment exists until a contract is executed by both parties.
13. A copy of the GAATN sample contractual document is included as Exhibit D. It is contemplated that an agreement similar to the sample contract, along with this RFP (including any addenda), and the contents of the successful proposal will become a part of the subsequent contract documents. Contractor is expected to execute a contract within ten (10) days from the date Contractor is notified of the award, and five (5) days after the date the Contract is signed by Contractor in which to provide the evidence of insurance and required bonds as required by the Contract Documents (See Exhibit D Article 3).
Failure to execute such an agreement will result in cancellation of any award. A Proposer who is awarded the contract but which declines or refuses for any reason to execute the contract may be liable for any costs, expenses or other damages suffered or incurred by GAATN or AISD in the preparation, publication, administration, evaluation, negotiation or award of this RFP (“RFP Costs”); and each Proposer, by submitting a proposal response to this RFP, agrees to reimburse GAATN and AISD for any such RFP Costs if awarded the contract, but fails for any reason to execute it.
14. The person whose signature appears on the cover page of a Proposer’s response to this RFP thereby certifies (by signing the document) that the individual, firm and/or any principal of the firm on whose behalf the proposal is submitted is not listed on the Federal Government’s “List of Parties Excluded from Federal Procurement and Non-Procurement Programs” published by the U. S. General Services Administration (GSA) effective as of the date of opening of the proposal, and agrees to notify GAATN and AISD of any debarment inquiries or proceedings by any federal, state, or local governmental entity that exist or may arise between the date of the submission of a proposal and such time as an award has been made under this procurement action.
15. Successful Proposers will receive a Notice of Award. If a Contract is issued, the Contractor will receive the document via email for electronic signature using the DocuSign or AdobeSign routing system. Once complete, Contractors will receive a fully executed copy of the service agreement via email. Non-awarded Proposers will receive a “Notice of Non- Award” via email.
16. Upon approval, Contractors will receive a Purchase Order (PO), and this is the notice to proceed to begin services. Under no circumstance should Contractors begin to provide services to GAATN without a valid Purchase Order. GAATN is not responsible for payment for unauthorized services rendered in advance of a valid PO being issued.

subcontractors; and consultants (collectively "Indemnitors") shall and do agree to indemnify, protect, defend with counsel approved by GAATN and/or AISD, as applicable, and hold harmless GAATN and GAATN Participants, as applicable, and their respective elected or appointed officials, officers, directors, members of the board, partners and participants, employees, representatives, and agents (collectively "Indemnitees") from and against all claims, damages, losses, liens, fines, penalties, causes of action, suits, judgments and expenses, including attorney fees, of any nature, kind, or description (collectively "Liabilities") asserted by any person or entity whatsoever arising out of, caused by, or resulting from the performance of services, or provision of goods, by or on behalf of Contractor pursuant to or in the performance or ostensible performance of this contract, or any part thereof, which are caused in whole or in part by any negligent act or omission of the Contractor or any other Indemnitors, or by anyone directly or indirectly employed by an Indemnitor or by anyone for whose acts an Indemnitor may be liable, even if caused in part by the negligence or omission of any Indemnitee, so long as not caused by the sole negligence or willful misconduct of any Indemnitee. In the event more than one of the Indemnitors are connected with an accident or occurrence covered by this indemnification, then each of such Indemnitors shall be jointly and severally responsible to the Indemnitees for indemnification and the ultimate responsibility among such Indemnitors for the loss and expense of any such indemnification shall be settled by separate proceedings among the Indemnitors and without jeopardy to any Indemnitees. H. Contractor shall protect, defend and indemnify GAATN, GAATN Participants, and the other indemnitees from and against all Liabilities arising from third party claims of infringement or alleged infringement of any United States patent, trademark, trade dress or copyright, or alleged misappropriation of trade secret or other proprietary Information (all collectively “alleged infringement of Intellectual Property”), alleged to arise in whole or part by or on the basis of any of the services performed or goods provided hereunder, or the use by Contractor or by GAATN or any GAATN Participant at the direction of Contractor or purportedly under a license of Contractor, of any article or material, including but not limited to software or any other intellectual property or proprietary Information; provided, that upon becoming aware of a suit or threat of suit for alleged infringement of Intellectual Property, GAATN shall promptly notify Contractor. Contractor shall be given full opportunity to negotiate a settlement (which, however, may not without their consent impose on any Indemnitee any financial or other obligation, and which may not in any event impair in any way, directly or indirectly, the discretion of GAATN and other Indemnitees to exercise full discretion in the exercise of governmental functions or powers), and to defend against such allegations or suit.
I. In the event of litigation other legal proceedings, or threat of litigation or other legal proceedings, to which a Contractor obligation to defend attaches and against which Contractor defends itself and GAATN or any other Indemnitees, GAATN and AISD agree to cooperate reasonably with Contractor in such defense; and GAATN and AISD shall be entitled, in connection with any such litigation, to be represented by counsel at their own expense. The obligations to indemnity contained herein shall survive the termination for any reason whatsoever of any agreement between the parties, or any purchase order.
