About this file

This document contains the Standard Terms and Conditions for the Texas Department of Criminal Justice (TDCJ) Purchasing program, which establish the contractual requirements and legal obligations for all respondents bidding on TDCJ solicitations. The TDCJ is requesting bids for two row crop tractor rentals for approximately 750 hours each, with an option to renew for 300 hours per tractor, located at the Briscoe Unit Farm Office in Dilley, Texas. All responses must be submitted in writing to the designated purchaser by the specified deadline and time, with responses received after the exact time specified not being considered unless the TDCJ determines proper addressing and possession prior to the deadline. Responses cannot be altered or amended after opening time for Invitations for Bids, and all communications concerning the solicitation must be made in writing to the Purchaser, with respondents barred from contacting user department personnel. Unit prices shall govern in the event of extension errors, and responses must be firm for the TDCJ's acceptance for 30 days from the response due date. Delivery must be quoted F.O.B. destination with freight prepaid and allowed, and normal delivery obligation is 14 calendar days unless otherwise specified, with unrealistic delivery promises potentially causing responses to be disregarded.

Pricing responses must include F.O.B. destination terms with freight prepaid and allowed, and all benefits, pricing, and hourly rates granted to TDCJ must be at least as favorable as those granted to any previous client for similar services or products. The TDCJ is exempt from State Sales Tax and Federal Excise Tax and will provide Tax Exemption Certificates upon request. Respondents must obtain both a Texas Identification Number (T.I.N.S.) and Federal Employer Identification Number (EIN) prior to contract award. The TDCJ reserves the right to award based on low line-item responses, low total of line-items, or any combination serving the state's best interest, and may accept or reject all or any part of any response, waive minor technicalities, and award to best serve state interests. The contract may be extended up to three months at the TDCJ's sole discretion. All responses must comply with Texas purchasing rules and regulations, and respondents must certify compliance with numerous state and federal requirements including E-Verify, suspension and debarment status, child support obligations, human trafficking prohibitions, cybersecurity training, and various other statutory certifications. The TDCJ retains the right to terminate the contract for convenience with 30 calendar days' written notice, and the contract is subject to termination or cancellation without penalty if funds become unavailable due to legislative action or lack of appropriations.

If The TDCJ becomes subject to a legislative change, revocation of statutory authority, or lack of appropriated funds that would render either The TDCJ’s or Respondent’s delivery or performance under the contract impossible or unnecessary, the contract will be terminated or cancelled and be deemed null and void. In the event of a termination or cancellation under this Section, The TDCJ will not be liable to Respondent for any damages, that are caused or associated with such termination, or cancellation, and The TDCJ will not be required to give prior notice.

Neither the State, the TDCJ nor its elected officials, officers, employees, agents, attorneys or other individuals acting on behalf of the State, make any representations or warranty as to whether any appropriation will, from time to time during the term of this contract, be made by the Legislature of the State.

The contractor acknowledges that TDCJ does not receive a "line-item appropriation". If the funds appropriated are not sufficient to pay for TDCJ's operating expenses, contractual obligations and other financial obligations, TDCJ, in its sole discretion, will determine what operating expenses, contractual obligations and other financial obligations it will pay. In the event TDCJ determines it was not appropriated sufficient money, TDCJ may terminate this contract without paying contractor any additional money or penalty; provided that TDCJ will pay the contractor for obligation that occurred up to the time of termination.
