Bidder, who submits a bid to a Bidder.

B. “Successful Bidder" means the lowest, responsible Bidder to whom Owner (on the basis of Owner's evaluation as hereinafter provided) makes an award.

C. “Bidding Documents" includes the Advertisement and Invitation to Bid, Instructions to Bidders, Bid Form and the Contract Documents (including all Addenda issued prior to receipt of Bids).

2.02 Bidding Documents are made available for the sole purpose of obtaining Bids for completion of the Project and permission to download or distribution of the Bidding

Documents does not confer a license or grant permission or authorization for any other use. Authorization to download documents, or other distribution, includes the right for plan holders to print documents solely for their use, and the use of their prospective

Subcontractors and Suppliers, provided the plan holder pays all costs associated with printing or reproduction. Printed documents may not be re-sold under any circumstances.

2.03 Complete sets of Bidding Documents shall be used in preparing Bids; the Owner assumes no responsibility for errors or misinterpretations resulting from the use of incomplete sets of Bidding Documents.

ARTICLE 3—CONDITIONS OF WORK

The

Bidder is presumed to have investigated and examined all bidding documents and the

Owner assumes the Bidder's bid is made with full knowledge and understanding of the conditions of the Contract.

3.02 It is likewise understood and required that the Successful Bidder shall employ such methods, in the performance of this contract, as will comply with any applicable statutes of the Commonwealth of Pennsylvania and regulations or ordinances of the Township and/or other local municipality.

A. Contractor shall submit the completed and signed Contractor Statement of

Qualifications Form included in this Bid Package with all required supporting documentation attached.

B. Contractor shall submit the completed Subcontractor and Supplier Listing Form included in this Bid Package.

4.02 A Bidder’s failure to submit required qualification information within the times indicated may disqualify Bidder from receiving an award of the Contract.

4.03 No requirement in this Article 4 to submit information will prejudice the right of Owner to seek additional pertinent information regarding Bidder’s qualifications.

4.04 The Bidder, including any individual, corporation, or partnership affiliated in any way with the Bidder, including any of Bidder’s subcontractors, shall not appear on the current

Pennsylvania Department of Labor and Industry Debarment List.

4.05 A bid may be rejected at Owner’s sole discretion if the Bidder does not submit evidence that it meets or exceeds the above minimum qualifications.

4.06 The Bidder, including any individual, corporation, or partnership affiliated in any way with the Bidder, shall not have been held in default by Owner on any contract of Owner within 36 months prior to the day of the Bid Opening.

ARTICLE 5—COLLUSIVE BIDS

5.01 More than one (1) Bid from an individual, a firm or partnership, corporation, or an association under the same name or different names will not be considered. Reasonable grounds for believing that the Bidder is interested in more than one (1) Bid for the same work may cause the rejection of all Bids in which such Bidder is interested. Any or all

Bids may be rejected if there is any reason for believing that collusion exists among any

Bids submitted must include an executed Non-Collusive Affidavit.

ARTICLE 6—EXAMINATION OF CONTRACT DOCUMENTS AND SITE

6.01 Before submitting a Bid, each Bidder shall:

A. Examine the Contract Documents thoroughly, B. Visit the site to familiarize himself with local conditions that may in any manner affect cost, progress, performance or furnishing of the Work, C. Study and carefully correlate Bidder's observations with the Contract Documents, E. Notify the Owner of all conflicts, errors, or discrepancies in the Contract Documents.

6.02 Reference is made to the General Conditions for the identification of those reports of investigations, tests of subsurface and latent physical conditions and drawings of physical conditions in, or relating to, existing surface and subsurface conditions (except

Underground Facilities) at the site or otherwise affecting cost, progress, performance or furnishing of the Work which have been relied upon by the Owner in preparing the

Drawings and Specifications. Bidder may rely upon the accuracy of the technical data contained in such reports and drawings, but not upon non-technical data, interpretations or opinions contained therein or for the completeness, accuracy and continuity of such condition thereof for the purposes of bidding or construction. Such technical data has been identified and set forth in the General Conditions. These reports and drawings are not part of the Contract Documents. Copies of such reports and drawings will be made available by the Owner to any Bidder on request. Before submitting his Bid each Bidder will, at his own expense, make such additional investigations and tests as the Bidder may deem necessary to determine his Bid for performance and furnishing of the Work in accordance with the time, price, and other terms and conditions of the Contract Documents.

6.03 Information and data reflected in the Contract Documents with respect to Underground

Facilities at or contiguous to the site is based upon information and data furnished to

Owner by owners of such Underground Facilities or others, and Owner does not assume responsibility for the accuracy or completeness thereof unless it is expressly provided otherwise in the General Conditions.

6.04 By prior arrangement, in advance, Owner will provide each Bidder reasonable access to the site to conduct such investigations and tests, as each Bidder deems necessary for submission of his Bid. Bidder shall fill all holes, and clean up and restore the site to its former condition upon completion of such investigations and tests.

6.05 The lands upon which the Work is to be performed, rights-of-way for access thereto, and other lands designated for use by Successful Bidder in performing the Work are identified in the Contract Documents.

6.06 The submission of a Bid will constitute an incontrovertible representation by the Bidder that he has complied with every requirement of this Article 6, and that the Contract

Documents are sufficient in scope and detail to indicate and convey understanding of all terms and conditions for performance of the Work. Later claims for labor, equipment or materials required, or for other difficulties encountered which could have been foreseen had Bidder complied with the requirements of this Article 6, will not be recognized.

ARTICLE 7—BIDDER’S REPRESENTATIONS AND CERTIFICATIONS

7.01 Express Representations and Certifications in Bid Form, Agreement

A. The Bid Form that each Bidder will submit contains express representations regarding the Bidder’s examination of Project documentation, Site visit, and preparation of the

Bid, and certifications regarding lack of collusion or fraud in connection with the Bid.

Bidder should review these representations and certifications and assure that Bidder can make the representations and certifications in good faith, before executing and submitting its Bid.

B. If Bidder is awarded the Contract, Bidder (as Contractor) will make similar express representations and certifications when it executes the Agreement.

ARTICLE 8—INTERPRETATIONS AND ADDENDA

8.01 Owner on its own initiative may issue Addenda to clarify, correct, supplement, or change the Bidding Documents.

8.02 Bidder shall submit all questions about the meaning or intent of the Bidding Documents via the “Messages/Vendor Discussions” feature in PennBid no later than nine (9) days prior to the date for receipt of bids.

8.03 Interpretations or clarifications considered necessary by Engineer in response to such questions will be issued by Addenda delivered to all registered plan holders. Questions received after Monday, March 2, 2026 at 10:00AM may not be answered.

8.04 Only responses set forth in an Addendum will be binding. Oral and other interpretations or clarifications will be without legal effect. Responses to questions are not part of the

Contract Documents unless set forth in an Addendum that expressly modifies or supplements the Contract Documents.

8.05 "Pre-Bid Minutes", which may be issued as a record of the Pre-Bid Conference, are not a part of the Contract Documents.

ARTICLE 9—BID SECURITY

9.01 A Bid security shall be made payable to Owner, in an amount of ten percent (10%) of the

Bidder's maximum Bid price, and in the form of a certified or bank cashier's check or a

Bid Bond. If a Bid Bond is used, it must be on the form furnished with the Contract

Documents, be executed by the Bidder, and must have corporate surety satisfactory to the

Owner and authorized to conduct business in Pennsylvania.

9.02 The Bid security of the Successful Bidder will be retained until such Bidder has executed and delivered the Contract and furnished the required contract security, whereupon it will be returned. If the Successful Bidder fails to execute and deliver the required contract security within ten (10) days of the Notice of Intent to Award, Owner may annul the Notice of Intent to Award, and the Bid security of that Bidder will be forfeited to Owner as liquidated damages or on account of Owner's actual damages as Owner may elect. The Bid security of any Bidder whom Owner believes to have a reasonable chance of receiving the award may be retained by Owner until the earlier of the seventh day after the "Effective

Date of the Agreement" (which term is defined in the General Conditions) or the sixty-first day after the Bid opening, whereupon Bid security furnished by such Bidders will be returned. Bid security with Bids which are not competitive may be returned within seven

(7) days after the Bid opening.

ARTICLE 10—CONTRACT TIMES

10.01 The date by which, the Work and identified portions thereof (Milestones) are to be substantially complete and available for Owner’s use, and also completed and ready for final payment (the Contract Time), are set forth in the Agreement. Such Contract Times are of the essence.

The Milestones are as follows:

Milestone 1 – The Transfer Station Stationary Electric Material Handlers and all related work shall be Substantially Complete and available for the Owner’s use within 406 calendar days from receipt of the Final Notice to Proceed.

Achievement of this milestone is contingent upon the progress of work performed by others at the site. Installation of the material handlers and associated equipment cannot commence until the work by others has advanced to a stage sufficient to support such installation.

Milestone 2 – Final Completion shall be achieved within 435 calendar days from receipt of the Final Notice to Proceed.

The Contract Times associated with this milestone are similarly dependent upon the timely progress and completion of work performed by others that directly impacts installation and commissioning activities.

10.02 The phrase “available for Owner’s Use” does not mean physically capable of being utilized by Owner. The phrase “available for Owner’s Use” means that the Owner is able to commence and carry out its operations in accordance with the design intent of the Plans and Specifications and not alter its normal operating procedure as a result of any failure by Contractor to complete any aspect of that portion of the Work.

ARTICLE 11—DAMAGES

11.01 Provisions for damages are set forth in the Agreement.

ARTICLE 12—SUBSTITUTE AND “OR EQUAL” ITEMS

12.01 The Contract, if awarded, will be on the basis of material and equipment described or specified in the Contract Documents without consideration of possible substitute "or equal" items. Whenever it is indicated in the Drawings or specified in the Specifications that a substitute or "or equal" item of material or equipment may be furnished or used by the Successful Bidder if acceptable to Owner, application for such acceptance will not be considered by Owner until after the "Effective Date of the Agreement". The procedure for submittal of any such application by Successful Bidder and consideration by Owner is set forth in Paragraphs 7.05 and 7.06 of the General Conditions.

ARTICLE 13—SUBCONTRACTORS, SUPPLIERS, AND OTHERS

13.01 Unless otherwise specified, the name of each Subcontractor, person, or organization proposed for the Work, all submittals required in the Contract Documents pertaining thereto, and Subcontractor's respective work to be performed shall be submitted by

Contractor to Owner not later than thirty (30) days before Subcontractor begins work on the Project.

13.02 No Successful Bidder shall be required to employ any Subcontractor, other person, or organization against whom he has reasonable objection.

13.03 After submission of the list described in Section 13.01 above, the Successful Bidder may change subcontractors, persons, or organizations proposed for the Work only with

Owner's written consent.

ARTICLE 14—PENNSYLVANIA STEEL PRODUCTS PROCUREMENT ACT (NO.

1978-3)

14.01 The Successful Bidder acknowledged familiarity with the requirements of the

Pennsylvania Steel Products Procurement Act (the “Steel Act”).

14.02 At the time of delivery of all products to which the Steel Act applies, the Successful Bidder will provide documentation, including but not limited to invoices, bills of lading invoices, and mill certification, and all other documentation or information required by the Owner to evidence compliance with the Steel Act.

Owner.
