About this file
This is a Request for Quotation (RFQ) issued by the National Oceanic and Atmospheric Administration (NOAA) Observation and Analysis Division for services related to GNSS (Global Navigation Satellite System) data processing and coordinate generation. The solicitation number is 1305M226Q0154, with an offer due date of June 26, 2026 at 2:00 PM EST. The base period of performance runs from September 1, 2026 through August 31, 2027, with two optional one-year extension periods available (September 1, 2027 through August 31, 2028, and September 1, 2028 through August 31, 2029). This is a Women-Owned Small Business (WOSB) set-aside solicitation under NAICS code 541690 with a size standard of $19 million. The RFQ is open to small businesses, economically disadvantaged women-owned small businesses, service-disabled veteran-owned small businesses, and HUBZone small businesses.
The contractor must develop workflows for ingestion and management of GNSS observation data; process static GNSS observations near reference epoch 2020.0 using PPP and double-difference approaches aligned to ITRF2020; perform validation and quality assurance including comparisons against independent solutions and NGS software; ensure workflows are scalable, repeatable, automated, and maintainable; and transition the processing framework to NGS personnel through comprehensive documentation, training, and operational support. Quotations must be submitted in two separate volumes: Volume I (Technical Approach, limited to 8 pages in Times New Roman 12-point font) and Volume II (Price Quotation using the provided Attachment 2 Pricing Schedule in Microsoft Excel format). The technical approach is significantly more important than price. All labor rates must be fully loaded, inclusive of wages, fringe benefits, overhead, general and administrative expenses, and profit. Quotations must remain firm for 120 calendar days from the receipt date. Award will be made to the responsible vendor whose offer is most advantageous to the Government, with the Government reserving the right to conduct discussions if necessary or award without discussions based on initial responses.

NOAA/EAD TERMS AND CONDITIONS
HARMLESS FROM LIABILITY
The contractor shall hold and save the Government, its’ officers, agents and employees harmless from liability of any nature or kind, including costs and expenses to which they may be subject, for or on account of any or all suits or damages of any character whatsoever resulting from injuries or damages sustained by any person or persons or property by virtue of performance of this contract, arising or resulting in whole or in part from the fault, negligence, wrongful act or wrongful omission of the contractor, or any subcontractor, their employees or agents.
(End of clause)
TRAVEL
This purchase order may require the Contractor to travel. If travel is required, the travel shall be requested and approved in advance by the Federal Program Manager and Contracting Officer’s Representative (COR). The travel estimate shall include the name of the individual that is proposed to travel, the reason for the travel as it relates to the scope of work (reference the project number), the dates and location of travel, the estimated cost and confirmation that the cost is in compliance with the
Federal Travel Regulations (FTR), DOC Travel Regulations, and NOAA Travel Regulations. The contractor shall purchase airfare at the most economical cost to obtain the lowest airfare price possible. This includes reserving flights at a minimum two weeks prior to the date of travel. If a hotel room cannot be located within published federal per diem rates, the contractor must provide proof that they have thoroughly researched not only the immediate area but also the surrounding areas for hotels within the federal per diem rates. The contractor must submit a request to exceed per diem, with justification, to the COR a minimum of two weeks before the date of travel.
If accidental injury to contractor personnel should occur in connection with use of a government vehicle or rental car, the government will not be held liable for injuries or damages to the car. If any damage to lodging facilities or government equipment occurs during travel, the government will not be held liable for injuries or repair. Notification of accidental injury or vehicle damage shall be reported to the COR immediately upon occurrence.
The contractor shall submit a digital quarterly report to the COR that shows the amount of travel taken for the prior quarter and the actual amount billed to the government by person and by task and shall include cumulative totals. The contractor shall also submit a quarterly report, at the same time, to the COR that provides future (next) quarters travel estimates.
Travel will be reimbursed in accordance with FAR Part 31 and the FTR, including allowable applicable travel/G&A material handling rate, but exclusive of fee. Travel will be reimbursed that is supported by receipts and following Government regulations, within what was authorized to occur by the COR, and shall be invoiced for in the same month as travel occurred or the following month. Travel reimbursement requests will not be granted after this period without specific requests and justification provided to the COR for which COR approval is given. Individual contract staff are not allowed to pay for these travel expenses themselves and request reimbursement directly from the government. Personal travel arrangements in conjunction with government requested business travel shall not be handled by contract personnel during work hours, and no personal travel will be handled under this contract.
The maximum allowable G&A expenses on travel is 2% for the life of the purchase order. If the contractor objects to this value, it must identify its proposed G&A rate for travel in the quotation along with documents approving the proposed G&A rate from the Defense Contract Audit Agency (DCAA). The contractor shall submit back-up documentation for all travel costs incurred upon return with respective invoice for reimbursement. These references can be found at the following urls:
www.acquisition.gov/browsefar and www.gsa.gov/travel.
(End of clause)
PROHIBITION ON USE OF LOCKING OR SCRAMBLING DEVICES
(a) The contractor certifies that software delivered under this contract does not and will not contain any "software locks" or hidden devices that may be used to disable software or system operations, such as data scrambling mechanisms or "drop dead" devices, whether triggered by signal, by timer, or otherwise.
(b) Nothing in this contract shall be deemed to confer a right of "electronic repossession" to the vendor in the event of a contract dispute or payment delinquency.
(End of clause)
RELEASE OF INFORMATION
(a) Disclosure of information gained as a result of work performed under this contract shall be accomplished according to NOAA procedures or through NOAA channels. As used in this condition, the term "information" includes raw data, data derived there from, and analysis or interpretations thereof, regardless of form. The term includes data developed or acquired by the contractor during performance of this contract, including analysis of samples provided by the Government and samples or recordings made by the contractor during contract performance.
(b) The contractor hereby agrees not to disclose such information to the public or to unauthorized parties without the prior written approval of the Contracting Officer. This restriction does not apply to releases of information to subcontractors (including consultants) as necessary for successful performance of the contract, provided (1) such information is of no commercial value to the subcontractor, and (2) the subcontractor agrees to be bound by the restrictions in this condition.
(c) News releases pertaining to work under this contract shall not be made at any time without the written authorization of the Contracting Officer. All requests for approval shall be submitted in writing.
(End of clause)
DUPLICATION AND DISCLOSURE OF CONFIDENTIAL DATA
Duplication or disclosure of the data and other information provided by NOAA or to which the contractor will have access as a result of this contract is prohibited. It is understood that throughout performance of the contract the contractor may have access to confidential data which is the sole property of the NOAA, as well as access to proprietary data which is the sole property of other than the contracting parties. The contractor hereby agrees to maintain the confidentiality of all such data to which access may be gained throughout contract performance whether title thereto vests in the NOAA or otherwise. The contractor hereby agrees not to disclose said data, any interpretations thereof, or data derivative there from, to unauthorized parties in contravention of these provisions without the prior written approval of the Contracting Officer or the party in which title thereto is wholly vested. This condition also applies to any subcontractors and/or consultants used by the contractor.
(End of clause)
CONFIDENTIALITY OF THIRD-PARTY
(a) To the extent that the work under this contract requires access to proprietary, business confidential, or financial data of other companies, and as long as such data remains proprietary or confidential, the contractor shall protect such data from unauthorized use and disclosure and agrees not to use it to compete with such companies or for any purpose other than performance of this contract.
(b) This data may be in various forms, such as documents, raw photographic films, magnetic tapes, photographic prints, computer printouts, or it may be interpretative results derived from analysis, investigative, or study effort. Regardless of the form of this data, the contractor agrees that neither it nor any of its employees will disclose other contractor business confidential or financial data, or derivatives thereof, to third parties except as may be required in the performance of this contract.
Further, the contractor will not copy any of this data, or derivatives thereof, other than as necessary for the performance of this contract.
(c) The contractor will establish policies and procedures to implement the substance of this condition clause at the individual employee level which will assure that affected employees are made aware of the contract provision and the contractor's implementing policies and procedures. Particular attention will be given to keeping employees advised of statutes and regulations applicable to the handling of other contractor business confidential or financial data. In this regard, the contractor's attention is invited to any data concerning personnel or of a personal nature which may be subject to Privacy Act protection and penalties.
(d) This condition clause does not preclude the contractor and/or its employees from independently acquiring and using business confidential or financial data from legitimate sources outside of this contract, or from performing and using independent analysis of data so acquired, provided that the contractor and/or its employees fully document the source of such data, and the independence of any such analysis.
(e) The contractor will insert the substance of this condition clause in each subcontract hereunder (other than for purchase of supplies or equipment) unless the Contracting Officer has waived this requirement, in writing, as to particular subcontracts or classes of subcontracts.
(End of clause)
SYSTEM UPDATES
System updates may lag policy updates. The System for Award Management (SAM) may continue to require entities to complete representations based on provisions that are not included in agency solicitations. Examples include 52.222-25, Affirmative Action Compliance, and paragraph (d) of 52.212-3, Offeror Representations and Certifications—Commercial Products and Commercial Services. Contracting officers will not consider these representations when making award decisions or enforce requirements.
Entities are not required to, nor are they able to, update their entity registration to remove these representations in SAM.
(End of provision)
RFO 52.209-5 Certification Regarding Responsibility Matters. (AUG 2020) (Deviation JAN 2026)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-
(i) The Offeror and/or any of its Principals-
(A) Are [ ] are not [ ] presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have [ ] have not [ ], within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for:
commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks "have", the offeror shall also see 52.209-7, if included in this solicitation);
(C) Are [ ] are not [ ] presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision; and
(D) Have [ ], have not [ ], within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds the threshold at 9.104-5(a)(2) for which the liability remains unsatisfied. Federal taxes are considered delinquent if both of the following criteria apply:
(1) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if a pending administrative or judicial challenge remains. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(2) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(ii) The Offeror has [ ] has not [ ], within a 3-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) "Principal," for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the Government will consider the certification in connection with a determination of the Offeror's responsibility.
Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) This provision does not require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a). The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If the Government later determines that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.
(End of provision)
RFO 52.212-1 Instructions to Offerors-Commercial Products and Commercial Services. (SEP 2023) (Deviation JAN 2026)
RFO 52.212-1 is hereby included by reference.
ADDENDUM
This provision has been tailored to this procurement.
All references herein to "offerors" shall be construed as "vendors" and all references herein to "offers" or "bids" shall be construed as "quotations." Paragraph "c" is amended as follows: "The vendor agrees to hold the prices in its quotation firm for 120 calendar days from the date specified for receipt of quotations, unless another time period is specified in an addendum to the solicitation."
Vendors shall submit their quotation in Two Volumes: Volume I: Technical Approach and Volume II:
Price.
Quotations in response to this Request for Quotation (RFQ) must be submitted by June 26, 2026 at 2:00 PM EST. Quotations must be submitted electronically via e-mail to Spencer Matsushima at spencer.matsushima@noaa.gov with a copy to Stacy Dohse at stacy.dohse@noaa.gov. The volumes shall be submitted in two separate files in the same email. Vendors are highly encouraged to contact the Government representative(s) specified above prior to the solicitation’s stated time and date for receipt of quotations to ensure the Government has received the submission. Quotations received after the date and time specified in this solicitation may be excluded from consideration.
All quotations must be submitted to email addresses mentioned herein only. Quotations submitted through FedConnect will not be evaluated.
All questions shall be submitted via email only by June 19, 2026 at 3:00 PM EST to Spencer Matsushima at spencer.matsushima@noaa.gov with a copy to Stacy Dohse at stacy.dohse@noaa.gov. The Government reserves the right to not answer any questions received after the aforementioned due date.
The Government anticipates selecting the best-suited vendor from initial responses, without engaging in exchanges with vendors. Vendors are strongly encouraged to submit their best technical solutions and price in response to this RFQ. Vendors shall provide sufficient information for the Government to determine its level of confidence in the ability of the Vendor to perform the requirements of the RFQ based on an assessment of relevant experience.
Once the Government determines the vendor that is the best-suited (i.e., the apparent successful vendor), the Government reserves the right to communicate with only that vendor to address any remaining issues, if necessary, and finalize a purchase order with that vendor. These issues may include technical and price. If the parties cannot successfully address any remaining issues, as determined pertinent at the sole discretion of the Government, the Government reserves the right to communicate with the next best-suited vendor based on the original analysis and address any remaining issues. Once the Government has begun communications with the next best-suited vendor, no further communications with the previous vendor will be entertained until after the purchase order has been awarded. This process shall continue until an agreement is successfully reached and a purchase order is awarded.
Vendors are required to submit a Business Solution which will be used to assess the vendor's capability to perform the services described in Attachment 1 Performance Work Statement (PWS). The solution shall clearly demonstrate that the vendor has a thorough understanding of the effort called for herein.
Vendors shall assume that the Government has no prior knowledge of them and that it will base its evaluation on the information presented in the Solution; as such, solutions must be fully self-sufficient and provide all necessary information for a comprehensive evaluation. Solutions must be sufficient enough so as to show how the vendor proposes to accomplish the effort described in the PWS, including a full explanation of the procedures and techniques to be followed.
To be acceptable, the quotation must meet all of the requirements of the RFQ. Failure to follow instructions regarding the format content of the quotation may result in the quotation not being considered for award. Quotations which merely offer to perform in accordance with the requirements of the PWS or merely state that requirements are understood and will be complied with, which paraphrase the PWS or parts thereof, or use phrases such as "standard industry practices will be employed", or "well-established techniques will be employed," etc., may be considered unacceptable.
The Government reserves the right to cancel this solicitation, including in the event funding is not available or approved. The Government will not compensate any respondent for any costs that it incurs in the preparation or submission of its quotation. All quotations shall remain with the Government and will not be returned.
The following volumes of material shall be submitted for each quotation:
Cover Page:
The cover page shall include the following:
- Title of the Quotation
- Volume Number (I or II)
- RFQ Number
- Name and address of Vendor and Unique Entity ID (UEI), Business Size, applicable Tax Identification Number (TIN)

RFO 52.212-2 Evaluation-Commercial Products and Commercial Services. (NOV 2021) (Deviation JAN 2026)
RFO 52.212-2 is hereby included by reference.
ADDENDUM
This provision has been tailored to this procurement.
The Government will award a purchase order resulting from this solicitation to the responsible vendor whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The Government intends to evaluate the quotations and award a purchase order based on the vendor’s initial quotation; therefore, the vendor’s initial quotation should contain the vendor’s best terms from a Technical Approach and Price standpoint.
The Government will not make an award at a significantly higher overall price to achieve only slightly superior performance capability. As non-price factors approach equality, price as an evaluation factor becomes increasingly more important. The Government intends to award without discussions; however, the Government may conduct discussion if determined necessary.
The Technical Approach will be evaluated on the criteria listed below:
Volume I: Technical Approach
The Technical approach is significantly more important than price.
The vendor's overall Technical Approach will be evaluated to assess the Government's level of confidence in the vendor's understanding and ability to perform the requirements outlined in the technical approach factor in Revolutionary Federal Acquisition Regulation (FAR) Overhaul provision 52.212-1, Instructions to Offerors – Commercial Items (SEP 2023) (DEVIATION JAN 2026) Addendum.
Volume II: Price Quotation
Pricing must be complete and address pricing for the base period and each of the option periods in Attachment 2 Pricing Schedule. A quotation that does not fully address pricing for all the base period and each of the option periods will not be evaluated for award. The labor category hourly rates shall not contain more than two numbers past the decimal point. Furthermore, labor category hourly rates shall be per hour and “fully loaded,” inclusive of all wage, fringe benefits, overhead, general and administrative expenses, and profit. Pricing must be complete in accordance with the ADDENDUM to clause RFO 52.212-1, Instructions to Offerors – Commercial Items (SEP 2023) (DEVIATION JAN 2026) and instructions included on Attachment 2 - Pricing Schedule, Instructions tab.
The degree of price importance will increase commensurately with the degree of equality with the Technical Approach. The total overall price will be calculated by adding the sum of the base period and each of the two option periods, and value of clause RFO 52.217-8. The unit pricing of each of the 12-month periods, base and two option periods shall be deemed fully evaluated for use by the Government should it elect to exercise RFO Clause 52.217-8, which is applicable to this solicitation and any subsequent award, and may be exercised at different times, more than once, for a total period not to exceed six months. The RFO 52.217-8 option may be exercised prior to the final option period, if needed, using the rates applicable in the final period of the purchase order.
Inclusion of RFO clause 52.217-8, Option to Extend Services, in the solicitation and resultant purchase order is for use by the Government as outlined at FAR 37.111, Extension of Services. The option will be exercised as needed at any time during the life of the purchase order using the rates applicable at the time of exercise.
Evaluation of the option will not obligate the Government to exercise the option. RFO 52.217-8 pricing will be calculated by dividing the entire purchase order price by the number of months (36) to get a monthly price, then multiplying that monthly price by six. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). The price evaluation will determine whether quotation prices are fair and reasonable. Price realism will not be evaluated and a price realism analysis will not be conducted.
In addition, in order to assess the responsibility of the vendor, the Government, in accordance with RFO 9.104-1(d), will review the vendor’s records found in the System for Award Management (SAM) and the Federal Awardee Performance and Integrity Information System (FAPIIS) to determine if vendors have a satisfactory record of integrity and business ethics.
(End of provision)
RFO 52.217-5 Evaluation of Options. (JUL 1990) (Deviation JAN 2026)
Except when it is determined in accordance with RFO 17.202(b) not to be in the Government’s best interests, the Government will evaluate offers or quotations for award purposes by adding the total price for all options to the total price for the basic requirement to determine the total evaluated price.
This includes options under RFO clause 52.217-8, Option to Extend Services, which applies to this solicitation. Evaluation of options will not obligate the Government to exercise the option(s).
(End of provision)
RFO 52.217-8 Option To Extend Services. (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within any amount of time before the contract expires.
Inclusion of RFO clause 52.217-8, Option to Extend Services, in the solicitation and resultant contract is for use by the Government as outlined at FAR 37.111, Extension of Services. The option will be exercised as needed at any time during the life of the contract using the rates applicable at the time of exercise.
(End of clause)
RFO 52.217-9 Option To Extend the Term of the Contract. (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within any time before the contract expires; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least any amount of days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 36 months.
