About this opportunity

The Utah Department of Transportation (UDOT) is issuing a Notice of Intent to Award a Contract Without Engaging in a Standard Procurement Process for Crucial Learning Participant Kits and Facilitator Materials, with a public comment period closing July 27, 2026. This is a sole-source procurement — UDOT asserts that Crucial Learning holds exclusive copyrights and trademarks to the Crucial Conversations for Mastering Dialogue training methodology and materials, does not utilize third-party resellers or distributors, and is the sole publisher and distributor of the curriculum. UDOT's internal training facilitator is certified in the Crucial Learning methodology and is contractually required to use the official proprietary materials. Market research confirmed the curriculum is not available through existing state cooperative contracts.

The scope comprises 25 participant kits annually and associated facilitator materials. Each kit is priced at $318. The contract term is five years with no renewal options. The estimated total contract cost is $45,000 ($9,000 per year). UDOT has conducted market research supporting the sole-source justification.

Interested and qualified suppliers may submit detailed documentation during the public notice period challenging the sole-source determination by demonstrating that competing sources exist or that they can provide comparable, equivalent, or superior materials meeting or exceeding stated requirements. All responses must be submitted prior to July 27, 2026 in Mountain Time through the designated bidding system. Respondents must certify that they have read all documentation attached to the notice before submitting a response. If no valid challenges are received, UDOT may proceed to award the contract without further competition.

NOTICE OF INTENT TO AWARD A CONTRACT WITHOUT ENGAGING IN A STANDARD PROCUREMENT PROCESS This is NOT a request for competitive solicitation. This is a public notice for comment regarding a proposed procurement without engaging in a standard procurement process if it is determined that the following exist: • there is only one source for the procurement item; or • transitional costs are a significant consideration in selecting a procurement item; or • the award of a contract is under circumstances, described in rules adopted by the applicable rulemaking authority, that make awarding the contract through a standard procurement process impractical and not in the best interest of the procurement unit. The intent of this notice is to determine if there are any other interested and qualified suppliers that meet the requirements of this procurement. For information regarding the specifics of this proposed procurement, please see the justification documentation attached within this notice. If a party agrees that this proposed purchase is a valid sole source, NO ACTION IS REQUIRED.
