About this opportunity

Seminole County, through the Central Florida Commuter Rail Commission, is seeking legal services for the SunRail commuter rail system, which spans 49.2 miles from DeBary to Poinciana. The procurement is a Request for Proposal (RFP) for comprehensive attorney services to support the Commission's transition of operational control from FDOT and provide ongoing legal representation. Key deliverables include overseeing operational transitions, preparing operating agreements, negotiating contracts, reviewing existing agreements, and supporting the Commission's governance. Proposers must be licensed to practice law in Florida and have significant experience with rail systems or transitions. The evaluation will be based on a 100-point system: 40 points for firm experience and capabilities, 25 points for key personnel qualifications, 10 points for methodology/approach, and 25 points for compensation. The solicitation was released on August 14, 2024, with questions due by September 30, 2024, and proposals due on October 16, 2024, at 2:00 pm.

There are no specific set-aside designations or restrictions on respondent types mentioned in the documents. The legal services will be funded by Local Government Partners, including Orange County, Osceola County, Seminole County, Volusia County, and the City of Orlando, though these entities will not have a direct attorney-client relationship. The compensation structure is hourly-based, with the selected attorney required to have $5,000,000 in professional liability coverage and $1,000,000 in cyber liability insurance. While no specific budget range is explicitly stated, the hourly rate must encompass all salary, compensation, overhead expenses, profits, and clerical costs. The Commission reserves the right to make multiple awards or partial awards and will select the proposal presenting the best value. Travel costs will not be reimbursed, and standard overhead expenses like online research, word processing, and photocopying are included in the proposed hourly rate.

Opportunity text

The selected attorney will be engaged by the Central Florida Commuter Rail Commission, hereinafter referred to as the "Commission" and perform all general legal representation for the Commission, as needed and requested or as required. Funding provided by the Local Government Partners will not create an attorney-client relationship between legal counsel and any of the Local Government Partners. Such representation will be in cooperation with the Steering Group (SG), as described in Section 4 ("Cooperation with Attorney") of this Agreement.

**

DISCLAIMER: The draft SunRail Attorney Services Agreement ("Agreement") is subject to revision at the sole discretion of the Central Florida Commuter Rail Commission ("Commission"). The award of this Agreement, in whole or in part, and the terms are not final until the Commission awards the Agreement to Counsel and the Agreement is fully executed.
