Performance is subject to the State of Illinois Standard Terms and Conditions V.20.1, which establish payment under the State Prompt Payment Act with invoices due by July 31 for work completed through June 30 each year. Vendors must maintain general commercial liability insurance of $1 million per occurrence and $2 million annual aggregate, plus worker's compensation insurance as required by law. The State retains sole and exclusive ownership of all work product as work-for-hire. The contract is contingent upon appropriation of funds; the State may suspend or terminate with thirty days' notice for convenience or immediately for material breach. Prevailing wage requirements and equal opportunity requirements established by the Illinois Department of Human Rights apply where applicable. Subcontractors require prior written approval.
