applies:

(a) The Government will award a contract resulting from this solicitation to the
responsible offeror whose offer conforms to the solicitation will be most
advantageous to the Government, price and other factors considered. The following
factors shall be used to evaluate offers:
1. Technical Approach; and
2. Total Evaluated Price

one or more of the price analysis techniques under FAR 13.106-3. Contractor must
provide a price breakdown to include (See Schedule B):
Total evaluated price
Total price for base period
Total price for option periods

-Contracting officer reserves the right to conduct exchanges in accordance with FAR

-The Government is utilizing a Tradeoff evaluation process where technical approach is
significantly more important than total price. The Tradeoff process is appropriate
when it is in the best interest of the Government to consider award to other than the
lowest price quoter or other than the highest technically rated quoter. This process
permits tradeoffs among cost or price and non-cost/price factors and allows the
Government to accept other than the lowest priced quote. As the technical merits of
the quotes become more equal, price may become the determining factor. The
Government's objective is to obtain the highest quality services considered necessary to
achieve the required objectives. The non-price factor will result in considerable benefits
to the Government.

-Technical Approach will be evaluated based upon the experience and expertise in
meeting the requirements identified in the Purchase Description (PD). To be determined
technically acceptable, the offeror must adhere to everything that is listed in the attached
PD.

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to
the successful offeror within the time for acceptance specified in the offer, shall
result in a binding contract without further action by either party. Before the offer’s
specified expiration time, the Government may accept an offer (or part of an offer),
whether or not there are negotiations after its receipt, unless a written notice of
withdrawal is received.

(c) Options. The Government will evaluate offers for award purposes by adding the total
price for all options to the total price for the basic requirement. The Government may
determine that an offer is unacceptable if the option prices are significantly
unbalanced. Evaluation of options shall not obligate the Government to exercise the
option(s).

9. Offerors to include a completed copy of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items, with its offer.

10. Please propose an invoicing/payment schedule if vendor anticipates submitting invoices other than at the end of the base period and if exercised at the end of each option periods.
