The owner assumes no responsibility and liability for costs incurred by the Respondents prior to the issuance of an agreement. The liability of the owner shall be limited to the terms and conditions of the contract.
Respondents will assume responsibility for all costs of preparing and submitting a proposal and of participating in the outreach campaign. No charges of any kind shall be billed to the Township.
2.8 Statutory and Other Requirements
2.8.1 Compliance with Laws
Any contract entered into between the contractor and the owner must be in accordance with and subject to compliance by both parties with the New Jersey Local Public Contracts Law. The contractor must agree to comply with the non-discrimination provisions and all other laws and regulations applicable to the performance of services there under. The respondent shall sign and acknowledge such forms and certificates as may be required by this section.
2.8.2 Mandatory EEO/Affirmative Action Compliance
No firm shall be issued a contract unless it complies with the EEO/Affirmative Action requirements of P. L. 1975, C. 127 as identified in the documents attached hereto. The form shall be properly executed.
2.8.3 Additional Laws Against Discrimination
Discrimination on the basis of race, creed, color, national origin, nationality, ancestry, age, sex (including pregnancy), familial status, marital status, domestic partnership or civil union status, affectional or sexual orientation, gender identity or expression, atypical hereditary cellular or blood trait, genetic information, mental or physical disability, or perceived disability in contracting for the delivery of services is prohibited. Respondents are required to read the following laws and agree that the provisions of said laws are made part of, and incorporated into the contract. The contractor is obligated to comply with the laws (and any amendments thereto even if enacted after the date of this contract) and contractor agrees to hold the owner harmless for any claims of discrimination. Such laws include but may not be limited to:
• Americans with Disabilities Act of 1990;
• The Age Discrimination in Employment Act of 1967;

2.8.4 Statement of Ownership Disclosure
No corporation or partnership shall be awarded any contract for the performance of any work or the furnishing of any goods, unless, with receipt of the proposal of said corporation or partnership, there is submitted to the Township a statement setting forth the names and addresses of all stockholders in the corporation or partnership who own ten (10) percent or greater interest therein. The Respondent shall complete and submit the form of statement that is included in this RFP.
2.8.5 Non-Collusion Affidavit
The Non-Collusion Affidavit, which is part of this RFP, shall be properly executed and submitted with the RFP response.
2.8.6 N.J. BUSINESS REGISTRATION CERTIFICATE P.L. 2009, C.315
Reforms Business Registration Certificate Filing; permits filing prior to award of contracts if not filed with bid. Effective with bids received and contracts awarded after January 18, 2010, this law removes the requirement of the Local Public Contracts Law (N.J.S.A. 40A:11-23.2) that required a bid to be rejected if the respondent failed to include a BRC with their bid, even though it may have been the lowest responsible bid. The law now allows the BRC to be filed any time prior to award of the contract and the bidder had to obtain the BRC prior to receipt of bids. This permits the BRC to be required with a bid, or submitted subsequently. If a BRC is required in a bid, but not submitted with the bid, it would be an immaterial defect; curable by being filed prior to award of the contract. A BRC is obtained from the New Jersey Division of Revenue. Information on obtaining a BRC is available on the internet at www.nj.gov/njbgs or by phone at (609) 292-1730.

3. SCOPE OF WORK (SOW)
INTENT
The Township of Woodbridge is seeking one or more utility-approved Small Business Direct Install (SBDI) contractors to be featured in a Township-wide outreach campaign encouraging small and medium-sized businesses and nonprofit organizations (such as houses of worship, health clinics, food banks and senior centers) to participate in the SBDI program.
SBDI is available to existing commercial facilities with an average annual peak electric demand below 200 kW. The program begins with a free, no-obligation energy assessment by a utility-approved contractor, and pays up to 70% of the cost of eligible energy-saving upgrades (up to 80% for businesses located in Urban Enterprise Zones).
The Township’s goal is to have 5% of commercial facilities assessed between December 2026 and May 2027.
3.1 General Requirements
• Currently approved SBDI contractor in the SBDI program of electric utility serving the Township.
• Prior experience with commercial energy assessments and completed SBDI projects in New Jersey, including a list of projects completed within the last five (5) years with references and completion certificates, if available.
• Capacity to perform the work at varying participation rates, with a goal of at least 300 facilities assessed in twelve (12) months.
• Insurance coverage as required in Section 2.8.9.
• Commitment to the Township for a minimum of six (6) months.
3.2 DETAIL REQUIREMENTS
For each participating business, the selected contractor shall:
A. Pre-assessment guidance: Help the business locate the billing information needed for its SBDI application, including the most recent fourteen
(14) months of electric and natural gas bills showing that the business has occupied the building and that its average annual peak electric demand is below 200 kW.
B. Energy assessment: Conduct a free, no-obligation energy assessment of the facility covering lighting, HVAC, refrigeration and other eligible equipment, including building electrification upgrades (such as heat pumps) that use available NJCEP and/or utility incentives, and provide an assessment report and initial Scope of Work (SOW) listing recommended upgrades, estimated costs and available incentives.
C. Final SOW: Once the business has chosen the upgrades it wants, provide a final
SOW listing those upgrades, their total cost, the incentives available and the cost to be paid by the business.
D. Contract and installation: If the business selects the contractor, sign a contract with the business, handle the paperwork with PSE&G, and install the energy-saving upgrades as described in the final SOW.
E. Outreach campaign support: Work with Township staff, the green team and utility staff on the outreach plan; coordinate events and workshops for businesses (for example, Chamber of Commerce events); cover some or all of the cost of direct mailings to businesses; and follow up on leads generated by the campaign.
F. Periodic reporting: Provide periodic reports to the Township on all energy assessments performed and all upgrades completed at commercial facilities in the Township.
The Township is not responsible for and does not guarantee any of the contractor’s work. If a business hires the contractor following an energy assessment, the contractor will be responsible for all of the business’s claims, damages and losses related to that work.

The owner may extend the decision to award or reject all proposals beyond the sixty (60) calendar days when the proposals of any respondents who consent thereto may, at the request of the owner, be held for consideration for such longer period as may be agreed.
5.2 Rejection of Proposals
The owner reserves the right to reject any or all proposals, or to reject any proposals if the evidence submitted by, or investigation of such respondent fails to satisfy the owner that such respondent is properly qualified to carry out the obligations of the RFP and to complete the work contemplated therein. All criteria will be used to select the successful respondent. The respondent may be requested to clarify elements of the proposal.
5.4.1 Understanding of the Requested Work
The proposals will be evaluated for general compliance with instructions and requests issued in the RFP. Non-compliance with significant instructions shall be grounds for disqualification of proposals.
5.4.2 Knowledge and Technical Competence
This includes the ability of the respondent to perform all of the tasks and fulfill adequately the stated requirements.
5.4.2.a. Management, Experience and Personnel Qualifications
Expertise of the firm shall be demonstrated by past contract successes providing government or other agencies with similar services.
