KEYSIGHT TERMS OF SERVICE

These Keysight Terms of Service (“Terms”) along with the applicable description of Service (“Service Exhibit”) and the terms indicated on the quotation govern the Service of Products and the license of software updates by Keysight Technologies, Inc. and its subsidiaries (“Keysight”). In the event of a conflict herewith, the Service Exhibit will prevail. "Product" means Keysight or third-party hardware that is supported by Keysight as described, if applicable, in any Service Exhibits. "Service" means any standard service to support Products. “Specifications” means technical information about Products published by Keysight and in effect on the date Keysight ships the order. “Technology” means any information, including Specifications, generated by Keysight or otherwise provided by Keysight to Customer. “Items” means Products, Software, Technology, and any other items received from Keysight.
1. PARTIES RESPONSIBILITIES
a) Keysight will perform Service in a professional and workmanlike manner. Keysight will make reasonable efforts to deliver Service in accordance with the quotation or the applicable Service Exhibit and may select qualified and reputable subcontractors to perform Service.
b) Product must be at current specified revision levels and may require Keysight’s certification, at Customer’s expense, that Product is in good operating condition.
c) Product relocation may result in additional Service charges, modified service response times and if moved subject to availability.
d) Customer must remove products not eligible for Service to enable Keysight to perform Service and may incur additional charges for any extra work caused. Unless otherwise agreed, Keysight will not use any Customer-supplied parts for use in performing the service.
Keysight Service may use remanufactured parts that are equivalent to new in performance.
e) Service does not cover damage, defects or failures caused by:
use of non-Keysight media, supplies and other products; site conditions that do not conform to Keysight's specifications;
neglect, improper use, fire or water damage, electrical disturbances, transportation, work, or modification by non- Keysight employees or subcontractors, or causes beyond Keysight's control.
f) Customer is responsible for maintaining a procedure external to the Product to reconstruct lost or altered Customer files, data or programs, and for having a representative present when Keysight provides Service at Customer's site. Customer will notify Keysight if Product is being used in an environment that poses a potential health hazard. Keysight may require Customer to maintain such Product under Keysight supervision.
2. ORDERS AND CANCELLATIONS
a) All orders are subject to acceptance by Keysight.
b) Unless stated otherwise in the Service Exhibit, cancellation is subject to Keysight’s prior consent and any applicable fees, details of which are available on request.
c) Upon sixty (60) days written notice, Keysight may delete Product no longer included in Keysight's Service offering or may cancel a Service Exhibit.
3. SHIPMENT, RISK OF LOSS AND ACCEPTANCE
a) Customer will pay all expenses for return of Product to the Keysight service center. Keysight will pay expenses for return of Product to Customer via Keysight’s standard shipping methods.
b) Risk of loss and damage for tangible deliverables will pass to Customer at the location specified in the quotation or order acknowledgment.
c) Acceptance of Service will occur upon performance.
4. PRICE AND PAYMENT
a) Prices exclude any applicable sales, value added or similar tax payable by Customer. Prices reflect that any parts replaced during performance of a Service will be retained and owned by Keysight.
b) Payment terms are per the quotation or order acknowledgement and are subject to change if Customer’s financial condition or payment records so warrants. Keysight may stop performance if Customer fails to pay any sum due, or fails to perform under this or any other Keysight agreement if, after ten (10) days written notice, the failure has not been cured.
5. WARRANTY
a) Keysight will replace, at no charge, defective parts used in Keysight’s repair of Product for ninety (90) days from the date of Service.
b) Keysight warrants that software updates will not fail to execute programming instructions due to defects in materials and workmanship when properly installed and used on hardware designated by Keysight. Keysight warrants that Keysight owned standard software updates substantially conform to specifications.
Keysight does not warrant that software updates will operate in hardware and software combinations selected by Customer, or meet requirements specified by Customer. Keysight does not warrant that software updates will be uninterrupted or error free.
c) The above warranties do not cover defects resulting from improper or inadequate maintenance, installation, repair or calibration performed by Customer or an unauthorized third party; Customer or third party supplied hardware or software, interfacing or supplies;
unauthorized modification; improper use or operation outside of the specifications for the Product; abuse, negligence, accident, loss or damage in transit; or improper site preparation.
d) THE WARRANTIES IN THESE TERMS ARE EXCLUSIVE AND
NO OTHER WARRANTY, WHETHER WRITTEN OR ORAL, IS
EXPRESSED OR IMPLIED. KEYSIGHT SPECIFICALLY
DISCLAIMS THE IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE
ANDNON-INFRINGEMENT.
6. LICENSES
Unless license terms are included with the software updates, software updates licensed under these Terms will be subject to the most current applicable underlying license.
7. INTELLECTUAL PROPERTY CLAIMS
a) Keysight will defend or settle any claim against Customer that any deliverable provided under these Terms infringes an intellectual property right provided Customer promptly notifies Keysight in writing and provides control of the defense or settlement, and assistance to Keysight.
b) In defending or settling an infringement claim under Section 7(a), Keysight will pay infringement claim defense costs, settlement amounts and court-awarded damages. If such a claim appears likely, Keysight may, at its option, modify or replace the affected deliverable, or procure any necessary license. If Keysight determines that none of these alternatives is reasonably available, Keysight will refund Customer's purchase price.

c) Keysight has no obligation for any claim of infringement arising from: Keysight's compliance with, or use of, Customer's designs, specifications, instructions or technical information;
modifications by Customer or a third party; software update use outside the scope of Keysight specifications or related application notes; or use of the deliverable with products not supplied by Keysight.
8. LIMITATION OF LIABILITY AND REMEDIES
a) To the maximum extent permitted by law, in no event will Keysight, its subcontractors or suppliers be liable for any special, incidental, indirect or consequential damages (downtime costs, loss of data, restoration costs, lost profits or lost revenue). In addition, Keysight, its subcontractors, or suppliers will not be liable for any damages related to Customer’s or any end user’s network or operating environment, use of, or inability to access or use, its network or operating environment. These limitations apply regardless of whether such claims are based on contract, tort, warranty or any other legal theory, even if advised of the possibility of such damages.
This exclusion shall apply even if any remedy set forth in these Terms fails its essential purpose.
b) The limitations set forth in Section 8 (a) above will not apply to infringement claims under Section 7 above, to damages for bodily injury or death or to damages resulting from willful misconduct or fraudulent misrepresentation.
c) The remedies in these Terms are Customer’s sole and exclusive remedies.
9. INDEMNIFICATION
Keysight will indemnify and hold Customer harmless from and against any third party claims for (i) bodily injury or death, or (ii) direct damage to tangible property, to the extent caused by Keysight’s negligence or willful misconduct in performing its obligations under these Terms, provided that Keysight is given prompt written notice and the opportunity to control the defense of the claim or settlement, and subject to the limitation of liabilities set forth in Section 8.
10. INSURANCE
For Service provided by Keysight, Keysight will maintain insurance providing, at a minimum, coverage as follows:
a) Commercial General Liability insurance of US $3,000,000 combined single limit for bodily injury and property damage, per occurrence and annual aggregate.
b) Business Auto Liability insurance of US $3,000,000 combined single limit for bodily injury and property damage, per occurrence; and
c) Workers Compensation in amounts sufficient to meet legal requirements in jurisdictions where work will be performed.
Employer’s Liability of US $1,000,000 policy limit by disease, and US $1,000,000 per employee for bodily injury by disease.
11. TERM AND TERMINATION
a) An order or a Service agreement may be terminated immediately upon notice in writing (a) by either party, for cause, unless the other party cures the breach within thirty (30) days of written notice of such breach or (b) by Keysight if Customer fails to pay any sums due as specified in Section 4(b) above.
b) Any order or Service agreement will terminate automatically if either party is subject to a voluntary or involuntary bankruptcy petition, becomes insolvent, is unable to pay its debts as they become due, ceases to do business as a going concern, makes an offer or assignment or compromise for the benefit of creditors, or there is a substantial cessation of its regular course of business, or a receiver or trustee is appointed for such party’s assets.
c) Upon termination in accordance with Section 11a) or b) Customer will pay Keysight for all Service performed and charges and expenses incurred by Keysight up to the date of termination. If the sum of such amounts is less than any advance payment received by Keysight, Keysight will refund the difference within thirty (30) days of receipt of an invoice from Customer. Customer will receive all work in progress for which Customer has paid.
d) Provisions herein which by their nature extend beyond the termination of any Service will remain in effect until fulfilled.
12. GENERAL
a) Customer may not assign or transfer a Service agreement without Keysight’s prior written consent, which may be subject to applicable charges and terms.
b) Keysight may collect personal data in connection with these Terms. Keysight will process such personal data in accordance with Keysight's Privacy Statement available at www.keysight.com/go/privacy. Keysight will not sell, rent or lease Customer's personal data to others.
c) The parties agree to comply with applicable laws and regulations.
Keysight may suspend performance if Customer is in violation of applicable laws or regulations.
d) Notwithstanding any other provision in these Terms, with respect to all activities, transactions, or other dealings engaged in or otherwise contemplated under these Terms, or that otherwise relate to Items and Services provided under these Terms:
(i) Customer expressly agrees that it assumes full responsibility for obtaining any and all required authorizations under export controls and/or sanctions laws, including U.S. Sanctions and U.S. Export Control Laws (as defined in Section 12(d)(ii)), prior to engaging in any services, activity, transaction or other dealing, including, but not limited to, providing or allowing access to an Item directly or indirectly to any employee, contractor, student, agent, or any other person or entity, which requires authorization pursuant to export controls and/or sanctions laws, including U.S. Sanctions and U.S. Export Control Laws.
(ii) Customer acknowledges and agrees that Items, Services, activities, transactions, or other dealings involving Items may be subject to economic, financial and trade sanctions laws and regulations, orders and directives including, without limitation, those issued by (a) the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), the U.S.
Department of State, and U.S. Department of Commerce, (collectively, “U.S. Sanctions”) and (b) U.S. export control laws, regulations, orders and directives, including the U.S.
International Traffic in Arms Regulations (“ITAR”) and the U.S.
Export Administration Regulations (“EAR”), (collectively, “U.S.
Export Control Laws”).
(iii) Without limiting the foregoing, Customer confirms that it is not, and is not acting for, on behalf of or at the direction of any person that is, or any person owned or controlled by a person that is (a) a target of U.S. Sanctions including, but not limited to, persons identified on the Specially Designated Nationals and Blocked Persons List or Sectoral Sanctions Identifications List; (b) organized, located, or resident in a country or territory that is the target of comprehensive U.S. Sanctions or other broad U.S. Sanctions; and/or (c) identified on a list administered under U.S. Export Control Laws including, but not

Page 3 / 3 limited to, the Entity List, Unverified List, Military End User List, Debarred Parties List, or Denied Persons List (collectively, together with (a) and (b), “Restricted Parties”). Customer will not sell, export, reexport, transfer, re-transfer, supply or otherwise provide, any Items, directly or indirectly, to, or otherwise deal with a Restricted Party in violation of U.S.
Sanctions and/or U.S. Export Control Laws.
(iv) Customer will, upon Keysight’s request, promptly furnish all information and documentation requested by Keysight in connection with its and Customer’s compliance with export controls and/or sanctions laws, including with U.S. Sanctions and Export Control Laws. Keysight may, in its sole discretion, require Customer to provide an end user certificate and export license to ensure compliance under export control laws and sanctions laws, including U.S. Sanctions and Export Control Laws, by Keysight and Customer.
(v) Customer will promptly notify Keysight if any representations, warranties or covenants provided under this Section 12(d) are no longer accurate.
(vi) Customer acknowledges that Keysight may supply Items and Services from various locations around the world. Keysight may, in its sole discretion, suspend performance, refuse to supply Items and Services or cancel all or part of an order under these Terms if Customer does not comply with any provisions under this Section 12(d); or if any activities, transactions or other dealings contemplated under these Terms or that otherwise involve or relate to Items or Services would, or would be likely to, violate any export controls and/or sanctions laws including U.S. Sanctions or U.S. Export Control Laws.
e) A party is excused from and not liable for performance of its obligations under these Terms for any occurrence beyond its reasonable control and without its fault or negligence including, but not limited to, acts of God (such as fires, floods, storms, earthquakes, hurricanes or other natural disasters), acts of the public enemy (such as civil war, rebellion, revolution or terrorist activities), regulations, acts or restraints of a government in either its sovereign or contractual capacity, epidemics, quarantine restrictions, strikes, lockouts, interruption or failure of utilities, or acts or omissions of common carriers.
f) Use, distribution or disclosure of Products by the U.S Government is subject to DFARS 227.7202-3 (Rights in Commercial Computer Software), DFARS 252.227-7015 (Technical Data – Commercial Items), and FAR 52.227-19 (Commercial Computer Software- Restricted Rights).
g) Disputes arising in connection with these Terms will be governed by the laws of the State of California.
h) To the extent that any provision or a portion of any provision of these Terms is determined to be illegal or unenforceable, the remainder of these Terms will remain in full force and effect.
i) These Terms and any Service Exhibits attached hereto constitute the entire agreement between Keysight and Customer, and supersede any previous communications, representations, or agreements between the parties, whether oral or written, regarding transactions hereunder. Customer's additional or different terms and conditions will not apply.
j) Keysight may assign or transfer any of its rights or obligations under these Terms upon notice in connection with a merger, reorganization, transfer, sale of assets or product lines, demerger or spin-off transaction or change of control or ownership of Keysight, or its permitted successive assignees or transferees.

Los presentes Términos de Servicio de Keysight (“Términos”), junto la descripción aplicable del Servicio (Anexo de Servicio) y los términos contenidos en la oferta rigen las actividades de Servicio de Productos y licencia de Actualización de Software proveídas por Keysight Technologies Inc. y sus subsidiarias (“Keysight”). En el caso de que los presentes Términos o los de un Contrato Firmado, los términos de la oferta y los términos del Anexo de Servicio aplicable entren en conflicto, estos últimos regirán y prevalecerán sobre los anteriores. “Producto” significa cualquier equipo (hardware) o consumible de Keysight o de un tercero que recibe soporte por parte de Keysight tal como se describe en el Anexo de Servicio. “Servicio” significa cualquier servicio estándar de soporte a Productos. “Especificaciones” significa la información técnica propia de los Productos, publicada por Keysight, y que esté en vigor en la fecha en la que Keysight envíe el pedido del Cliente. “Tecnología” significa cualquier información, incluidas las Especificaciones, generada por Keysight o proporcionada al Cliente, de cualquier otra manera, por Keysight. “Artículos” significa Productos, Software, Tecnología y/o cualquier otro bien recibido de parte de Keysight.
1. RESPONSABILIDADES DE LAS PARTES
a) Keysight llevará a cabo la prestación del Servicio de una forma profesional. Las partes acuerdan que Keysight, en la medida de lo razonable, hará lo que esté a su alcance para prestar el Servicio de conformidad con la oferta o el Anexo de Servicio aplicable, pudiendo seleccionar subcontratistas de reputación y prestigio para prestar dicho Servicio.
b) El Producto deberá contar con las revisiones especificadas proveídas en forma oportuna y deberá encontrarse en buenas condiciones de funcionamiento. Si es necesario, el producto deberá poseer una certificación emitida por Keysight, con cargo al Cliente.
c) La reubicación del Producto podrá ocasionar cargos por Servicio adicionales y cambios en los tiempos de respuesta del Servicio.
La prestación del Servicio en caso de que el Producto haya sido reubicado queda condicionada a su disponibilidad.
d) El Cliente será responsable de retirar todos los Productos no susceptibles de recibir el Servicio para permitirle a Keysight proveerlo al Producto. Keysight cobrará al Cliente, en base a su tarifa estándar, cuando deba realizar cualquier trabajo adicional que se derive de tal situación. Salvo acuerdo en contrario, Keysight no utilizará ninguna pieza suministrada por el Cliente para realizar el Servicio. Los Servicios de Keysight pueden emplear piezas remanufacturadas cuyas prestaciones en funcionamiento serán equivalentes al de las nuevas.
e) El Servicio no cubre los daños, fallas o defectos causados por:
el uso de soportes, suministros y productos que no sean de la marca Keysight o no estén designados por Keysight para usarse con el Producto, condiciones del lugar de ubicación del Producto que no reúna los requisitos exigidos por Keysight; o negligencia, uso inadecuado, daños causados por fuego o agua, alteraciones eléctricas, transporte, trabajos o modificaciones no realizadas por empleados o subcontratistas de Keysight, o cualesquiera otras causas que se encuentren fuera del control de Keysight.
f) El Cliente será responsable del mantenimiento de un procedimiento externo al Producto que le permita reconstruir sus archivos, datos o programas perdidos o alterados. Cuando Keysight preste los Servicios, un representante del Cliente deberá permanecer presente en el lugar donde se lleve a cabo dicho servicio. El Cliente deberá notificar a Keysight, en su caso, si el Producto está siendo usado en un medio ambiente que pueda suponer un riesgo potencial para la salud del personal o subcontratistas de Keysight. En tal caso, Keysight podrá solicitar al Cliente que dicho Producto se mantenga bajo la supervisión de Keysight.
2. PEDIDOS Y CANCELACIONES
a) Todos los pedidos están sujetos a la aceptación de Keysight.
b) A menos que se indique lo contrario en el Anexo de Servicio, la cancelación de ordenes está sujeta a la previa aceptación y aprobación de Keysight, así como a la aplicación de los cargos correspondientes cuyos detalles serán proporcionados a petición del Cliente.
c) Las partes acuerdan que mediante notificación escrita con sesenta (60) días de antelación, Keysight podrá eliminar del Contrato de Servicio Productos que hayan dejado de ser soportados por Keysight o dar por terminado un Anexo de Servicio sin responsabilidad alguna.
3. ENTREGA, RIESGO DE PÉRDIDA Y ACEPTACIÓN
a) Salvo que se indique lo contrario en la oferta, serán a cargo del Cliente todos los gastos de manejo y envío de los Productos al Centro de Servicio de Keysight. Una vez que el Servicio ha sido proveído Keysight procederá a la devolución de los Productos al Cliente mediante sus métodos estándar de manejo y envío. El Cliente podrá solicitar el empleo de otros métodos de envío pagando una tasa adicional a los precios vigentes de Keysight.
b) Las partes acuerdan que el riesgo de pérdida y daño de las Piezas, los soportes de Actualización de Software u otros productos tangibles propiedad de Keysight, se transmitirá al Cliente al ser los Productos entregados en el lugar indicado ya sea en la oferta o en el pedido colocado por el Cliente y aceptado por Keysight.
c) Las partes acuerdan que la aceptación del Servicio por parte del Cliente tendrá lugar cuando Keysight realice dicho Servicio.
4. PRECIO Y CONDICIONES DE PAGO
a) El Cliente pagará, al no estar incluidos en el precio, cualesquiera impuestos sobre ventas, IVA o impuestos similares. Los precios consideran que cualquier pieza reemplazada durante la ejecución de un Servicio será retenida y se convertirá en propiedad de Keysight.
b) Las condiciones de pago son las mencionadas en la oferta, incluidas en el Pedido y aceptadas por Keysight y las partes están de acuerdo en que Keysight podrá cambiarlas en cualquier momento en el que, en opinión de Keysight, la condición financiera o el historial de pagos del Cliente así lo justifique. Keysight queda facultada a suspender el cumplimiento de sus obligaciones o rescindir el presente Contrato si el Cliente incumpliese sus obligaciones de pago o cualesquiera otras obligaciones que le pudieran corresponder al amparo del presente Contrato o de los Contratos de Servicios, siempre que, habiendo sido requerido por escrito por Keysight para la subsanación del incumplimiento, persista en el mismo transcurridos diez (10) días desde tal requerimiento.
5. GARANTIA
a) Durante un periodo de noventa (90) días contados a partir de la fecha del servicio de reparación, Keysight reemplazará, sin costo alguno, las piezas defectuosas que hayan sido empleadas en dicho servicio.
b) Keysight garantiza la Actualización del Software contra defectos en los materiales y en la mano de obra que le impidan ejecutar sus instrucciones de programación, siempre y cuando el software esté debidamente instalado en los equipos

Página 2 / 4 designados por Keysight. Keysight garantiza que la Actualización del Software estándar de su propiedad cumple en esencia con las Especificaciones. Keysight no garantiza que la Actualización del Software funcione en combinaciones de hardware y software elegidas por el Cliente ni que cumpla con los requerimientos especificados por el Cliente. Keysight no garantiza que el funcionamiento de la Actualización del Software será ininterrumpido o libre de errores.
c) Las garantías anteriores no aplican a defectos que tengan su origen en un mantenimiento, instalación, reparación o calibración inapropiados o inadecuados realizados por el Cliente o terceros no autorizados por Keysight; hardware o software, interfaces o suministros proporcionados por el Cliente o Terceros; modificaciones no autorizadas; uso incorrecto u operación fuera de las especificaciones del Producto; abuso, mal uso, negligencia, accidente, pérdida o daño durante el transporte; o inadecuada preparación del lugar de instalación o mantenimiento.
d) LAS GARANTÍAS CONTEMPLADAS EN LOS PRESENTES
TÉRMINOS SON ÚNICAS Y EXCLUSIVAS. KEYSIGHT NO
ASUME NI ASUMIRÁ NINGÚN OTRO COMPROMISO DE
GARANTÍA ESCRITO O VERBAL, EXPRESO O IMPLÍCITO.
KEYSIGHT HACE CONSTAR EXPRESAMENTE QUE NO
GARANTIZA LA COMERCIABILIDAD O IDONEIDAD A
EFECTOS DE CUALQUIER APLICACIÓN CONCRETA PARA
UN FIN DETERMINADO Y/O EN RELACIÓN CON
CUALESQUIERA INFRACCIONES.
6. LICENCIAS
Salvo que se incluyan términos de licencia específicos con las Actualizaciones de Software, las Actualización de Software para la que se conceda una licencia al amparo de estos Términos estará sujeta a la licencia subyacente más reciente aplicable.
7. DEMANDAS POR PROPIEDAD INTELECTUAL
a) Keysight defenderá al Cliente de cualquier reclamación en su contra que se funde en el hecho de que recibir o usar cualquier artículo suministrado en virtud de los presentes Términos infringe un derecho de propiedad intelectual, siempre y cuando el Cliente lo notifique por escrito a Keysight de modo inmediato otorgando a Keysight la ayuda necesaria y el amplio control de la defensa y/o negociación.
b) En el contexto de una defensa y/o negociación por una reclamación de infracción de lo mencionado en la Cláusula 7
(a) del presente documento Keysight correrá con los gastos ocasionados por tales procedimientos, así como con el pago de penas y daños a los que pueda ser condenado el Cliente por tribunal competente mediante sentencia firme. Si se prevé que tal reclamación será viable, Keysight podrá optar por modificar el artículo en cuestión, por obtener la licencia requerida y necesaria, o por reemplazarlo. Si Keysight considerase que ninguna de las alternativas antes referidas pueda ser razonablemente implementada, entonces Keysight podrá dar por terminado los presentes Términos, o el Contrato de Servicios de que se trate y reembolsará al Cliente el valor del precio de compra de dichos artículos.
c) Keysight no tendrá obligación alguna en el caso de reclamaciones por infracción que tenga su origen en:
cumplimiento o uso por parte de Keysight de cualesquiera diseños, especificaciones, instrucciones o información técnica del Cliente; modificaciones por parte del Cliente o por terceros;
uso de la Actualización del Software al margen de las Especificaciones o notas de aplicaciones asociadas uso de los artículos suministrados en virtud de los presentes Términos con productos no suministrados por Keysight.
8. LIMITACION DE RESPONSABILIDAD Y RECURSOS
a) En la máxima medida permitida por la ley, en ningún caso, Keysight, sus subcontratistas y/o proveedores, serán responsables de cualesquiera daños morales directos, daños indirectos y/o consecuenciales (materiales, morales y/o perjuicios), incluyendo, sin limitar, tiempos muertos, pérdida de información, costos de restauración o lucro cesante.
Adicionalmente, Keysight, sus subcontratistas o proveedores no serán responsables de ningún daño relacionado con la red o el entorno operativo del Cliente o de cualquier usuario final, el uso o la imposibilidad de acceder o utilizar su red o entorno operativo., independientemente de si dichas reclamaciones se basan en contrato, agravio, garantía o cualquier otra teoría legal, incluso si se advierte de la posibilidad de tales daños.
Esta limitación prevalecerá sobre cualesquier otros términos relacionados con el objeto de los presentes términos.
b) La limitación establecida en la cláusula 8. (a) de este documento no aplicará en caso de reclamaciones por violación a derechos de Propiedad Intelectual establecidos en la Cláusula 7 ni a daños corporales, muerte o daños resultantes de conducta impropia intencional o tergiversación fraudulenta.
c) Los remedios establecidos en estos Términos excluyen cualquier otro tipo de compensación.
9. INDEMNIZACION
Keysight indemnizará y mantendrá a salvo al Cliente por y contra cualquier reclamación de terceros por (i) lesiones corporales mortales, o (ii) los daños directos a la propiedad tangible, en la medida de lo causado por la negligencia o conducta no apropiada intencional de Keysight en el desempeño de sus obligaciones en virtud de estos Términos, siempre que se notifique prontamente por escrito a Keysight y se le dé la oportunidad de controlar la defensa de la reclamación o de liquidación, y sujeto a la limitación de las responsabilidades establecidas en la Sección 8
10. SEGURO
Para el Servicio proporcionado por Keysight, Keysight mantendrá un seguro que brinde, como mínimo, la siguiente cobertura:
a) Seguro de Responsabilidad Civil General Comercial de US$3.000.000 límite único combinado por lesiones corporales y daños a la propiedad, por evento y agregado anual.
b) Seguro de Responsabilidad Civil Vehicular de US$3.000.000 límite único combinado por lesiones corporales y daños a la propiedad, por evento; y
c) Compensación de trabajadores en montos suficientes para cumplir con los requisitos legales en las jurisdicciones donde se realizará el trabajo. La póliza limita la responsabilidad del empleador a US$1,000,000 por enfermedad y US$1,000,000 por empleado por lesiones corporales por enfermedad.
11. DURACIÓN Y TERMINACION
a) Podrá rescindirse de inmediato un pedido o un Contrato de Servicio, mediante notificación por escrito, (a) por cualquiera de las partes, debido al incumplimiento de la otra, a menos que esta última subsane el incumplimiento en un plazo de treinta
(30) días a partir de la fecha de la notificación por escrito de dicho incumplimiento o (b) por Keysight si el Cliente no paga las cantidades adeudadas, tal como se especifica en la Cláusula 4.b) que figura en este documento.

b) En caso de que una de las Partes se encontrara en situación de insolvencia, se viera imposibilitada a hacer frente al pago de sus obligaciones en sus respectivos vencimientos, se viera sujeta a un procedimiento concursal (sea éste voluntario o involuntario), se le nombrara algún síndico, hiciera cesión de sus activos o un acuerdo en beneficio de sus acreedores, o cesara en su actividad empresarial ordinaria, la otra Parte podrá, con efectos inmediatos y sin necesidad de que medie notificación, rescindir el presente Contrato.
c) Sin perjuicio de lo dispuesto en la Cláusula (9 a) o (b), aplicable en caso de terminación anticipada de un Contrato de Servicio, tras la cancelación de un pedido o terminación de un Contrato de Servicio, el Cliente abonará a Keysight todos los Servicios que ésta haya prestado, así como los gastos en los que ésta haya incurrido hasta la fecha de terminación. La información sobre los recargos de Servicio aplicables puede obtenerse previa solicitud. Si el importe de dichas cantidades fuera inferior a cualquier pago anticipado recibido por Keysight, ésta reembolsará la diferencia en un plazo de treinta
(30) días contados a partir de la fecha de recepción de la factura del Cliente. El Cliente recibirá todos los servicios en curso que haya pagado.
d) Las estipulaciones contenidas en el presente Contrato que, por su naturaleza, se extienden en el tiempo más allá de la terminación de un Servicio, continuarán en vigor hasta su total cumplimiento.
12. ESTIPULACIONES VARIAS
a) El Cliente no podrá transferir o ceder su Contrato de Servicio sin el previo consentimiento por escrito de Keysight, y podrá estar sujeto a los términos y cargos aplicables.
b) Keysight puede recopilar datos personales en relación con estos Términos. Keysight procesará dichos Datos de Carácter Personal del Cliente de conformidad con las políticas de privacidad de Keysight que están disponibles a solicitud del Cliente o en www.keysight.com/go/privacy. Keysight se compromete a no vender o arrendar a terceros los Datos de Carácter Personal del Cliente.
c) Las partes están de acuerdo que cumplirán con las leyes y reglamentaciones aplicables. Las partes están de acuerdo en que Keysight podrá suspender el cumplimiento de sus obligaciones si el Cliente incumple cualquiera de las leyes y/o reglamentaciones aplicables.
d) Sin perjuicio de cualquier otra disposición contenida en estos Términos, con respecto a todas las actividades, transacciones u otras operaciones realizadas o contempladas en estos Términos, o en relación con los Artículos y, Servicios provistos bajo estos Términos:
i) El Cliente acepta expresamente que asume la plena responsabilidad de obtener todas y cada una de las autorizaciones requeridas en virtud de las leyes de control y/o sanciones a la exportación, incluidas las Leyes de Control de Exportaciones y Sanciones de USA. (U.S.
Sanctions and U.S. Export Control Laws), antes de involucrarse y participar en cualquier servicio, actividad, transacción u operación, incluyendo, pero no limitado a, proporcionar o permitir el acceso a un Artículo directa o indirectamente a cualquier empleado, contratista, estudiante, agente o cualquier otra persona o entidad que requiera autorización en virtud de las leyes de control y/o sanciones a la exportación, incluidas las Leyes de Control de Exportaciones y Sanciones de USA (U.S. Sanctions and U.S. Export Control Laws).
ii) El Cliente reconoce y acepta que los Artículos, Servicios, actividades, transacciones u otras operaciones que involucren Artículos pueden estar sujetos a leyes y reglamentos, órdenes y directrices sobre sanciones comerciales, financieras y económicas, incluidas, entre otras, (a) la Oficina de Control de Activos Extranjeros del Departamento del Tesoro de USA (U.S. Department of the Treasury’s Office of Foreign Assets Control “OFAC”), el Departamento de Estado de USA (U.S. Department of State) y el Departamento de Comercio de USA (U.S. Department of Commerce), colectivamente llamadas "Sanciones de USA” y (b) leyes, regulaciones, órdenes y directrices de control de exportaciones de USA, incluidas las Regulaciones de Tráfico Internacional de Armas de USA (U.S. International Traffic in Arms Regulations "ITAR"), las Regulaciones de Administración de Exportaciones de USA (U.S. Export Administration Regulations "EAR"), colectivamente, "Leyes de Control de Exportaciones de
USA”.
iii) Sin perjuicio de lo anterior: el Cliente confirma que no está, que no actúa para, ni en nombre de, o bajo la dirección de cualquiera otra persona que esté bajo el control de una persona física o moral que sea (a) un objetivo de las Sanciones de USA, incluidos, entre otros, las personas identificadas en la Lista de Personas Bloqueadas y Nacionales Especialmente Designados (Specially Designated Nationals and Blocked Persons List) o en la Lista de Identificación de Sanciones Sectoriales (Sectoral Sanctions Identifications List); (b) organizada, ubicada o residente en un país o territorio sujeto a Sanciones de parte de USA u otras existentes; y/o (c) identificado en una lista administrada bajo las Leyes de Control de Exportaciones de USA (U.S. Export Control Laws) que incluye, entre otros, la Lista de Entidades (Entity List), la Lista No Verificada (Unverified List), la Lista de Usuarios Finales Militares (Military End User List), Lista de las Entidades Inhabilitadas (Debarred Parties List) o la Lista de Personas Denegadas (Denied Persons List), colectivamente llamadas, junto con
(a) y (b), “las Partes Restringidas”. El Cliente no venderá, exportará, reexportará, transferirá, retransferirá, suministrará ni proporcionará de algún otro modo ningún Artículo a una Parte Restringida, ni tratará de otro forma con ella, de lo contrario estará violando las Leyes de Control de Exportaciones y Sanciones de USA (U.S. Sanctions and/or U.S. Export Control Laws).
iv) El Cliente, a solicitud de Keysight, proporcionará de inmediato toda la información y documentación solicitada por Keysight en relación con el cumplimiento del Cliente con las leyes de control y/o sanciones a la exportación, incluidas las Leyes de Control de Exportaciones y Sanciones de USA ((U.S. Sanctions and Export Control Laws). Keysight podrá, a su entera discreción, solicitar al Cliente que proporcione un certificado de usuario final y una licencia de exportación para garantizar el cumplimiento, por parte de Keysight y el Cliente, de las leyes de control y/o sanciones a la exportación, incluidas las Leyes de Control de Exportaciones y Sanciones de USA (U.S. Sanctions and Export Control Laws).
v) El Cliente notificará de inmediato a Keysight si alguna de las declaraciones, garantías o acuerdos establecidos y aceptados en virtud de esta Cláusula 12 ya no son cumplidos y/o ciertos.
vi) El Cliente reconoce que Keysight puede suministrar Artículos y Servicios desde diversos lugares del mundo.

Página 4 / 4 ejecución, negarse a suministrar Artículos y Servicios, o cancelar la totalidad o parte de un pedido/orden de compra en virtud de estos Términos si el Cliente incumple con cualquiera de las disposiciones establecidas en esta Cláusula 12; o si cualquiera de las actividades, transacciones u otros acuerdos contemplados en estos Términos o que de algún modo involucren o se relacionen con Artículos y Servicios, violaran o pudieran violar cualquier ley de control y/o sanciones a la exportación, incluidas las Leyes de Control de Exportación y Sanciones de USA (U.S. Sanctions or U.S. Export Control Laws).
e) Una parte está excusada y no será responsable del cumplimiento de sus obligaciones en virtud de estos Términos para cualquier evento más allá de su control razonable y sin su culpa o negligencia, incluyendo, pero no limitado a, actos de fuerza mayor (tales como incendios, inundaciones, tormentas, terremotos, huracanes y otros desastres naturales), los actos del enemigo público (como la guerra civil, rebelión, revolución o de actividades terroristas), reglamentos, actos o restricciones de un gobierno, ya sea en su capacidad soberana o contractual, epidemias, restricciones de cuarentena, huelgas , cierres patronales, interrupción o el fallo de los servicios públicos, o los actos u omisiones de proveedores te telefonía e internet ordinarios.
f) El uso, distribución o divulgación de productos por el Gobierno de Estados Unidos de América está sujeta a DFARS 227.7202- 3 (Rights in Commercial Computer Software), DFARS 252.227- 7015 (Technical Data – Commercial Items), and FAR 52.227- 19 (Commercial Computer Software- Restricted Rights).
g) Cualquier cuestión litigiosa que pudiera derivarse de los presentes Términos se regirá por la legislación del Estado de California.
h) La nulidad total o parcial de alguna disposición de los presentes Términos no afectará a la plena validez y aplicación del resto de las disposiciones.
i) Los presentes Términos y cualesquiera otros términos y condiciones de servicio complementarios aplicables al pedido constituyen la totalidad de lo acordado entre Keysight y el Cliente y prevalecerán sobre cualquier comunicación, declaración o acuerdo previo entre las Partes, oral o escrito, referente a las operaciones realizadas al amparo del presente.
Los términos y condiciones del Cliente adicionales o diferentes de los aquí recogidos no serán aplicables.
j) Keysight podrá ceder o transferir cualquiera de sus derechos u obligaciones en virtud de los presentes Términos previa notificación en relación con una fusión, reorganización, transferencia, venta de activos o líneas de productos, una transacción de separación o escisión o un cambio de control o propiedad de Keysight, o sus sucesivos cesionarios o cesionarios autorizados.
