About this file
This is a Request for Proposal (RFP) issued by the 411th Contracting Support Brigade, Korea for leased telecommunications services to support United States Forces Korea (USFK). The solicitation (W91QVN25R0015) seeks to establish multiple Basic Ordering Agreement (BOA) awards for providing peninsula-wide telecommunications services including data lease services (2.4Kbps to 100Gbps), voice lease services (DOD/DID trunks, ISDN/PRI, VoIP), other communication services (Internet/WiFi, IP-VPN, IPTV, CCTV, Satellite), and strategic cable route services.
The RFP closes on December 23, 2024 at 1:00 PM Korean Standard Time. The BOA period of performance consists of a base year (March 2025 - February 2026) and two option years. Key requirements include 24/7/365 service availability with specific uptime thresholds ranging from 98.5% to 99.9% depending on service type. The contractor must provide coverage across multiple USFK locations including Camp Humphreys, Osan AB, Kunsan AB, and other installations. No security clearance is required, but contractors must comply with physical security requirements and obtain necessary ROK business licenses. The government intends to award to at least three contractors using Lowest Price Technically Acceptable (LPTA) source selection methodology.

SPECIAL NOTE
All sources may submit a proposal or quote as applicable. However, the Republic of Korea (ROK)-United States (U.S.) Status of Forces Agreement (SOFA), precludes the U.S. Government from granting Invited Contractor or Technical Representative status to any offeror, for this requirement. All sources submitting a proposal or quote, as applicable, including U.S. sources, must already have, or obtain the requisite business licenses directly from the ROK Government, and conduct business in accordance with all applicable ROK laws, including but not limited to, rules and policies regarding labor, taxation, and immigration. Any contractor not already doing business in Korea as a local source, must submit adequate verification in its initial proposal or quote, that it has the requisite authorization and capacity to compete for the requirement as a local source, and to perform the contract as a local source. If an initial proposal does not fully demonstrate this authorization and capacity, it will not be further considered for award. Whether an offeror qualifies as a local source shall be determined by the Contracting Officer.
1. CONTRACT TYPE: This is a Basic Ordering Agreement (BOA) in accordance with FAR 16.703, which states, “A basic ordering agreement is a written instrument of understanding, negotiated between an agency, contracting activity, or contracting office and a contractor, that contains –
(1) terms and clauses applying to future contracts (orders) between the parties during its term,
(2) a description, as specific as practicable, of supplies or services to be provided, and
(3) methods for issuing, and delivering future orders under the basic ordering agreement.
A basic ordering agreement is not a contract.” The execution of a BOA does not guarantee that the Government will place future contracts or orders with the Offeror. The Government intends to award at least three (3) BOAs.
This Basic Ordering Agreement shall be changed only by modifying the agreement itself and not by individual orders issued against it. Modifying this agreement shall not retroactively affect orders previously issued against it.
2. TASK ORDERS: Services (projects) will be ordered via individual Task Orders issued against this Basic Ordering Agreement (BOA). Each project will be competed between BOA holders (Contractors) in accordance with FAR Part 6 and FAR 16.703(d)(1)(i). The total price of each project will be negotiated and agreed to prior to Task Order issuance, that were established at time of BOA award. Pursuant to FAR 16.703(c)(v), “failure to reach agreement on price for any order issued before its price is established is a dispute under the Disputes clause included in the basic ordering agreement” herein.
Task Orders will be awarded by issuance of a Standard Form (SF) 1449 or by any other appropriate contractual instrument. All authorized U.S. Government contracting offices and organizations on the Korean peninsula may issue Task Orders against this BOA, but must first coordinate their intentions with the cognizant 411th Contracting Support Brigade (CSB) Administrative Contracting Officer or Contract Specialist to ensure availability of ordering capacity.
3. URGENT & COMPELLING REQUIREMENT: For work determined to be urgent and compelling, such as disconnect data and telecommunication service, the Contracting Officer may authorize the contractor to begin work before finalizing the Task Order, provided a ceiling price limiting the Government’s obligation is established. As soon as practicable, the Contracting Officer shall proceed with settled pricing (defemitization) of the Task Order.
4. PWS & TASK ORDER INFORMATION: Work to be performed under this Agreement shall be within the Performance Work Statement (PWS) herein, but will be more specifically defined and/or controlled by the Task Orders issued by the Contracting or Ordering Officer. Task Orders shall be in writing and include the following information:
i. Technical description of the requirement
ii. Basic Ordering Agreement number and Task Order number
iii. Appropriation and funding data
iv. The total cost or price of the order
v. Applicable special instructions as required (i.e., shipping, delivery, quality, degree, place of inspection and place of acceptance, payment method).
vi. Other pertinent information
5. PERIOD OF PERFORMANCE: The term of this Basic Ordering Agreement is three (3) calendar years from the date of award. In accordance with FAR 16.703(c)(vi)(2), this agreement “shall be reviewed annually before the anniversary of its effective date” at which point the Contracting Officer will determine whether to continue the agreement based on the contractor’s past performance during the preceding performance period.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES
(SEP 2023)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation. However, the small business size standard for a concern that submits an offer, other than on a construction or service acquisition, but proposes to furnish an end item that it did not itself manufacture, process, or produce is 500 employees, or 150 employees for information technology value-added resellers under NAICS code 541519, if the acquisition--
(1) Is set aside for small business and has a value above the simplified acquisition threshold;
(2) Uses the HUBZone price evaluation preference regardless of dollar value, unless the offeror waives the price evaluation preference; or
(3) Is an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at Federal Acquisition Regulation (FAR) 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with FAR subpart 4.10), or alternative commercial products or commercial services for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Army Contract Writing System (ACWS) Transition Information for Contractors
a. The Department of the Army is in the process of deploying a new solicitation and contract writing software application to Army contracting offices worldwide. Known as the Army Contract Writing System (ACWS), this modern software application will replace most existing Army contract writing systems, including the system used to create and release this Contract.
b. During this transition period, Contractors are hereby advised:
1. The Contracting Office may use any combination of contract writing systems to generate distributable copies of this contract during its period of performance, as well as any subsequent modifications or orders (if applicable). As a result:
i. Subsequent documents you receive may appear noticeably different than the original award or previous contractual documents from the same Contracting Office.
ii. A change between contract writing systems may cause important information concerning contract terms and conditions to take on different formatting or appear in different parts of later documents issued.
iii. Contractors shall ensure Customer Relationship Management (CRM) systems and personnel interacting with this contract are prepared to identify and respond appropriately to differences between document versions.
2. The Government does not intend to use the shift between contract writing systems to effect any changes to Contract terms and conditions. Therefore:
i. Contractors should view changes to terms or conditions between document versions as system-generated and potentially erroneous unless accompanied by narrative(s) designating such changes as deliberate and desired.
ii. Contractors shall inform the Contracting Officer listed on the first page of the most recent document issued for guidance regarding any suspected or observed inadvertent or system-generated changes (i.e., noticing something missing in a new conformed copy).
iii. The Government will correct any inadvertent or system-generated changes, additions, or omissions discovered by either party, via bilateral modification, at no cost to the Contractor.
iv. The terms and conditions contained in the latest document reflecting deliberate action by the Contracting Officer (i.e., the last conformed copy of the award not affected by the observed issue) will take precedence until the problems are corrected.
3. In the unlikely event award information is corrupted or mutilated during system migration and replacement or re-issuance of this contract is necessary for continued contract administration, the Contracting Officer will:
i. Issue a continuation contract in accordance with DFARS 204.1601(c) and DFARS PGI
204.1601(c), carrying over all terms and conditions from the last-known version of this contract to accurately reflect mutual agreement of the parties.
ii. Incorporate the last-known version of this contract to accurately reflect mutual agreement of the parties as an attachment to the replacement or continuation contract for future reference.
iii. Ensure any such reissuance or continuance is properly reported to preserve the integrity of Contractor performance measurement data, if any (i.e., FAPIIS, CPARS).
