AMENDMENT 0006
a. The purpose of this amendment is to answer the questions from vendors and incorporate requirement changes as shown below:
(1) Questions and Answers:
Question 1: Pg. 91, Subfactor 2 identifies a requirement of “Prime Contractor's Business Registration: Offeror shall submit valid, current and accurate business registration in general repair of motor vehicles (자동차 종합수리) issued by the ROK Government authorities”.
Question as to why this was added to this RFP after this requirement has not been in place for the last 3 previously contracts.
Having a General repair of motor vehicles (자동차 종합수리) business registration is specific in having an automotive shop and performs repairs which involves the removal/replacing of assemblies to fix/repair an item along and/or replace with new. This RFP W91QVN-17-R-0097 does not allow any repairing or replacing of vehicle parts. From my understanding and because those companies that have this license must have certified employees with specific mechanical license. The PWS does not mentioned license mechanic but instead experienced mechanics.
There are no license requirements for Performing Preventive Maintenance Checks and Services (PMCS).
PMCS is the requirement where one experience person shall go over each part of the vehicle as listed in the require table per vehicle type. Basically going over a check-list and, in doing so each area of the vehicle will receive the required lube. A license person is not required for this task; no repairs will be performed. Tactical Wheeled Vehicles
(TWV) is specific for military. There are no commercial TWV in ROK. Need to note that having a commercial license does not guaranty quality, having the experience and the quality supervision allows for a quality service.
Minimum requirement to obtain General Repair of Motor Vehicle Business Registration calls for facility of 1,000m2, many equipment/machinery and constant intervention from the government and labor department to ensure the facility operation is going well. Depending on location, it shall cost more than $1M to get all conditions met. The
RFP does not call for the use of this facility since all services shall be done on Government installations. With several factors mentioned, having General Repair of Motor Vehicles (자동차 종합수리) business registration is not beneficial for this contract.
Also it is my belief that having this Subfactor 2 requirement will dampen competition. Also the cost of this contract shall increase due the license personnel shall be performing this service. With this Subfactor 2 requirement, this bid is restricted and noncompetitive. Bids should be unrestricted and competitive to benefit the government by saving cost. With more companies bidding, the more price competitive bid becomes and the more likely government could buy service at cheaper price. We ask if Subfactor “2” be remove.
If such license requirement is indispensable, we ask it to be waive at this time and make it known to prospective offerors in advance such as a pre-solicitation requirement in the future bid (2022?). Due to the amount of investment and capital needed, this would allow those companies time to gain the appropriate license.
Answer 1: This license requirement will be removed from solicitation.
Question 2: Korean government determined min hourly wage of KW7,530 for FY 2018 (1 Jan through31 Dec 2018).
Must this mandatory min hourly wage be reflected in labor cost proposal?
Answer 2: All Government Contract will be followed by Korean Labor Law, therefore minimum hourly rate should be reflected in the price.
Question 3: Is any offeror’s proposed salary less than KW1,573,770 for 40-hour work week including paid weekly holiday(Sunday) for FY 2018 disqualified in evaluation and eliminated for further award consideration when employee works 40 hours a week?
Answer 3: Please see answer number 2.
Question 4: The current government/administration has publically vowed to increase the minimum hourly wage to
KW10,000 by 2020 and the minimum hourly wage for FY 2019 shall be announced around July 2018. Increases of this size for the minimum hourly wage are above and beyond any offeror’s control/best forecast. However to be compliant with 5152.222-4034 Korean Labor Law, an offeror must subsequently pay at the minimum hourly wage or higher. Accordingly, in multiple period contracts such as this solicitation covers, the provision of an equitable adjustment due to unforeseeable/unforecastable circumstances (including this example of the minimum hourly wage increase) will be essential. There is precedent, for example the Public Procurement Service (조달청), Korean government agency responsible for government-wide contracts including ones for ROK MND (국방부) accepts equitable adjustment requests to cope with government mandated salary adjustments, such as a change to the minimum hourly wage, for multiple period contracts. Will such an equitable adjustment provision be included in the contract arising from this solicitation?
Answer 4: All proposals shall reflect the current rates at the time in the event that minimum wage is increased the contractor can submit a claim to be reviewed and approved by the Contracting Officer at that time.
5152.222-4034 KOREAN LABOR LAW
Contractors and subcontractors at all tiers, shall honor employees’ rights in full compliance with Korean Labor Law, including the rights of succession of employment. Failure to comply may be deemed breach or default of the contract and evidence of nonresponsibility. Such violation of Korean Labor Law may be evidenced by a Republic of
Korea Ministry of Labor determination, a court decision, or a Labor Relations Commission adjudication. If a contractor is found to be in serious violation and fails to take adequate corrective action promptly, USFK may consider this grounds for determining the contractor to be non-responsible for future Government contracts
Question 5: If the answer to Question 3 regarding the inclusion of an equitable adjustment provision is “No”, then in order to ensure an ability to comply with the Korean Labor Law (and meet the expected increase in the minimum hourly wage) any offeror must forecast a minimum hourly rate increase percentage for the period FY 2019 through
FY 2023 (last option year of this contract). On the basis of government statements of intent to date this would require at least a 15% increase for both FY 2019 and FY 2020 to meet the stated KRW10,000 minimum by 2020.
Will this % increase be made a mandatory assessment criteria for this solicitation? How will % increases for periods beyond 2020 be assessed?
Answer 5: Please see the answer to number 4
Question 6: Must following clause from Korean Labor Standard Act be reflected in labor cost proposal?
Article 50 (Work Hours) (1) Work hours shall not exceed 40 hours a week, excluding hours of recess..
(2) Work hours shall not exceed eight hours a day, excluding hours of recess.
(3) Upon calculating the work hours under paragraphs (1) and (2), any waiting time, etc. spent by workers under the direction and supervision of their employers that is necessary for the relevant work shall be deemed work hours.<Newly Inserted by Act No. 11270, Feb. 1, 2012>
Article 56 (Extended, Night or Holiday Work)
An employer shall, in addition to the ordinary wages, pay50 percent or more thereof for extended work (work during the hours as extended pursuant to Articles 53 and 59 and the proviso of Article 69), night work (work between 10:00 p.m. and 6:00 a.m.), or holiday work.
Answer 6: Yes, offeror shall follow Korean Labor Standard Act.
Question 7: Where or how can offeror with work experience toward USFK get certificate of confirmation
(실적증명원) issued? Listing of contract toward USFK with details of contract number, description or POC of government side can substitute this certificate of confirmation?
Subfactor 1.Prime Contractor’s Prior Experience: The offeror shall provide evidence of at least two (2) years of experience within the last six (6) years in performing organizational vehicle maintenance and repair or similar services as referenced in the PWS. The experience of a subcontractor cannot be substituted for the prime contractor’s experience. The offeror(s) shall provide evidence of prior experience as required below:
- Prior Experience Registrations and Certifications (실적증명서)
- The title of the contract/project.
- A Description of work completed.
- Name of contract/project
- Length of contract/project (year/month/date - year/month/date)
- Value of contract/project in KW for total amount
- Complete name, phone number of POC of client/references
Answer 7: Offeror’s that wishes to use their experience working with USFK as proof of prior experience shall provide a copy of their contract cover page with signatures from the Contracting Officer and company representative in lieu of certificate.
Question 8: According to NOTE 2: Contractor Team Arrangements, CTA is like “A” and “B” forming “C” as CTA and contract awardee is “C”. Is this understanding correct?
NOTE 2: Contractor Team Arrangements:
1. A contractor team arrangement (CTA) means an arrangement in which two or more companies form a partnership or joint venture to act as a potential prime contractor or a potential prime contractor agrees with one or more
-other companies to have them act as its subcontractors under a specified Government contract or acquisition program. A CTA is not an arrangement in which two or more companies form a separate legal entity, such as a corporation or limited liability company, to act as a potential prime contractor.
2. The government will, when applicable, recognize the integrity and validity of CTAs when identified and fully disclosed to the Contracting Officer. Offerors proposing a CTA must identify and fully disclose contractor team arrangements relationships in their offer/proposal. A CTA must be in writing.
3. After award, the Contractor must notify the Contracting Officer of any CTA arrangement with subcontractor(s) within 30 days prior to any projected performance by the new subcontractor.
4. For offerors proposing a partnership/joint venture CTA: The CTA must do business under the CTA name, must register in SAM under the CTA name, must provide documents vesting an individual with the authority of the partners to bind the CTA, and must designate a single point of contact for the CTA.
5. The government will perform a responsibility determination on a CTA just as it would on any prospective contract awardee.
Answer 8: Yes or a potential prime contractor agrees with one or more other companies to have them act as its subcontractors under a specified Government contract. In that case we would award to company A with B and C being recognized partners. There are a couple different scenarios where multiple companies can be considered as a
CTA.
Question 9: According to guideline for SAM registration applicable to non-US or Korean registrant, SAM registration requires DUNS Number and NATO CAGE Code. And DUNS Numbers requires Taxpayer
Identification Certificate and Taxpayer Identification Certificate issued by Korean Tax Office like US IRS requires
Commercial Registry Transcript. Commercial Registry Transcript is issued by court after incorporation process is all completed. So Contract Team Arrangement without any incorporation or limited liability company as legal entity cannot get DUNS Number issued and cannot be registered into SAM in the end. Contract Team Arrangement without SAM registration is still valid? Pls correct me if CTA can get DUNS Number an NATO Cage Number issued and register in SAM.
Answer 9: If two or more companies enter a partnership or joint venture they must incorporate under a new company name and enter SAM registration. Please read Note 2 (1) carefully:
NOTE 2: Contractor Team Arrangements:
1. A contractor team arrangement (CTA) means an arrangement in which two or more companies form a partnership or joint venture to act as a potential prime contractor or a potential prime contractor agrees with one or more
-other companies to have them act as its subcontractors under a specified Government contract or acquisition program. A CTA is not an arrangement in which two or more companies form a separate legal entity, such as a corporation or limited liability company, to act as a potential prime contractor.
Question 10: For NOTE 2 or purpose of CTA particularly to be upheld, SAM registration must be deleted as SAM registration is only possible when incorporation or limited liability company is legally formed, not upon just expression of intent to cooperate in writing and signing agreement.
Answer 10: SAM registration is required please see Answer 9.
Question 11: If “C” as CTA must have SAM registration, it is impossible to register in SAM anyway. Regardless of
SAM registration, if “C” must have SAM registration, “C” must be incorporated as legal entity and “A” and “B” are shareholders of “C”. Then “C" can use business registration in general repair of motor vehicles (자동차종합수리) issued by the ROK Government authorities of either “A” or “B” in principle?
Subfactor 2. Prime Contractor's Business Registration: Offeror shall submit valid, current and accurate business registration in general repair of motor vehicles (자동차종합수리) issued by the ROK Government authorities.
Answer 11: If A&B form a joint venture to make "C” that is correct. The CTA can be formed for one specific contract only or can keep the arrangement if future proposals are expected to be made jointly and the contract to be awarded the CTA.
Question 12: If answer to Question 10 is yes, offeror who is already existing establishment as incorporation can use business registration in general repair of motor vehicles (자동차종합수리) issued by the ROK Government authorities from any shareholder of offeror?
Answer 12: If A&B form to make C, a partnership or joint venture to form under C new name with new DUNS and
SAM registration that is correct then yes, the party can use their existing business registration to qualify the other for the CTA entity.
Question 13: Section B shows estimated quantity for each area. Is the estimated quantity minimum guaranteed quantity per each area a year?
Answer 13: No. The estimated quantities listed in Section B is an estimate of quantities based on historical data and represents the Government’s expected maximum amount to be order each year per CLIN.
Question 14: It mentions the senior SR shall be performed at Area IV. With the majority of the work load, customers, and the COR being in Area III, wouldn’t it be better to have the Senior SR in Area III? Location of
Senior SR would not make any difference.
Answer 14: Location of the Senior SR is not an issue as long as each area has a SR (POC), respectively.
Question 15: During the Site Visit, it was noticed there were several different types of trailers, (2, 4, 6, 8, 12 wheel trailers) any way of breaking these trailers down to Light, Medium, and Heavy. 2-4 wheel is light, 6 is Medium, and
8 plus is heavy. There is a high difference in service to be performed and the heavy trailers take 2-3 days and that depends on how many mechanics assist. Can this be broken down into more details in CLINS of Section B?
Answer 15: The trailers with two and four wheels are all similar. They are medium/heavy 1/14 ton to 5 ton. The multiple axle trailers are more heavy duty. These trailers require a few days to perform the service.
Question 16: In regards to Area II and Area VI, does the SR and/or mechanic need to be present even if there is no work schedule for that day, week, or month?
Answer 16: It is not necessary. The contractor should know if the respective units have work as their will be a schedule.
Question 17: During the Site Visit, it was mentioned the MRAP will be added to this solicitation. With MRAP being a special piece of equipment, will an International Compliance Letter of Assurance which is necessary to handle export control products be needed?
Answer 17: The contractor must have formal training on the MRAPs prior to being allowed to perform maintenance.
The contractor must also have access to updated TM's and know how to use the MSD (Maintenance Support Device) computer.
Question 18: Can local (Korean) national work on MRAPs?
Answer 18: See above answer.
Question 19: Are office spaces, break rooms and lockers provided for all areas?
Answer 19: No. Office space, break rooms and lockers are not included under Government Furnished Property therefore, contractors shall not expect designated office space, break rooms or lockers to be provided by the
Government in any of the areas of performance. However, if there is available space in the designated area of performance the Government may or may not chose to provide the contractor with additional space to be used as office space or break room.
GOVERNMENT FURNISHED PROPERTY: The Government will provide the following resources for utilization in the performance of services covered under this contract. No other use is authorized or permitted.
A. Service Bays – Work Space
B. Specialty Tools
C. Utilities
Question 20: There is no DA Form 2404 attached but 2407 duplicated despite the file name enclosed shows
Exhibit_Ba_DA_2404 with W91QVN17-R-0097 issued on 24 Aug 2017. Please provide the form 2404.
Answer 20: Enclosed with Amendment 0004.
Question 21: "Exhibit F" quoted at para 2.4 (b), page 9 of 15, Amendment 0002 is missing. Please provide with
Exhibit F.
Answer 21: Exhibit F is deleted at para 2.4. (b), page 9 of 15, Amendment 0002.
Question 22:. During the site visit, we found there are a few different size of trailers are being operated, some very small of two wheel or single shaft, some three or four wheel shaft of 6 or 8 tires that may require so significantly different man-hours to perform the contract PWS, we are requesting at least quantities by trailer size category so that we can estimated average man-hour requirement for performing maintenance of trailers.
Answer 22: The average time for a trailers is 1 day (depending on how many personnel are working on it). The contractor must follow the guidelines set forth in the applicable Army TM, MAC (Maintenance Allocation Chart, Exhibit E).
Question 23: According to the Subfactor 2. Prime Contractor's Business Registration, The Contractor shall possesses a registration in general repair of motor vehicles (자동차 종합수리) issued by the ROK Government authorities.
In respect of PWS 3. Scope, the Equipment such as HEMTT up armored series, MTV, and Trailers series vehicle in
KTO will be classified as heavy equipment (See below pictures).
MTV 5-Ton Dump HEMTT A4 Light Equipment Transporter
In addition, the components of most equipment consist of hydraulic equipment. This is the part that proves to be heavy equipment.
We Therefore inquire whether the condition of the prime contractor is qualified not only by the contractor who has the license for general repair of motor vehicles (자동차 종합수리), but also the company which has the license for construction equipment maintenance and repair(건설기계정비수리).
We are asking if this requirement can be added from contractors who has the license for general repair of motor vehicles (자동차 종합수리) to contractors who has the license for general repair of motor vehicles (자동차
종합수리) OR construction equipment maintenance and repair (건설기계정비수리) to enhance the range of competitive bids that may be submitted.
Answer 23: The contractor mechanics must be qualified on medium to heavy duty trucks and construction equipment. Many heavy trucks have hydraulic and air systems that the mechanics must be familiar with.
Additionally the contractor must be able to adhere to the guidelines set forth in the applicable vehicle TM (Technical
Manual). All services must be performed as outlined in theses manuals.
Question 24: Is there any Shuttle bus or other transportation for each area?
And is it available for contractor’s employees?
Answer 24: There is shuttle bus service but it is based on space available. Military and civilian personal get first priority, contractor employees are the last priority on the list.
Question 25: Regarding employees, will contractor have all responsibilities and control over the employees
(including their vacation and so on)? or will US government have the control?
Answer 25: This requirement is a non-personal services, therefore, the contractor shall have all responsibilities and control over the employees.
