52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES
(MAR 2023)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation. However, the small business size standard for a concern that submits an offer, other than on a construction or service acquisition, but proposes to furnish an end item that it did not itself manufacture, process, or produce is $34,000,000 for information technology value-added resellers under NAICS code 561621, if the acquisition--
(1) Is set aside for small business and has a value above the simplified acquisition threshold;
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at Federal Acquisition Regulation (FAR) 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Reserved.
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Reserved.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Reserved.
(i) Availability of requirements documents cited in the solicitation.

The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation "Unique Entity Identifier" followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see FAR subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

Printing shall be easily readable (12 point font (Times New Roman) or 11 point font proportional spacing). All charts and graphs shall be easily readable (no less than 10 point font). The Cover Letter, Table of Contents, and Abbreviations or Definitions will not be counted towards the 8 page limit. A page shall be counted as an 8 ½ ” x 11” sheet of paper.
3.1.3. Ensure that all volumes are submitted in response to this solicitation. Failure to do so may result in your proposal not being considered. Your proposal shall be structured in a manner that clearly addresses the requirements for this solicitation. Responses that are overly verbose or include marketing material are not desired.
3.2. E-MAIL SUBMISSIONS:
3.2.1 Offerors are cautioned that e-mail is not instantaneous. It is recommended you submit your proposal prior to the closing date, allowing enough time to ensure the entire proposal is received on time to be considered for award.
If all portions of any emailed proposal are not received by the solicitation closing deadline, the proposal shall be rejected as late (see FAR 52.215-1(c) (3)). It is the Offeror’s responsibility to re-send your email submission if you do not receive a receipt confirmation. Due to Government exchange size limitations, individual e-mails that exceed 10 MB cannot be received, including the email itself plus all attachments. If your electronic proposal, including all attachments, is larger than 10 MB, you shall segment your proposal into a series of two (2) or more separate e-mails that individually are no larger than 10 MB. Emails cannot be received if they contain compressed attachments; the Government’s security software blocks these types of emails.
3.2.2. Offerors shall identify in the email subject line the solicitation number W91QF5-23-Q-0007, Title, Message 1 of 5.
3.2.3. In the body of each e-mail message of the proposal, the Offeror shall provide a brief statement accounting for each email in relation to the entire proposal, e.g., Message 3 of 5, as well as an inventory of attachments, e.g., Attachment 1 of 4. (For example, “This is message 3 of a total of 5 messages constituting the proposal of XYZ Company. This message provides attachments 2 and 3 of a total of 6 attachments to our complete proposal.”)
4. EVALUATION CRITERIA: The Government intends to award the contract as a 100% small business set aside. The proposed price will be evaluated in accordance with FAR 15.4. The Contracting Officer will estimate the fair market price of the work to be performed in accordance with FAR 19.807 and will decide that the offered price does not exceed the fair market price. The Government will evaluate the contractor’s technical proposal to ensure that if reflects a sound understanding of this requirement and complies with the requirements in the solicitation. The government will award a contract only after a finding of technical acceptability and agreement has been reached on all terms and conditions to include payment of fair and reasonable price. The following factors shall be used to evaluate offers:
The Technical Factor/Sub-factor will be assigned one of the ratings defined below:
4.1. FACTOR I: TECHNICAL APPROACH: The proposal shall demonstrate a thorough understanding of the requirement through an thorough level of effort to ensure successful performance. Technical Approach shall include the following Subfactors:
4.3. FACTOR II: PRICE: The Price Factor evaluation will not be given a rating; however, it will be evaluated using price analysis. The proposed price will be evaluated for reasonableness of proposed prices to accomplish the

technical approach. The techniques and procedures described under FAR 15.404-1(b) will be the primary means of assessing PROPOSAL reasonableness. Reasonableness is defined as follows:
A price is reasonable if, in its nature and amount, it does not exceed that which would be incurred by a prudent person in the conduct of competitive business.
The proposed number of hours will not be evaluated; however, Offerors shall perform all tasks in accordance with the PWS.
4.3.1. Evaluation of Option to Extend Services under 52.217-8. For the purposes of the award of this Contract, the Government intends to evaluate the option to extend services, provided under FAR 52.217-8, as follows:
4.3.1.1. The evaluation will consider the possibility that the option can be exercised within 30 days prior to the end of the contract and can be exercised in increments of one to six months, but for no more than a total of six months during the life of the contract.
4.3.1.2. The evaluation will assume that the prices for any option exercised under FAR 52.217-8 will be at the same rates as those in effect under the contract of the last option period of the pricing proposal.
4.3.1.3. The evaluation will assume that the addition of the price(s) of any extension(s) under FAR 52.217-8 to the total price for the basic requirement and the total price for the priced options has the same effect on the total price of all Proposals relative to each other. The ranking of Proposals based on price will not be affected, unless, after reviewing the Proposals, the Government determines that there is a basis for finding otherwise.
4.3.1.4. This evaluation will not obligate the Government to exercise any option under FAR 52.217-8.
4.3.2. Options. The total price of all CLINS to include optional CLINs will be added together and evaluated. The Government will also evaluate the price for each CLIN to ensure the price is not unbalanced in accordance with FAR 15.404-1(g). The Government may determine that an offer is unacceptable if the option costs are unbalanced.
Evaluation of options shall not obligate the Government to exercise the optional labor.
Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for sixty (60) calendar days from the date specified for receipt of offers unless another time period is specified in an addendum to the solicitation.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)
The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Basis for Contract Award
This is a best value contract selection. The Government will utilize a Lowest Price Technically Acceptable (LPTA) evaluation method for this requirement. Trade-offs between cost/price and non-cost/price factors are not permitted. The Government will award a single contract to the Contractor whose proposal is technically acceptable and the lowest price. Subject to the provisions contained herein, the Government intends to award a single contract resulting from this solicitation to the offeror who is deemed responsible in accordance with the Federal Acquisition Regulation (FAR), as supplemented, whose offer conforms to the solicitation’s requirements
(to include all stated terms, conditions, and all other information required by the solicitation), provides the Lowest Priced, Technically Acceptable offer to satisfy the requirements of this solicitation and the PWS. Offer s that fail to address all the requirements set forth in the Solicitation will be rejected.
The Government intends to evaluate proposals and award a contract without discussions with Offerors.
Therefore, the Offeror’s submission should contain their best terms from a price and technical standpoint. The Government reserves the right to reject an offer upon initial submission and not consider it for contract award if any required data is absent or the data received conveys a misunderstanding of the requirement.
EVALUATION FACTORS:
1. Evaluation criteria consist of the following factors and sub-factors. The proposals will be evaluated under two (2) evaluation factors:
Factor I - Technical Capability;
Factor II – Price
Factor I: Technical Capability
The Government’s technical evaluation team will evaluate proposals to determine each offeror’s technical capability. The proposal must demonstrate a practical/functional approach that meets the requirements of the PWS.
Failure to meet the criteria will render the proposal technically unacceptable and the proposal will not receive further consideration for award.
Small Business Subcontracting Plan (Large Business Only). Submit a Small Business Subcontracting Plan with your proposal. The successful Offeror’s small business subcontracting goals will be incorporated into the resulting contract. The Small Business Subcontracting Plan shall correlate with the proposal information submitted for small business participation. Subsequent reporting in the Electronic Subcontracting Reporting System requires percentage goals to be based on total subcontracted dollars, not the total estimated contract value.
The Technical Capability factor will be assigned an overall adjectival rating at the factor level.
Subfactors will be evaluated and assigned individual adjectival ratings to “overall” adjectival rating for the Technical Capability.
Each Technical Capability subfactor will receive one of the adjectival ratings defined below, and then there will be an overall roll-up adjectival rating at the factor level. An Offeror shall achieve a minimum rating of “Acceptable” for each subfactor in the Technical Capability factor to be viable for award and shall demonstrate a sound approach that meets all requirements and objectives of the PWS.
TABLE II
Technical Acceptable/Unacceptable Ratings
Ratings Description
Acceptable Proposal meets the minimum requirements of the solicitation
Unacceptable Proposal does not meet the minimum requirements of the solicitation
NOTE: SUB-FACTORS WILL BE RATED ACCEPTABLE OR UNACCEPTABLE ACCORDING TO THIS TABLE.
Factor II: Price
The contract will be FFP. The Government will evaluate price reasonableness for the fixed priced effort.
Price will not be scored or rated. Evaluation of price will be performed using one or more of the price analysis techniques in FAR 15.404-1(b). Through these techniques, the Government will determine whether prices are reasonable, complete, and balanced. If adequate price competition is not obtained or if price reasonableness cannot be determined using price analysis of Government-obtained information, additional information IAW FAR 15.4 may be required to support the proposed price. To be viable for award, an Offeror’s price must be determined fair and reasonable. The Offeror’s total proposed price will be utilized to evaluate if the proposal represents a fair and reasonable price. The total evaluated price includes the price of the base period an all options (to include the option to extend services in accordance with FAR 52.217-8).
The Government will evaluate offers for award purposes by adding the total price for all option periods. The Government may determine that an offer is unacceptable if the base year and option periods are significantly unbalanced. As part of price evaluation, the Government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding one-half of the Offeror’s final option year prices to the Offeror’s total price. Thus, the Offeror’s total price for the purpose of evaluation will include the base year, option year 1, option year 2, option year 3, option year 4, and 1/2 of the 4th option year. Offerors are not required to enter a price for the six month period.
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
