O0021) (MAY 2022)

(a) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(a) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(b)(1) Notwithstanding the requirements of any other clauses of this contract, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (b) (1) in a subcontract for commercial products or commercial services. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 60 days.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 60 Days;

provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 Days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 Months.

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (SEP 2021)

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (d) of this clause. Such a concern is "not dominant in its field of operation" when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13

CFR 121.103.

(b) If the Contractor represented that it was any of the small business concerns identified in 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, upon occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(a) Definitions. As used in this clause—

“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.

“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.

“Payment request” and “receiving report” are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

Army Heritage Days Living History and Education Program

1. GENERAL

This is a non-personnel services contract to provide a weekend educational event covering U.S. Army Soldier history over a timeline of U.S. Army history, entitled Army Heritage Days. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

1.1. Description

The Contractor shall furnish all supervision, materials, staff, transportation and program support materials as needed, to fully carry out the requirements set forth in this Performance Work Statement. The Contractor shall provide professionally trained, experienced staff possessing the skills, knowledge, and training to satisfactorily perform the services required by this contract.

1.2. Background

The U.S. Army Heritage and Education Center (USAHEC) is an integral part of the U.S. Army War College (USAWC) and maintains the knowledge repositories that support scholarship and research about the U.S. Army and its operating environment. The USAHEC Mission is to engage, inspire, and inform the Army, the American people, and global partners with a unique and enduring source of knowledge and thought. The USAHEC vision is to be the place of choice for innovative research, analysis, collaboration, and education, physically and virtually. The Education and Engagement Directorate has the responsibility of carrying out that mission and vision for the USAHEC through engaging exhibits and education programs for the U.S. Army and the general public.

1.3. Objectives

This contract will facilitate patron understanding of the USAHEC collection and provide Army history education through a program of living historical portrayal of the U.S. Army from the pre-Colonial period of American history through present day Army operations. The following is a list of general objectives for this contract.

1.3.1. Educate the students and staff of the U.S. Army War College and the general public on the U.S. Army Soldier and U.S. Army operations from the earliest development of the Army Soldier through current operations today.

1.3.2. Promote the history of the Army and the heritage of the American Soldier to the general public, to assist in bridging the civilian/military gap highlighted by senior service leaders.

1.3.3. To provide awareness to a diverse audience about the varied U.S. Army historical collections at the

USAHEC.

1.4. Scope

The USAHEC requires professionally trained personnel with experience in providing living history site educational programs. The contractor shall provide station-type presentations, reenactments, and other types of educational programs to portray the U.S. Army history on the Army Heritage Trail at the USAHEC.

1.5. Period of Performance

The period of performance shall be for one Base Year of 12 months and four (4) Option Years (OY) of 12 months each.

1.5.1. The final dates of the event shall be coordinated with the USAHEC during the planning portion of this contract. Dates can be modified at no cost with contractor agreement.

1.5.2. Recognized Holidays: The contractor shall not be required to work on Federal Holidays, unless specifically directed by the government. The following Federal legal holidays are observed by this installation:

1.6. Place of Performance

1.6.1 Planning and coordination work for this contract by the contractor may be performed off site.

1.6.2 The actual event to be performed under this contract shall be performed on the Army Heritage Trail located at the U.S. Army Heritage Educational Center, Carlisle Barracks, PA.

1.7. General Information

1.7.1. Type of Contract. The Government will award a Firm-Fixed Price contract for this requirement.

1.7.2. Key Personnel.

1.7.1a Project Manager (PM). The contractor will designate a Project Manager for this requirement and provide that name to the COR prior to the event date. The PM will be required to be on-site during the event dates and to communicate by phone or email within two hours with COR assigned to this project, if vendor PM is not physically located at the USAHEC facility.

1.7.3. Conduct of Personnel. The Contracting Officer may require the contractor to remove any employee, working under this contract, for reason of misconduct or security, to include use of alcohol or drugs.

Removal of employees does not relieve the contractor from total performance of tasks herein.

Contractor personnel shall be subject to dismissal from the premises upon determination by the

Contracting Officer that such action is necessary in the interests of the Government. Such action will not give rise to a claim against the Government, and timely contract performance is not excused.

1.7.4. Identification of Contractor Employees. All contract personnel attending meetings and/or working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. They must also ensure that all documents or reports produced by contractors are suitably marked as contractor products or that contractor participation is appropriately disclosed. Due to the nature of the work identified within this PWS, contractor personnel may portray themselves as members of the U.S. Army while performing. However, if specifically asked they must identify themselves as contractors as long is does not detract from the educational purpose of the work being performed.

1.7.5. No Smoking Policy. The contractor shall comply with DOD Directive 1010.10 and AR 600-63 (Army

Health Promotion) while on the installation or in Government buildings and facilities. (Army Regulations may be located at https://armypubs.army.mil/).

1.7.6. Security Requirements: The contractor shall comply with all appropriate Government Security directives and regulations when performing work in support of this contract. Per AT OPSEC Coversheet the following standard contract provisions and clauses 1, 3 and 4 are applicable to this PWS:

1.7.6a. AT Level I Training. This standard language is for contractor employees with an area of performance within an Army-controlled installation, facility, or area. All contractor employees, including subcontractor employees, requiring access to Army installations, facilities, and controlled access areas shall complete AT Level I awareness training within XX calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable.

The contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee to the COR or to the contracting officer, if a COR is not assigned, within XX calendar days after completion of training by all employees and subcontractor personnel. 1.7.6b. Access and General Protection/Security Policy and Procedures. This standard language is for contractor employees with an area of performance within an Army-controlled installation, facility, or area. Contractor and all associated subcontractor employees shall provide all information required for background checks to meet installation access requirements to be accomplished by the installation Provost Marshal Office, Director of Emergency Services, or Security Office. Contractor workforce must comply with all personal identity verification requirements (CFR clause 52.204-9, Personal Identity Verification of Contract Personnel) as directed by DoD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any individual facility or installation change, the Government may require changes in contractor security matters or processes.

1.7.6c. For contractors that do not require CAC, but require access to a DoD facility or installation. Contractor and all associated sub-contractors employees shall comply with adjudication standards and procedures using the National Crime Information Center Interstate Identification Index (NCIC-III) and Terrorist Screening Database (TSDB) (Army Directive 2014-05/AR 190-13), applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative), or, at OCONUS locations, in accordance with status of forces agreements and other theater regulations.

1.7.6d. iWATCH Training. This standard language is for contractor employees with an area of performance within an Army-controlled installation, facility, or area. The contractor and all associated subcontractors shall brief all employees on the local iWATCH program (training standards provided by the requiring activity ATO). This locally developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the COR. This training shall be completed within XX calendar days of contract award and within YY calendar days of new employees commencing performance, with the results reported to the COR NLT XX calendar days after contract award.

1.7.6e. Clearance Required. This contract requires the contractor to possess at least a NAC clearance.

1.7.7 Duty Hours and Building Access. Duty hours at USAHEC Facilities are 0730 to 1700, Monday through Saturday, 1130 to 1700, Sunday. Some duty hours may fall outside these standard duty hours. The contractor shall be provided access as required by the task. Unescorted access to restricted areas by contractor personnel is not authorized. Access to these areas will require prior coordination with the authorized Government representative.

1.7.8 Quality Assurance. The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).

1.7.8a The Government will outline specific goals and outcomes for the living history program. The Contractor shall ensure that all participants are appropriately trained, outfitted, and that each participant delivers historically accurate information.

1.7.8b The COR will conduct spot checks of living historians at the event to ensure they are maintaining a quality historical presentation in accordance with the requirements set forth in this PWS.

2. GOVERNMENT FURNISHED INFORMATION/EQUIPMENT/SPACE.

2.1. The Government will provide the following Government-Furnished Information (GFI), Government-Furnished

Equipment (GFE) and Government-Furnished Space (GFS).

2.1.1. Government-Furnished Information. The following Government-Furnished manuals and information will be provided.

a. The USAHEC Strategic Plan

b. The Army Heritage Trail Map

c. The USAHEC Historic Weapons Safety Manual

2.1.2. Government Furnished Equipment. Requests for additional GFE will be approved by the COR.

a. Tabletop Workspace and seating (event registration support)

2.1.3. Government Furnished Space. Multi-user office space and public space will be available for the contractor to use to complete contract tasks.

2.2. Any additional GFI, GFM, and/or GFE shall be requested through the COR. The Contractor shall be directly responsible and accountable for all Government property in their possession. All Government property shall be returned, in its original condition, at the end of the contract period of performance. The Contractor shall be required to sign for receipt of Government property.

3. DEFINITIONS AND ACRONYMS

3.1. Definitions.

3.1.1. CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the Government. The term used in this contract refers to the prime.

3.1.2. CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the Government.

3.1.3. CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.

3.1.4. DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.

3.1.5. DELIVERABLE. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.

3.1.6. KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS.
