Change of Command 2024 Production, Staging, Audio-Visual Equipment &Technical Services

October 11, 2024

1. GENERAL: This Performance Work Statement details the requirements for production, staging, and audiovisual equipment in support of the United States Southern Command (USSOUTHCOM) Change of Command event in Doral, Florida, Change of Command. This is a Four-Star level event. The Commander of USSOUTHCOM is hosting Ministers of Defense and Chiefs of Defense from most South American Nations. In addition, US SECDEF, CJCS and many senior military officers and Government officials from the United States which will be in attendance. This Performance Work Statement (PWS) details the requirements for production, staging and audiovisual equipment for the Change of Command ceremony. The period of performance (POP) is 4 - 8 November 2024.

4 November 2024: Set up of staging equipment and pipe and drape.

5 - 6 November 2024: Practice.

5 November 2024: Set up of audiovisual equipment.

7 November 2024: Event execution and partial initial removal of all equipment 8 November 2024: Removal of all remaining rental equipment

2. GENERAL REQUIREMENTS. This is a non-personal services contract to provide production, staging and audiovisual equipment. The contractor is responsible for installing, operating, and removing all required equipment. The contractor shall provide a qualified technician during the length of the contract to operate and facilitate the equipment connectivity on site. The contractor is responsible for providing all personnel, equipment, and/or ancillary devices required, and for any other expenses necessary to provide safe and adequate performance under the terms of this contract.

3. CONTRACTOR REPRESENTATIVE. The contractor shall provide a representative to act as a liaison with the Government Representative (GR). The contractor representative shall be of sufficient authority and technical knowledge to resolve issues as they arise and shall be available during the entire period of contract performance with the authority and knowledge to resolve issues affecting their areas of support.

4. GOVERNMENT REPRESENTATIVE (GR). A Government Representative (GR) will be appointed to monitor this contract. The GR will monitor all technical aspects of the contract and assist in contract administration. The GR is authorized to perform the following functions: assure that the contractor performs the technical requirements of the contract, perform inspections necessary in connection with contract performance, maintain written and oral communications with the contractor concerning technical aspects of the contract, issue written interpretations of technical requirements (including Government drawings, designs, specifications as needed), monitor contractor's performance and notify both the Contracting Officer and Contractor of any deficiencies, coordinate availability of Government furnished property, and provide site entry of Contractor personnel. The GR is not authorized to change any of the terms and conditions of the contract.

5. SECURITY REQUIREMENTS. The contractor is responsible for the security, safeguarding, and accountability of equipment brought and used during the event. The event location will remain locked and secured prior to the event day.

5.1 The contractor shall provide all labor/technical support for immediate correction of any malfunction, to ensure uninterrupted service for the event.

6. CONTRACTOR’s ATTIRE. All contractor staff working during the event on 4 October are expected to wear professional casual attire preferably depicting the logo of the company they represent or at least dark clothing. No jeans, cut-offs, shorts or colored t-shirts are permitted.

7. EQUIPMENT BREAKDOWNS. The contractor shall ensure that any maintenance or repairs of equipment, shall be corrected immediately at the contractor’s expense, without further cost to the Government.

8. REQUIRED EQUIPMENT. The contractor shall provide the following equipment, as noted in the following Tables 1, 2, 3, and 4. All equipment and rental items must comply with the following agenda or dates in Table 1:

8.1 HANDHELD MICROPHONES. The contractor shall provide one (1) handheld microphone GR will decide where it will be place.

8.2 LAVALIER MICROPHONES. The contractor shall provide two (2) lavalier microphones that will be for one person also configured for primary and alternate (in case the primary fails).

8.3 CAMERAS. The contractor shall provide three (3) studio quality live action cameras with operators, to be set-up at fixed locations identified within the gymnasium. Two cameras shall be movable to cover all moments of the event, and the remaining camera shall be static all the way in the back by the IT table facing the main stage. All three cameras shall go to a production (live) switch with dedicated preview monitors to allow for discrete switching for a live event feed. Along with a splitter to send each camera feed and final program video (via SDI or HDMI) to SOUTHCOM independent production team. At minimal final program video to be recorded on deliverable media (media to be kept by SOUTHCOM) Each camera will be filming the entire event from previously designated angles.

8.4 SOUND SYSTEM WITH MIXED AUDIO OUPUTS. The contractor shall provide a sound system with five (5) mixed audio outputs from the microphone audio via XLR format at line level. (one will be used as room audio reinforcement and four will go to press boxes). The speakers shall be hanging from the ceiling (each one) near each of the LED panels. Additional support speakers shall be place thru the area accordingly.

8.5 ADDITIONAL REQUIREMENT. Required feeds from cameras and microphone shall include mixed microphone audio and video from the camera production switch over USB format suitable for laptop (which we will use for a zoom broadcast).

8.5.1 AUDIOVISUAL EQUIPMENT SET UP. All audio-visual equipment must be fully operational by 5PM on 5 November 2024. Practices with audiovisual equipment are expected to be all day on 6 November 2024.

8.6 RED CARPET RUNNER. The contractor shall provide a clean, untarnished and in good condition red carpet runner, size 50’ x 3’. Tis runner shall be made of one single piece. Two or pieces will not be accepted. The contractor shall install it according to GR directions and will use double sided tape all around carpet. The carpet must be of new condition, clean and flat, without irregularities or bumps. The matting or padding of both carpet runners must be designed to prevent slippage.

8.7 RED CARPET RUNNER. The contractor shall provide clean, untarnished and in good condition, custom-made red-carpet runner, size 28’ x 8’. The contractor shall install it according to GR directions and will use double sided tape all around carpet. The carpet must be of new condition, clean and flat, without irregularities or bumps and must match in color, quality and material. Same or equal as the 50’ runner mentioned in paragraph 8.6. The matting or padding of both carpet runners must be designed to prevent slippage. The quality, color, material and craftmanship of both carpet runners must be of the same quality.

8.8 GENERATOR. The contractor shall provide one (1) large 200-amp generator. The contractor shall install and operate generator accordingly and provide fuel. The Government will not supply or pay for generator fuel separately. Generator shall be used to power the LED Screen. The generator will also be used as a backup, in case of power failure. The vendor shall provide a tech to run and manage the generator usage.

8.9 LARGE LED SCREENS. The contractor shall provide two LED screens of at 16” x 9’.

These will be installed opposite from each other on the top floor of the Gym (running track) facing down towards the seats below. Spectators below will be watching both monitors.

8.9.1 CONFIDENCE MONITORS. The contractor shall provide two 50 inches monitors diagonally. These will be installed near each other, 3 to 6 feet from and facing the main stage so the people on the main stage can observe and follow the event accordingly.

8.9.1.1 LED SCREEN INSTALLATION. The contractor is responsible for the installation and all ancillary items necessary for the installation of these two (2) LED screens to include cables, power cables and control consoles, rigging plus any other electronic gear required to complete the job. Installation of all monitors shall be completed by 5 November 2024, no later than 5 P.M. Eastern Standard Time (1700 hrs.)

8.10 ARMCHAIRS. The contractor shall provide four (4) executive style extra-large armchairs, dark color leather or leather like materiel with wood arms, legs, and trims. No glass, chrome, or shiny trimmings. The GR will indicate where to place these chairs. Chairs shall not be less than 32” wide. The contractor will provide the GR a photo of the chair prior to installation to verify if it meets the requirement.

8.11 STAGES. The contractor shall provide one (1) aluminum frame, wood stage size 12’ x 28’, 24” high, with black skirting and black stairs (with railings) on both right and left sides of the stage. Stair railings will be installed only on the side of the stairs facing the wall. Additional custom made 8’ wide, black carpeted stairs will be at the front of the stage and black bunting around the stage. Stage floor must be carpeted with a black clean, quality carpet. Location of the stage will be determined by the Government Representative (GR) on site.

8.11.1 STAGES. The contractor shall provide one (1) aluminum frame, wood stage size 8’ x 40’, 24” high, with black skirting and black carpeted stairs (with railings in one side only). Additional railing shall be installed all along the entire length of the rear side of the stage (facing the wall).

Stage floor must be carpeted with a black clean, quality carpet and black bunting. Location of the stage will be determined by the GR on site.

8.11.2 STAGE. The contractor shall provide one (1) aluminum frame, wood stage, each size 8’ x 4’x 24” (24” high), with black skirting and black carpeted stairs. Additional railing shall be installed all along the entire length of the rear side of both stages (facing the wall). Stage shall have a 6” separation from the 8’ x 40’ stage. The separation from the smaller stage, shall be centered in the middle of the connecting walkway between seating areas. Stage floor must be carpeted with a black clean, quality carpet and black bunting. Additional instruction of this installation will be determined by the GR on site.

8.11.3. STAGES INSTALLATION. The contractor is responsible for the correct and safe installation of all stages. All items necessary for this installation shall be provided by the contactor.

Installation of stages must be completed by 5:00 PM on 4 November 2024. Practice without the audiovisual equipment will start on 5 November 2024; therefore, this equipment must be ready by 0800 am, on 5 November 2024.

8.12 STANCHIONS. The contractor shall provide red velvet rope stanchions, enough to cover 8’ on both sides of the red runner, 6 metal, silver color poles and chrome ends (3 per side).

8.13 PIPE AND DRAPE INSTALLATION. The contractor is responsible for the installation of all items in Table 2 and Table 3. Contractor shall also supply all outrigging, truss, plates, pipes and any other necessary structural items to create the stages and the pipe and drapes required by the Government. Installation of Pipe and drapes must be completed on 4 November 2024.

Practice will start on 5 November; therefore, this equipment must be ready by 0800 on 5 November. The GR will inspect the pipe and drape configurations before the event date. The GR will inform the contractor if any changes are required.

8.13.1 INSIDE PIPE AND DRAPES. The contractor shall provide pipe and drapes on the inside perimeter of the gym. The contractor shall cover all four (4) walls that make the inside perimeter of the gym. The contractor shall not cover the bleachers sections or doors. All drape material should be the same quality and color (black). Contractor will inspect and measured all walls needing this service. Installation of Pipe and drapes must be completed 4 November 2024.

Practice will start on 5 November 2024; therefore, this equipment must be ready by 0800 on 5 November 2024.

8.13.2 OUTSIDE PIPE AND DRAPE. The contractor shall provide pipe and drapes on the outside perimeter of the gym’s second floor running track, over the railing. Drape shall be in such way that it covers the entire railing as well as the exposed wall below the railing. All drape material should be the same quality and color (black). The circumference of such perimeter is 407’ and the height of the drape should be no longer than 9’. Installation of Pipe and drapes must be completed on 4 November 2024. Practice will start on 5 November 2024; therefore, this equipment must be ready by 0800 on 4 November 2024.

8.14. PRESS TENT. The contractor shall provide a 10’ x 20’ tent to be installed either on a cement surface (parking lot) or on the grass, near the main Gym entrance. This tent must be in excellent condition, clean and with no holes.

8.15 FACILITY ENTRANCE. All personnel entering the facility must be appropriately vetted and checked by the entrance security office prior to entering the base.

9. CHANGES TO CONTRACT. The only person authorized to make changes to the contract is the Contracting Officer. Failure to clear changes in the contract with the Contracting Officer IN ADVANCE of providing service will result in the Government not being responsible for the charges, and non-payment to the contractor. Accordingly, the Contracting Officer will be notified prior to any additional contract modification (that is, those resulting in changes in cost to the Government). Purchases or changes from unauthorized personnel will result in the contractor not receiving payment for costs incurred.

9.1 PRICE QUOTES. All quotes must be submitted in English and in U.S. Dollars. Quotes shall be submitted and itemized per item type to include equipment. Prices are all inclusive to include local taxes, credit card fees and other costs.

9.2 INVOICE INFORMATION. The United States Government will only pay for actual contracted items utilized under the terms of this purchase agreement as allowed under US law.

All invoices will be submitted in English and in US Dollars. Prices shall be all inclusive. Any miscellaneous charges incurred by guest(s) are the responsibility of the individual guest. The Government will only pay for actual services rendered.

COMPLAINTS

If you have complaints about this procurement, it is preferable that you first attempt to resolve those concerns with the responsible contracting officer. However, you can also protest to Headquarters, AMC.

The HQ, AMC-Level Protest Program is intended to encourage interested parties to seek resolution of their concerns within AMC as an Alternative Dispute Resolution forum, rather than filing a protest with the General Accounting Office or other external forum. Contract award or performance is suspended during the protest to the same extent, and within the same time periods, as if filed at the GAO. The AMC protest decision goal is to resolve protests within 20 working days from filing. To be timely, protests must be filed within the periods specified in FAR 33.103. Section H - Special Contract Requirements

ARMY CONTRACT WRITING SYSTEM

a. The Army Contracting Enterprise (ACE) is in the process of deploying new solicitation and contract writing software to Army contracting offices worldwide. Known as the Army Contract Writing System (ACWS), this modern software suite will soon replace most existing Army contract writing systems, including the system used to create and release this Solicitation.

b. During this transition period, Offerors are hereby advised:

1. The Contracting Office may use any combination of contract writing systems to create and release documents related to this solicitation (e.g. solicitation amendments and awards, if any).

Due to this:

i. This solicitation may contain different offer submission instructions than other solicitations released by the same Contracting Office (e.g. requiring offer submission via the PIEE Solicitation Module vs. e‐mail). Offerors should review all offer submission instructions contained in the solicitation documents and direct any questions or concerns to the Contract Specialist or Contracting Officer.

ii. If the Contracting Office switches contract writing systems prior to award, documents you receive from the Contracting Officer or view on SAM.gov or other forums may appear noticeably different than the initial solicitation or previous solicitations or awards from the same Contracting Office. This is normal and expected.

iii. A change between contract writing systems may cause important information concerning solicitation response (amendments) or accepted terms (awards) to take on different formatting or appear in different parts of later documents issued. Offerors shall review all documents carefully to locate this important information and direct any questions or concerns to the Contract Specialist or Contracting Officer.

2. The Government does not intend to use the transition between contract writing systems to effect any changes to solicitation or award terms and conditions without accompanying document narratives explicitly stating such changes are deliberate and desired. While the Contract Specialist and Contracting Officer will take care to minimize or eliminate any inadvertent changes when adapting to the new contract writing software, you, as the Offeror, may still be the first to spot such errors. Therefore, Offerors shall:

i. Notify the Contracting Officer immediately if any observed changes, removals, or additions affect your award eligibility, violate or alter existing quote/proposal terms, or could affect Contract performance post‐award.

ii. Take special care to ensure all fill‐in Clauses are populated and remain populated across documents received from the Contracting Office throughout the Solicitation and Award process.

iii. Contact the Contracting Officer listed on the first page of the solicitation or solicitation amendment for guidance if you notice or suspect any inadvertent change has occurred between document issuances.

3. The Contracting Officer will correct problems affecting award documents (if any) via bilateral modification, at no cost to the Contractor. Any such modification will reconcile the award with the latest version of this solicitation reflecting deliberate action by the Contracting Officer (e.g.

the first issuance if no amendments, or the latest amendment with accompanying narratives), inclusive of any documented pre‐award negotiations or accepted supplemental offer terms.

4. In the unlikely event a network disruption, contract writing system error, or financial system error threatens timely award of the requirement set forth in this solicitation, the Contracting Officer:

i. May elect to use alternative mechanisms to obligate funds and allow work or deliveries to legally begin to the benefit of, and with legal protection for, both parties.

ii. Will incorporate the latest version of this Solicitation into such mechanisms to serve as a framework for contract execution until any such system problems are resolved.

iii. Will ensure any action taken does not conflict with the stated offer evaluation and award methodology of this requirement.

iv. Will issue a complete, properly‐formatted award accurately reflecting this requirement and all applicable terms and conditions once systems return to normal.

52.204-25 PROHIBITION ON CONTRACTING FOR CERTAIN TELECOMMUNICATIONS AND VIDEO

SURVEILLANCE SERVICES OR EQUIPMENT (NOV 2021)

(a) Definitions. As used in this clause--

Backhaul means intermediate links between the core network, or backbone network, and the small subnetworks at the edge of the network (e.g., connecting cell phones/towers to the core telephone network). Backhaul can be wireless (e.g., microwave) or wired (e.g., fiber optic, coaxial cable, Ethernet).

Covered foreign country means The People's Republic of China.

Covered telecommunications equipment or services means--

(1) Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation (or any subsidiary or affiliate of such entities);

(2) For the purpose of public safety, security of Government facilities, physical security surveillance of critical infrastructure, and other national security purposes, video surveillance and telecommunications equipment produced by Hytera Communications Corporation, Hangzhou Hikvision Digital Technology Company, or Dahua Technology Company (or any subsidiary or affiliate of such entities);

(3) Telecommunications or video surveillance services provided by such entities or using such equipment; or

(4) Telecommunications or video surveillance equipment or services produced or provided by an entity that the Secretary of Defense, in consultation with the Director of National Intelligence or the Director of the Federal Bureau of Investigation, reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country.

Critical technology means--

(1) Defense articles or defense services included on the United States Munitions List set forth in the International Traffic in Arms Regulations under subchapter M of chapter I of title 22, Code of Federal Regulations;

(2) Items included on the Commerce Control List set forth in Supplement No. 1 to part 774 of the Export Administration Regulations under subchapter C of chapter VII of title 15, Code of Federal Regulations, and controlled--

(i) Pursuant to multilateral regimes, including for reasons relating to national security, chemical and biological weapons proliferation, nuclear nonproliferation, or missile technology; or

(ii) For reasons relating to regional stability or surreptitious listening;

(3) Specially designed and prepared nuclear equipment, parts and components, materials, software, and technology covered by part 810 of title 10, Code of Federal Regulations (relating to assistance to foreign atomic energy activities);

(4) Nuclear facilities, equipment, and material covered by part 110 of title 10, Code of Federal Regulations (relating to export and import of nuclear equipment and material);

(5) Select agents and toxins covered by part 331 of title 7, Code of Federal Regulations, part 121 of title 9 of such Code, or part 73 of title 42 of such Code; or

(6) Emerging and foundational technologies controlled pursuant to section 1758 of the Export Control Reform Act of 2018 (50 U.S.C. 4817).

Interconnection arrangements means arrangements governing the physical connection of two or more networks to allow the use of another's network to hand off traffic where it is ultimately delivered (e.g., connection of a customer of telephone provider A to a customer of telephone company B) or sharing data and other information resources.

Reasonable inquiry means an inquiry designed to uncover any information in the entity's possession about the identity of the producer or provider of covered telecommunications equipment or services used by the entity that excludes the need to include an internal or third-party audit.

Roaming means cellular communications services (e.g., voice, video, data) received from a visited network when unable to connect to the facilities of the home network either because signal coverage is too weak or because traffic is too high.

Substantial or essential component means any component necessary for the proper function or performance of a piece of equipment, system, or service.

(b) Prohibition.

(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Contractor is prohibited from providing to the Government any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in FAR 4.2104.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract, or extending or renewing a contract, with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in FAR 4.2104. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract.

(c) Exceptions. This clause does not prohibit contractors from providing--

(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(d) Reporting requirement.

(1) In the event the Contractor identifies covered telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system, during contract performance, or the Contractor is notified of such by a subcontractor at any tier or by any other source, the Contractor shall report the information in paragraph (d)(2) of this clause to the Contracting Officer, unless elsewhere in this contract are established procedures for reporting the information; in the case of the Department of Defense, the Contractor shall report to the website at https://dibnet.dod.mil. For indefinite delivery contracts, the Contractor shall report to the Contracting Officer for the indefinite delivery contract and the Contracting Officer(s) for any affected order or, in the case of the Department of Defense, identify both the indefinite delivery contract and any affected orders in the report provided at https://dibnet.dod.mil.

(2) The Contractor shall report the following information pursuant to paragraph (d)(1) of this clause:

(i) Within one business day from the date of such identification or notification: The contract number; the order number(s), if applicable; supplier name; supplier unique entity identifier (if known); supplier Commercial and Government Entity (CAGE) code (if known); brand; model number (original equipment manufacturer number, manufacturer part number, or wholesaler number); item description; and any readily available information about mitigation actions undertaken or recommended.

(ii) Within 10 business days of submitting the information in paragraph (d)(2)(i) of this clause: Any further available information about mitigation actions undertaken or recommended. In addition, the Contractor shall describe the efforts it undertook to prevent use or submission of covered telecommunications equipment or services, and any additional efforts that will be incorporated to prevent future use or submission of covered telecommunications equipment or services.

(e) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (e) and excluding paragraph (b)(2), in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial products or commercial services.
