Q AND A: AMENDMENT 0004
QUESTIONS AND ANSWERS: AMENDMENT 0004
Question #37 Reference Section B, CLINs 0016, 0016AA and 0016B SOW Reference which states, “...Measurement Interface Equipment, IAW SOW paragraph 3.3.2.2.3". There is no paragraph 3.3.2.2.3 in the SOW. Please confirm that SOW paragraph 3.3.2.2.2. Measurement Interface Equipment, is the correct reference for these CLINs.
Government Response to Question #37 SOW paragraph 3.3.2.2.2. Measurement Interface Equipment, is the correct reference for CLINs 0016, 0016AA, and 0016AB. Section B has been updated accordingly.
Question #38 Reference Section H-Special Contract Requirements, 52.211-11, Liquidated Damages-Supplies, Services, or Research and Development which states, “(a) If the Contractor fails to deliver the supplies or perform the services within the time specified in this contract, the Contractor shall, in place of actual damages, pay to the Government liquidated damages of new FWS-CS units delivered to the Government, including coverage of transportation and shipping fees, or other goods/services agreed upon by the Government. Consideration shall be resolved between the contractor and the Government within 30 days after first missed delivery against the contract baseline schedule, unless otherwise agreed upon by the Government. Consideration may require the initiation of a new delivery order from the Government to close consideration.
The consideration formula is as follows:
Unit Cost ∗ Total Systems Delinquent for Month ∗ Fielding Factor for Month
The fielding factor for a given month's delinquent delivery will be determined based on the following criteria:
Fielding Factor Number of Days Until Fielding 1% ≥180 2% 90- 179 3% 32-89 5% ≤31”
Please confirm our calculation of Liquidated Damages based upon the following scenario:
Schedule Date: 8/31/2016 Fielding Date: 9/30/2016 Delivery Date: 8/31/2017 System Unit Price of $1 Number of Systems: 10 Total Contract Price for 10 systems: $10
Liquidated Damages are calculated to be $6.
If our interpretation of this clause is correct, doesn't it operate more as a penalty clause than one that compensates the Government for its reasonable damages for late delivery?
Government Response to Question #38 Based on the consideration formula as cited, the calculation of liquidated damages for the scenario described would be $6 to compensate the Government for a one year delay in delivery.
Question #39 Reference Section H-Special Contract Requirements, 52.211-11, Liquidated Damages-Supplies, Services, or Research and Development which states, “(a) If the Contractor fails to deliver the supplies or perform the services within the time specified in this contract, the Contractor shall, in place of actual damages, pay to the Government liquidated damages of new FWS-CS units delivered to the Government, including coverage of transportation and shipping fees, or other goods/services agreed upon by the Government.
To bound the risk to the contractor:
a. Would the Government consider eliminating the "fielding factor" component as that factor is beyond the control of the contractor and in its place tie it to a "delivery factor" which would be tied to the contractual delivery schedule?
b. Would the Government consider limiting the total amount of Liquidated Damages that can be assessed under the contract to $1,000,000?
c. Would the Government consider limiting the amount of Liquidated Damages that can be assessed under the contract to 5% of the price of the delinquent unit?
Government Response to Question #39
a. The formula in Section H has been modified to eliminate the fielding factor. The updated formula is related to the expected 10 year system life of the FWS-CS. For every 30 days (or portion thereof) a system is late, the formula calculates the value of one month of a 120 month (10 year) system life. The updated consideration formula is as follows:
Unit Cost
∗ Total Systems Delinquent for Month
b. No.
c. No.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
The following have been modified:
INSTRUCTIONS TO BIDDERS
1. Solicitation Provisions
1.1 Instructions, Conditions and Notice to Offerors (Section L)
1.1.1 Proposal Submission
1.1.1.1 General Instructions
In order to be considered for award, each offeror must submit their proposal in accordance with these instructions.
Failure to adhere to these instructions may result in rejection of the offer and therefore the proposal would not receive further consideration in the source selection process.
Proposals shall be submitted in both digital and written format as specified herein. The proposals shall be divided into five (5) volumes. The below table lists the title for each volume, specifies the page limit for each volume, and specifies the number of digital and written (bound in 3-ring binders) copies.
Table L-1. Proposal Volumes.
Volume Title Page Limit # of Digital Copies # of Bound copies
Volume 1: Offer N/A 2 2 Volume 2: Technical 65 2 3 Volume 3: Cost N/A 2 2 Volume 4: Past Performance N/A 2 2 Volume 5: Small Business N/A 2 2
Required sample hardware (see 1.1.2.2.2) shall be separately packaged and submitted as specified (see 1.1.1.1.8 and 1.1.1.1.10).
1.1.1.1.1 Page Limits
The number of pages specified in the above table is a firm page limit for that volume. Any pages in excess of the limit specified will be removed from the volume and not considered part of the proposal. Information contained on any excess pages will not be evaluated. All supporting documentation denoted in the paragraphs below will be submitted as an Annex to the volume and not be considered in the volume page limits.
1.1.1.1.2 Acquisition Source Selection Interactive Support Tool (ASSIST)2Industry
During the conduct of this acquisition, the Acquisition Source Selection Interactive Support Tool (ASSIST) will be used by the Government to support the proposal evaluation and source selection process. A separate tool, the ASSIST2Industry, will be used in conjunction with ASSIST to accomplish all exchanges with offerors after receipt of proposals pursuant to Federal Acquisition Regulation (FAR) 15.306. ASSIST2Industry provides the ability for the Government to issue, and the offerors to receive and respond to, all Evaluation Notices (ENs) in a secure online environment. In order to initiate the use of ASSIST2Industry, the Government requires the names, company titles, telephone numbers, and email addresses of two (2) individuals that the offeror has designated as responsible for receiving and responding to Government ENs through ASSIST2Industry. The designation of two (2) individuals is for the purpose of insuring availability of one individual if the other individual is not available. The required information regarding these two (2) individuals must be submitted with the offeror’s proposal and included in the cover letter.
After the solicitation’s closing date, the Government will establish an account in ASSIST2Industry for each individual identified by the offeror that has submitted a proposal in response to this solicitation. The two individuals named by the offeror will be authorized access to that account. Two (2) separate system generated emails will be sent to each individual. One of the emails will contain the individual’s ASSIST2Industry username. The other email will contain the individual’s temporary password. Using the provided username and temporary password, each individual can then go to https://ASSIST2Industry.army.mil to access the account. NOTE: The first time a user logs in, the user will be required to change the temporary password before the user can proceed to use the site.
Whenever the Government issues ENs to the offeror through ASSIST2Industry, the Government’s Contracting Officer will notify the offeror through a medium independent of ASSIST2Industry (e.g., e-mail) that the offeror has ENs in ASSIST2Industry waiting for a response. There will be no ENs in ASSIST2Industry until such notice is issued by the Contracting Officer.
All Offerors are advised that ASSIST2Industry has been updated and it is now the responsibility of PRIME Contractors to establish accounts for their SUBCONTRACTORS to respond to Government ENs. A separate area within ASSIST2Industry has been created to allow authorized Subcontractor POCs to upload proposal files only.
Subcontractors will not be able to access any other information on the ASSIST2Industry website (e.g.
Questions/Evaluation Notices, Responses, etc.). Once a Subcontractor has been added, they will receive a user ID (e.g. subcontractor0001) and password (an initial password) that will be sent via two separate system generated e-mails. A Subcontractor will have one user ID for all PRIMES and solicitation responses, i.e. if you are a Subcontractor to multiple Prime Contractors and multiple solicitation responses, you will only have one user ID.
Once an account has been established for the Subcontractor, go to https://ASSIST2Industry.army.mil access the account. Prime Contractors will only be able to see the number of files submitted by their Subcontractors; but, will be UNABLE TO VIEW the Subcontractor’s files.
NOTE: Both Prime Contractors and Subcontractors are instructed to review the ASSIST2Industry User’s Guide, located under the “Getting Started” tab on the website. The guide has been updated and provides step by step instructions on how to perform functions and navigate the website.
Offerors can contact the ASSIST2Industry Helpdesk via e-mail at usarmy.jbmdl.acc.list.vce-helpdesk@mail.mil or by telephone at (609) 562-5988 or (609) 562-7050 for any technical assistance that may be needed.
The offerors are cautioned that the system generated emails referred to above are intended for administrative purposes only. Receipt of these emails does NOT constitute the commencement of any type of exchange with the offeror in accordance with FAR 15.306(a), (b), or (d) (i.e., clarifications, communications, or discussions). Also, receipt of these emails does not signify that a competitive range determination in accordance with FAR 15.306(c) has been made or that the offeror’s proposal will be included in the competitive range when that determination is made. All notifications that any type of exchange with the offeror has commenced and the offeror has ENs available to respond to, or any notification that the offeror’s proposal has been included in or excluded from the competitive range, will be sent to the offeror by the contracting officer independently of the ASSIST2industry.
1.1.1.1.3 Digital Copies
A Compact Disc (CD) or Digital Versatile Disc (DVD) shall be provided and affixed (in a pocket) of the bound volume for which it represents. All information pertaining to that volume shall be on the disc. Files shall be organized on the disk in a manner that logically reflects the information required by the solicitation. The Government will host the digital files within ASSIST, a secure online environment. The files will be available to authorized members of the source selection only and the source selection facility access will be controlled and limited to authorized personnel. The intent is to facilitate the Government evaluation and report preparation within a protected environment. If the data on the digital media is different than the data in written format, the digital format data will have precedence.

The Government will consider how well the offeror complied with these instructions when evaluating the offeror’s capability to perform the prospective contract. The Government will consider an Offeror’s noncompliance with these instructions or any attempt to take advantage of loopholes in these instructions to be indicative of the type of conduct that it may expect from the offeror during contract performance. The Government will evaluate the offeror’s capability accordingly. Offerors are advised to ask the Contracting Officer for clarification or explanation of any part of these instructions that they do not understand.
The Government intends to evaluate proposals and make a selection with or without conducting discussions with offerors. Offerors will submit sample hardware, performance modeling data and offeror measured data to support the Government’s evaluation of the offeror's proposal’s risk, technical maturity and feasibility of achieving performance goals. Offerors will provide an oral presentation (see 1.1.3) on the operation of their sample hardware to assist the Government’s evaluation.
Every offeror must submit a fully completed copy of all representations and certifications as found in Section K of the subject solicitation.
