SECTION SF 30 BLOCK 14 CONTINUATION PAGE

SUMMARY OF CHANGES

SECTION SF 1449 - CONTINUATION SHEET

SOLICITATION/CONTRACT FORM

The required response date/time has changed from 03-Jan-2020 12:00 PM to 21-Jan-2020 12:00 PM.

The following have been modified:

52.212-1 ADDENDUM

1.0 Introduction

1.1 The solicitation is being issued under NAICS 337214, Office Furniture Manufacturing.

1.2 A Firm-Fixed-Price Indefinite Delivery Indefinite Quantity (IDIQ) contract is contemplated with the supplies and/or services to be defined at the task order level. The Government anticipates awarding one IDIQ contract to the offeror providing the proposal evaluated to be the best value based upon solicitation guidelines.

1.3 This requirement is covered by the non-manufacturing rule. As such, the requirement is being competed under full and open competition procedures as the required materials, Haworth furniture materials, are produced by large (other than small) firm.

2.0 General Information

2.1 In accordance with Federal Acquisition Regulation (FAR) Clause 52.215-1, Instructions to Offerors - Competitive Acquisition (Jan 2004), the Government intends to evaluate proposals and award a contract without discussions with offerors, but reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. In accordance with FAR 15.306(c)(2), if the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may make a competitive range determination for purposes of efficiency, consisting of only those proposals that have a reasonable chance of award without a major rewrite. Any Offeror eliminated from further consideration will be notified in writing. Therefore, the offeror's initial proposal should contain the offeror's best terms from a price and technical standpoint. Offerors are cautioned to examine this RFP in its entirety, inclusive of clauses and provisions incorporated by reference, and to ensure that proposals contain all necessary information, provide all required documentation, and are complete in all respects. The Government is not obligated to make another request for the required information nor does the Government assume the duty to search for data to cure problems it finds in proposals.

During the evaluation process, the Government may request clarifications as needed. Clarifications do not constitute discussions and an Offeror is not permitted to change its proposal in response to a request for clarification.

2.1.1 All solicitation information will be published through the Beta SAM portal under solicitation W9133L-20-R-2005. All offerors will be assumed to have access to all items posted. The below e-mail addresses shall be utilized for all correspondence with the Government. The subject line should be “Solicitation W9133L-20-R-2005”

To: darrell.k.stokke.civ@mail.mil; derrell.k.wright.civ@mail.mil
Cc: michael.s.wade.civ@mail.mil

2.1.2 As soon as an Offeror is aware of any problems or ambiguities in interpreting the specifications, terms or conditions, instructions or evaluation criteria of this solicitation, the offeror shall notify the points of contact outlined under paragraph 2.1.1.

2.1.3 Any questions regarding the solicitation shall be submitted to the e-mail points of contact under paragraph 2.1.1 no later than December 09, 2019. The Government is not obligated to provide responses to all questions submitted by Offerors, but will consider the responses, consolidate them, and submit responses to the Beta SAM portal under the listed solicitation. Offerors are cautioned to not include any proprietary or sensitive information within the submitted questions.

2.1.4 Late Proposals. Any proposal package submitted to the Government points of contact under 2.1.1 later than the closing date/time shall not receive consideration unless due to issues beyond the control of the contractor. Submission prior to the due date to expedite evaluation is encouraged.

2.1.5 The Offeror is notified that the Government will not reimburse costs incurred for proposal preparation or required proposal revisions (if applicable).

2.1.6 Contract periods of performance. The IDIQ shall have a five year ordering period from which task/delivery orders may be issued. Individual task/delivery orders will have defined delivery dates (projects/supplies) or periods of performance (services) as applicable for each task/delivery order.

2.1.7 Initial Task Order. The IDIQ shall not be issued until the receipt of sufficient Fiscal Year 2020 funds necessary to issue the first task order.

3.0 Proposal Submission Requirements

The proposal shall be prepared in a clear and legible manner. In addition, the Offeror shall write the proposal in English and the proposal must be specific and complete as described in these instructions. Adherence to the prescribed format is required. An official authorized to bind the firm shall sign the Standard Form (SF) 1449, all signed amendment coversheets, SF30, and all certifications requiring original signature. Electronic signatures are acceptable.

3.0.1 All information pertaining to a particular volume shall be confined to that volume.

For example, no Price information shall be included in any volume other than the Price Proposal volume. The Government is not required to and will not search other volumes for a missing file.

3.0.2 Offerors shall not include CLASSIFIED material in the proposal. Proprietary data contained in the proposal must be clearly marked as such by the offeror, and shall be handled in accordance with DFARS 252.227-7015.

3.0.3 Each offeror must comply with the detailed instructions for the format and content of the offer in order to be considered for award. When evaluating an offer, the Government will consider how well the offeror complied with both the letter and spirit of these instructions. The government will consider any failure on the part of an offeror to comply with both the letter and spirit of these instructions to be an indication of the type of conduct it can expect during contract performance. Therefore, offerors are encouraged to contact the Contract Specialist by e-mail in order to request an explanation of any aspect of these instructions.

3.0.4 Offerors shall submit their proposals digitally via email to the addresses listed under paragraph 2.1.1

3.1 Proposal Format

Offerors shall submit their proposals, Volumes I, II IV and V digitally via one email, and Volume III in a separate email. The Government considers all proposals as “For Official Use Only" and to contain "Source Selection Information in accordance with FAR 2.101 and FAR 3.104."

The offeror’s proposal shall consist of the below five volumes.

I - Past Performance II - IDIQ Technical and Management Approach Past Performance III – Price IV - Task Order Technical/Management V - Task Order Price

Files shall not contain classified data. The use of hyperlinks in proposals is prohibited. An Offeror's failure to provide in its proposal the information specified below may result in that proposal not being considered by the Government for award.

3.1 All supporting data required for development of the proposal shall be included or summarized in each proposal within the stated page limitations. Mere statements that the Offeror understands the requirements and can or will comply with the requirements without supporting information are not acceptable and may be reason for determining a proposal to be unacceptable.

3.2 The offeror shall deliver proposal softcopies via email (e.g. all proposal volumes and the auxiliary supporting data). Softcopies shall be in Microsoft Office or Adobe Acrobat compatible formats only. The Offeror shall ensure that data contained in digital form is virus-free. Offeror shall ensure the naming convention for each file complies with the below table. No hard-copy or fax proposal submissions will be accepted.

3.3 Digital Microsoft (MS) Word files and MS Excel files shall be compatible with MS Office 2013.

3.4 The files submitted shall not be locked and shall allow word search within the document.

3.5 The submission shall be clearly indexed and logically assembled. Each volume shall be clearly identified and shall begin at the top of a page. All pages of each volume shall be appropriately numbered and identified by the complete company name, date and RFP number in the header and/or footer. A Table of Contents should be created using the Table of Content which is MS Word compatible. Documents shall use the following page setup parameters:

Margins – Top, Bottom, Left, Right – 1” Gutter 0” From Edge – Header, Footer 0.5” Page Size, Width – 8.5” Page Size, Height – 11” Font Size, 12pt

3.6 The below table provides an overview of the volumes of material that shall be submitted. With the exception of Excel Spreadsheets, each volume will have a front page cover letter which indicates solicitation number, proposed prime and any major subcontractors, proposal validity date as well as the full contact information for company personnel.

As it relates to naming conventions of electronic files, the offeror shall ensure that the naming convention in Table 1 below is adhered to. E-mails with file names utilizing more than one “.” will be treated as a virus and the attached file deleted (i.e. “CompanyABC.CoverLtr.pdf”)

The page limits do not apply to the cover letters, solicitation, Amendments, table of contents, cross reference index, resumes, definitions, required representations and certifications. The Government shall treat page limitations as maximums. If exceeded, the Contracting Officer will remove the excess pages prior to the evaluation. The Government will not read or evaluate removed pages.

3.6.1 Volume I, Past Performance

3.6.1.1 The prime offeror shall submit at least two (2) but no more than three (3) past performance references outlining previous work completed which is recent and relevant to the instant action. To be considered recent, the work must have been performed within three years of the proposal due date indicated in block 8 of the SF1449. Relevant past performance is work performed under a single contract or order that is same or similar in scope, complexity, magnitude as the work identified in the PWS, held as either a prime or major subcontractor, with performance of at least twelve months. The offeror should submit those items they consider the most applicable to this work

If a submitted past performance does not meet the recency criteria, the contract/task order will not be evaluated. Contracts/task orders that are more closely aligned with the effort under this procurement will be more favorably rated. The quality of past work completed will be determined by utilizing information within the past performance work submitted by the offeror as well as other Government systems (PPIRs, COR reporting systems, etc.)

Each performance narrative will have the following:

3.6.1.2 Contract/Task Order Descriptions. This section shall include the following information for each contract reference in the format below. Not to exceed one (2) pages in length for each contract/task order.

(a) Contractor/Subcontractor place of performance, CAGE Code and DUNS Number. If the work was performed as a subcontractor, also provide the name of the prime contractor and point of contact (POC) within the prime contractor organization (name, and current address, email address, and telephone and fax numbers).

(b) Government (or industry) contracting activity, and current address, Procuring Contracting Officer's name, e-mail address, telephone and fax numbers.

(c) Government technical representative/COR, and current-mail address, telephone and fax numbers.

(d) Government contract administration activity and the Administrative Contracting Officer’s name, and current e-mail address, telephone and fax numbers.

(e) Contract/task order number; GSA contracts and Blanket Purchase Agreements shall include Delivery Order Numbers as well.

(f) Contract/task order type (specific type such as fixed price (FP), cost reimbursement (CR), time and materials (T&M), etc.). In the case of Indefinite Delivery contracts/task order, indicate specific type (requirements, definite quantity, and indefinite quantity) and secondary contract type (FP, CR, T&M, etc.). (For IDIQ contracts, only task orders actually performed can be submitted as a reference, with each counting as a past performance reference.)

(g) Awarded price.

(h) Final or project final price.

(i) Original delivery schedule, including dates of start and completion of work.

(j) Final, or projected final, delivery schedule, including dates of start and completion of work.

(k) The period of performance of the contract/task order.

3.6.1.3 Performance Narratives. Offerors shall provide specific narrative showing how the previous effort is relevant to the requirements of this solicitation. Not to exceed two (2) pages in length for each contract/task order.

3.6.2 Volume II – Technical and Management Approach

This volume shall outline the offerors technical understanding of the work to be completed under this IDIQ and the processes necessary to successfully start and complete furniture projects. The details should indicate how projects are measured/planned, materials provided and installation completed under discreet projects.

The offeror shall explain the organizational structure to be utilized in support of this contract and explain how timelines and quality control shall be ensured through the life of the contract. The offeror should discuss how quality control steps are performed corporately and and how corrections are made if any deficient materials/services are identified.

The offeror shall also provide the résumé of the Program Manager with overall responsibility for quality and timeliness of materials and services provided under this contract.

3.6.3 Volume III - Price

The pricing volume consists of two documents for the IDIQ portion of the solicitation and one document for the included task order.

3.6.3.1 IDIQ Documentation

3.6.3.1.1 Pricing Methodology (Adobe PDF): The offeror shall provide a summary of the methodology for determining the labor categories and fully burdened labor pricing that will be utilized for the IDIQ. Any escalation of labor category rates proposed should be explained under this volume as well as how the labor rate pricing meets, as a minimum, the current service contract act wage determination (if applicable) which is included within the solicitation. This document should also include the current Haworth furniture materials list which breaks out the Haworth furniture materials and ceiling prices for these materials.

3.6.3.1.2 Pricing Model (Excel Spreadsheet): The offeror shall submit a pricing model spreadsheet indicating all labor categories to support this contract, the fully burdened labor rates of those labor categories as well as a full breakout of all elements of that rate. The breakout shall include the base rate, fringe, labor overhead, G&A as well as profit. The spreadsheet should indicate any escalation of rates during the five year ordering period. As the contract is being awarded as a five-year ordering period with no option year break points, the vendor shall propose any escalation of rates by year based upon award date. Should individual projects, at the task order level, require labor categories outside of this list the Government shall evaluate the appropriateness of that labor category and price reasonableness of the rate at the task order level.

Note: If the Haworth furniture materials list shown in 3.6.3.1.1 is better suited to a worksheet format within the Excel Spreadsheet, the vendor may place this information in the spreadsheet instead of of the Adobe PDF.

3.6.3.2 Task Order Documentation

The task order under this solicitation includes the 2P/J3 Furniture Reconfiguration project as well as the furniture storage requirement. Both of these projects can be separately included within the same Adobe PDF document.

The contractor shall submit a pricing summary which lists the total 2P/J3 Furniture Reconfiguration project price with a breakout of the below areas on the front page of that project: Product, Design, Program Management, and Installation.

The total project pricing will be supported by an included rollup of the Haworth materials to be used which indicate model #/Description, quantity, unit price and extended price. The summary sheet and the supporting material information shall make up the entirety of the submission for the task order pricing.

The contractor shall submit a pricing summary which lists the total price for the storage and ancillary services within the task order. The current estimated material to be stored is 5017 square feet. The summary should indicate the total labor costs as well as the storage fees based upon total material to be stored.

3.6.3.3 Assumptions, Exceptions, and conditions.

The offeror shall indicate any assumptions, exceptions, and conditions upon which IDIQ or the Initial Task Order price proposal is based. For each exception, the offeror shall clearly state the reason, and provide any other pertinent information concerning the exception. The offeror is advised that any exception taken to the requirements, terms, and conditions of the solicitation may have an adverse effect on the evaluation as NGB reserves the right not to accept any proposal submitted which takes exceptions to this solicitation.

If no exceptions are taken, the Offeror shall include the following statement in this part of the proposal:

“[Name of Offeror] takes no exception to any requirement or terms and conditions of Solicitation No W9133L-20-R-2005.”

3.6.4 Volume IV – Task Order

The offeror should fully describe the technical and management processes utilized to perform the initial IDIQ task order (see IDIQ Task order projects attachment). The document should indicate, by project, the total anticipated time from time of task order award until completion of the project. The timeline should indicate major elements of the timeline (manufacturing, delivery, tear-down/setup, etc.)

3.6.5 Volume V - Contract Documents

This section shall include the below elements:

· Signed SF1449

· Signed SF30 solicitation modifications

· Any exceptions taken, or assumptions made, to the published solicitation, modification or supporting documentations. If the Offeror takes no exceptions, nor makes no assumptions, to the published solicitation in its entirety, the offeror shall submit a single sheet insertion stating there are no exceptions taken nor assumptions made and insert the document in this section. These exceptions or assumptions are separate from any made under the pricing section.

· Fill-in only clauses of Clauses Incorporated by Full Text (if applicable)

· The offeror current/accurate representations and certifications from www.sam.gov. By their submission of this document the offeror is confirming that the information contained is accurate and current as of the date of submission.

· Directly order Haworth materials for the completion of furniture projects and distribute materials to any subcontractors/teaming partners authorized to handle Haworth materials.

· Perform installation services for Haworth materials.

· Perform OEM certified warranty repair on all Haworth furniture materials.

· Small Business Participation Plan/Subcontracting Plan

Small business are not required to submit the small business Subcontracting Plan. If the small business contractor does not intend on sub-contracting at least 10% of the work under this requirement they will insert a page indicating, ““[Name of Offeror], a small business concern, does not intend on subcontracting at least 10% of work under the contract resulting from Solicitation No W9133L-20-R-2005.” If the small business contractor does intend on subcontracting any work under this requirement, they shall provide the below information.

i. Contractor shall provide at a minimum the names of all Sub-contractors and their Small Business Type

ii. Plan to manage all sub-contractors shall include their management techniques and rationale for managing sub-contractors and their compliance with the standards within the contract.

For any potential conflicts of interest known by the offeror at the time of proposal submission, a mitigation plan shall be submitted within the Contractual Documents Volume V (No page limits).

52.212-2 ADDENDUM

1.0 BASIS OF AWARD. This is a competitive source selection using Part 15 of the Federal Acquisition Regulation (FAR). Failure to meet a requirement and comply with all instructions may result in an offer being eliminated from consideration for award. An award will be made on the basis of the lowest evaluated price of proposals which includes that meet or exceed the acceptability standards for non-cost factors.

The evaluation process shall proceed as outlined below:

1.0.1 First, the documentation verifying the vendor to be a Haworth authorized vendor as outlined under paragraph 3.6.5 of the FAR 52.212-1 addendum will be evaluated. Only those firms found to possess all required documentation will be further evaluated.

1.0.2 Second, the offeror’s past performance, technical/management, and price volume submissions will be evaluated in accordance with the below evaluation criteria. Failure to receive an acceptable rating in any of the evaluation criteria shall eliminate the offeror from consideration for contract award at the discretion of the Source Selection Authority. Any Offeror’s proposal assessed as not acceptable shall be notified that their proposal will no longer be considered for contract award and revised proposals will not be accepted.

1.0.3 Third, the offeror whose lowest overall task order pricing that is evaluated as acceptable in Past Performance, Technical/Management and Price shall be evaluated for Responsibility. If the offeror receives an evaluation of a not acceptable rating, the next lowest offeror including all options that is evaluated as acceptable in Technical/Management, Price, and Past Performance shall be evaluated. This shall continue until a contract award can be made. Any Offeror’s proposal assessed as not acceptable will be notified that their proposal will no longer be considered for award and a revised proposal will not be accepted. The Government considers all non-price factors to be equally important to price.

1.0.4 The Government will award a contract to the Offeror that:

i.Has lowest overall total price utilizing task order pricing
ii.Has an acceptable rating in Technical/Management, Price, and Past Performance
iii.Meets Responsibility criteria

2.0 SOURCE SELECTION PROCESS. A Source Selection Evaluation Board (SSEB) has been established by the Government to evaluate proposals in response to this solicitation. The SSEB is comprised of technically qualified individuals who have been selected to conduct this evaluation in accordance with the evaluation criteria listed for this solicitation. Careful, full and impartial consideration will be given to all proposals received pursuant to this solicitation.

2.1 The evaluation of proposals in response to this solicitation is structured in an evaluation of the offered services for compliance with the Performance Work Statement (PWS). This evaluation will be on an acceptable/not acceptable basis. Any Offeror’s proposal assessed as not acceptable will be notified that their proposal will no longer be considered for contract award. To be considered acceptable in the criteria below, the contractor shall receive an acceptable rating in all factors. Definitions for Evaluation Criteria are provided in the “Evaluation Matrices” below.

2.2 The Government will evaluate the following factors: Past Performance, Technical/Management, Price, and Responsibility.

2.3 Past Performance Factor (Factor 1). Past Performance will be evaluated as follows:

a. When assessing past performance, the Government will focus on the past performance of the offeror and its proposed significant subcontractors as it relates to their respective roles in meeting the solicitation requirements. These requirements include their record of: 1) Compliance of Products, Services, Documents, and Related Deliverables to Specification Requirements and Standards of Good Workmanship; 2) Effectiveness of Project Management; 3) Timeliness of Performance for Services and Product Deliverables; and 4) Commitment to Customer Satisfaction and Business-like Concern for its Customers’ Interest.

b. Significant achievements, problems, or lack of relevant data in any element of the work can become an important consideration in the source selection process. The existence of negative prior performance findings may result in a rating, which reflects elevated performance risk. Offerors without a record of relevant Past Performance, upon which to base a meaningful performance risk prediction, will be rated as "Unknown”, which is neither favorable nor unfavorable and shall be considered acceptable in this factor.

c. In evaluating each Offeror's performance history, the Government will look at the Offeror's delivery performance, and that of any significant subcontractors, against the contract’s original delivery schedule unless the delay was Government caused. Schedule extensions that were the fault of the Offeror, or a proposed Subcontractor’s fault, even if consideration was provided, will be counted against the Offeror. The Government will also evaluate general trends in past performance, including demonstrated corrective actions.

d. Additionally, the Offeror may be evaluated based on other internal Government or private source information. While the Government may elect to consider data obtained from external sources other than the proposal, the burden of providing thorough and complete past performance information rests with the Offeror.

e. To be considered acceptable in Past Performance, offeror’s past performance rating shall be a minimum of “Acceptable”.

f. In the case of an offeror without a record of recent or relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, "unknown" shall be considered "acceptable."

The below tables shall be utilized to determine the relevancy of past performance as well as assign a confidence level rating.

Past Performance Relevancy Ratings

Rating
Definition
Very Relevant
Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this RFP requires.
Relevant
Present/past performance effort involved similar scope and magnitude of effort and complexities this RFP requires.
Somewhat Relevant
Present/past performance effort involved some of the scope and magnitude of effort and complexities this RFP requires.
Not Relevant
Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this RFP requires.

Performance Confidence Assessments

Rating
Definition
Substantial Confidence
Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence
Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Limited Confidence
Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence
Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
Unknown Confidence (Neutral)
No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assessed.

2.4 Technical/Management Factor. The Technical/Management Factor will evaluated the below information.

a. Technical Approach/Processes. To be considered acceptable, the contractor’s proposal shall demonstrate an understanding of the requirement and provide defined process for completing the work. The evaluation will be performed on Volume II (IDIQ Technical/Management) as well as Volume IV (Task Order Technical/Management).

b. Management Approach. To be considered acceptable, the contractor’s proposal shall explain the organizational structure to be utilized in support of this contract and explain how timelines and quality control shall be ensured through the life of the contract. The proposal will outline how quality control steps is performed corporately and how corrections are made if any deficient materials/services are identified. The task order submission (Volume IV) will be evaluated for specifics on how the task order execution will be managed.

c. Schedule: To be considered acceptable in this area, the contractor shall provide a schedule for the task order projects indicating for each project a delivery date (task order award + # days)

d. Personnel Qualifications. To be considered acceptable, the contractor shall provide a program manager résumé which reflects the individual proposed as having a background suitable for the work outlined in the PWS.

The strengths, deficiencies, weaknesses, risks and uncertainties of the offeror's proposal will be used to develop an overall rating for the offerors technical/management proposal. The below table will be utilized to assign an adjectival rating and risk for the offerors technical/management proposal.

Technical Assessment Ratings

Adjectival Rating
Definition
Outstanding
Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.
Good
Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Acceptable

Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.

Marginal
Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by strengths. Risk of unsuccessful contract performance is high.
Unacceptable
Proposal does not meet requirements, contains one or more deficiencies, and is unawardable.

2.5 Pricing Factor. The offeror’s proposed pricing, both IDIQ and Task order, shall be evaluated based upon the submission requirements of FAR 52.212-Addendum. The labor category pricing of the IDIQ and the task order pricing for the listed task order projects will initially be evaluated to determine if all material was submitted and the information submitted is complete. Pricing schedules that are unintelligible, indiscernible, erroneous, contain errors or otherwise have incorrect math may be eliminated from competition at the discretion of the Source Selection Authority.

2.5.1 Reasonableness. The Government will evaluate the reasonableness of proposed IDIQ labor category pricing and total task order pricing. The fully-burdened labor category pricing will be evaluated to ensure that all labor category pricing at a minimum meets wage determination guidelines for the services locations (if applicable). Using analysis techniques under FAR 15.404-1, the Government will ensure that the labor category pricing is fair and reasonable for the work to be completed under the IDIQ.

For the submitted task order pricing, the Government will conduct price analysis to determine fair and reasonable pricing for the tasks to be completed.

For the costs to be reasonable in its nature and amount, it should not exceed that which would be incurred by a prudent person in the conduct of a competitive business. Reasonableness takes into account the context of a given source selection, including current market conditions and other factors that affect the ability of an offeror to perform the contract requirements. Reasonableness depends upon a variety of considerations and circumstances, including:

· Whether it is the type of cost generally recognized as ordinary and necessary for the conduct of the offeror's business or of the contract performance;

· Generally accepted sound business practices, Federal and State laws and regulations, etc.; and

· Any significant deviations from the offeror's established practices.

2.5.2 Completeness. To be considered complete, all documents required under the pricing section of FAR 52.212-1 addendum shall be included with the proposal submission.

2.6 Contractor Responsibility. Per FAR 9.103, contracts will be placed only with Contractors that the Contracting Officer determines to be responsible, that is, those who satisfactorily perform the necessary tasks and delivery of the required items on time. Prospective Offerors, in order to qualify as sources for this acquisition, must be able to demonstrate that they meet standards of responsibility set forth in FAR 9.104-1 and FAR 9.104-3(b). In addition, the Government may assess the Offeror's financial and management capabilities to meet the solicitation requirements. Accordingly, the Government reserves the right to reject an Offeror who cannot satisfy the Government’s requirements as set forth in this RFP. The Government reserves the right to conduct a Pre-Award Survey on any or all Offerors (or their significant subcontractors, defined as any subcontract dollar value in excess of $1,000,000 per year or if the subcontracted work is critical to the whole) to aid the PCO in the evaluation of each Offeror's proposal and ensure that a selected Contractor is responsible. The SSEB will consider the results of any such Pre-Award Surveys in the selection decision. No award can be made to an Offeror who has been determined to be not responsible by the Contracting Officer.

Additionally, it is the offeror’s duty to ensure they meet all responsibility criteria at FAR 9.104. The Government may also conduct the following:

(1) Perform a necessary pre-award survey, or

(2) Ask you to provide financial, technical, production, or managerial background information if you don't provide us with the data we ask for within 7 days from the date you receive our request, or if you refuse to participate in the pre-award survey, we may determine you non-responsible.

If we conduct a pre-award survey, the survey information will be provided at that time. Please make sure that you have current data relevant to your proposal available for our team to review.

2.7 Rejection of Offers. The Government may reject any proposal which:

a) Merely offers to perform work according to the RFP terms or fails to present more than a statement indicating its capability to comply with the RFP terms without support and elaboration as specified in Section L of this solicitation; or

b) Reflects an inherent lack of technical competence or a failure to comprehend the complexity and risks required to perform the RFP’s requirements due to submission of a proposal which is unrealistically high or low in price and/or unrealistic in terms of technical or schedule commitments; or

c) Contains any unexplained significant inconsistency between the proposed effort and the Contract Price, which implies the Offeror has (1) an inherent misunderstanding of the performance work statement, or (2) an inability to perform the resultant contract.

d) Fails to meaningfully respond to the Proposal Preparation Instructions specified in Section L of this solicitation.

2.8 Discussions. The Government intends to award a contract without discussions, as permitted by FAR 15.306(a) but reserves the right to hold discussions, if necessary. Where award will be made without discussions, exchanges with offerors are limited to Clarifications as defined in FAR 15.306(a). Offerors may be asked to clarify certain aspects of their offer. Clarifications conducted to resolve minor or clerical errors would not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for offer revision.
